ENGLISH - END USER LICENSE AGREEMENT

PLEASE READ THIS END USER LICENSE AGREEMENT (THE
“AGREEMENT”) CAREFULLY BEFORE USING THIS SOFTWARE.

NOTICE TO USER – BY RECEIVING AND/OR USING THIS ACD SYSTEMS INTERNATIONAL

INC. (“ACD”) SOFTWARE YOU ACCEPT AND AGREE TO BE BOUND BY THE FOLLOWING
USER AGREEMENT. THIS AGREEMENT IS A BINDING LEGAL AGREEMENT BETWEEN ACD
AND THE PURCHASERS, USERS OR EVALUATORS (“YOU”) OF THIS SOFTWARE. IF YOU
DO NOT AGREE TO BE BOUND BY THIS AGREEMENT, REMOVE THIS SOFTWARE FROM
YOUR COMPUTER NOW AND, IF APPLICABLE, PROMPTLY RETURN TO ACD BY MAIL ANY
COPIES OF THIS SOFTWARE AND RELATED DOCUMENTATION AND PACKAGING IN
YOUR POSSESSION.

1. Definitions – “Software” means the computer software program that accompanies this
Agreement and includes any available software user manuals, reference manuals and installation
guides, or portions thereof, either in electronic or printed form, in any media whatsoever. “Use” of
this Software means that You have loaded, installed, or run this Software on a computer or
similar device. “Backup Copy” means one non-transferable copy of this Software created for
archival purposes only that is not installed or Used on any computer or workstation (or number of
users covered in a multi-user site license) except for back-up use during emergency situations.
“Evaluation Version” means that You may evaluate the Evaluation Version of this Software
without purchasing a license for a maximum of thirty (30) calendar days (the "Evaluation Period").

2. User Agreement
2.1 Grant – Subject to the terms of
this Agreement, ACD grants to You
a limited, non-exclusive, non-
transferable, worldwide license,
without right to sub-license: to Use
or evaluate the object code version
of this Software in accordance with
this Agreement and any other
written agreement with ACD. ACD
does not transfer title to this
Software to You; the license granted
to You is not a sale.

2.2 Evaluation Version Use -You

may evaluate this Software without
purchasing a license (the
“Evaluation Version”) for a
maximum of 30 days (the
“Evaluation Period”). On or before
the expiration of the Evaluation
Period, You must purchase a
license from ACD (or an authorized
reseller or distributor) in order to
continue to use this Software, or
You are required to remove this
Software and any Back-Up Copy
from Your computer immediately
following the expiration of the
Evaluation Period. For more
information about purchasing a
license to use this Software, please
contact ACD Customer Service.

2.3 Activation of Software – Once

You have purchased a license from
ACD in order to continue to use the
Software, You may be required to
activate the Software through the
Internet. There are technological
measures within the Software that
are designed to prevent unlicensed
use of the Software. ACD will use
those measures to confirm You
have a valid licensed copy of the
Software. ACD will not collect any
personally identifiable information
from Your computer location or
workstation during this process.

2.4 Evaluation Version

Distribution – The Evaluation
Version of this Software may be
freely distributed, provided that: (a)
such distribution includes only the
original archive supplied by ACD.
You may not alter, delete or add any
files in the distribution archive or
modify this Software in any way; (b)
the limited evaluation nature of this
Evaluation Version Software is not
misrepresented; (c) no money is
charged to the person receiving this
Evaluation Version Software,
beyond reasonable cost of
packaging and other overhead; (d)
You provide prior email or written
notice to ACD at the email address
or fax number listed above that You
are distributing this Evaluation
Version and, if this Software is being
distributed with other media or
software, ACD’s prior written
approval is required. To obtain prior
written approval, please contact
ACD. You may be required to
report to ACD the number of units of
this Evaluation Version Software
distributed from time to time.

2.5 Installation and Use – You

are responsible for installation of
this Software. Your license to use
this Software is limited to the
number of licenses purchased by
You. For more information about
purchasing additional licenses of
this Software please contact an
authorized reseller or ACD directly
through our online form:

You shall not allow others to Use,
copy or evaluate copies of this
Software. Others may obtain a copy
of this Software from:

2.6 Portable Computer Use – If

You have purchased a license to
use this Software and installed it on
Your desktop computer, You may
install a second copy of this
Software on Your portable computer
for Your exclusive use only.

2.7 Use Restrictions - You shall

Use this Software in compliance
with all applicable laws and not for
any unlawful purpose. Without
limiting the foregoing, Use, display
or distribution of this Software
together with material that is
pornographic, racist, vulgar,
obscene, defamatory, libelous,
abusive, promoting hatred,
discriminating or displaying
prejudice based on religion, ethnic
heritage, race, sexual orientation or
age is strictly prohibited. Each
licensed copy of this Software may
be used on one single computer
location or workstation. If You
install this Software onto a multi-
user platform, server or network,
each and every individual user of
this Software must be licensed
separately or included by a multi-
user or site license. Others may not
Use or install Your copy of this
Software. The assignment,
sublicense, networking, sale, or
distribution of copies of this
Software is strictly forbidden without
the prior written consent of ACD. It
is a violation of this Agreement to
assign, sell, share, loan, rent, lease,
borrow, network or transfer the Use
of this Software. Upon request by
ACD, You agree to give ACD
access to Your site during regular
business hours solely for the
purpose of ensuring compliance
with this Agreement.

2.8 Transfer – Unless otherwise

authorized herein, this Software and
the license herein granted shall not
be copied, shared, distributed, re-
sold, offered for re-sale, transferred
or sub-licensed in whole or in part
except that You may make one
Backup Copy for back-up use during
emergency situations. For

this Software please visit

2.9 Intellectual Property

Restrictions – ACD’s name,
trademarks, logo and graphics file
that represents this Software shall
not be used in any way to promote
products developed with this
Software. This Software contains
copyrighted material, trade secrets
and other proprietary material. You
will not deliver, disclose, or convey
to any third party, either directly or
indirectly, the contents of this
Software. You shall not, and shall
not attempt to, modify, reverse
engineer, disassemble or decompile
this Software or alter or remove any
proprietary rights or copyrights
notice or identification which
indicates ACD’s ownership of this
Software. You shall not create any
derivative works or other works that
are based upon or derived from this
Software in whole or in part. ACD
retains sole and exclusive
ownership of all right, title and
interest in and to this Software and
all intellectual property rights
relating thereto. This Software is
protected without limitation by
Canadian copyright law and
international copyright treaty
provisions. All rights not expressly
granted hereunder are reserved for
ACD.

2.10 Limited Warranty and

Disclaimer - You hereby
acknowledge that You are solely
responsible for selecting and
installing the Software and that the
Software may not satisfy all your
requirements or be free from
defects. ACD specifically does not
warrant that the Software will
operate uninterrupted or error free.
THE SOFTWARE IS PROVIDED
‘AS IS’ WITHOUT ANY
REPRESENTATION, WARRANTY
OR CONDITION BY ACD OF ANY
KIND, EXPRESS OR IMPLIED,
INCLUDING, WITHOUT
LIMITATION, ANY WARRANTY OR
CONDITION OF
MERCHANTABILITY,
MERCHANTABLE QUALITY,
DURABILITY OR FITNESS FOR A
PARTICULAR PURPOSE OR
TITLE OR NON-INFRINGEMENT
AND THOSE ARISING BY
STATUTE OR OTHERWISE IN
LAW OR FROM A COURSE OF
DEALING OR USAGE OF TRADE.
NO ORAL OR WRITTEN
INFORMATION OR ADVICE GIVEN
BY ACD OR THEIR RESPECTIVE
EMPLOYEES, AGENTS,
SUPPLIERS OR DISTRIBUTORS
WILL CREATE A WARRANTY.
ACD DOES NOT WARRANT,
GUARANTEE OR MAKE
REPRESENTATIONS REGARDING
THE USE, OR THE RESULTS OF
USE OF THE SOFTWARE IN
TERMS OF CORRECTNESS,
ACCURACY, RELIABILITY,
CURRENTNESS OR OTHERWISE.
IF SUCH DISCLAIMER OF
REPRESENTATIONS,
WARRANTIES AND CONDITIONS
IS NOT PERMITTED BY LAW, THE
DURATION OF ANY SUCH
IMPLIED WARRANTIES OR
CONDITIONS IS LIMITED TO
NINETY (90) DAYS FROM THE
DATE OF DELIVERY. SOME
JURISDICTIONS DO NOT ALLOW
THE EXCLUSION OF IMPLIED

2.11 Limitation of Responsibility -

You will indemnify, hold harmless,
and defend ACD, its employees,
agents and distributors against any
and all claims, proceedings,
demands and costs resulting from or
in any way connected with Your use
of this Software. IN NO EVENT
WILL ACD BE LIABLE ON ANY
THEORY OF LIABILITY,
WHETHER BASED ON
CONTRACT, STRICT LIABILITY,
INDEMNITY, TORT (INCLUDING
NEGLIGENCE), OR OTHERWISE,
FOR DAMAGES WHICH, IN THE
AGGREGATE, EXCEED THE
PURCHASE PRICE OF THE
SOFTWARE (MAXIMUM BEING
THE LESSER OF THE AMOUNT
PAID BY YOU AND THE
SUGGESTED RETAIL PRICE AS
LISTED BY ACD) IN EXCHANGE
FOR THE RETURN OF THE
PRODUCT, ALL COPIES,
REGISTRATION PAPERS AND
MANUALS, AND ALL MATERIALS
THAT CONSTITUTE A TRANSFER
OF LICENSE FROM YOU BACK
TO ACD. SUCH
REIMBURSEMENT WILL ONLY
OCCUR IF THE SOFTWARE WAS
PURCHASED DIRECTLY FROM
ACD. IF YOU PURCHASED THE
SOFTWARE THROUGH A
RESELLER, DISTRIBUTOR,
RETAILER, OR THIRD PARTY,
YOU NEED TO REQUEST A
REFUND DIRECTLY FROM SUCH
PARTIES. IN NO EVENT WILL
ACD ITS EMPLOYEES, AGENTS,
SUPPLIERS OR DISTRIBUTORS
BE LIABLE FOR ANY SPECIAL,
INCIDENTAL, INDIRECT,
 EXEMPLARY, PUNITIVE,
AGGRAVATED OR
CONSEQUENTIAL DAMAGES IN
CONNECTION WITH OR ARISING
OUT OF OR RELATED TO THIS
AGREEMENT, THIS SOFTWARE
OR THE USE OR INABILITY TO
USE THIS SOFTWARE OR THE
FURNISHING, PERFORMANCE
OR USE OF ANY OTHER
MATTERS HEREUNDER
HOWEVER CAUSED, INCLUDING
BUT NOT LIMITED TO BUSINESS
INTERRUPTION, LOSS OF DATA
OR INFORMATION, LOSS OF
PROFITS, BUSINESS
OPPORTUNITIES, OR GOOD WILL
EVEN IF NOTIFIED OF THE
POSSIBILITY OF SUCH
DAMAGES, AND
NOTWITHSTANDING THE
FAILURE OF ESSENTIAL
PURPOSE OF ANY REMEDY.

2.12 Export Compliance – You

agree not to export or re-export the
Software except in compliance with
international trade laws, the export
laws of any country where this
Software is used and the United
States Department of Commerce
Bureau of Industry and Security
Export Administration Regulations
(EAR), including but not limited to
compliance with EAR restrictions on
export or re-export of the Software:
i) to an embargoed country;
ii) to individuals and organizations prohibited from receiving US exports; and
iii) in support of a prohibited end use

The license granted to You under this Agreement is on the condition that You comply with
applicable trade and export laws and You acknowledge that this license will be revoked if You do
not comply with this section.

2.13 Governing Law - This

Agreement shall be governed
exclusively by the laws of the
Province of British Columbia and the
laws of Canada applicable therein
excluding application of any conflict
of laws principles and excluding the
United Nations Convention on
Contracts for the International Sale
of Goods and excluding the
International Sale of Goods Act
 (B.C.). You hereby irrevocably
attorn and submit to the non-
exclusive jurisdiction of the courts of
Victoria, British Columbia, and any
competent courts of appeal
therefrom.

2.14 Termination - Any failure by

You to comply with the terms and
conditions of this Agreement will
result in automatic and immediate
termination of this Agreement
including the license hereunder.
Upon termination of this Agreement
for any reason, You agree to
immediately cease Use of this
Software and destroy all copies of
this Software. The rights and
obligations in Sections 2.7. 2.8, 2.9,
2.10, 2.11, 2.13 and 4 shall survive
the termination of this Agreement.

3. Registration
3.1 Registration - To register this
Software You can do one of the
following: 1) complete and mail the
printed registration card (if
applicable) to ACD; 2) submit the
registration information online
through the registration screen
found within this Software (if
applicable); or 3) submit the
registration information online
through ACD’s Support pages at
http://www.acdsee.com/support/. As
a registered user, You will have the
option to receive helpful information
and special email offers for ACD
customers, as well as ACD’s
monthly newsletters featuring tips,
tricks, updates and savings.

3.2 Consent to Use of Data - You

agree that ACD may collect and use
information gathered in any manner
as part of the product support
services provided to You, if any,
related to this Software. ACD may
also use this information to provide
notices to You which may be of use
or interest to You. You can elect to
not receive any further notices from
ACD, either by 1) unsubscribing
directly to any e-mail You receive or
 2) by visiting our preference center
at:
http://www.acdsee.com/community/
which lists the publications You are
subscribed to and allows You to
unsubscribe or change Your
preferences (You can log-in to the
preference center once You have
submitted Your e-mail address to
ACD and it has been processed).
The Software contains components
that enable and facilitate the use of
certain Internet-based services. You
acknowledge and agree that ACD
may automatically check the version
of this Software that You are
utilizing and may provide upgrades
or fixes to this Software. In order to
receive such upgrades or fixes, You
must agree to the download when
prompted. You are not obligated to
download any upgrades or fixes to
this Software that are provided by

4. General Provisions –
No failure or delay in enforcing any right or exercising will be deemed a waiver of any right or
remedy.

If any provision of this Agreement is unenforceable or invalid for any reason whatever, such
unenforceability or invalidity shall not affect the enforceability or validity of the remaining
provisions of this Agreement and such provision shall be severable from the remainder of this
Agreement.

This Agreement constitutes the entire agreement between You and ACD with respect to the
subject matter hereof and supersedes all prior and contemporaneous proposals, agreements,
understandings, representations and communications, whether oral or written.

This Agreement shall be binding upon and inure to the benefit of the parties hereto and their
respective successors and permitted assigns.

The English version of this Agreement shall be used for interpreting and construing the meanings
of any provisions herein.

5. Third Party Notices – This Software also contains software of ACD’s suppliers which is used
in accordance with the notices reproduced below, which notices You acknowledge and agree to
together with the remainder of this Agreement.

6. Contrat utilisateur

Vous accorde une licence mondiale
limitée, non exclusive et non
transférable, sans droit de concéder
de sous-licence : pour Utiliser ou
évaluer la version du code objet de
ce Logiciel conformément aux
termes de ce Contrat et de tout
autre contrat écrit conclu avec ACD.
ACD ne Vous cède pas la propriété
de ce Logiciel ; la licence qui Vous
est accordée n’équivaut pas à une
vente.

6.2 Utilisation de la version

d'évaluation – Vous pouvez
évaluer ce Logiciel sans acheter de
licence (la "Version d'évaluation")
pendant un maximum de 30 jours
(la "Période d'évaluation"). Durant
ou avant l'expiration de la Période
d'évaluation, Vous devez acheter
une licence à ACD (ou à un
revendeur ou distributeur agréé) afin
de continuer à utiliser le Logiciel,
faute de quoi Vous devrez
supprimer de votre ordinateur ce
Logiciel ainsi que toute Copie de
sauvegarde aussitôt la Période
d'évaluation expirée. Pour plus
d'informations concernant l'achat
d'une licence pour utiliser le
Logiciel, veuillez contacter le service
clientèle d'ACD.

6.3 Activation du Logiciel – Une

fois que Vous avez acheté auprès
d'ACD une licence afin de continuer
à utiliser le Logiciel, il se peut que
Vous deviez activer le Logiciel par le
biais d'Internet. Il existe à l'intérieur
du Logiciel des mesures
technologiques conçues pour
empêcher toute utilisation
frauduleuse du Logiciel. ACD
utilisera ces mesures pour confirmer
que Vous possédez bien une copie
sous licence valide du Logiciel.
Durant ce processus, ACD ne
collectera aucune information
personnelle à partir de Votre
ordinateur.

6.4 Distribution de la version

d'évaluation – La Version
d'évaluation de ce Logiciel peut être
librement distribuée, à condition que
: (a) cette distribution ne concerne
que l'archive d'origine fournie par
ACD. Vous ne pouvez pas altérer,
supprimer ni ajouter aucun fichier
dans l'archive distribuée ou modifier
ce Logiciel d'une quelconque façon ;
(b) la nature limitée de la Version
d'évaluation de ce Logiciel ne soit

6.12 Respect des conditions

d'exportation – Vous acceptez de
ne pas exporter ou réexporter le
Logiciel sauf conformément aux lois
du commerce international, aux lois
d'exportation de tout pays dans
lequel est utilisé ce Logiciel et aux
lois sur le contrôle des exportations
(EAR) du ministère du commerce,
de l'industrie et de la sécurité des
États-Unis, y compris, mais sans s'y
limiter, le respect des restrictions
EAR sur l'exportation ou la
réexportation du Logiciel :
iv) vers un pays soumis à l'embargo ;
v) vers des personnes ou des organisations à qui il est interdit de recevoir des exportations
des États-Unis ; et
vi) en vue d'une utilisation finale interdite

La licence Vous est accordée en vertu de ce Contrat à la condition que Vous vous conformiez
aux lois sur le commerce et les exportations en vigueur et que Vous reconnaissiez que cette
licence sera révoquée en cas de non respect de cet article.

6.13 Loi applicable – Ce Contrat

sera régi exclusivement par les lois
de la province de la Colombie
Britannique et les lois du Canada
applicables aux présentes sauf
application de principes relatifs à
des conflits de loi, sauf la
convention des Nations Unies
concernant les contrats de vente
internationale de marchandises et
sauf la loi sur la vente internationale
de marchandises (B.C.). Par les
présentes, Vous reconnaissez et
Vous vous soumettez à la juridiction
non exclusive des cours de Victoria,
en Colombie Britannique, et de
toute cour d'appel locale
compétente.

6.14 Résiliation – Tout

manquement aux conditions
générales de ce Contrat de Votre
 part entraînera la résiliation
automatique et immédiate de ce
Contrat ainsi que de la licence. En
cas de résiliation de ce Contrat pour
quelque raison que ce soit, Vous
acceptez de cesser immédiatement
d'Utiliser ce Logiciel et de détruire
toutes les copies de ce Logiciel. Les
droits et obligations des articles 2.7.
2.8, 2.9, 2.10, 2.11, 2.13 et 4
survivront après résiliation de ce
Contrat.

7. Enregistrement
7.1 Enregistrement – Vous pouvez
enregistrer le Logiciel de l’une des
façons suivantes : 1) remplissez et
envoyez à ACD la carte
d'enregistrement imprimée (le cas
échéant) ; 2) envoyez vos
informations d'enregistrement en
ligne par le biais de l'écran
d'enregistrement inclus dans le
logiciel (le cas échéant) ; 3) ou
envoyez vos informations
d'enregistrement en ligne par le
biais des pages de l'assistance
d'ACD à l'adresse
http://fr.acdsee.com/support/. En
tant qu'utilisateur enregistré, Vous
aurez la possibilité de recevoir par
email des informations utiles et des
offres spéciales destinées aux
clients d'ACD, ainsi que les lettres
d'informations mensuelles d'ACD
comprenant des astuces, des mises
à jour et des offres.

7.2 Consentement à l’utilisation

des données – Vous acceptez
qu'ACD collecte et utilise les
informations recueillies de quelque
façon que ce soit dans le cadre de
ses services d'assistance, le cas
échéant, relatifs au Logiciel. ACD
peut aussi utiliser ces informations
pour Vous envoyer des notifications
pouvant Vous intéresser. Vous
pouvez choisir de ne pas recevoir
d'autres notifications de la part
d'ACD, soit 1) en résiliant
directement votre abonnement aux
emails que Vous recevez ou 2) en
vous rendant sur notre centre des
 préférences à l'adresse suivante :

auxquelles Vous êtes abonné et
Vous permet de vous désabonner
ou de changer Vos préférences

traitée). Le Logiciel contient des
éléments qui permettent et facilitent

puisse vous fournir des mises à
niveau ou des corrections pour ce
Logiciel. Afin de recevoir ces mises
à niveau ou ces corrections, Vous
devez en accepter le
téléchargement lorsque vous y êtes
invité. Vous n'êtes pas obligé de
télécharger les mises à niveau ou
les corrections au Logiciel fournies

8. Dispositions générales –
Aucune défaillance ni aucun retard lors de la mise en vigueur ou de l'exécution d'un droit ne sera
considéré comme une renonciation à ce droit ou à une action en justice.

Si une disposition de ce Contrat, quelle qu'elle soit, est inapplicable ou nulle pour une raison ou
une autre, l'inapplicabilité ou la nullité n'affectera pas la force exécutoire ou la validité des
dispositions restantes du Contrat et cette disposition sera séparable du reste du Contrat.

Ce Contrat constitue la totalité du contrat entre Vous et ACD dans le cadre de l'objet des
présentes et remplace toutes les propositions, représentations et communications, ainsi que tous
les accords et arrangements oraux ou écrits préalables ou contemporains.

Ce Contrat sera obligatoire pour et s'appliquera au profit des parties aux présentes ainsi qu'à
leurs héritiers et ayants droit agréés respectifs.

C'est la version anglaise de ce Contrat qui sera utilisée pour interpréter la signification de toute
disposition des présentes.

9. Avis aux tierces parties – Ce Logiciel contient également des logiciels de fournisseurs
d'ACD utilisés conformément aux avis reproduits ci-dessous, que vous reconnaissez et que vous
acceptez de respecter ainsi que le reste de ce Contrat.
Ce produit inclut la technologie DNG sous licence d'Adobe Systems Incorporated. Vous trouverez

2 Benutzer-Vereinbarung
2.1 Lizenzgewährung– Gemäß den Bestimmungen dieser Vereinbarung gewährt Ihnen ACD
eine beschränkte, nicht-exklusive, nicht übertragbare weltweite Lizenz ohne die Berechtigung zur
Unterlizenzierung: Dies umfasst die Verwendung oder Bewertung dieser Software, in
Übereinstimmung mit dieser Vereinbarung sowie sämtlichen weiteren schriftlichen
Vereinbarungen mit ACD. ACD überträgt den Rechtstitel dieser Software nicht an den Benutzer;
die gewährte Lizenz gilt nicht als Kauf.

2.2 Verwendung der Testversion – Sie sind berechtigt diese Software ohne Erwerb einer
Lizenz (Testversion) für eine Anzahl von maximal dreißig (30) Kalendertagen zu verwenden
("Bewertungszeitraum"). Spätestens am Tag der Beendigung des Bewertungszeitraums müssen
Sie entweder eine Lizenz von ACD (oder einem autorisierten Wiederverkäufer oder Distributor)
erwerben, damit Sie die Software weiterhin nutzen können, oder die Software und sämtliche
archivierte Kopien mit Beendigung des Bewertungszeitraums von Ihrem Computer entfernen.

2.3 Aktivierung der Software – Sobald Sie zum Zweck der weiteren Nutzung eine Lizenz von
ACD erworben haben, werden Sie möglicherweise aufgefordert, die Software über das Internet
zu aktivieren. Die Software ist mit technischen Funktionen ausgestattet, um die nicht-lizenzierte
Verwendung der Software zu verhindern. ACD setzt diese Funktionen ein, um zu bestätigen,
dass Sie über eine gültige lizenzierte Kopie dieser Software verfügen. ACD sammelt während
dieses Vorgangs keinerlei persönlich identifizierbare Daten durch Zugriff auf Ihren Computer oder
Ihre Arbeitsstation.

2.4 Weiterverbreitung der Testversion– Die Testversion dieser Software darf unter folgenden
Bedingungen uneingeschränkt weiterverbreitet werden: (a) Ausschließlich das von ACD zur
Verfügung gestellte Originalarchiv darf weiterverbreitet werden. Keine der im Archiv zur
Weiterverbreitung enthaltenen Dateien darf verändert oder gelöscht werden. Es dürfen keine
Dateien hinzugefügt werden. Diese Software darf in keiner Weise verändert werden. (b) Die
Beschränkung des Bewertungszeitraums der Testversion darf nicht verfälschend angegeben
werden. (c) Dem Empfänger der Testversion der Software darf keinerlei Bezahlung abverlangt
werden, die über die zumutbaren Versandkosten und ähnliche zusätzliche Kosten hinausgeht. (d)

Möglicherweise werden Sie verpflichtet, ACD die Anzahl der weiterverbreiteten Testversionen der
Software in bestimmten Zeitabständen mitzuteilen.

2.5 Installation und Nutzung – Sie sind selbst für die Installation dieser Software verantwortlich.
Ihre Lizenz zum Gebrauch dieser Software ist auf die Anzahl der von Ihnen erworbenen Lizenzen

2.6 Nutzung auf tragbaren Computern – Wenn Sie eine Lizenz zur Nutzung dieser Software

persönlichen und ausschließlichen Nutzung durch Sie eine zweite Installation der Software auf
Ihrem tragbaren Computer durchführen.
2.7 Verwendungsbeschränkung - Diese Software darf nur für legale und nicht für ungesetzliche
Zwecke verwendet werden. Grundsätzlich und ohne Einschränkung der vorherigen Bestimmung
ist der Gebrauch, die Darstellung oder die Verteilung der Software in Verbindung mit
pornografischen, rassistischen, geschmacklosen, obszönen, erniedrigenden, verunglimpfenden,
verleumderischen oder beleidigenden Materialien sowie Materialien, die aufhetzend wirken, Hass
verbreiten, diskriminieren oder Vorurteile in Bezug auf Religion, Abstammung, Rasse,
Geschlecht, sexuelle Orientierung oder Alter verbreiten, strengstens untersagt. Je eine
lizenzierte Kopie dieser Software darf jeweils auf einem einzigen Computer oder einer

2.8 Weitergabe– Sofern keine anderslautende Berechtigung vorliegt, darf diese Software sowie

gemeinsam verwendet, verbreitet, wiederverkauft, zum Wiederverkauf angeboten, übertragen
oder unterlizenziert werden, mit Ausnahme der Erstellung einer Sicherungskopie für den Einsatz

SCHÄDEN, DIE IN IHRER SUMME DEN KAUFPREIS DER SOFTWARE (MAXIMAL DER
GERINGERE BETRAG DES VON IHNEN BEZAHLTEN PREIS ODER DES VON ACD
EMPFOHLENEN VERKAUFSPREISES) IM AUSTAUSCH FÜR DIE RÜCKSENDUNG DES
PRODUKTES, ALLER KOPIEN, REGISTRIERUNGSUNTERLAGEN UND HANDBÜCHER
SOWIE ALLER MATERIALIEN DIE EINE RÜCKÜBERTRAGUNG EINER LIZENZ VON IHNEN
AN ACD DARSTELLEN. EINE SOLCHE RÜCKZAHLUNG IST NUR DANN MÖGLICH, WENN
DIE SOFTWARE DIREKT VON ACD ERWORBEN WURDE. Falls Sie diese Software durch
einen Wiederverkäufer, Distributor, Einzelhändler oder von einem Dritten erworben haben, gilt

GESCHÄFTSMÖGLICHKEITEN ODER GOODWILL, SELBST WENN DIE MÖ–GLICHKEIT DES
EINTRITTS SOLCHER SCHÄDEN ANGEZEIGT WURDE UND UNGEACHTET DEM
GRUNDLEGENDEN ZWECK EINER ABHILFEMAßNAHME.

2.12 Exportfähigkeit – Sie stimmen zu, die Software nicht zu exportieren oder zu re-exportieren,
außer in Übereinstimmung mit internationalen Handelsgesetzen, den Exportgesetzen des
Landes, in dem die Software verwendet wird, und den EAR (Export Administration Regulations)
des United States Department of Commerce Bureau of Industry and Security, einschließlich aber
nicht beschränkt auf die Einhaltung der EAR-Beschränkungen zum Export oder Re-Export der
Software:
vii) in Länder, die einem Embargo unterliegen;
viii) an Personen und Organisationen, denen der Empfang von Exporten aus den USA

Die Ihnen im Rahmen dieser Vereinbarung gewährte Lizenz unterliegt der Bedingung, dass Sie
alle anwendbaren Handels- und Exportkontrollgesetze beachten. Sie stimmen zu, dass diese
Lizenz erlischt, wenn Sie diese Bestimmungen nicht beachten.

2.13 Anwendbares Recht – Dieser Vertrag unterliegt ausschließlich dem Recht der Provinz
British Columbia und den darauf anwendbaren Gesetzen Kanadas, unter Ausschluss der
Anwendung dazu in Konflikt stehender Prinzipien und unter Ausschluss des Übereinkommens
der Vereinten Nationen über Verträge über den internationalen Warenkauf und unter Ausschluss
des „International Sale of Goods Act“ (British Columbia). Hiermit unterstellen Sie sich
unwiderruflich der nicht-exklusiven Gerichtsbarkeit der Gerichte von Victoria (British Columbia)
und sämtlichen davon abhängigen Berufungsgerichten.

2.14 Vertragskündigung – Jegliche Verletzung der Bedingungen und Vereinbarungen dieses

Vertrags resultiert in der automatischen und sofortigen Kündigung dieser Vereinbarung und der
in ihrem Rahmen gewährten Lizenz. Bei Beendigung dieser Vereinbarung, unabhängig vom
Grund der Beendigung, verpflichten Sie sich, die Verwendung der Software sofort einzustellen
und sämtliche Kopien dieser Software sofort zu vernichten. Die Rechte und Pflichten aus den
Abschnitten 2.7. 2.8, 2.9, 2.10, 2.11, 2.13 und 4 bleiben auch über die Beendigung der
Vereinbarung hinaus gültig.

3. Registrierung
3.1 Registrierung – Um die Software zu registrieren, führen Sie einen der folgenden Schritte
aus: 1) Füllen Sie (sofern vorhanden) die gedruckte Registrierungskarte vollständig aus und
senden Sie sie an ACD, 2) geben Sie die Registrierungsinformationen online über den
Registrierungsbildschirm ein, den Sie mit der Software aufrufen können (falls zutreffend), oder 3)
geben Sie die Registrierungsinformationen online auf den Support-Seiten von ACD unter
http://de.acdsee.com/support/ ein. Als registrierter Benutzer haben Sie die Möglichkeit, hilfreiche
Informationen hilfreiche Informationen und besondere e-Mail-Angebote für ACD-Kunden zu
erhalten sowie die monatlichen Newsletter von ACD mit Tipps, Tricks, Aktualisierungen und
Sonderangeboten.

3.2 Einverständnis zur Datenverwendung – Sie stimmen zu, dass ACD Daten, die auf
irgendeine Weise durch die Ihnen gewährte Produktunterstützung in Bezug zu dieser Software
erfasst wurden, sammeln und verwenden darf. ACD ist weiterhin berechtigt, diese Informationen
zu benutzen, um Mitteilungen an Sie zu vermitteln, die möglicherweise für Sie von Interesse oder
Nutzen sind. Sie kö¶nnen entscheiden, dass Sie keine weiteren Mitteilungen von ACD erhalten
möchten, indem Sie entweder 1) sämtliche e-Mails, die Sie erhalten, direkt abbestellen oder 2)
indem Sie unser Center für Vorgaben und Einstellungen unter http://de.acdsee.com/community/
besuchen, das sämtliche für Sie angemeldete Informationsschriften auflistet, und dort sämtliche
Anmeldungen abmelden oder deren Einstellungen verändern. (Sie können sich im Center für
Vorgaben und Einstellungen anmelden, sobald Sie ACD Systems Ihre e-Mail-Adresse mitgeteilt
haben und diese verarbeitet wurde). Die Software enthält Komponenten, die die Nutzung
bestimmter Internet-basierter Dienste ermöglichen und vereinfachen. Sie erklären sich damit
einverstanden, dass ACD die Version der von Ihnen eingesetzten Software automatisch überprüft
und Aktualisierungen und Fehlerbehebungen zu dieser Software bereitstellt. Um derartige
Aktualisierungen oder Fehlerbehebungen zu erhalten müssen Sie bei entsprechender
Aufforderung dem Download zustimmen. Sie sind nicht verpflichtet, Aktualisierungen oder
Fehlerbehebungen zu dieser Software zu übertragen, die von ACD bereitgestellt werden. Die

4. Allgemeine Bestimmungen –
Eine verzögerte oder nicht umgesetzte Wahrnehmung eines Rechtes oder einer Option aus
dieser Vereinbarung bedeutet in keinem Fall die Aufgabe eines solchen Rechtes oder
Abhilfemaßnahme.

Sollte eine Bestimmung dieser Vereinbarung nicht umsetzbar oder aus irgendeinem Grund
ungültig sein, so wirkt sich dies nicht auf die die Gültigkeit und Umsetzbarkeit der verbleibenden
Bestimmungen dieser Vereinbarung aus. Die ungültige oder nicht umsetzbare Bestimmung ist in
diesem Fall getrennt vom Rest dieser Vereinbarung zu betrachten, der unverändert weiter gilt.

Diese Vereinbarung stellt die gesamte Vereinbarung zwischen Ihnen und ACD in Bezug auf den
Gegenstand dieser Vereinbarung dar und ersetzen alle zuvor zwischen den Parteien getroffenen
Ankündigungen, Verträge, Kommunikationen, Erklärungen und Vereinbarungen in mündlicher
oder in schriftlicher Form.

Diese Vereinbarung Vertrag ist bindend und tritt zum Nutzen der Parteien und deren
zugelassenen Nachfolgern in Kraft.

Die englische Version dieser Vereinbarung ist für die Interpretation und Auslegung der
Bedeutung aller hierin enthaltenen Bestimmungen allein maßgeblich.

5. Hinweise zu Drittparteien – Diese Software enthält auch Software von Lieferanten von ACD,
die in Übereinstimmung mit den im Folgenden aufgeführten Hinweisen verwendet wird. Sie
bestätigen die Kenntnisnahme und Ihr Einverständnis hierzu gemeinsam mit Ihrer Zustimmung
zum Rest dieser Vereinbarung.
