Pursuant to the rules and regulations adopted by the OCPPA and heretofore filed for the use of hereinafter public event facility(s) and subject to agreed to following definitions,
terms, conditions, limitations, and restrictions contained in said rules and regulations, permission is hereby granted to Dakhma of Angra Manyu / Adam Daniels, hereinafter
referred to as permittee, to use and occupy CCMH City Space Theatre for the following and no other purpose Dakhma of Angra Manyu.

Subject to such conditions, limitations and restrictions, permittee may have and enjoy the use of the public event facility(s) hereinabove specifically described, including corridors necessary
to accommodate patrons seating at present situated in or a part of such facility(s) for the purpose and at the time or times aforesaid, together with such regularly provided air conditioning,
heat, water, light, and janitor service as may be required for use of said facility(s) for said purpose.

This permit shall have no force or effect whatsoever unless and until it is returned with the rental deposit, if such is required, and signed by the Director. The permittee shall endorse the
same "accepted" in the space hereinafter provided therefore, and by said acceptance permittee shall covenant and agree that he will well and truly perform or abide by each and every term
and/or restriction and/or limitation of the permit, each of which shall be a condition to the continuance in effect of this permit.

PAYMENT-The permittee shall pay to the City of Oklahoma City or the OCPPA at the above listed facility, for the use of said facility(s), the sum of FOUR HUNDRED TWENTY AND
NO/100 Dollars ($420.00), or N/A% of the gross receipts, after deduction of federal, state and municipal taxes, whichever is the greater, for such period of each scheduled event
in the following manner to wit:

(A) Four Hundred Twenty and no/100 Dollars ($420.00) on the acceptance of the permit;

(B) N/A Dollars ($N/A) as final remittance.

If for any reason, said rental is not paid as aforesaid, it is agreed that any box office receipts in the possession of the City and OCPPA may be applied to the payment of said rent and
permittee waives all rights to that portion of the box office receipts necessary to pay the OCPPA invoices. In all cases, the OCPPA requires that a properly executed Box Office permit be in
effect and the defined payments be paid in full before authorizing a ticket sale to commence. In case suit or action is instituted by the OCPPA to collect the rental provided for in this
agreement, and the OCPPA shall be entitled, in addition to the costs and disbursements provided by statute, to such additional sum as the court may adjudge reasonable for attorney's fees
to be allowed in said suit or action.

Properly executed permit, rent and insurance are due 06/20/2014. Technical requirements and equipment needs are due 08/22/2014. Equipment charges and catering fees are not included
in the price above and available upon request.

SPECIAL CONDITIONS:
Base rent will be $310 per performance. Permittee is to pay for the services of stagehands, ushers, EMT, and security as required by OCPPA management. Merchandise as per
non-food authorization. Insurance included in rental rate.

I, Adam Daniels, as a representative of Dakhma of Angra Manyu, by signing this Permit acknowledge that I am authorized to sign this Permit and agree to be bound by its
definitions, terms and conditions.

DEFINITIONS

CITY shall mean the City of Oklahoma City.
DIRECTOR shall mean the General Manager of the OCPPA or his designee.
GENERAL MANAGER shall mean and refer to the City Manager of the City of Oklahoma City, acting as General Manager of The Oklahoma City Public Property Authority, a public trust.
OKLAHOMA CITY PUBLIC PROPERTY AUTHORITY, hereinafter referred to as OCPPA shall mean the mayor and members of the governing body of the City of Oklahoma City acting in
their capacity as Trustees of said OCPPA.
PUBLIC EVENTS FACILITIES shall mean the Civic Center Music Hall, hereinafter referred to as CCMH by the City of Oklahoma City and operated by the OCPPA by the virtue of a
certain Lease Agreement, dated May 11, 1999 entered into by and between the City of Oklahoma City, a municipal corporation, and the OCPPA, a public trust.
ROSE STATE COLLEGE, hereinafter referred to as ROSE STATE PERFORMING ARTS THEATRE, managed by the OCPPA for certain purposes by virtue of an agreement with Rose
State College, dated May 13, 1997, during the term of the lease and any subsequent renewals.
STAGE CENTER managed by the OCPPA for certain purposes by virtue of an agreement with the Arts Council of Oklahoma City, Inc., dated March 28
th
, 2006, during the term of the lease
and any subsequent renewals.

TERMS AND CONDITIONS

(1) ADA COMPLIANCE-As required by Title II of the Americans with Disabilities Act,42 U.S.C.A., 12101 et seq., the permittee agrees to make all necessary accommodations to facilitate
program accessibility for disabled individuals, exclusive of permanent structural changes to the facility(s).
(2) ADVERTISING-The permittee shall not distribute or circulate, or permit to be distributed or circulated, any advertising matter or programs at the entrance to, or in or about any part of it,
the public events facilities, except such advertising of programs as may pertain to the immediate attraction for which this permit is granted. At the discretion of the Director, The Civic
Center Music Hall will promote the event(s) using available in-house tools such as the CCMH website, digital message board, and/or brochure racks for promotion, so long as the
permittee provides the necessary materials for promotion of the event. These materials shall include the following: show synopses and listing of star performer(s), press releases,
biographies of star performer(s), digital photographs and/or other show graphics, posters, and/or free standing banners.
(3) ASSIGNMENT-Neither this permit nor any of the rights of permittee hereunder may be assigned. Except to its parent or affiliate under common control.
(4) BOX OFFICE- T.H.E. Box Office shall refer to the Civic Center Box Office, which is part of the OCPPA which has the sole and exclusive right to sell, handle, distribute, or otherwise
disburse all admission tickets.
(5) BROADCASTING-No performance or event presented in the public events facilities shall be broadcast or televised, or in any manner recorded for reproduction without the consent of the
Director, and then only upon the express condition that all expenses pertaining thereto will be paid in advance by the permittee.
(6) COMPLIANCE WITH LAWS-The permittee shall comply with federal, state and local law including all rules and regulations established by any authorized officer or department of the
City. The permittee shall not allow to be done anything on said premises in violation of any such local laws, rules or regulations. No performance, exhibition or entertainment shall
be given or held in the public events facilities which is by community standards illegal, indecent, obscene, or immoral, and should any such exhibition, or performance, or any part
thereof, be indecent, obscene, lewd, immoral or in any manner publicly offensive, then said Director or OCPPA may cancel said performance or exhibition or any part thereof and all
monies paid by the permittee as rental will not be refunded.
(7) CONCESSION SALES-OCPPA reserves unto itself or its assigned agents the sole right: (a) to sell or dispense programs, periodicals, books, magazines, newspapers, soft drinks,
alcoholic beverages, flowers, tobaccos, candies, food, novelties or any related merchandise commonly sold or dispensed in auditoriums; (b) to rent and/or sell opera glasses, and
other articles; (c) to take and/or sell photographs; (d) to operate the parking lots and check rooms; provided, however, that the Director may, in writing, authorize a permittee to do
any of the aforesaid upon such terms as he may deem proper under the circumstances, subject to the provisions of any existing concession contracts in effect at the time.
(8) CONTROL OF BUILDING-The public event facilities and premises, including keys thereto, shall be at all times under control of the Director who shall have the right to enter the premises
at all times during the period covered by this permit. The entrances and exits of said premises shall be locked and unlocked at such times as may be required for permittee's use of
the public events facilities; but permittee, at his own expense, shall at all times place proper watchmen at all entrances and exits when the same are unlocked.
(9) COPYRIGHT ROYALTIES- In accordance with federal copyright law, the permittee agrees to secure approval from ASCAP/BMI or SESAC, or other appropriate entity prior to scheduling
a performance or broadcast of copyrighted material in any facility(s), and will hold harmless the City or OCPPA from any claims.
(10) EXPIRATION OF PERMIT-At the expiration of the time of occupancy hereinabove set forth, the permittee shall quit the premises of the public events facility and return to the Director all
equipment and facilities shall be in as good condition and repair as before the permittee's use thereof except for wear from ordinary use.
(11) EXTRA PERSONNEL-The permittee shall pay for all necessary personnel required for permittee's use of the aforesaid facilities, in accordance with the established rental rates,
including but not limited to security, stagehand, ticket sellers, ticket takers, ushers and EMT personnel. Provided, however the City and/or the OCPPA may eject from the public
events facilities any of the permittee's personnel who do not reasonably meet with the OCPPA approval. The OCPPA may elect to provide certain stagehand production personnel,
ticket takers and ushers for which the Permittee shall reimburse the OCPPA.
(12) EXTRA SERVICE-The permittee shall pay to the City and the OCPPA, on demand, such other and further sums as may become due to the OCPPA on account of special facilities or
extra services furnished or proposed to be furnished by the OCPPA, the compensation for which is not included in the amounts specified under payment (1) hereinabove.
(13) FORCE MAJEURE- In the event of damage to or destruction of the facility by reason of fire, storm, or other casualty or occurrence of any nature or any regulatory action or
requirements that, in either case, is expected to render the facility materially untenantable, notwithstanding Civic Centers reasonable efforts to remedy such situation, either party
may terminate this Agreement upon providing a reasonable written notice to the other and the said permittee hereby waives any claim against Civic Center Music Hall, OCPPA and
the City for damages or compensation should this permit so be terminated.
(14) FLAMMABLE MATERIAL-No flammable materials such as bunting, tissue paper, crepe paper, etc., shall be permitted to be used for decorations; and all materials used for decorative
purposes shall be treated with fireproofing and approved by the Fire Department.
(15) FREE SAMPLES-Neither the permittee, or permittee's exhibitors, shall give away or sell items under the terms of this permit without written permission from the Director.
(16) INDEMNITY- The Permittee assumes all risks incident to, or in connection with, its purpose to be conducted hereunder, and shall indemnify, defend and save harmless the City, the
OCPPA, from damages or injuries, of whatever nature or kind, to persons or property arising, directly or indirectly out of the Permittees operations and arising from acts or omissions
of its agents, employees, or subcontractors. The Permittee shall indemnify, defend and save harmless OCPPA and the City from any penalties for violation of any law, ordinance, or
regulation affection or having application to said operation or resulting from the carelessness, negligence or improper conduct of the Permittee or any of its agents, employees or
subcontractors, but not for damages or injuries arising from the sole negligence of the OCPPA, City or their employees, agents or subcontractors. The presence of employees of
other representatives of the City and/or the OCPPA shall in no manner diminish or affect the duties, obligations or responsibilities of the Permittee.
(17) INSURANCE- The Permittee shall provide comprehensive general liability insurance in the amounts as set forth in this Permit. The City, OCPPA and Civic Center Music Hall, as
applicable, shall be named as additional insureds for any liability exposure arising from an ownership interest in the property or any duty to maintain the property. The Permittee
shall carry Workers Compensation insurance in accordance with Oklahoma law. The amount of insurance coverage per event shall not be less than the amount of the maximum
liability per event under the Governmental Tort Claims Act (GTCA), 51 Okla. Stat. 151 et seq., as it may be amended from time to time. The liability limit is currently $1,000,000
under the GTCA. Permittees insurance coverage shall include no-fault medical expense coverage in a minimum amount of $10,000 per person, per occurrence. Permittee shall pay
any deductibles under the policy, which shall be disclosed to the City, OCPPA, and Civic Center Music Hall, and shall not be unreasonably large in relation to the assets of the
Permittee. The Permittee shall furnish the City and the OCPPA certificates of insurance on the defined dates showing compliance with the obligations of this permit. A copy of the
insurance policy shall be provided upon requests of the Director or attorneys for the City, OCPPA, or Civic Center Music Hall. No event shall occur without proof of insurance as
required in this section.
(18) INTERMISSIONS-The permittee agrees that for all programs lasting one hour or more, excepting religious services or other engagements specifically excluded, an intermission of not
less than fifteen (15) minutes shall be held, subject to modification by the Director when necessary to meet unusual conditions.
(19) LICENSES-The permittee must obtain all permits or licenses required by the federal, state, and local laws including all rules and regulations established by any authorized officer or
department of the City.
(20) LOADING DOCKS- All articles, exhibits, fixtures, materials, displays, etc., shall be brought into or out of the building only at such entrances as may be designated by the City and
OCPPA.
(21) LOST ARTICLES-The Director or his designee shall have the sole right to collect and have the custody of articles left in the building by persons attending any performance, exhibition or
entertainment given or held in the demised premises, and the permittee or any person in permittee's employ shall not collect nor interfere with the collection or custody of such
articles.
(22) MOVE OUT- The permittee shall remove from the premises of Civic Center Music Hall facilities as stated above all property, goods and effects belonging to permittee or caused by
permittee to be brought upon said premises. If any such property is not removed within the above stated time, the City and the OCPPA may store, or cause to be stored, any such
property, for which permittee shall pay a reasonable storage fee and all expenses incurred therefore. If permittee fails to redeem the property within sixty days, the OCPPA may sell
said property for said storage fee and expenses.
(23) OBJECTIONABLE PERSONS-Director also reserves the right to eject or cause to be ejected from the premises any reasonably objectionable person or persons.
(24) OBSTRUCTIONS-No portions of the sidewalks, entries, passage vestibules, halls, elevators or ways of access to public utilities of the premises shall be obstructed, or caused to be
obstructed, by the permittee, or caused or permitted to be used for any purpose other than ingress and egress to and from the premises. The doors, skylights, stairways or openings
that reflect or admit light into any portion of the building, including hallways, corridors, and passageways, also radiators and house-lighting attachments, shall in no way be
obstructed by the permittee. The water closets and water apparatus shall not be used for any purpose other than for which they were constructed, and no sweepings, rubbish, rags,
papers or other substances shall be thrown therein. Any damage resulting on account of any misuse of any portion, facility or equipment of the public events facilities, of whatsoever
character, shall be paid for by the permittee.
(25) OPENING HOURS-The permittee must open the doors of his attraction as advertised unless otherwise agreed upon by the Director as necessity indicates.
(26) PROGRAM REQUIREMENT-The permittee must file with the OCPPA, at least ten (10) days prior to the performance or attraction for which this permit is issued a full and detailed
outline of all stage requirements, the hall and chair setup and such other information as may be required by the City and the OCPPA concerning this event.
(27) REQUEST FOR REASONABLE ASSURANCE- The OCPPA retains the rights to require the Permittee, to supply a binding and executed contract for the appearance of the scheduled
entertainment.
(28) RULES AND REGULATIONS-All terms and provisions contained in the rules and regulations adopted by the OCPPA are applicable to this permit and a part hereof although not
specifically stated herein.
(29) SCHEDULING-Unless otherwise specified in writing, Director shall be privileged to schedule other similar events both before and after dates and time of this contract without notice to
the permittee.
(30) SEATING CAPACITY-The permittee shall not sell or distribute or permit to be distributed, tickets or passes in excess of the seating capacity of the facility or facilities hereinabove
described. The sale of standing room spaces is prohibited. The Director reserves the right to a reasonable number of reserved seats in said public events facility as required and
without charge.
(31) SIGNS AND POSTERS-The permittee must not do, or permit to be done, upon said premises anything that will tend to injure, mar, or in any manner deface the premises and will not
drive or install, or permit to be driven or installed, any nails, hooks, or screws into any part of the public events facilities, and will not make or allow to be made any alterations of
whatsoever kind to said building or any equipment or facilities thereof. The permittee shall not post or exhibit or allow to be posted or exhibited, any signs, advertisements, show
bills, lithographs, posters or cards of any description on any part of the premises of the public events facilities, except upon the regular billboards provided for such purposes by the
Director. The permittee will use, post, or exhibit only such signs, advertisements, show bills, lithographs, posters or cards upon said billboards as relate to the performance or
exhibition to be given in the premises under this permit and which meet with approval of the Director.
(32) STORAGE- In the receipt, handling, care or custody of property of any kind shipped or otherwise delivered to the public events facilities, either prior to, during, or subsequent to the use
of the public events facilities by permittee hereunder, OCPPA and the City and their officers, agents, or employees shall not be liable for any loss, damage or injury to such property,
(33) UTILITY CONNECTIONS-Unless otherwise authorized by the Director, all plumbing, electrical or carpentry work required to be done on the premises of the public events facilities in
connection with the permittee's use thereof, and all electrical current or domestic gas required for the permittee's use (excepting that required for heating and lighting) shall be done
or furnished by the OCPPA, or approved representative for which permittee shall pay OCPPA on the basis of the rates set forth in the schedule of rates, on file in the office of the
Director.
