BATTERY RICKSHAW DEALERSHIP AGREEMENT

THIS DEALERSHIP AGREEMENT IS MADE AT (place ) ON THIS

Hereinafter referred to as the Dealer (Which expression shall always mean and
include, unless repugnant to the context or meaning thereof his Legal Representatives,
Heirs Successors, Administrators, Executors, and Assigns), THE PARTY OF THE
OTHER PART.

NOW THEREFORE THE PARTIES HERETO AND HEREUNDER MUTUALL
AGREE AND DECLARE AS BELOW:-


1. Second Party has appointed the Dealer for City Area State
for sell promotion, marketing and servicing in E Rickshaw products.

2. This Dealer shall sell, market all the VAAHAK Products purchase by RG
Createx Pvt Ltd . & do all such acts ,deeds, things which will generate sales ,
keep proper follow up of retail sale & render after sale service to the product
sold by him.

3 SECRECY;

The Dealer shall keep all the communication made with the RG Createx Pvt
Ltd ., any information, technical data, know-how supplied / disclosed by the
RG Createx Pvt Ltd . as a trade secret and shall not divulge the same to any
third party, without prior written permission obtained from the RG Createx
Pvt Ltd ., in any manner, whatsoever and either directly or indirectly.

4 RESPONSIBILITY OF THE DEALER:


i) The dealer assures that he has experience as distributor in the
automobile industry and is updated with the latest automobiles in
market.
ii) The battery Rickshaw importer has to provide all the promotional and
other related materials to the dealer from time to time .
iii) The dealer assure the he will pay full payment at the time of order
iv) The dealer assure the he will buy 25 or more rickshaw in month , RG
Createx shall have liberty to terminate this agreement .
v) The dealer assure the he will be working in the (Place ) only as
adistributer on the behalf of RG Createx Pvt Ltd(VAAHAK)


5 RELIEVE FROM THIS AGREEMENT
Unless the Dealer settles all his accounts with RG Createx Pvt Ltd and
obtains written no dues/no objection certificate from RG Createx Pvt Ltd
on that behalf, the Dealer will not be treated as relieved from this agreement
and the terms of this agreement will be binding of the Dealer till then.

6 JURISDICTION
Any dispute pertaining to interpretation, application, fulfillment / breach of
any condition of this agreement shall be subject to exclusive DELHI CITY
jurisdiction only and RG Createx Pvt Ltd shall have right to withhold all
money till the final decision of the dispute by the Competent Court.
