Dear Sir,
On behalf of Omera Petroleum Ltd. (a subsidiary of MJL Bangladesh Ltd.) we are pleased to issue
this Work Order on acceptance of your Quotation dated January 06, 2014 (ref.
BPL/SL/MJLBL/060114 & BPL/SL/MJLBL/060114A) for the captioned work as per the terms and
conditions stated hereunder.

Terms & Conditions:
1. Work to be started within 05 (five) days from issue date of this letter and completed within a
period of 03 (three) weeks.
2. For this purpose a day is defined as 9:00am to 4:00pm on Sunday to Thursday. To shorten the
work execution time period vendor may be asked/ permitted to work hours in addition to meet
mentioned time limit.
3. Your Quotation dated: 06-Jan-2014 (ref. BPL/SL/MJLBL/060114 & BPL/SL/MJLBL/060114A) will
form an integral part of this work Order.
4.

Vendor shall appoint an authorized representative who shall act for and on behalf of the
vendor on all matters pertaining to the work executed under this work order. Mr. Sheikh Jabed
Hasan, Manager-Technical of MJLBL will be the authorized representative who shall act for and
on behalf of Omera Petroleum Ltd. (OPL) on all matters pertaining to the work.

5. Vendor will configure the links and devices at the locations with the existing facility to the full
satisfaction of OPL/MJLBL authority.

Minimum acceptable downtime for Intranet connectivity is 2%. Vendor will be penalized
@Tk.500 per month for each additional percent of downtime above 2%. Fraction value will be
considered as rounded.

OPL authority reserves all right to increase/ decrease/ add/ delete any item of work if required
for completeness of the work. Any change in costs due to such increase/ decrease/ addition/
deletion shall be mutually negotiated between OPL and vendor and approved in writing prior to
such change in work.

Either party can terminate the service contract by giving 1 (one) month notice without
assigning any reason what-so-ever.

9.

Billing and Payment terms:


a) All payments will be made in BDT through A/C Payee cheque in favor of Bangla Phone
Limited.
b) Vendor will raise monthly bill within 05 (five) working days of month and submit to OPL.
c) OPL will review bill and uptime and make necessary payment within 7 (seven) working days of
month. Appropriate Mushak-11 Challan must be submitted with Bill copy for payment processing.

10.

All statutory withholdings and deductions will be made from payments to vendor as required
by law.

If you agree to execute the work on the above terms and conditions, please sign & return the 2 nd copy
of this Work Order as a token of your acceptance.
