Metrobank Closes Tier 2 Notes Offer Period Early

Metropolitan Bank & Trust Company (Metrobank or the Bank) announced that it closed the
public offer period of its follow-on issuance of Basel 3-compliant Tier 2 Notes (the Series 2
Notes) as strong demand from institutional and retail investors already exceeded the allowable
issue size.
The offer period was originally scheduled for July 22 to 28. However, at the end of the first day
of the offering, the orderbook was more than 2 times oversubscribed, prompting the Bank to
close the offer period early.
Metrobank set the issue size for the Series 2 offer at PHP6.5 billion to complete the Banks
PHP22.5 billion Tier 2 Note Program. Earlier this year, Metrobank received Bangko Sentral ng
Pilipinas (BSP) approval to issue up to US$500 million or approximately PHP22.5 billion in Tier
2 Notes. The Bank previously issued PHP16 billion Tier 2 Notes in March 2014.
Parties to the Series 2 transaction include ING Bank N.V.-Manila branch and Standard
Chartered Bank as joint lead arrangers and selling agents; Multinational Investment
Bancorporation as market maker and selling agent; and Metrobank as limited selling agent.
