WHEREAS:

MNSL has agreed to purchase and the Subcontractor to provide, construction, installation and commissioning
GoodsandServicesashereinafterdefineduponandsubjecttothetermsandconditionsofthisAgreementand
thescheduleshereto("theConditions").

1.ApplicationandPurpose

The Conditions apply to the Agreement and shall override any terms and conditions contained in or
referred to in any other document from the Subcontractor and shall supercede all prior agreements
offers and discussions (oral or written) between the parties regarding the subject matter of the
Agreement.NoamendmentorvariationmaybemadetotheConditionsunlessagreedinwritingbyan
authorisedofficerofbothMNSLandtheSubcontractor.

2.Definitions

2.1IntheConditionsthemasculineincludesthefeminineandtheneuterandsingularincludes
thepluralandviceversa.Headingsareincludedforeaseofreferenceonlyandshallnotaffectthe
interpretationorconstructionhereof.

2.2TheexpressionsusedintheConditionsshall,unlessthecontextotherwiserequires,havethe
followingmeanings;

ChangeRequestmeansanyvariationofchangetoorsubstitutionoftheWorkaspre-agreed
byaMNSLProjectManagerpriortothecommencementofanyadditionalWorkandinaccordancewith
clause3.6.

"Customer" shall mean the person, firm or company to whom MNSL is contracted for the
supplyofGoodsandServicesofwhichtheOrderformsthewholeorpartthereof.

GoodsmeansthosegoodsassetoutintheOrder.

MNSL Project Manager means the authorised representative appointed by MNSL to liaise
withtheSubcontractorandsupervisetheWork.

"Order"meansanyPurchaseOrderthatreferstothisAgreementwhichisplacedbyMNSLforthesupplyof
theWorkwhichexpressionisdefinedbelow.

"Price" means the sum of the prices of the individual items comprising the Goods or Services
listedontheOrder.

ScopeofWorksadocumentoutliningthetasksandresponsibilitiesundertheOrder.

Services means those services provided by the Subcontractor to MNSL as set out in the
Order.

"Subcontractor"meanstheperson,firmorcompanytowhomtheOrderisaddressed.

"Work" means the items of Goods or Services described in the Order or in a Scope of
Works.

3.TheSubContractorsObligations

3.1TheSubcontractorshallprovidetheWorkasspecifiedintheOrderandsupportingquotation
withallduediligenceandskillincludingbutnotlimitedtobestindustrypracticeandinaccordancewith
itsownestablishedinternalprocedures.

3.2 The Work shall be provided in accordance with the requirements of the Order to the
reasonablesatisfactionofMNSLoritsauthorisedrepresentative.

3.3TheSubcontractorshallliaisewithMNSLoranythirdpartydesignatedinwritingbyMNSL
regardingtheprogressoftheWorkbeingcarriedout.

3.4TheSubcontractorshallprovideadviceandguidanceinrelationtotheWorktoMNSL'sstaff
oratMNSL'swrittenrequesttoanythirdpartydesignatedbyMNSLinthesaidrequest.

3.5TheSubcontractorshallactfororsupportMNSLifrequiredbyMNSLsotodointechnical
discussions,inrelationtotheWorktobeperformedbytheSubcontractor.

3.6 The Subcontractor shall provide as may be requested by MNSL from time to time, 'fixed
price' or 'time and materials' quotations, for additional Work under a Change Request that may be
requiredtobecarriedoutinconnectionwiththeWork.Suchquotationsshallbeprovidedinwritingby
the Subcontractor and if accepted and approved by MNSL issuing a reference number, authorising the
Change request, shall be incorporated herein. Any such quotations required by MNSL shall be provided
by the Subcontractor within 7 days' of MNSL's request. For the avoidance of doubt, MNSL shall only
be responsible for the costs of additional Work or to the agreed scope of the Work undertaken by the
Subcontractor, if duly authorised in writing by MNSL and, MNSL may instruct the Subcontractor at the
Subcontractorscosttoremoveanyunauthorisedadditionsorvariations.

3.7 The Subcontractor acknowledges that it has read and understood the requirements of the
Customer as listed in the Order and/or any relevant program of works. The Subcontractor shall not be
entitledtoanyfurthercompensationforanyitemorservicesuppliedwhichwasnotintheOrderwhichis
requiredasaresultoftheSubcontractor'sfailuretounderstandtherequirementsoftheCustomer,insofar
astheyrelatetotheWorktobeprovidedundertheseTermsandConditions.

3.8 In the event MNSL requires any amendments to this Agreement for a specific Order as a
resultofMNSL'snegotiationswiththeCustomerbothpartiesshalluseallreasonableendeavourstoagree
amendmentstothisAgreementwhichareacceptabletobothparties.

3.9The Subcontractor shall ensure that the Work be of sound workmanship and materials and
shall conform as to quality, standards of safety, quantity and description with that specified in the Order
andanyproductspecification,performancespecificationorrelevantindustrystandards.

3.10 The Subcontractor shall provide MNSL with progress reports upon request. These will
detail current performance against the Work, any potential problems that have been foreseen and if
necessarytheSubcontractorsrecoveryplantoachievethestipulatedcompletiondate.

3.11ForthepurposesoftheimplementationofthePrimeContractandtheco-ordinationofthe
supply of the Work, MNSL shall appoint a Project Manager (the 'Project Manager') to whom shall be
delegatedthedaytodayresponsibilitiesofmanagingthePrimeContractandwhoshallberesponsiblefor
theco-ordinationoftheSubcontractor.TheSubcontractorshallappointasuitablyqualifiedrepresentative
throughwhomcontactcanbemade.TheSubcontractorshallobeyallreasonableandlawfulinstructions
oftheProjectManagerastothemannerinwhichtheWorkistobecarriedout.

3.12TheSubcontractorshallprovideallnecessarytools,testequipmentandpersonalcomputers
to enable the Work to be carried out. Where MNSL provides any free issue material the Subcontractor
shall be responsible for that material and shall maintain tracking reports to identify the usage of that
material.

4.DeliveryInstallationTimescales

4.1ItisagreedthattheSubcontractorshallworktoanyagreedmilestonedatesincludedinthe
OrderorScopeofWorksinaccordancewiththeprovisionsoftheseTermsandConditions.

4.2 Notwithstanding Clause 11.2 the Work shall be executed in accordance with the dates and
requirementsspecifiedandtheWorkshallnotbedeemedcompleteduntiltheWorkhasbeenacceptedby
MNSLinaccordancewithClause5.

4.3IntheeventthattheSubcontractordoesnotmeetthetime-scales,MNSLreservestheright
toterminateorsuspendtheOrderoranypartthereofandtodeductanyreasonableassociatedcostsfrom
the Order value. MNSL will waive this right if the Subcontractor has not met the time - scales due to
circumstancescoveredunderClause14.

5.Acceptance

5.1 MNSL the Subcontractor and the Customer shall agree acceptance test criteria to
demonstratetothesatisfactionofMNSLandtheCustomerthattheWorkmeetstheagreedspecification.

5.2AcceptancebyMNSLshallbedeemedtohaveoccurredwhentheWorkhasbeenaccepted
bytheCustomer,oruponachievingasignedAcceptanceCertificatefromMNSL.

6.ChargesAndPayment

6.1ThePricesfortheWorktobesuppliedinaccordancewiththisAgreementarestatedinthe
Order.

6.2ThePricesfortheWorkshallbeafixedchargedueforpaymentasspecifiedinSub-clause
6.6belowbutsubjecttotheprovisionsoftheChangeRequestProcedureassetoutinScheduleA.

6.3AdditionalWorkcarriedoutunderaChangeRequestshallnotbeinvoiceduntilacceptedby
theCustomer.MNSLmay,atitsdiscretion,acceptapro-formainvoiceforwhichpaymentwillbecome
dueunder6.5below.Allworkssubjecttoachangerequestmustbeinvoicedseparatelyandmusthavea
uniqueCRreferencenumberissuedbyMNSLprojectmanager

6.4AllPricesstatedhereinareexclusiveofValueAddedTax,whichwillbechargedattherate
rulingatthetaxpoint.

6.5AllinvoicestobevalidforpaymentshallclearlyreferenceanAcceptanceNumberasissued
byaMNSLProjectManager.AllinvoicesshallbedatedaftertheAcceptanceNumber.Invoiceswillnot
be processed until all site packs are returned completed and correct and Installation Documents returned
completedandcorrect.

7.Paymentterms:
7.1Invoices are processed bi-weekly. Any invoice received after the 15
th
and
30
th
ofthemonthwillbeincludedinthefollowingpayrun.Alltheinvoicesforthe
previous month should be sent by 15
th
of the following month, at which time the
ledgersareclosed.Ifaninvoiceisreceivedafterthedateofthepayrun,theywillbe
includedintheappropriatenextpayrun.

7.2 The invoice should not be raised until the full SOW is complete and all
documentation has been correctly supplied, uploaded and otherwise received by
Modular. The invoice date must not be prior to the actual completion (actual
completion means including all documentation) or it will be rejected. All rejected
requestsforpaymentwillbereturnedandwillneedtobere-raisedwithanewdate.

7.3InvoicesmustquotethePOorVRnumbertobevalid.

8.Title

Title to and all risk of loss of or damage to Goods shall pass to MNSL when delivered and accepted by
MNSLinaccordancewithClause5hereof.

8.aLiability

8.1TheSubcontractorshallindemnifyMNSLinrespectof:

(i) death or personal injury resulting from the negligence of the Subcontractor in the
performanceofthisAgreement,forwhichtheSubcontractordoesnotrestrictitsliability;and

(ii) physical damage to the property of MNSL or the Customer up to a maximum of


10,000,000foranyoneevent.

8.2 In the event that the Work is not in accordance with this Agreement as a result of any act
or omission on the part of the Subcontractor, MNSL may at its option require the Subcontractor, to
supply additional or substitute Goods and Services compatible with the Work, to ensure the due and
proper fulfilment of the Subcontractor's obligations under this Agreement. In such circumstances the
Subcontractorshallhavethespecificallyenforceableobligationtoactexpeditiouslyatnoadditionalcost
whatsoevertoMNSLandtheexpressions'theWork'shallbedeemedextendedand/ormodifiedtocover
suchadditionalorsubstituteservices.

8.3 If within a reasonable time the Subcontractor fails to supply such additional or substitute
services compatible with the Work or complying with the requirements of the Order in full, whether or
not such obligations shall have been the subject of specific enforcement proceedings by MNSL, then
in such circumstances the Subcontractor shall accept responsibility, without limitation, for all such
reasonably foreseeable damages, losses and expenses MNSL incurs which are directly attributable to
the Subcontractor's breach, such losses to include any damages paid to the Customer under the Prime
Contract.

8.4 Notwithstanding any other provision of this Agreement, in no event shall either party be
liabletotheotherforanylossofprofits,businessdata,contracts,revenuesoranticipatedsavings,orany
otherindirectorconsequentiallossofwhatevernature,howsoevercaused,whetheroccurringincontract,
tort,negligenceorotherwise.

8.5 The Subcontractor will, at its own expense, effect and maintain for the term of this
Agreementsuchinsurancesasarerequiredbyanyapplicablelawandinrespectoftheindemnityprovided
in this Clause 8. Such insurances will include third party liability insurance and professional indemnity
insurancewithanindemnitylimitineachcaseofnotlessthan10,000,000foreachandeveryclaim.The
SubcontractorwillprovideevidenceofsuchinsuranceuponwrittenrequestfromMNSL.

9.Warranty

9.1 The Subcontractor warrants that the Work shall at the date of acceptance and for 12
months thereafter be free from defects due to the faulty material, workmanship or design on the part
of the Subcontractor. In the event of faults being discovered or arising during the 12 months warranty
periodduetothefaultoftheSubcontractorthesewillbecorrectedexpeditiouslybyandatthecostofthe
Subcontractor.

9.2InrespectofanythirdpartysuppliedpartsormaterialstheSubcontractorshallpassonthe
benefitofthethirdpartywarrantiesandguaranteesstatedbythethirdparty.

10.HealthAndSafety

10.1The Subcontractor shall at his own cost be responsible for ensuring that the requirements
oftheHealthandSafetyatWorkAct1974andallRegulationsenabledbytheActthatarerelevanttothe
Workarecompliedwith.BeforeanyWorkcommences,theSubcontractorshallcarryouthealthandsafety
riskassessmentsfortheirWorkandshallputinplacesafesystemsofwork.

10.2TheSubcontractorshallcomplywiththefollowinglaws,regulationsanddocumentation;

(i)TheElectricityatWorkRegulations1989,

(ii)BS7671,

(iii)BT21CNCIRDocumentation,

(iv)The current version(s) of the Huawei Installation Documentation (copies available


uponrequest).

(v) NRSWARequirements

10.3MNSwill,atitssolediscretion,instructtheSubcontractortoimmediatelyremovefromsite
any person or persons representing the Subcontractor whom, in the opinion of MNSL or the Customer,
fail to comply with these requirements. The Subcontractor will be solely responsible for all costs and
delaystotheWorkassociatedwithreplacingthepersonorpersonsconcerned.

11.Termination

11.1MNSLmaywithoutprejudicetoanyotherrightorremedyhereunderatitsoptionsuspend
theWorkorterminatetheOrdersummarilybywrittennoticetotheSubcontractorintheeventthat:-

(i) The Subcontractor (being an individual) becomes bankrupt or insolvent or


compounds with its creditors or a receiving order is made against the Subcontractor or (being
a corporation) the Subcontractor commences to be wound up other than for the purpose of
reconstruction or amalgamation or carries on business under a receiver for the benefit of its
creditors or any of them or compounds with or enters into any scheme or arrangement with the
creditorsorsuchconditionsexistasaresubstantiallyequivalentineffecttoanyoftheforegoing;
or

(ii) The Subcontractor is in material breach of these Terms and Conditions and such
breach shall not have been remedied to the satisfaction of MNSL within a period of seven (7)
daysofwrittennotificationofsuchbreachbyMNSL.

11.2 MNSL may terminate the Order upon termination for whatever reason of the Prime
Contract.

(i) In the event of termination by MNSL as aforesaid, MNSL shall only be liable
to pay the Subcontractor for any satisfactory Work completed and passed to MNSL up to the
point of receipt of such notification, reasonable costs or cancellation charges incurred by the
Subcontractor and any reasonable losses incurred by the Subcontractor due to such cancellation
amountingtonomorethanthetotalOrderpricefortheWorkasstatedintheOrder.

(ii) Such payment shall be subject to the Subcontractor demonstrating that the
Subcontractorhasusedallreasonableendeavourstomitigateitslossesasaresultoftermination
oftheWorkbyMNSL.

12.Confidentiality

12.1 The parties shall use all reasonable endeavours to keep confidential all information
(written or oral) exchanged between them and designated as confidential or which may reasonably be
considered to be confidential, which may be obtained under or in connection with the Agreement and
shall not divulge the same to any third party without the prior written consent of the other party, not to
be unreasonably withheld. All information provided by MNSL to the Subcontractor pursuant to this
Agreementcontainsconfidentialinformation.

12.2TheprovisionsofClause12.1shallnotapplytoanyinformationinthepublicdomainother
than by breach of this Clause 12.1, information obtained from a third party who is free to divulge the
same, information already in the possession of the relevant party other than as a result of breach of this
clauseorconfidentialinformationrequiredtobedisclosedbylawortherulesofanyrelevantregulatory
authority.

12.3 Both parties may divulge confidential information to those employees, servants, agents,
sub-contractors and to their professional advisers who (and only to the extent that by reason of being
directly involved in the Agreement or by use of the Goods and Services) have reason to know such
information and shall take such reasonable steps to ensure that such employees, servants, agents or sub-
contractorsareawareofandcomplywiththeseobligationsastoconfidentiality.

12.4Theprovisionsofthisclauseshallnotexcludetheprovisionsofanyseparateconfidentiality
agreement that may be agreed between the parties hereto and the provisions of this Clause 12 shall
continueinperpetuity.

13.Publicity

NopublicityorannouncementregardingtheWorktobeundertakenunderthisAgreementshallbemade
bytheSubcontractorwithoutthepriorwrittenconsentofMNSL.

14.ForceMajeure

Neither party shall be liable for any breach of the Agreement caused directly or indirectly by anything
outside its reasonable control including, without limitation to the generality of the foregoing, war,
hostilities,governmentactionrequirementsorregulations,fire,floodoractofGod.Ifadefaultduetoan
eventofforcemajeureshallcontinueformorethan2monthsthenthepartynotindefaultshallbeentitled
toterminatetheAgreementbynotice.

15.Recruitment

During this Agreement and for a further twelve months following the termination of the Agreement (for
whatever reason) neither party shall employ or engage directly or indirectly, (without the other prior
writtenagreement)normakeorseektomakeanyofferofemploymentorengagementtoanystaffofthe
other party who have been involved in the course of the negotiation, conclusion and performance of the
Agreement.

16.Notices

Anynotice,consent,demandorthelikerequiredtobegivenundertheAgreementshallbeinwritingand
eitherdeliveredpersonally,transmittedbyfacsimileorsentbyfirstclassposttotheaddressoftheother
partyassetoutherein(oratsuchchangedaddressasshallbenotifiedtotheotherpartyforthatpurpose)
and every such notice consent or the like shall be deemed to have been properly delivered if served as
specified below. Proper delivery shall be deemed to occur in the case of personal delivery on the date
of delivery or in the case of posting on the next following working day after posting, or in the case of
facsimileonreceiptoftheappropriateconfirmationofsatisfactorytransmission.

17.Assignment

17.1TheSubcontractorshallnotassign,novateorotherwisetransfer,inpartorinwhole,any
benefitorliabilitywhatsoeverhereunderwithoutthepriorwrittenconsentofanauthorisedsignatoryof
MNSL.

17.2MNSLmayatanytimeassignortransfer(includingbywayofnovation)anyrightsand
obligationshereundertoanysubsidiaryundertakingorparentundertakingofMNSLoranysubsidiary
undertakingofthatparentundertakingfromtimetotime.

18.General

18.1 The failure by MNSL to exercise or delay in exercising a right of remedy under this
Agreementshallnotconstituteawaiverofanyotherrightorremedyandnosingleorpartialexerciseof
anyrightorremedyshallpreventthefurtherexerciseoftherightorremedy.

18.2Theinvalidityof,ortheinabilitytoenforceforanyreason,anyclause,sub-clauseofthese
conditionsoranypartthereof,shallnotprejudiceoraffectthevalidityorabilitytoenforcetheremainder.

19.Relationship

TheAgreementshallnotbeconstruedascreatingarelationshipofemployerandemployee,principaland
agentorapartnershiporjointventurebetweentheparties.

20.GoverningLawandJurisdiction

The construction, validity and performance of this Agreement shall be governed by English Law and
subjecttothenon-exclusivejurisdictionofthecourtsofEngland.
