(A) TERMS AND CONDITIONS

PRICE BASIS:
Ex Works at our Nasik factory

DETAILED DESIGN:
15 20 days after award of order

EXCISE DUTY:
Extra at the rates prevailing at the time of dispatch

EDUCATION CESS:
Extra at the rates prevailing at the time of dispatch

OCTROI
In your scope

VAT/CST:
Extra at the rates prevailing at the time of dispatch

DELIVERY:
As mutually agreed

FREIGHT AND INSURANCE:
In your scope.

PAYMENT TERMS:
20% advance, balance against proforma invoice before dispatch.

VALIDITY:
This offer is valid for a maximum period of 30 days from the date of the offer, after which we will
renegotiate as per existing commodity prices

WARRANTY :

Workmanship: 18 months from the date of supply or 12 months from the date of commissioning,
whichever is earlier, for our workmanship.
Electrical: All major material will be sourced from reputed manufacturers so their guarantees will
suffice.

FORCE MAJUERE:
This clause is applicable to the entire duration of this offer / contract.

1): In case of abnormal delay (more than 15 days) in dispatch of the materials after inspection,
due to reasons not attributable to VICTOR SPL, the bank interest charges shall be to customer
account.
2): Any deviation in the specification than mentioned in the enquiry shall have commercial
implication both in terms of supply, services and other incidental expenses.
CANCELLATION:
In the event of cancellation of the order for reasons not attributable to M/s VICTOR SPL, the
following clauses are applicable:

1) In case of receipt of cancellation information is during the 1st week from the date of receipt of
order, 25% of the order value will be payable to us.

2) In case of receipt of cancellation information is during 2nd week from the date of receipt of
order, 50% of the order value will be payable to us.

3) In case of receipt of cancellation information is during 3rd week from the date of receipt of
order, 75% of the order value will be payable to us.

4) In case of receipt of cancellation information is during 4th week or further there onwards,
100% of the order value will be payable to us.

PROJECT HOLD:
If, during the execution of the contract, the project if placed under HOLD for duration beyond 2
weeks, for reasons not attributable to VICTOR SPL, customer should pay the basic order value to
VICTOR SPL. Later upon release of HOLD, if there are any commercial implications arising due to
price increase from vendors, the same will be to customer account.

(B) Technical Clarification

o Bubble packing shall be provided.
o We have considered MCB of HAGER / Eq. Make.
o We have considered Contactors of L&T / Eq. Make.
o Control Panel shall be of suitable dimensions of 2 mm thick CRCA box with
40X40X5 mm stand.
o We have considered T2DDT7 type Astro Type Timer.
o As per telephonic discussion with you 16A multiple plug socket not in VSPL scope,
If require shall have price implications.
o Our scope shall be limited to items mentioned in enquiry. Any other items beyond
same shall have price implications.
o We have considered feeder pillar similar to FP-4 and FP-7 design.
