PROTEUS PROFESSIONAL LICENCE AGREEMENT

This End-User License Agreement ("EULA") is a legal agreement between you (either an individual or a
single entity) and Labcenter Electronics Ltd. The S!T"A#E(s) identi$ied above% which includes the
&ocumentation% any associated S!T"A#E com'onents% any media% any 'rinted materials% is re$erred to as
"So$tware". (y installing% co'ying% or otherwise using the So$tware% you agree to be bound by the terms o$
this EULA. )$ you do not agree to the terms o$ this EULA% do not install or use the So$tware.
1. SINGLE USER LICENCE
*ou have 'urchased a licence to use the +#TEUS so$tware on a single com'uter at any one time. *ou may
install the so$tware on a ma,imum o$ two machines% but you may only run one co'y at any one time.
)nstallation or use o$ this licence in a virtual environment re-uires e,'licit 'ermission $rom Labcenter
Electronics Ltd.
A se'arate licence agreement is 'rovided $or multi-user licences.
Labcenter reserves the right to remotely veri$y user status and com'liance with this licence agreement.
2. COPYRIGHT
All title and co'yright in all 'arts o$ the +ac.age shall remain the 'ro'erty o$ Labcenter Electronics Ltd and
its su''liers% or the original co'yright holders. The /t 0U) Tool.it is co'yright 1 2345 &igia +lc and6or its
subsidiary(-ies) and licensed under the L0+L version 2.4. /7son is co'yright 1 2343 !lavio 8astelli and
licensed under the L0+L 2.4 Some icons are co'yright 1 2343 The Ecli'se !oundation licensed under the
Ecli'se +ublic Licence version 4.3. Some e,ecutables are $rom binutils and are co'yright 1 2343 The 09U
+ro:ect% licensed under the 0+L 2.
3. LIMITED REMEDY AND DISCLAIMER
The licensed materials 'rovided hereunder are 'rovided ;as is< without warranty o$ any .ind% either e,'ress%
im'lied or statutory% including without limitation% any warranty with res'ect to non-in$ringement%
merchantability or $itness $or a 'articular 'ur'ose.
Labcenter=s sole liability and *our e,clusive remedy with res'ect to any $ailure o$ the So$tware to 'er$orm in
accordance with their s'eci$ications during the $irst (>3) days a$ter recei't by *ou will be limited to error
correction or re'lacement% or i$ neither is in Labcenter=s o'inion commercially $easible% termination o$ this
EULA and re$und o$ any license $ee received by Labcenter $rom *ou in res'ect o$ the relevant So$tware.
)n the event o$ $ailure o$ any o$ the So$tware to 'er$orm in accordance with their s'eci$ications a$ter said
ninety (>3) day 'eriod% Labcenter shall have no obligation to re'lace or re$und *our monies in connection
therewith. Labcenter does not warrant that the $unctions contained in any o$ the So$tware will meet *our
re-uirements% or that the o'eration o$ the Licensed ?aterials will be uninterru'ted or error $ree% or that
de$ects in the So$tware will be corrected. !urthermore% Labcenter does not warrant or ma.e any
re'resentations regarding *our use or the results o$ *our use o$ the So$tware in terms o$ correctness%
accuracy% reliability or otherwise.
4. LIMITATION OF LIABILITY
The entire liability o$ Labcenter in res'ect o$ any breach o$ its contractual obligations arising under this
EULA and any re'resentation% statement or tortious act or omission% including negligence or intentional
conduct arising under or in connection with this EULA (together an ;event o$ de$ault<) shall be limited to
damages in an amount e-ual to all $ees 'aid by you to Labcenter in the 'receding twelve (42) months $or the
a''licable So$tware.
9otwithstanding the $oregoing% Labcenter will not be liable to you with res'ect to any event o$ de$ault $or
loss o$ data% 'ro$its% goodwill or any ty'e o$ s'ecial% indirect% e,em'lary or conse-uential damages (including
loss or damage su$$ered by you as a result o$ any action brought by a third 'arty) even i$ such damage was
reasonably $oreseeable or Labcenter had been advised o$ the 'ossibility o$ your incurring the same% and
regardless o$ whether such event o$ de$ault is styled as being based u'on contract% tort% statutory or other law.
This limitation shall a''ly notwithstanding the $ailure o$ the essential 'ur'ose o$ any limited remedies
herein% to the e,tent 'ermitted by law. 9othing in this section will con$er any right or remedy u'on you to
which you would not otherwise be legally entitled. *ou ac.nowledge that e,ce't as set $orth herein% no
'romise% re'resentation% warranty or underta.ing has been made by Labcenter to you or to any 'erson on
your behal$ as to the 'ro$itability or any other conse-uences or bene$its to be obtained $rom use o$ the
So$tware. *ou have relied solely u'on your own s.ill and :udgment in ac-uiring the licensed materials.
5. VALIDATION
The +roteus 'ro$essional so$tware communicates 'eriodically with Labcenter servers to chec. and 'rovide
$eedbac. on u'dates and new releases o$ the so$tware. This data is also used to 'rovide access to internet
based services such as com'onent +&! downloads. The in$ormation transmitted includes the license .ey and
the version o$ the so$tware in use but does not contain any 'ersonal in$ormation or data. (y using the
so$tware% you consent to the transmission o$ this in$ormation.
)$ in the course o$ transmission it is determined that the so$tware is 'irated or otherwise not $ully licensed
then the $unctionality or e,'erience o$ using the so$tware may be a$$ected.
6. RESTRICTIONS
The so$tware is licensed% not sold. This agreement only gives you some rights to use the $eatures included in
the so$tware edition you licensed. Labcenter reserves all other rights. Unless a''licable law gives you more
rights des'ite this limitation% you may use the so$tware only as e,'ressly 'ermitted in this agreement. )n
doing so% you must com'ly with any technical limitations in the so$tware that only allow you to use it in
certain ways. *ou may not

7. WAIVER
The $ailure o$ a 'arty to e,ercise or en$orce any right under this Agreement shall not be deemed to be a
waiver o$ that right% nor o'erate to bar the e,ercise or en$orcement o$ it at any time or times therea$ter.
8. SEVERABILITY
)$ any 'art o$ this Agreement becomes invalid% illegal or unen$orceable% the 'arties shall negotiate in
good $aith in order to agree the terms o$ a mutually satis$actory 'rovision to be substituted $or the
invalid% illegal or unen$orceable 'rovision which as nearly as 'ossible validly gives e$$ect to their
intentions as e,'ressed in this Agreement. !ailure to agree on such a 'rovision within si, months o$
commencement o$ those negotiations shall result in automatic termination o$ this Agreement. The
obligations o$ the 'arties under any invalid% illegal or unen$orceable 'rovision o$ the agreement
shall be sus'ended during such a negotiation.
9. GOVERNING LAW AND JURISDICTION
This Agreement shall be governed by and construed in accordance with English law and each 'arty hereby
irrevocably submits to the :urisdiction o$ the English 8ourts.
