CONSTITUTION AND BY-LAWS


A M E N D M E N T

ARTICLE III MEMBERSHIP


Section 1. Membership; Sub section " a" to read as:

a. Membership in the organization shall be open to all qualified Architectural
professionals and practitioner, associates and allies

Section 2. General Qualifications; to add sub section " c" and to read as:

c. He must be a registered Architect.

Section 3. Types and Condition of Membership; to add sub section
" d" and to read as:

d. Architectural Practitioners An Architectural Practitioner is one who
acquired PRC Registration and who is actively practicing and promotes
the high values in good architecture; the one who simply complied with all
the membership requirements of the organization

Section 7. Duties and Responsibilities of Members; to add as sub-
section " d" and to read as:

A member shall have the following duties and responsibilities:
d. To share any talents and technologies for the betterment of the
organization and to maintain communications within all members and
officers.



ARTICLE V MEMBERSHIP DUES

Section 1. To read as:

The member's fee shall be 100 Saudi Riyals and to be paid in full or
partial within six months; membership shall be renewed annually
and the fee shall be 50 Saudi Riyals. The monthly dues shall be
paid at 5 Saudi Riyals.


ARTICLE VI EXECUTIVE OFFICERS



Section 1. To read as:

The executive officers of the organization shall be a President, an Executive Vice
President, an Internal Vice President, an External Vice-President, a Secretary, a
Treasurer, an Auditor, a Business Manager, Two Press Information Officers and
(2) two Peace and Order Officers.

The bonafide members shall elect them.

The President may appoint an assistant to any elected officers of necessary or
upon the request of the said officers.

To add section 4 and to read as:

Section 4. The executive officers shall be the implementing body of the
organization headed by the President.


ARTICLE VII FUNCTION and POWERS of OFFICERS

Section 1. Vice president; Sub-section " b" to read as:

The executive Vice president shall be responsible for assisting the President in
all executive undertakings. He shall exercise all powers and perform all duties of
the President during the absence or incapacity of the latter; He shall perform
duties that might assign to him by the President.

The Internal Vice President shall perform all duties pertaining to all related affairs
in the host country. He shall perform duties might assigned to him by the
President.

The external Vice President shall perform all duties related in the Philippines
affairs. He shall perform duties that might assign to him by the President.


ARTICLE IX BOARD OF DIRECTORS

Section 1. To add a third paragraph and to read as:

The Founding Board of Directors and Past Presidents shall automatically
maintain the permanent membership status in the Board of Directors.



To add Section 2 and to read as:
Section 2. The Board Directors shall be the policy making body of the
organization headed by the Chairman of the Board.
ARTICLE X COUNCIL of ELDERS



Section 1. Council of Elders The organization shall have a beneficial
counsel from elders who are willing to share their bright insights. The officers with
the consent of the members shall unanimously choose them.

Section 2. Qualifications The Elders to be chosen shall be a registered
member and practitioners for more than twenty (20) years and have made an
exemplary contribution in the field of Architecture whether in the Philippines or
abroad. They shall have demonstrated integrity, probity and posses special
leadership and management qualities. A member who passed the licensure for
Architecture shall automatically belong to the Council of Elders.

ARTICLE XI ORGANIZATION SEAL, LOGO and STATIONARY

Section 1. The Organization logo shall have representation of eight (8) founding
members, date of foundation, acronym and name of organization and depiction
of Filipino Flag or its colors.

Section 2. The organization stationary shall have the official logo, official
mailing address and official e-mail address, telephone and fax numbers of the
Organization.

Section 3. The Organizational Seal shall be a dry seal and a water ink seal, dry
seal shall be used for organizational attesting. Authentications and confirmation
of documents issued by the President, water seal shall be used for stamping
documents for general official purposes.
ARTICLE XII REGULAR and SPECIAL COMMITTEES

Section 1. There shall be created Regular and Special Committees to assist
officers in the discharge or performance of its duties and functions. The body
shall form the following committees:

a. Committee on Membership and Rules
b. Committee on Sports
c. Committee on Programs and Special Activities
d. Committee on Publications
e. Committee on Special Liaison
f. Committee on Election
g. Committee on Education
h. Committee on Ways and Means
i. Committee on "Community Services
j. Committee on "Board Examination
k. Committee on "Constitution and Amendments

Section 2. The Officers may create special or add hoc committee as may deem
necessary.





ARTICLE XIII MEETINGS

Section 1. Annual Meetings The Annual Meetings of the members shall be
held at a designated venue on the 2
nd
Friday of J anuary each year. The
President shall render his annual report to the members regarding the activities
of the organization.

Section 2. Regular/Monthly Meetings The Regular/Monthly meetings of the
members shall be held at a designated venue on the 2
nd
Friday of each month.

Section 3. Special Meetings The Special Meetings of the members shall be
called as the need thereof arises by the President or upon petition of 1/3 of the
general membership.

Section 4. Notices The notices of the time and place of annual and special
meetings shall be given personally, announced via phone call, text messages,
sent via e-mail or through another member at least one (1) week before the date
set for that meeting. The notice of every special meeting shall state briefly the
purposes of the meeting.

Section 5. Quorum A Quorum for any meeting of the members shall consist of
the 3/4 of the attending members and the majority of such quorum may decide
any question of the meeting.


Section 6. Order of Business The order of business at the annual meeting of
the members shall be as follows:

a. Proof of Service of the required notice of meeting.
b. Proof of the presence of the Quorum.
c. Reading and Approval of the minutes of the previous annual meeting.
d. Unfinished Business
e. Report of the President.
f. Other Matters.

Section 7. Executive Meetings- All Official Executive meetings shall also be
attended by at least a member of the Board of Directors, a member of council of
elders and at least one (1) of any Registered Professional Architects member's of
the association.

ARTICLE XIV FUND

Section 1. Funds The funds of the organization shall be derived from
membership fees, monthly dues and special assessments of the members, gifts
or donations.

Section 2. Disbursements Withdrawal from the funds of the organization,
whether by check or any other instrument shall be signed by the Treasurer, any
appointed officer and countersigned by the President.



Section 3. Fiscal Year The Fiscal year of the Organization shall be from
J anuary 1

to December 31

of each year.

ARTICLE XV AMENDMENTS

Section 1. Amendments This Constitution and By-Laws, or any provision
thereof, may be amended or repealed by a majority votes of the Executive
Officers and the Board of Directors at any Regular or Special Meetings duly held
for the purpose.

Section 2. These amended constitution and By Laws of the Masters Builders
Association of the Philippines (MBAP) KSA, shall take effect upon unanimously
approved by the Board of Directors and Executive officers and shall witnessed by
the majority of the general membership.


ARTICLE XVI EFFECTIVITY

Section 1. These Constitution and By-Laws shall take effect upon unanimous
approval by the majority of the founding members of the organization.

Adopted this 14
th
of March year 2003 in Riyadh, Kingdom of Saudi Arabia by the
affirmative votes of the undersigned-founding members of the Organization in a
meeting duly held for the purpose.
