AGREEMENT FOR CONSULTANCY SERVICES

Dear Sakshi,

Cairn Energy India Pty Ltd ("Cairn") wishes to enter into a Contract with you ("Consultant"), towards
Consultancy services. The service shall commence on __ February, 2013 and shall be for a period of up
to __ February, 2014 (Contract Period) on the following terms and conditions:

Consultant: Executive Assistant

Location: You will be based at Gurgaon. However, you may be required to serve in
any of Cairns' offices / field locations in India or abroad, as and when
required by the company.

Period of Service: The Services shall be for a period of 1 year, commencing __ February, 2013
up to __ February, 2014 after which it may be extended for periods as
determined by mutual agreement.

Professional Charges: You will be paid professional charges at the rate of INR. 6,00,000/- p.a.
(Rupees Six Lakh only) per annum, for the first contractual period. Fees
may be revised for second year based on the performance and
recommendation by the reporting Manager.

Taxes: The professional fee/charge as agreed is inclusive of all applicable taxes for
the time being in force including but not limited to, Income Tax, Personal
Tax, Service Tax, VAT etc. Further, The Company will deduct the
appropriate TDS as per Income Tax Act 1962 and will provide you the
necessary certificates. Service Tax is included in the professional charges
and all compliance related to this must be done by you.

Contract Reporting: You will be required to deliver services to Head - Projects or his successor-
in-office from time to time.

Termination: Termination of this Contract may be effected by you or the Company at
any time, by either party giving thirty days notice in writing or payment in
lieu thereof.

Confidentiality: Information provided to you by the Company is required to be properly
safeguarded and shall remain confidential between you and the Company
at all times, ever after this Agreement terminates. However,
confidentiality requirement ceases to apply to any information or
knowledge which comes into public domain otherwise than by breach of
this Agreement.

For the purpose of this clause the term Information means and includes
the property of the Company and its Related Bodies Corporate includes
and will include all trade and business secrets, operations, processes and
other confidential information and documents relating to the affairs or
business of the Company and its Related Bodies Corporate or any person
with whom the Contractor comes into contact as a result of this
Agreement, or which come into the Contractors possession in the course
and by reason of the Engagement, whether or not the same were originally
supplied by the Company or its Related Bodies Corporate;

The Consultant acknowledges that the Company and its related bodies
corporate have expended and will expend effort and money in establishing
and maintaining the Information.

Smoking Policy: The Company follows a smoke-free policy in all its offices and premises.
You will also be required to abide by the same.

Compliance to companys The consultant shall read, sign and comply with the companys Business
Business Ethics, HSE & Ethics, HSE & CSR policy which may undergo change from time to time,
CSR policy: while discharging his responsibilities.

Other:

You will abide by all the rules and regulations as laid out and notified from time to time.

It should be noted that notwithstanding anything to the contrary, this contract shall be treated as
having concluded at Gurgaon for all purposes. The validity of this contract is subject to you being
certified as medically fit by our Company Medical Officer.
