__________________, hereby certify and confirm the appointment of Emmronn Inc.
(The Representative), a corporation duly incorporated under the laws of the
Republic of the Philippines, with business address at 6/F RFM Corporate Center,
Sheridan corner Pioneer St. Mandaluyong City 1550 Metro Manila, Philippines, as its
representative for the territory of the Republic of the Philippines for the following
product(s):

The Representative shall market and sell the above-described products in the Philippines and
to assist the Supplier in terms of product developments, customers payment, as well as
verifying the validity of customers complaints, if any, and in reselling, salvaging or re-
exporting rejected or orders that fail to comply with the agreed specifications. The
Representative shall likewise ensure the continuance of the business relation with existing
Philippine customers of the Supplier.

The Supplier will provide the necessary support for all the marketing and sales activities of
the representative relating to the above-stated products, including support for valid customer
claims up to the maximum of replacing the shipment in entirety, if justified. In case any of
the orders of the said products are justifiably rejected by the Suppliers customers, all costs,
expenses, and/or charges relating to, and that may arise in, the handling, reselling and/or re-
shipping thereof, such as warehousing expenses, re-exporting charges, freight, insurance, and
import taxes and duties, shall be borne by the Supplier.
