obligations hereunder in the e!ent of ro!en sic*ness, accident, riot, stri*e,
eidemic, act of >od or any other legitimate condition or occurrence beyond
their resecti!e control$
-0$ Ta/es+ Presenter agrees to reare and #le all ta/ information re9uired of
a erson who hires an indeendent contractor and Artist(s) agree that they
ha!e sole resonsibility for the ayment of any federal or ro!incial ta/es
arising from the monies aid by Presenter to Artist(s) for the Performance$
--$ ?ndemnify for @oyright ?nfringement+ Artist(s) reresent and warrant
that they are *nowledgeable about the coyright laws of @anada as
alicable to the Performance, and that Artist(s) shall not erform any
coyrighted materials of others during Performance without full comliance
with such alicable coyright laws$ ?n the e!ent that Artist(s) breach this
reresentation, warranty and co!enant, Artist(s) hereby agree to ?A2'"A?BC
AA2 &672 &A("7')) Presenter and its emloyees, guests and agents from
and against all liability, loss, damages, claims, and e/enses (including
attorney<s fees) arising out of such breach$
-2$ ?ndeendent @ontractor+ Artist(s) ac*nowledge that they shall erform
their obligations hereunder as an indeendent contractor and not as an
emloyee of Presenter$ Artist(s) further ac*nowledge that they are not on
Presenter<s ayroll and.or ta/ withholding rolls$ Artist(s) shall ha!e sole
control and direction in the conduct of the Performance$
-0$ "erchandising+ Artist(s) shall not sell any goods, roducts, merchandise
or ser!ices (other than the ser!ices ro!ided herein) at the erformance
e/cet by e/ress written ermission of Presenter$
-1$ Promotion+ Presenter shall be entitled to ad!ertise and romote the
aearance of Artist(s) and the Performance$ Artist(s) ac*nowledge that
Presenter will rely on the terms hereof in all such romotions and ad!ertising
and in the brochures to be rinted setting forth the names, dates and times
of all erformances to be held$ Artist(s) hereby ac*nowledge and agree that
Presenter may use their names, hotograhs, li*eness, facsimile signature
and any other romotional materials in all of such romotions, ad!ertising or
other acti!ities used to increase attendance at erformance$
-3$ Par*ing+ Presenter shall ro!ide ar*ing sace for !ehicles in a location of
close ro/imity to and with direct access to the bac*stage area where
Performance will ta*e lace on the date(s) of Performance$ This ar*ing
sace will be reser!ed for Artist(s) for a eriod of four (1) hours rior to the
Performance and ending three (0) hours following the Performance$
-4$ )ecurity+ Presenter shall ro!ide security for the bac*stage and stage
areas before, during and after the Performance$ Presenter shall ro!ide
security ersonnel to rotect Artist(s) and their roerty as deemed
aroriate by Presenter in its discretion$
-5$ Passes+ Presenter shall ro!ide identi#cation asses to Artist(s) for the
bac*stage and stage where Performance is to be held$
-:$ )tage+ At its sole e/ense, Presenter shall furnish the stage, and stage
lighting, sound and ower for the Performance, and Presenter shall ro!ide
all stagehands re9uired to assist the setu for and conduct of the
Performance and ta*edown after the Performance$
-=$ 2ressing (ooms+ Presenter shall ro!ide Artist(s) with one ri!ate
dressing room, which will be clean, dry, wellDlit and airDconditioned$
20$ Authority to '/ecute+ The reresentati!e who is e/ecuting this
Agreement on behalf of Artist(s) hereby warrants and reresents that he has
the full ower and authority to bind Artist(s) on whose behalf he is e/ecuting
this Agreement and ac*nowledges that he is ma*ing this reresentation and
warranty with the understanding that Presenter is relying thereon$
