INSTRUCTIONS TO TENDERERS
IT.1

General
These Instructions to Tenderers issued by Qatar Foundation (QF) outline the
procedures to be followed for completing and submitting Tenders. Tenderer
shall comply with any public Tender advertisement or Invitation to Tender and
these Instructions to Tenderer while preparing its Tender submission. Failure to
provide all of the required materials and information, or failure to fully comply
with these instructions may result in the rejection of the Tender submission by
QF.
The following words and expressions shall have the meanings herein assigned
to them:

Validity of Tender
Tenders shall be valid for a period not less than one hundred twenty (120)
calendar days from the closing date for submission of the Tenders. QF intends
to notify all Tenderers of the result of their Tender submission during this
period. If Tenderer retracts or withdraws its Tender during the period of its
validity without receiving authorization from QF, QF may, at its sole discretion,
without the need for summons, notice or other legal formalities:
(i) Encash the provisional Bank Guarantee (Tender Bond), and
(ii) Exercise any other rights stipulated in the Tender Documents.
In the event that QF estimates that the contract price bid exceeds competitive
limits, it may request the bidder to reconsider the Commercial proposal with the
aim to lower the price, and such a request shall not be considered as a
rejection of its original bid, which shall remain valid and open for acceptance by
QF until the expiry of the validity period specified herein.

IT.3

Familiarization with Laws of Qatar


Before submitting a Tender, the Tenderer shall thoroughly familiarize itself with
all the laws, including but not limited to Qatar Labour laws, applicable to the
WORK to be performed, and the Qatar Ministry of Economy and Commerce
requirements regarding commercial registration of companies prior to
commencing any business activity in Qatar. By submitting a Tender, the
Tenderer is deemed to have made the necessary allowances in the Tender
Price for compliance with all laws, rules, regulations and procedures applicable
in the State of Qatar, or those applicable in any other country where any portion
of the WORK will be performed.

IT.4

Tender Documents and Acknowledgement

4.1

The documentation provided for the purpose of tendering (Tender Documents)


consists of:

Except for the documents listed below (if any), QF is issuing the Tender
Documents in electronic format (viz. Compact Disc Rom CD) only. Such
electronic Tender Document (e-TD) is an exact copy of the Original Tender
Document retained by QF as a hard copy. QF makes no representations as to
the data quality of the e-TD.

4.3

Tenderer shall complete the soft copy of the Schedule of Prices electronically,
and extract a hard copy of the duly completed Appendix B (Schedule of Prices).
Tenderer shall also extract a hard copy of the Form of Tender from the e-TD
and complete the Form of Tender on the hard copy. The duly completed hard
copies of the Form of Tender and Appendix B shall be returned along with duly
filled soft copy in Microsoft Excel latest version when submitting the Tender
submission in accordance with IT-15 below. The Schedule of Prices must be
printed on A4 or A3 size paper as appropriate, without any page setup
alterations. Tenderer shall sign and affix its company stamp to each hard copy
page.

4.4

Subject to Clause IT.9 (Tender Bulletins), Tenderer shall use the e-TD on an
as is basis, without making any alterations or amendments thereto
whatsoever. In the event of any discrepancies between the e-TD and the
original Tender Documents with QF, the original Tender Documents shall be
regarded as the final and governing documents in determining the correct
content of the Tender Documents. Any alternative proposals shall be submitted
as separate sheets and not included in Appendix B provided by QF as part of
the Tender Documents.

4.5

The Tenderer shall ensure that the Tender Documents received are complete
and Tenderer must return the Form of Acknowledgment within five (5) working
days of receipt thereof. The Form of Acknowledgment must be completed,
signed and delivered by hand or transmitted by fax to the address indicated in
the attached Form of Acknowledgement.

4.6

Upon written request by the Tenderer made at least ten (10) working days prior
to the Tender closing date, the original Tender Documents hard copy shall be
made available for the Tenderers perusal at the following office(s):
Contracts Department,
ASTAD Engineering Consultancy and Project Management,
Al Dana Tower, 3rd Floor, Room No. 306,
West Bay, Doha, Qatar.

4.7

The Tenderer should notify QF immediately if any discrepancy, omission or


ambiguities are discovered in the Tender Documents.

IT.5

Ethics and Secrecy

5.1

QP/QF is committed to the ethical conduct of business practice and expects its
employees and contractors to conduct themselves at all times in accordance
with the highest standards of ethics and integrity. Should there be any violation
of these principles by the Tenderer, QP/QF will immediately take the strongest
possible action available to it under any contract or applicable laws and
regulations. This action may include, without limitation, suspending and / or
disqualifying the Tenderer in the relevant tender and prohibiting the Tenderer
from participating in further tenders with QP/QF.

5.2

The Tenderer shall abide by the terms of the Letter of Undertaking appended
hereto which must be completed and signed by the Tenderer and delivered by
hand to the address indicated in the Letter of Undertaking within five (5)
working days of receipt of the Tender Documents.

5.3

The Tenderer shall also abide by the terms of the Secrecy Declaration
appended hereto which must be completed and signed by the Tenderer and
returned by hand to the address indicated in the Secrecy Declaration within five
(5) working days of receipt of the Tender Documents. In addition, where the
Tenderer is a foreign company with a local Qatari sponsor or agent that will not
perform work or services as a subcontractor for the Tenderer, the Tenderer
shall submit with the Form of Acknowledgement a Secrecy Declaration signed
by its local Qatari agent or sponsor.

IT.6

Site Visit and Mid-Tender Meeting

6.1

The Tenderer may be requested to attend a site visit and/or a mid-tender


meeting in order to become familiar with the physical and other conditions
pertaining to the WORK to be performed. QF shall notify the Tenderer of any
site visit and/or mid-tender meeting by issuance of a Tender Bulletin. It is
strongly recommended that the Tenderer attend any scheduled site visit and
mid-tender meeting.

6.2

The Security Pass Application Form to enable site visit is appended to the
Instructions to Tenderers. Tenderers are required to complete this Form and
return it together with a copy of the Passport and two (2) photographs of each
attendee, when so notified of the site visit details. The attendees nominated for
the site visit by Tenderer shall be in possession of a valid Qatar residence
permit or business/ employment visa. Persons holding any other category of
visa shall not be allowed to visit QF site/ installations. Tenderer shall provide its
representatives who attend the site visit with the necessary protective/ safety
clothing.

6.3

The Tenderer may designate limited number of representatives to attend the


mid tender-meeting and/or site visit on its behalf and at its own cost.
Attendance by representatives of Tenderer's Principal/Subcontractors/
Subconsultants shall be permitted only in those cases where the Tenderer has
informed QF in writing, prior to the site visit/mid-term meeting date, the names
of the companies whom it intends to nominate as its Principal/ Subcontractors/
Subconsultants.

IT.7

Queries

7.1

All queries must be raised by the Tenderer and NOT by local agents/sponsors.
Any queries relating to the Tender Documents or submitting a Tender must not
be raised by telephone or personal contact, but must be submitted in writing,
preferably by fax, to the following address:

7.2

Correspondence should be directed to the attention of CEO (with copies to


ADE & ADC).
Any response issued will be in the form of a question and answer and will be
distributed to all Tenderers without revealing the identity of the originator in the
form of Tender Bulletins. In order to prevent delays and ensure QF and
Tenderers easily establish the origin of the queries, the Tenderer is required to
specify the references of such queries in clear terms. Queries must be received
at the above address at least seven (7) calendar days prior to the Tender
closing date. Any queries received after such date will be ignored.

7.3

Any queries or correspondence during the Tendering process, including the


Tender evaluation period, must not be directed to any QF/QP employee by
name nor any other address or fax number other than that listed above. Any
violation of this instruction by the Tenderer may render the Tenderers
submission invalid.

IT.8

Fully Informed
The Tenderer should inspect the WORKSITE and surrounding locations and
must satisfy itself as to the nature of the WORK, the correctness and
sufficiency of the rates and prices submitted and general local conditions,
especially ground, climatic, sea, other water and weather conditions which
could affect the WORK.

IT.9

Tender Bulletins
Any addendums, clarifications or meeting minutes will be issued as Tender
Bulletins and sent to all Tenderers during the Tendering period. The Tenderer
shall acknowledge receipt of all Tender Bulletins on the Form of Tender and
shall allow for any costs in connection therewith in the Tender Price.

IT.10 Governing Language


The Tender Documents and all Tender submissions are to be made in the
English language.
IT.11 Tender Rates and Prices
The Tenderer shall fully extend prices and/or rates for all items required by the
Schedule of Prices. A Lump Sum set against a group of items is not
acceptable. Rates maybe expressed to a maximum of two decimal places, both
electronically and in hard copy. Total amounts must compute correctly on hard
copy and are to be quoted in Qatar Riyals, unless expressly required otherwise
in the Schedule of Prices and Rates.
IT.12 Form of Tender
The Tenderer shall complete the enclosed Form of Tender which must be
signed by a person duly authorized to sign on behalf of the Tenderer. A valid
Power of Attorney must be attached to the Form of Tender identifying the
authorized signatory. QF may reject any Tender that is not submitted on the
Form of Tender.
IT.13 Bank Guarantee
13.1 The Tenderer must submit a provisional Bank Guarantee, in the form of a
Tender Bond, with its Tender. The Tender Bond should be with reference to the
Master RFQ Number mentioned on the covering letter issued at the time of
Tender collection. The value of the provisional Bank Guarantee shall be Qatari
Riyals Ten Million (QR 10,000,000.00).
The Tenderer must include the original Tender Bond in original copy of
technical bid and include copies of the Tender Bond in other copies of the
Technical Bid.
13.2 The provisional Bank Guarantee (Tender Bond) must be issued by a Bank
operating in Qatar. Cash or cheques are not acceptable. A Bank Guarantee
issued in respect of another tender is not acceptable. Bonds issued by

insurance companies are not acceptable. The wording of the provisional Bank
Guarantee must be exactly in accordance with the format appended hereto.
13.3

The validity of the provisional Bank Guarantee must be for not less than one
hundred fifty (150) calendar days after the Tender closing date. In the event QP
request an extension of the Tender validity period, and the Tenderer agrees to
such extension, the Tenderer must revalidate its provisional Bank Guarantee
for the extended Tender validity plus thirty (30) calendar days.

13.4

Tenders not accompanied by the provisional Bank Guarantee that is exactly in


accordance with the format appended under Part 1(D) may be rejected without
the need to notify the Tenderer of the rejection.

13.5

In the event that the successful Tenderer is required to submit a Final Bank
Guarantee in the form of a Performance Bond as stipulated in the General
Conditions of Contract, the successful Tenderers provisional Bank Guarantee
shall remain valid until the Final Bank Guarantee is submitted and accepted by
QP. If the successful Tenderer fails to provide the Final Bank Guarantee within
the specified period, QP may immediately encash the full amount of the
provisional Bank Guarantee without the need for summons or notice or other
legal formalities. The Final Bank Guarantee (Performance Bond) shall indicate
the reference of the CONTRACT number. The CONTRACT number shall be
same as the Master RFQ number except that the T in RFQ No. is replaced by
C in the CONTRACT number.

IT.14 No Alterations to Tender Documents


14.1 Any erasures, alterations, additions or deletions made to the Tender
Documents and any Tender submission shall be deemed unauthorised unless
initialed by the person authorised to sign the Tender. Any Tender that is
incomplete or contains unauthorized alterations may be rejected by QF.
14.2 Any mistakes made in completing the Tender Documents and corrected before
the submission of the Tender shall be initialed by the person authorized to sign
the Tender.
IT.15 Submission of Tenders
15.1

The Tender and accompanying documents shall be bound securely together


and enclosed in a wax sealed envelope and shall be delivered to:

not later than 11:00 hours on the due date.

15.2

The envelope shall be clearly marked on the outside with the name of the
Tenderer, the Tender number and WORK description stated on the Form of
Tender and with the official Tender closing date and time.

15.3 Tenderer must complete and submit with its Tender submission the form
attached hereto as Part 1 (J) (Tender Submission Form). This form must be
submitted with the Tender as a separate document and not included in the
sealed envelopes with the Tender. The Tenderer must affix its initialed
company stamp to the Tender Submission Form. If Tenderer fails to comply
with the requirements set forth in this 15.3, the acknowledgement of receipt as
set forth below will not be issued by QF.
15.4 The completed Tender Submission Form will be signed by the QF recipient and
returned to the messenger who delivered the Tender. This will serve only as
acknowledgement of receipt of a package with the same title and number as
printed on the Tender Submission Form. In the event that the Tender is
submitted by registered mail, the acknowledgement of receipt as set forth
above will not be issued by QF/QP unless it is collected by the Tenderer from
the office of the Secretary of the QF/QP General Tenders Committee.
15.5

The Tender must be received before the above time and date, at the above
address either by registered mail or by messenger. The method of delivery is
the sole responsibility of the Tenderer.

15.6

Any Tender submitted after the time limit specified on the closing date may be
rejected.

15.7 The Tenderer must submit one (1) original and three (3) copies of its Tender.
The original shall be clearly marked ORIGINAL.
15.8 The Tenderer must affix its initialed company stamp to every hard copy page of
its original Tender submission which should include all parts of the Tender
Documents. Every page of the Tender Submission must be consecutively
numbered.
15.9 The Tenderer must submit its technical and commercial proposals in two
separate sealed packages and each package should be identifiable with clear
markings, either TECHNICAL or COMMERCIAL on the outer cover.
It is QFs intention to open and evaluate the technical proposal first. The
TECHNICAL package should not contain any commercial proposals, but
should only contain the following:

receipt of the Tender Documents pursuant to IT.5 herein above.

The COMMERCIAL package should contain the following:

The electronic media containing Schedule of Prices shall be placed in a
separate envelope and included in the sealed envelope of the
COMMERCIAL package.
Commercial details of any Alternative Proposal

15.10 The Tenderer shall tender in full compliance of all terms and conditions of the
General Conditions of Contract (GCOC) complete and submit all details, forms
and information as required by the CONTRACT Appendices. The accurate
completion of the schedules attached under the Contractor Resources and
Contract Execution Plan appendices is mandatory, and shall form the basis
for evaluation of the Tenderers technical competence and ability to carry out
the WORK, and may become a part of the CONTRACT. Failure to submit a
complete Tender compliant to all terms and conditions, including the GCOC, or
failure to comply fully with these instructions in any way may result in the
Tender being rejected by QP.
15.11 Tenderers Commercial proposal must include all costs associated with the
complete performance of the WORK. If the Tenderer is of the opinion that any
part of the Tender requirements are not clear in terms of
responsibilities/obligation/liabilities, the Tenderer must raise this as a query and
seek clarification from QP prior to submitting its Tender. No changes to the
Commercial proposal shall be entertained by QP during tender evaluation
stage, unless the tender requirements are changed by QP.

IT.16 Registration & Ownership Declaration


Both foreign and local companies have to be in possession of valid registration
certificates in order to do business in Qatar. The registration requirements differ
depending on whether the service to be performed is an engineering
consultancy services or otherwise. Tenderer shall ensure that it complies with
the relevant Qatari legal requirements before submitting its bid.
Local companies shall submit a certified and updated copy of their Qatar
registration certificate with their Technical proposal. Foreign Companies shall
submit proof of their application for registration within ten (10) days after
receiving the written notification of acceptance of their Tender proposal or
written notification of contract award by QF, and a copy of their registration
certificate within thirty (30) days after receiving the written notification of
acceptance of their Tender proposal or written notification of contract award by
QF. This does not apply to any foreign companies who will not perform any
work or services in Qatar.

Owners of local companies and agents of foreign companies are required to


provide copies of their ID cards with the Technical proposal.
Privately owned companies shall complete and submit along with their
Technical proposal the Declaration of Privately Owned Company Form
appended to the Instructions to Tenderers. A foreign company with a local
Qatari agent or sponsor shall also submit with its Tender the Declaration of
Privately Owned Company Form in respect of its sponsor or agent.
Both foreign and local Engineering Consultancies and individual engineers
intending to provide or providing engineering work/services in Qatar must be
registered in accordance with Law No. 19 of 2005. Local Engineering
Consultancies and individual engineers are required to submit a copy of their
registration with their Technical proposal. Foreign entities must submit proof of
their application for registration within ten (10) days after receiving notification
of acceptance of their Tender proposal or written notification of CONTRACT
award by QP, and a copy of their registration certificate within thirty (30) days
after receiving written notification of acceptance of their Tender proposal or
written notification of CONTRACT award by QP. This does not apply to foreign
Engineering Consultancies and individual engineers who will not perform any
work or services in Qatar.
IT.17 Alternative Offers
Pursuant to IT 15.10 each Tenderer must as a minimum submit a valid fully
compliant Tender in accordance with the terms and conditions of all the Tender
Documents.
If the Tenderer desires to propose the use of alternative procedures and/or
material to those stated in the Tender Documents, or if it has any reservations
on any of the contractual/ provisions and/or commercial terms and conditions, it
shall submit these as part of the TECHNICAL package in addition to its fully
compliant Tender in accordance with IT 15.10, by completing Annexure I
attached to Part 1(I) of this ITT (Tender Check List of ITT). Full details shall be
provided of all alternatives and reservations.
If no alternative procedures, material, and reservations are stated in the
TECHNICAL package, the Tender shall be considered as fully compliant.
However, if any alternative procedures, material, and reservations are stated in
the COMMERCIAL package, QF may consider the total Tender null and void.
Any commercial or time impact as a result of alternatives and reservations
stated in the Tenderer's TECHNICAL package shall be included in a separate
pricing schedule or table and attached to the COMMERCIAL package as per
Clause IT.15 - Submission of Tenders.
IT.18 Correction of Arithmetical or Other Errors
Should the tendered amount put in words differ from the amount put in figures,
or if there is an arithmetical error in the Tender, or if there is a variance or
discrepancy between the tendered amounts contained in the hard copy and the
soft copy of the Schedules of Prices submitted by the Tenderer as per IT.4, the

lesser amount shall be taken unless the difference is attributable to a


calculation error, whereupon the error may be corrected by QF and correct
amount shall be taken as the tendered price.
Any adjustment, correction, clarification or amendment made by QF to a
Tender shall be communicated to the Tenderer for his acknowledgment prior to
award of the CONTRACT.
IT.19 Acceptance or Rejection of Tenders and Incurred Costs
QF is under no obligation to award a CONTRACT or accept the lowest or any
Tender and will not assign any reason for the rejection of any Tender. QF will
not be responsible for any costs or expenses incurred by the Tenderer in
connection with its Tender, any site visit, attending meetings, obtaining
additional insurance, etc., or for the formation of the CONTRACT should the
Tenderer be successful. The Tenderer shall not have any recourse for any
redress if QF, for whatever reason, awards the CONTRACT to another
Tenderer or does not award any CONTRACT.
IT.20 Notification of Acceptance / Award of Contract
QF shall notify the successful Tenderer in writing of QFs acceptance of its
Tender and award of the CONTRACT. The acceptance of the Tender and
award of the CONTRACT will authorise the successful Tenderer to commence
the WORK under the CONTRACT subject to the following conditions precedent
on, or after the CONTRACT EFFECTIVE DATE:
a) Submittal and acceptance by QF of the Performance Bond in the form of a
Final Bank Guarantee as per CONTRACT; and
b) Submittal and acceptance by QF of necessary Insurance coverage, as
stipulated in the General Conditions of Contract and/or Appendix C; and
c) Submission of the documents, if any, required for finalizing the CONTRACT.
Upon such notification, the CONTRACT shall be deemed to be immediately
and unconditionally effective and the successful Tenderer will be obligated to
sign the CONTRACT Document and deliver to QF acceptable Performance
Bond and proof of Insurance Coverage in a timely manner.
If the successful Tenderer fails to submit documentation acceptable to QF as
per (a) and (b) above within the time period stipulated in the acceptance
notification issued by QF, QF may, at its sole discretion, without the need for
summons or notice or other legal formalities exercise any rights stipulated in
the Tender Documents.
Generally, the successful Tenderer will be instructed to sign the CONTRACT
after the submission of the abovementioned documentation.
IT.21 Failure to Sign the Contract
Following receipt and acceptance by QF of the submitted Performance Bond
and proof of Insurance coverage, QF shall prepare the Contract Document in
accordance with the Tender Documents, the successful Tenderers Tender and
subsequent agreed conditions (if any), and issue the same for signature.

If the successful Tenderer fails to sign the Contract on the specified date
without giving an acceptable justification, QF may, at its sole discretion, without
the need for summons or notice or other legal formalities:
(i)

Encash the Performance Bond;


Exercise any rights stipulated in the CONTRACT;
Notify the successful Tenderer that the CONTRACT is, ipso facto,
terminated.

IT.22 Submission of Grievances


The Tenderer shall have the right to submit a grievance to QFs Chairman of
the Board of Directors in respect to any action(s) taken by QF under Clauses
IT.2, IT.20 or IT.21. The grievance must be submitted in writing within fifteen
(15) calendar days of the action. The Chairmans decision in respect to the
grievance shall be final.
IT.23 Contract Award details
QF reserves the right to publish, in whatever manner it chooses, details of its
evaluation of the Tenders and award of Contract, including:
a) The identity of all Tenderers,
b) The identity of technically acceptable Tenders,
c) Result of the commercial evaluation of the technically acceptable Tenders,
including prices.
d) CONTRACT award details.
IT.24 Return of Tender Documents
The Tender Documents, including any drawings, specifications, etc., forwarded
to the Tenderer shall continue to be the sole property of QF. If a Tenderer
decides not to submit a Tender it shall return these documents to QF.

IT 25 Criteria for submission of Bids by Consortiums/Joint ventures


25.1 QF may in exceptional cases agree to the submission of Tenders by a
consortium or joint venture.
25.2 Where a Tender is submitted by a consortium or joint venture that is not a duly
registered separate legal entity, the following shall apply:
(a)

It shall be indicated in the Tender submission that the Tender is


submitted by a consortium or joint venture. The name of the leader of the
consortium or joint venture shall also be specified.

(b)

It shall be confirmed in the Tender submission that the parties to the


consortium or joint venture shall accept joint and several responsibilities
for discharging all obligations under the contract.

(c)

Where the Tender is submitted or signed by the leader of the consortium


or joint venture on behalf of the consortium or joint venture, the Tender
shall clearly define the respective roles and responsibilities of each
member. In this event the Tender shall also contain the ORIGINAL of a
duly signed Power of Attorney from each member authorizing the leader
to sign and/or submit the Tender on behalf of the consortium or joint
venture.

(d)

QF shall exchange communication during tendering with the leader of


the consortium or joint venture only. Correspondence exchanged by QF
with the leader shall be binding on the Consortium members.

(e)

In the event of award of contract to a consortium or joint venture, the


contract document shall be signed by all members of the consortium or
joint venture. However, for the remittance of payment, consortium or joint
venture partners signing the contract shall identify the leader of the
consortium or joint venture and the payment shall be made to him as per
record in QFs vendor registration details.

The Company further represents and warrants that prior, during or after the award of

subject of the tender:

treat QP and its officers, directors, employees and any other authorized
representatives, with fairness, dignity, and respect, free from
harassment and discrimination; and

B)

act in accordance with the highest standard of ethics and best practices
prevailing in the relevant profession or industry; and

C)

not improperly participate or influence any QP decision or action or


inaction; and

D)

not actively or passively attempt improperly to influence any QP decision


or action or inaction; and

E)

not improperly gain access to QPs confidential information; and

F)

not improperly further the Companys or Company personnels interests


or the interests of the Companys parent company, shareholders,
affiliates, sister companies, joint venturers or any other company or
entity in which the Company or Company personnel have any interest, to
the perceived or actual detriment of QP and its affiliates or inconsistent
with the purpose of the contract; and

G)

not make or offer, with respect to the matters which are the subject of
the tender, any compensation, commission, agency fee, introduction fee,
payment, gift, promise or advantage to any company or person where
such payment or advantage would violate applicable laws and
regulations; and

H)

not give, or receive from, any QP employee anything of more than


nominal value; and

I)

not offer, promise, give, pay, request or accept any bribe, gift or
inducement in the form of money or otherwise to / from any of QPs
officers, directors, employees and any other authorized representatives,
for the purpose of inducing him / her to act contrary to the known rules of
honesty and integrity, or influencing his / her behavior for improperly
obtaining or receiving favorable treatment; and

J)

immediately notify QP when they become aware of any violation of the


above.

The Company understands and agrees that any violation of any of the principles
mentioned above will be treated as a material breach of the duties assumed under this
letter of undertaking, and acknowledges that should the Company be found in
violation of the said principles, QP will immediately take the strongest possible action
available to it under any contract or applicable laws and regulations. This action may
include, without limitation, suspending and / or disqualifying the Company in the
relevant tender and prohibiting the Company from participating in further tenders with
QP.
The Company acknowledges and agrees that QP, acting directly or through its
authorized representative(s) or agent(s), shall have the right to conduct an audit with
respect to the matters which are the subject of this letter of undertaking. Should QP
elect to exercise this right, the Company shall at its own cost, do all things and give all
assistance and cooperation to QP as may be reasonably requested by QP in order for
QP to conduct the said audit. This includes, without limitation, (i) making available all
books, records, accounts, correspondence, instructions, receipts and memoranda of
the Company insofar as they are pertinent to the subject of this letter of undertaking
(and QP shall have the right to photocopy or otherwise reproduce, at its own cost, any
of these documents), and (ii) making the Companys officers and employees, and
existing or prospective subcontractors, available to meet with QP and / or QPs
authorised representative(s) or agent(s) to provide information and / or explanations
as may be requested. The Company shall also make all reasonable efforts to obtain a
similar undertaking from its existing or prospective subcontractors, for its and QPs

benefit. Notwithstanding QPs right to see all information described above, QP will not
carry out an audit of the make-up of the Companys bid.
If the Company refuses to comply with QPs request for an audit, QP, in its sole
discretion, may take appropriate action against the Company, which may include,
without limitation, suspending and / or disqualifying the Company in the relevant
tender and prohibiting the Company from participating in further tenders with QP.
Should the Company breach this letter of undertaking, QP may disclose any
information provided by the Company, whether provided in confidence or otherwise, to
any of the companies in which QP has a participating interest.
The Company hereby undertakes, warrants and represents that it will indemnify QP
against any and all damages, losses, costs, expenses, charges and other
disbursements associated with any breach of this letter of undertaking, including, for

TENDERER shall at no time without the prior written agreement of QF in
connection with the Construction of South Site Central Plant No 5 (CP5) for
Qatar Foundation - Education City (hereinafter referred to as WORK) which QF
may wish to entrust to TENDERER from time to time or in connection with the
preparation by TENDERER of a Tender (hereinafter referred to as Tender) in
response of the subject Invitation to Tender, for any purpose other than the
performance of the WORK or the preparation of the Tender:
(a) disclose to any third party the fact that the WORK may be or have been entrusted
to TENDERER and/or that TENDERER has been invited to submit a Tender;
(b) reproduce, copy or use, disclose to, place at the disposal of or use on behalf of
any third party or enable any third party to peruse copy or use any documents,
data or other information
i) placed at the disposal of the TENDERER by or on behalf of QF for carrying out
the WORK and/or the preparation of the Tender;
ii) which TENDERER may in any other way acquire from QF and which are
directly or indirectly related to the WORK and/or the preparation of the Tender;
iii) which TENDERER has prepared or will prepare in connection with the
preparation of the Tender, insofar as such documents, data and other
information contain any information placed at the disposal of TENDERER or
acquired by TENDERER as referred to in (i) and (ii) above.

In the event that the WORK is not be entrusted to TENDERER, TENDERER


shall immediately return to QF all documents and data referred to Item 1,
paragraphs (b) (i) and (ii).
The secrecy obligation as set forth in Item 1 above shall not apply:
(a) if and insofar as the fact and/or any of the documents, data and other information
referred to in Item 1 paragraphs (a) and (b) respectively are part of public
knowledge or literature at the date of their receipt by the TENDERER as from such
date;
(b) if and insofar as such fact and/or documents, data and other information become
part of public knowledge or literature to the date of their receipt by the TENDERER
as from such subsequent date;
(c) if and insofar as documents, data and other information similar to such
documents, data and information are already in the possession of the TENDERER
at the date of their receipt by the TENDERER as from such date;
(d) if and insofar as documents, data and other information similar to such
documents, data and information are subsequent to the date of their receipt by the

TENDERER disclosed to TENDERER by a third party whose possession is lawful


and is under no obligation not to disclose as from such subsequent date;
(e) if and insofar as documents, data and other information similar to such
documents, data and information are developed by the TENDERER independently
of the subject Invitation to Tender;
(f) to the use and disclosure of the fact and/or any of the documents, data and other
information referred to in Item 1 paragraphs (a) and (b) respectively made by
TENDERER more than five (5) years after the date when the subject Invitation to
Tender was purchased by TENDERER.

of this declaration any of the documents, data and other information (or the

FOR QATAR FOUNDATION - EDUCATION CITY
This CONTRACT is made by and between Qatar Foundation for Education, Science &
Community Development, having its principal office in Doha, Qatar, P.O. Box 5825 (hereinafter
called QF)
AND

established under the laws of _____________________________________ having its main
office at _____________________________________ (hereinafter called CONTRACTOR).
QF and CONTRACTOR agree as follows:
(1)

This CONTRACT, comprises this Form of Agreement, the attached General Conditions
of Contract and the Appendices thereto, and embodies the entire agreement between
the PARTIES.

(2)

In this Form of Agreement all capitalized words and expressions shall have the same
meanings as are assigned to them in this Form of Agreement or in the attached General
Conditions of Contract.

(3)

In consideration of CONTRACTOR performing the WORK in accordance with the


CONTRACT, QP shall pay CONTRACTOR a fixed lump sum CONTRACT PRICE, viz.

(4)

The CONTRACT shall be deemed to have come into force on ____________ 201__,
