inverterwithapowerdensityexceeding50Watts/inch3thatalsoexceedsperformancecriteriadetailed
below.Thedeviceswillbeevaluatedbyjudges,whowillchoosethewinningentryinaccordancewiththese
OfficialRules.Theprize(s)willbeawardedtoentrant(s)whosedeviceisevaluatedashavingthehighest
scoreinthejudgingcriteria.Seebelowforthecompletedetails.

1.BINDINGAGREEMENT:InordertoentertheContest,youmustagreetotheseOfficialRules(Rules).
Therefore,pleasereadtheseRulespriortoentrytoensureyouunderstandandagree.Youagreethat
submissionofanentryintheContestconstitutesagreementtotheseRules.Youmaynotsubmitanentry
totheContestandarenoteligibletoreceivetheprizesdescribedintheseRulesunlessyouagreetothese

contactlistedfortheTeam.ThepointofcontactwillberesponsibleforinteractingwithSponsors
andwillbeinchargeoforganizingtheirownTeam.Maximumamountofteammemberstoone
Teamisten(10).YourTeammayshareyourprizemoneyand/orgetinputfromasmanypeopleas

YoumusthaveapersondeliverthedeviceonbehalfofyourTeamaslongasyounotifySponsor
priortodeliverywhothispersonwillbe.Youareresponsibleforpayingyourowntriptodeliverthe
Device,organizinganytravellogistics,clearinganyvisarequirements,andclearingimportorhazard
issueswhentransportingtheDevice.TheDevicemaynotbedeliveredviaamailingservice(E.G.
FedEx,DHLetc).

YouwillalsoberesponsibleforpickinguptheDevicefromtheTestingSiteaftertheendofthe
testingperiodandannouncementofthewinner,projectedtobeinJanuaryorFebruaryof2016and
anyDevicesremainingattheTestingSitemorethanthirty(30)daysaftersuchperiodmaybe
disposedofandyouwillbeliableforanycostsincurredforsuchdisposal.


LIMITONE(1)ENTRYPERENTRANTORTEAM.NopersoncanbelistedonmorethanoneTeam.Ifany
personislistedonmultipleTeams,GooglereservestherighttodisqualifytheTeamorprovidean
opportunityfortheTeamtoremovetheperson.IfmorethanoneTeampromisestoshareitsprizemoney
withthesameindividual,boththeTeamsandtheindividualmaybedisqualified.Subsequententriesmay

6.DEVICEREQUIREMENTS.TheDevicemustmeetthefollowingcriteria:

(a)Itmustnotbederogatory,offensive,threatening,defamatory,disparaging,libelousorcontainany
contentthatisinappropriate,indecent,sexual,profane,indecent,tortuous,slanderous,discriminatoryin
anyway,orthatpromoteshatredorharmagainstanygrouporperson,orotherwisedoesnotcomplywith
thethemeandspiritoftheContest.
(b)Itmustnotcontaincontent,materialoranyelementthatisunlawful,orotherwiseinviolationofor
contrarytoallapplicablefederal,state,provincialorlocallawsandregulationsthelawsorregulationsinany
statewhereDeviceiscreated.
(c)Itmustnotcontainanycontent,materialorelementthatdisplaysanythirdpartyadvertising,
slogan,logo,trademarkorotherwiseindicatesasponsorshiporendorsementbyathirdparty,commercial
entityorthatisnotwithinthespiritoftheContest,asdeterminedbySponsor,initssolediscretion.
(d)Itmustbeanoriginalworkthatdoesnotcontain,incorporateorotherwiseuseanycontent,material
orelementownedbyathirdparty,exceptinthecasewhereEntranthasreceivedpermissionfromthethird

DuringtheContestPeriod,theSponsor,itsagentsand/orthejudges(definedbelow)willbeevaluatingeach
DevicetoensurethatitmeetstheDeviceRequirements.TheSponsorreservestheright,initssole
discretion,todisqualifyanyEntrantwhosubmitsaDevicethatdoesnotmeettheDeviceRequirements.

TheevaluationoftheDeviceswilloccurintwoseparatestages.

Thefirstevaluationstageisthroughthereviewofatechnicalapproachandtestingapplicationsubmission.
Entrantsmustsubmitatechnicalapproachandtestingapplicationelectronicallyinpdfform,following
instructionssenttoeachTeamsregistrationemail,onorbeforeJuly22,2015.

Thetechnicalapproachdocumentmustsummarize,atahighlevel,theapproachtakenbytheTeamtobuild
ahighpowerdensityinvertermeetingalltheDeviceRequirements.Entrantsarepermittedtowithhold
confidentialinformationwhichtheyregardastradesecrets,butmustprovideenoughcontextforthose
readingtheirsubmissiontounderstandwhatbreakthroughsbeyondconventionalinverterdesignhave
allowedthesehighpowerdensities.Failuretoprovidesufficientexplanationoftheapproachwillresultin
disqualification,regardlessofDeviceperformance.Asdescribedelsewhere,theSponsorreservestheright
tomakesome,all,ornoneofthetechnicalapproachdocumentspublicattheendofthecompetition.

Thetestingapplicationmustalsobesubmittedatthesametimeasthetechnicalapproachdocument.The
testingapplicationcontainsinformationdemonstratingtheexistence,viabilityandperformanceofthe
Device.Requirementsincludeperformancespecifications,asmeasuredandselfreportedbytheEntrant,
includingperformancedatasubmittedintheformofhightimeresolutionvoltageandcurrentwaveformsand
longerdurationlowertimeresolutionaveragevoltageandcurrentmeasurements.PhotosoftheDeviceare
alsorequired(seeContestSiteandDetailedTestingApplicationRequirementsformoredetails).

Ofthetechnicalapproachandtestingapplicationsubmissionsthataredeemedtohavemetallthe
submissionrequirements,upto18oftheapplicationsthataredeemedtohavedisplayedcomplianceonall
theperformancecriteriaandhavethehigheststatedpowerdensities(i.e.smallestenclosurevolumes)will
beselectedtoproceedtothefinaltestingphase.

MoredetailsontherequirementsfortheTechnicalApproachandTestingApplicationdocumentscanbe
foundinexternaldocuments(suchastheDetailedInverterSpecifications,TestingProcedureandTechnical
Approach/TestingApplicationsubmissionguidelines)locatedonContestSite.

ThesecondevaluationstagewilloccurattheTestingFacilitybeginningonoraroundOctober21,2015.

EachDevicewillbetestedusingtheprocedureoutlinedinexternaldocuments(suchastheDetailedInverter
Specifications,TestingProcedureandTechnicalApproach/TestingApplicationsubmissionguidelines)
locatedonContestSite.EachDevicewillbetestedforapproximately100hourstogatherdataonthe
performancecharacteristicsrelevanttothecompetition.TheSponsorretainstherightatitssolediscretion
tochangethetestingprocedureduetounforeseenormitigatingcircumstances.Thetestingresultswillbe
madeavailabletotheJudgeswhowillusethistodeterminethewinner.

7.JUDGING:EachentrywillbejudgedbyapanelofexpertswhoareemployeesofSponsorand/or
appointedbyGoogleandtheIEEEPowerElectronicsSociety(Judges).Thispanelwillmakeasetof
nonbindingrecommendationstoGooglewhowillthen,atitssolediscretion,determinethewinner,ifany,of
theprize.BeginningwiththeTechnicalApproachandTestingApplicationsubmissiondeadlineonJuly22,
2015,TechnicalApproachandTestingApplicationsubmissiondocumentswillbeevaluatedforaperiodof
approximatelyeight(8)weeks.Uptoeighteen(18)finalistswillthenbeannouncedonoraroundSeptember
16,2015andinvitedtothetestingfacilityintheUnitedStatesforfinaltesting.

OnoraboutOctober21,2015,eachDevicewillbetestedatthetestingfacilityandsubsequentlyevaluated
bytheJudges.Thetestingperiodwilllastforapproximatelytentofifteen(1015)weeksdependingonthe
numberoffinalistinverterentriesreceived.JudgeswillevaluatetheDevicesbasedonhowwelltheDevice
meetstheDeviceRequirements,includinghowwellitisableto:

Entrantwillbedeclaredthewinner.IfmorethanoneDevicemeetstheRequirements,thewinnershallbe
theDevicethatcanfitintothesmallestrectangularenclosureandthushasthehighestpowerdensity.In
theeventthatthevolumeoftwoormoreEntrantsisdeemedidenticalthewinnerwillthenbebasedonthe
DevicewiththehigherDCACefficiency.

OnoraroundJanuary2016,thepotentialwinner(s)willbeselectedandnotifiedbytelephoneand/oremail,
atSponsorsdiscretion.Ifapotentialwinnerdoesnotrespondtothenotificationattemptwithin5daysfrom
thefirstnotificationattempt,thensuchpotentialwinnerwillbedisqualifiedandanalternatepotentialwinner
(ifany)willbeselectedfromamongalleligibleentriesreceivedbasedonthejudgingcriteriadescribed
herein.Withrespecttonotificationbytelephone,suchnotificationwillbedeemedgivenwhenthepotential
winnerengagesinaliveconversationwithSponsororwhenamessageisleftonthepotentialwinners
voicemailserviceoransweringmachinebytheSponsor,whicheveroccursfirst.Exceptwhereprohibitedby
law,eachpotentialwinnermayberequiredtosignandreturnaDeclarationofEligibilityandLiabilityand
PublicityReleaseandprovideanyadditionalinformationthatmayberequiredbySponsor.Ifrequired,
potentialwinnersmustreturnallsuchrequireddocumentswithin5daysfollowingattemptednotificationor
suchpotentialwinnerwillbedeemedtohaveforfeitedtheprizeandanotherpotentialwinnerwillbeselected

BoththeJudgesandGooglemay,attheirsolediscretion,recommendand/orchoosetoawardtheprizeto

IntheeventthatnoDevicesarereceived,noprizewillbeawarded.DeterminationsbyGoogle,takinginto
accountthenonbindingrecommendationsofthejudges,arefinalandbinding.Googlereservestherightto
cancelthisContestatanytimeandreservestherighttonotawardanyprizeiftheContestiscancelled.

8.PRIZES:One(1)Teamwillbechosenandawardedonemillion($1M)dollars.Theprizemoneywillbe
giveninitsentiretytothepointofcontactlistedforthewinningteam.Thatpointofcontactisresponsiblefor
dividingtheprizemoneyamongstotherTeammembers.
OddsofwinninganyprizedependsonthenumberofeligibleentriesreceivedduringtheContestPeriodand
theskilloftheEntrants.Theprizewillbeawardedwithinapproximately8weeksofreceiptbySponsorof

finalprizeacceptancedocuments.Notransfer,substitutionorcashequivalentforprizeisallowed,except
atSponsorssolediscretion.Sponsorreservestherighttosubstituteaprize,inwholeorinpart,ofequalor
greatermonetaryvalueifaprizecannotbeawarded,inwholeorinpart,asdescribedforanyreason.Value
issubjecttomarketconditions,whichcanfluctuateandanydifferencebetweenactualmarketvalueand
ARVwillnotbeawarded.Theprizemaybesubjecttorestrictionsand/orlicensesandmayrequire
additionalhardware,software,service,ormaintenancetouse.Thewinnershallbearallresponsibilityforuse
oftheprizeincompliancewithanyconditionsimposedbysuchmanufacturer(s),andanyadditionalcosts

GOOGLEISREQUIREDBYLAWTOWITHHOLD.ALLTAXESIMPOSEDONPRIZESARETHESOLE
RESPONSIBILITYOFTHEWINNERS.Inordertoreceiveaprize,potentialwinnersmustsubmitthetax
documentationrequestedbyGoogleorotherwiserequiredbyapplicablelaw,toGoogleortherelevanttax
authority,allasdeterminedbyapplicablelaw,including,whererelevant,thelawofthepotentialwinners
countryofresidence.Thepotentialwinnerisresponsibleforensuringthat(s)hecomplieswithallthe
applicabletaxlawsandfilingrequirements.Ifapotentialwinnerfailstoprovidesuchdocumentationor
complywithsuchlaws,theprizemaybeforfeitedandGooglemay,initssolediscretion,selectan
alternativepotentialwinner.
11.GENERALCONDITIONS:Allfederal,state,provincialandlocallawsandregulationsapply.Google
reservestherighttodisqualifyanyEntrantfromtheContestif,inGooglessolediscretion,itreasonably

SponsorstestingoftheDevicesforpurposesoftheContestshouldnotbeconsideredanywarrantor

12.INTELLECTUALPROPERTYRIGHTS:AsbetweenGoogleandtheEntrant,theEntrantretains
ownershipofallintellectualandindustrialpropertyrights(includingmoralrights)inandtotheDevice.Asa
conditionofentry,EntrantgrantsGoogle,itssubsidiaries,agentsandpartnercompanies,aperpetual,
irrevocable,worldwide,royaltyfree,andnonexclusivelicensetouse,reproduce,adapt,modify,publish,
distribute,publiclyperform,createaderivativeworkfrom,andpubliclydisplaytheDevice(1)forthe

purposesofallowingGoogleandtheJudgestoevaluateandtesttheDeviceforpurposesoftheContest,and
(2)inconnectionwithadvertisingandpromotionviacommunicationtothepublicorothergroups,including,
butnotlimitedto,therighttomakescreenshots,animationsanddeviceclipsavailableforpromotional
purposes.AsstatedelsewhereintheseRules,theSponsorreservestherighttomakepublicanytechnical
approachdocumentsubmittedtothecompetition.
13.PRIVACY:EntrantacknowledgesandagreesthatGooglemaycollect,store,shareandotherwiseuse
personallyidentifiableinformationprovidedduringtheregistrationprocessandtheContest,including,butnot
limitedto,name,mailingaddress,phonenumber,andemailaddress.Googlewillusethisinformationin
accordancewithitsPrivacyPolicy(http://www.google.com/policies/privacy/),includingforadministeringthe
ContestandverifyingEntrantsidentity,postaladdressandtelephonenumberintheeventanentryqualifies
foraprize.
EntrantsinformationmayalsobetransferredtocountriesoutsidethecountryofEntrant'sresidence,
includingtheUnitedStates.Suchothercountriesmaynothaveprivacylawsandregulationssimilarto
thoseofthecountryofEntrant'sresidence.
IfanEntrantdoesnotprovidethemandatorydatarequiredatregistration,Googlereservestherightto
disqualifytheentry.

14.PUBLICITY.Byacceptingaprize,EntrantagreestoSponsoranditsagenciesuseofhisorhername
and/orlikenessandDeviceforadvertisingandpromotionalpurposeswithoutadditionalcompensation,
unlessprohibitedbylaw.GooglemaychoosetomakepublicsomeoralloftheTeamshighleveltechnical
approachdocuments.
15.WARRANTYANDINDEMNITY:EntrantswarrantthattheirDevicesaretheirownoriginalworkand,as
such,theyarethesoleandexclusiveownerandrightsholderofthesubmitteddeviceandthattheyhavethe
righttosubmittheDeviceintheContestandgrantallrequiredlicenses,exceptiftheDeviceincludesthird

intheirDevice.EachEntrantagreesnottosubmitanyDevicethat(1)infringesanythirdpartyproprietary
rights,intellectualpropertyrights,industrialpropertyrights,personalormoralrightsoranyotherrights,
includingwithoutlimitation,copyright,trademark,patent,tradesecret,privacy,publicityorconfidentiality
obligations,exceptinthecasestatedabovewhereEntranthasobtainedpermissionfromathirdpartyto
includesuchrightsor(2)otherwiseviolatestheapplicablestate,federal,provincialorlocallaw.
Tothemaximumextentpermittedbylaw,eachEntrantindemnifiesandagreestokeepindemnifiedContest
Entitiesatalltimesfromandagainstanyliability,claims,demands,losses,damages,costsandexpenses

resultingfromanyact,defaultoromissionoftheEntrantand/orabreachofanywarrantysetforthherein.To
themaximumextentpermittedbylaw,eachEntrantagreestodefend,indemnifyandholdharmlessthe
ContestEntitiesfromandagainstanyandallclaims,actions,suitsorproceedings,aswellasanyandall
losses,liabilities,damages,costsandexpenses(includingreasonableattorneysfees)arisingoutofor
accruingfrom(a)anyDeviceorothermaterialuploadedorotherwiseprovidedbytheEntrantthatinfringes
anycopyright,trademark,tradesecret,tradedress,patentorotherintellectualpropertyrightofanyperson
ordefamesanypersonorviolatestheirrightsofpublicityorprivacy,(b)anymisrepresentationmadebythe
EntrantinconnectionwiththeContest(c)anynoncompliancebytheEntrantwiththeseRules(d)claims
broughtbypersonsorentitiesotherthanthepartiestotheseRulesarisingfromorrelatedtotheEntrants
involvementwiththeContest(e)acceptance,possession,misuseoruseofanyprizeorparticipationinany
ContestrelatedactivityorparticipationinthisContest(f)anymalfunctionorotherproblemwiththeDevice
ortheContestSite(g)anyerrorinthecollection,processing,orretentionofentryinformationor(h)any
typographicalorothererrorintheprinting,offeringorannouncementofanyprizeorwinners.

16.ELIMINATION:AnyfalseinformationprovidedwithinthecontextoftheContestbyanyEntrant
concerningidentity,mailingaddress,telephonenumber,emailaddress,ownershipofrightor
noncompliancewiththeseRulesorthelikemayresultintheimmediateeliminationoftheEntrantfromthe
Contest.
17.INTERNET:ContestEntitiesarenotresponsibleforanymalfunctionoftheentireContestSiteorany
late,lost,damaged,misdirected,incomplete,illegible,undeliverable,ordestroyedDevicesduetosystem
errors,failed,incompleteorgarbledcomputerorothertelecommunicationtransmissionmalfunctions,
hardwareorsoftwarefailuresofanykind,lostorunavailablenetworkconnections,typographicalor
system/humanerrorsandfailures,technicalmalfunction(s)ofanytelephonenetworkorlines,cable
connections,satellitetransmissions,serversorproviders,orcomputerequipment,trafficcongestiononthe
InternetorattheContestSite,oranycombinationthereof,includingothertelecommunication,cable,digital
orsatellitemalfunctionswhichmaylimitanEntrantsabilitytoparticipate.

18.RIGHTTOCANCEL,MODIFYORDISQUALIFY.IfforanyreasontheContestisnotcapableof
runningasplanned,includingbutnotlimitedtoinfectionbycomputervirus,bugs,tampering,unauthorized
intervention,fraud,technicalfailures,oranyothercauseswhichcorruptoraffecttheadministration,
security,fairness,integrity,orproperconductoftheContest,Googlereservestherightatitssolediscretion
tocancel,terminate,modifyorsuspendtheContest.Googlefurtherreservestherighttodisqualifyany
EntrantwhotamperswiththesubmissionprocessoranyotherpartoftheContestorContestSite.Any
attemptbyanEntranttodeliberatelydamageanywebsite,includingtheContestSite,orunderminethe
legitimateoperationoftheContestisaviolationofcriminalandcivillawsandshouldsuchanattemptbe
made,GooglereservestherighttoseekdamagesfromanysuchEntranttothefullestextentofthe
applicablelaw.

19.NOTANOFFERORCONTRACTOFEMPLOYMENT:Undernocircumstancesshallthesubmissionof
aDeviceintotheContest,theawardingofaprize,oranythingintheseRulesbeconstruedasanofferor
contractofemploymentwitheitherGoogle,ortheContestEntities.Youacknowledgethatyouhave
submittedyourDevicevoluntarilyandnotinconfidenceorintrust.Youacknowledgethatnoconfidential,
fiduciary,agencyorotherrelationshiporimpliedinfactcontractnowexistsbetweenyouandGoogleorthe
ContestEntitiesandthatnosuchrelationshipisestablishedbyyoursubmissionofaDeviceunderthese
Rules.
20.FORUMANDRECOURSETOJUDICIALPROCEDURES:TheseRulesshallbegovernedby,subjectto,
andconstruedinaccordancewiththelawsoftheStateofCalifornia,UnitedStatesofAmerica,excludingall
conflictoflawrules.Ifanyprovision(s)oftheseRulesareheldtobeinvalidorunenforceable,allremaining
provisionshereofwillremaininfullforceandeffect.Totheextentpermittedbylaw,therightstolitigate,
seekinjunctiverelieformakeanyotherrecoursetojudicialoranyotherprocedureincaseofdisputesor
claimsresultingfromorinconnectionwiththisContestareherebyexcluded,andallEntrantsexpressly
waiveanyandallsuchrights.
21.ARBITRATION:ByenteringtheContest,youagreethatexclusivejurisdictionforanydispute,claim,or
demandrelatedinanywaytotheContestwillbedecidedbybindingarbitration.Alldisputesbetweenyou
andGoogleofwhatsoeverkindornaturearisingoutoftheseRules,shallbesubmittedtoJudicialArbitration
andMediationServices,Inc.(JAMS)forbindingarbitrationunderitsrulesthenineffectintheSanJose,
California,USAarea,beforeonearbitratortobemutuallyagreeduponbybothparties.Thepartiesagreeto
shareequallyinthearbitrationcostsincurred.
22.WINNERSLIST:Thewinnerlistwillbepostedontheprizewebsitelittleboxchallenge.comforaperiod
ofatleast6monthsaftertheprizeisawarded,onoraroundJanuary2016.
