Response to Request for Proposal for


Professional State Lobbying Services to be Provided to the
Port Authority of the City of Saint Paul
1. Briefly describe your organization, its history and ownership
Fryberger, Buchanan, Smith & Frederick, P.A.
Fryberger, Buchanan, Smith & Frederick, P.A. has three offices: St. Paul,
Minnesota, Duluth, Minnesota and Superior, Wisconsin. In these three
locations, we have a total of 25 attorneys, 9 paralegals and 23 support staff.
Formed in 1893, Fryberger, Buchanan, Smith & Frederick P.A. is one of the
states longest established firms. The Fryberger firm is organized as a
Professional Association of 13 shareholders.

2. Describe the fundamental qualifications for providing lobbying services
In an effort to provide the best legislation representation to the St. Paul Port
Authority, Fryberger has teamed up with Quinn & Co Government Relations
and Public Affairs. While Quinn & Co is a new company, its founder Quinn
Cheney has more than 18 years of high level government relations
experience.
Fryberger and Quinn & Co provide comprehensive bipartisan legislative
representation services to our clients. Between our two firms, we have
appeared before virtually every Committee of the Minnesota House and
Senate. The matters on which we have worked cover a broad spectrum, from
straight-forward appropriations or bonding requests to more complex and
esoteric legal amendments, as well as to controversial policy initiatives.
Joining together, Fryberger and Quinn & Co have many characteristics that
uniquely qualify us to meet the Port Authoritys lobbying needs.
3. Describe your experience in lobbying for Port Authorities and/or public sector economic
development agencies.
For the past 15 years, the Fryberger firm has provided lobbying services to
the Minnesota Ports Association.
Our representation of the Ports has
involved securing state general obligation bond proceeds and securing
resolutions of support for Port bonding requests from various interested
organizations including commodity and transportation groups.
Our firm has also secured bond allocations for the State Housing and
Redevelopment Authorities for public housing rehabilitation and for
wastewater infrastructure projects developed by the City of Duluth and the
Western Lake Superior Sanitary District. In our representation on behalf of
the City of Duluth, we have also secured bond allocations for the new arena
at the Duluth Entertainment Convention Center. Finally, for more than a
decade, we have represented the Lewis and Clark Rural Water System in
southwestern Minnesota. We were successful in securing state matching
funds for this local state federal project financing partnership which
extends water service to 13 public entities including 4 in Minnesota, 2
municipalities and 2 rural water systems.
In addition to our work before the Capitol Investment Committee, we have
also represented public entities before the Tax Committees and Jobs
Committees. We have worked on behalf of clients on tax increment financing
and tax credit authority.

4. Describe the benefits to the Port Authority of having your firm provide lobbying services.
Between Fryberger and Quinn & Co, we have long experience at the Capitol,
allowing us to establish sound working relationships with key legislators of
both political parties.
We have established a positive rapport with
Administration officials including both the Governors staff and officials at
various state agencies with whom we interact on a regular basis.
Our representation of the Saint Paul Port Authority will bring us before the
House and Senate Capital Investment Committees, the House and Senate
Tax Committees and the House and Senate Jobs Committees. Through work
representing the Minnesota Ports Association and other clients, we have
developed close working relationships with Senator David Senjem and
Representative Larry Howes, the Chairs of the Senate and House Capital
Investment Committees; and with Senator Geoff Michel and Representative
Bob Gunther, Chairs of the Senate and House Jobs & Economic Development
Committees. As recently as the 2011 Session, we worked successfully to
secure enactment of new state loan guarantee authority for subordinate debt
loans made by community-based loan funds. Their guarantee provision was
one of very few new economic development initiatives enacted in 2011 as
part of the Omnibus Jobs and Housing Bill.
The Tax Committee may also be a focus of our legislative work on behalf of
the Saint Paul Port Authority. We enjoy a close working relationship with
Representative Greg Davids. We have also worked successfully with Senator
Julianne Ortman the Senate Chair.
In addition our contacts with committee chairs, we also bring particularly
strong ties to House and Senate freshmen. Because of high numbers of new
members elected in 2010, these legislators represent an oft-ignored, but
unique and useful voting bloc.
5. What differentiates your firm from others in the industry?

The partnership of Fryberger and Quinn & Co allows us to provide a comprehensive
package of legislative and legal services to the St. Paul Port Authority. Our experience
working with all aspects of legislative representation, combined with the
diversity of special skills and knowledge, position us to well serve your
legislative needs.
Fryberger has a proud history as a long established law firm in the state of
Minnesota. In addition to its lobbying services, Fryberger has attorneys
practicing in the areas of administrative law, environmental law and public

finance who can inform and support our work representing the Port Authority
at the Capitol.
Coordination of services through designation of lead attorneys
To increase efficiency and to enhance the client relationship, Fryberger and
Quinn & Co have chosen to designate Kevin Walli as the "lead" lobbyist for
the St. Paul Port Authority. This relationship assures ease of communication
and helps us understand and meet your unique needs and expectations.
Our experience and practice has been to develop a special interest in and
knowledge of the ongoing activities of the organizations we represent, and
thus we are able to anticipate issues and "head off" problems before they
develop. When our team develops this knowledge of your organization it
protects against problems that could be overlooked without someone with an
overall view of the Port Authoritys interests.
Quality, service and timeliness
We know that many clients differentiate excellent service from acceptable
service based on quality, service and timeliness. We promptly return client
phone calls and email, and provide clients with information about back up
assistance when lobbyists have a planned or unplanned absence. Kevin Walli
and Quinn Cheney will meet with the Port Authority Staff or Board, according
to your requested schedule, to review the status of all policy matters, discuss
concerns, brainstorm legal/legislative/political implications associated with
upcoming matters, review bills or discuss any concerns important to the Port
Authority.

6. Describe your lobbying philosophy (i.e. your role as a consultant)
The tasks/responsibilities which we propose to undertake on behalf of the
Port Authority include the following:

Fryberger and Quinn & Co would work with Lorrie Louder and other Port
Authority leadership to develop legislative positions and strategies for
the Legislative Session.

Identify appropriate bill authors for Port Authority initiatives.

Ensure that Port Authority initiatives are drafted, introduced and


scheduled for hearings before the appropriate Legislative Committees
in a timely manner. Ensure that Port Authority Officials are afforded
the opportunity to testify on matters of interest and concern to the

Board. Kevin Walli and Quinn Cheney will be prepared to testify on


behalf of the Port Authority as issues arise during the course of the
Legislative Session.

Communicate Port Authority issues/concerns to members of key


Legislative Committees in advance of hearings on bills of particular
interest to the Port Authority.

Monitor and report on bill introductions. Submit a weekly report on bill


introductions of interest or concern to the Port Authority.

Monitor and report on Committee proceedings with jurisdiction over


Port Authority issues.

Attend board meetings, legislative strategy and preparatory meetings


with the Port Authority and report, as requested, on relevant legislative
activity. We would communicate primarily via e-mail. We would ask
the Port Authority to provide a list of e-mail addresses of those
members and staff with whom you would have us communicate on a
routine basis.
7. Describe any additional services that you believe would be important to the Port
Authority.
Additional services that will be provided to the Saint Paul Port Authority
include:

Prepare Opening Statements for House and Senate Authors of Port


Authority legislative proposals to use in presenting bills before
Committees.

Prepare testimony for Port Authority witnesses to use in presentations


before House and Senate Committees.

Pay particularly close attention to bills or amendments being


considered by the House and Senate Capital Investment Committees,
Tax Committees and Jobs Committees.

Communicate with the Governors office and all other relevant officials
regarding Port Authority initiatives.

Provide any additional services requested by the Port Authority with


respect to lobbying activities in 2012.

Prepare and present a legislative report at the close of each Legislative


Session.

interests is Kevin Walli. Kevin has over 30 years of experience working on
legislative matters in St. Paul and Washington, D.C.
Kevin will be partnering with Quinn Cheney, of Quinn & Co, who has more
than 18 years of hands-on experience working at the highest levels of government -- at
the state, federal and international levels.
Providing additional support will be William Lunzer (Non-attorney Legislative
Assistant)
Each of these individuals brings energy and expertise of their own to

Kevin T. Walli

Kevin T. Walli has experience in all aspects of legislative representation, including: bill tracking,
monitoring committee proceedings, preparation and presentation of testimony, drafting of bills
and amendments, and personal lobbying of key legislators. Mr. Walli provides facilitation
services for client strategic planning sessions. He has special expertise in the areas of
environmental regulation, natural resources management, local government, community and
economic development, transportation finance, regulated industries and health care financing.

Quinn L. Cheney
Quinn L. Cheney has experience in all aspects of legislative representation, including: bill
tracking, monitoring committee proceedings, preparation and presentation of testimony, personal
lobbying of key legislators and Administration officials. Ms. Cheney has special expertise in the
areas of agriculture and rural economic development, energy and environmental regulation,
transportation policy and finance, renewable energy development, and international realations.

DC). The Williams Companies (NYSE: WMB) is a Fortune 200 energy
company based in Tulsa, OK, which provides natural gas and oil production,
processing, transportation and power generation throughout the U.S.
1998-2004: Political and Economic Relations Officer, Canadian Consulate General
(Minneapolis, MN). Served as political advisor for the Government of Canada on U.S. politics
and policies affecting eight states and adjoining provinces.
2004-2005: Senior Policy Advisor for Legislative and Cabinet Affairs, Governor Tim
Pawlenty (St. Paul, MN). Advised Governor on legislative and cabinet issues related to five
agencies: Minnesota Department of Agriculture, Minnesota Department of Transportation,
Board of Soil and Water Resources, Board of Animal Health and the Metropolitan Council.
2005-2010: Director of Policy Development, Minnesota Department of Agriculture and
Board of Animal Health (St. Paul). Developed agency budget and policy initiatives and
advocated for them at the legislature through personal meetings with legislators and frequent

10. Indicate your lump sum fee for 2012 Legislative work, inclusive of Session and other
time throughout the year.
Our fee arrangement calls for fixed monthly rates with a somewhat higher
level of funding during the first five months of the year during the height of
the Legislative Session. During the months of January through May, we
would propose a monthly fee of $5,000.00. For the months of June through
December, the monthly fee would be $3,000.00.

Miscellaneous Expenses
In addition to fees, we will seek reimbursement for costs we incur on your
behalf. We do not charge for photocopies or facsimile transmissions, but do
charge for postage, filing fees and the like.
Any necessary travel will be reimbursed at the applicable federal rate, and
we will seek reimbursement for lodging and meal expenses. All travel is
subject to prior approval by Saint Paul Port Authority officials.
We also offer alternative means of communicating and transmitting
documents. Significant savings of time and expense can be realized by
communicating through email.
