Description

David A. Nice Builders, Inc., a Virginia Corporation does hereby contract the above listed subcontractor for
the contract sum as indicated to perform the work detailed below per the project plans and specifications. The
stated amount of the subcontract agreement shall include all applicable taxes, fees and other charges as
required to perform the below scope of work. Subcontract payments shall not exceed the amount of this
subcontract for any reason.
1.

DESCRIPTION OF WORK - Subcontractor agrees to furnish all labor, materials, drawings, samples, and necessary equipment to
complete the following work including all work incidental thereto ("the Work"):

SCOPE
Subcontractors are responsible for their own trades clean up.

2.

SCHEDULE / TIME: All subcontractors are expected to work within the timeframe identified on the attached David A. Nice
Builders' schedule referenced above for their scope of work. The subcontractor shall identify any and all lead time items which
may impact the construction schedule. The subcontractor shall arrange for all materials to be on site in a timely manner as not to
delay the progress of the above scope of work or impact any other trade. If subcontract creates delays, all cost that incur
associated with the delay will be deducted from subcontractor's final payment. Time limits stated in the Contract Documents
are of the essence of the Contract. By executing the Agreement the Sub-Contractor confirms that the Contract Time is a
reasonable period for performing the Work.

3.

MATERIALS: There will not be any substitutions of the specified materials without prior written permission from DNB
Project Manager and Architect. The subcontractor shall be responsible for quantities and type of materials required for above
said scope of work per the plans and specifications. Change orders for additional cost due to omissions and/or errors on the
proposal will not be granted.

4.

PERFORMANCE: All subcontractors are expected to: 1) provide ample manpower throughout the project to assure that the
David A. Nice Builders' schedule is met; 2) clean-up trash created by their work daily and at project completion; and, 3)
communicate with the David A. Nice Builders' On-site Superintendent and Project Manager regarding any and all issues that
affect the progress of the project. This in no way guarantees that if the progress of your scope of work is delayed, we will
extend the schedule.
5.

SAFETY: Safety is everyone's responsibility. All subcontractors shall take reasonable safety precautions with respect to the
performance of this contract, shall comply with safety measures initiated by David A. Nice Builders, and shall comply with all
OSHA regulations, all applicable laws, ordinances, rules, regulations and orders of public authorities for the safety of persons
and property. All worker's on the jobsite will be required to attend a weekly "toolbox" safety meeting and will be asked to sign
off on David A. Nice Builders' safety rules. The weekly meeting date will be established by the job site superintendent. It is
mandatory for all subcontractors to attend this meeting.

6.

PRIME CONTRACT: David A. Nice Builders' contract with the owner (the "Prime Contract") is incorporated by reference
and made a part of the Subcontract. Except as modified herein, Subcontractor assumes the same obligations to David A. Nice
Builders under the subcontract that David A. Nice Builders assumes to the owner with respect to the subcontract work.

7.

SUBMITTALS: The subcontractor shall promptly submit shop drawings, product data, samples and similar submittals required
by the subcontract or the Prime Contract within (5) five working days and/or receipt of subcontract so as to not cause delay in
the work or in the activities of David A. Nice Builders or other the other subcontractors. Please send in your submittals in a
legible format directly to DNB project manager's attention.

8.

CHANGE ORDERS: This contract will only pay for the amount stated above. David A. Nice Builders' will NOT be
responsible for payment for any unauthorized work. If you perform work not covered by the above scope of work, you must
obtain a signed change order from the project manager. Change orders/extra work are only to be approved by the David A. Nice
Builders' Project Manager. Superintendents are NOT allowed to approve any changes, work orders, or overtime charges. Signed
Change orders must be submitted before any work can proceed. No field approval from job site superintendents will be honored
for payment.

9.

PAYMENT PROCEDURES: All payments are made on the 10th and the 25th of each month. Subcontractors will be paid in
30 days from the receipt of the invoice (closest to that pay date of either the 10th or the 25th). Invoices must be original copies:
faxed copies will not be processed. Subcontractors must furnish Certificate of Insurance naming David A. Nice Builders, Inc. as
an additional insured, Federal Identification/Social Security Numbers, and Statement of Incorporation. All invoices must
reference the project name and contract number listed above, and provide correct address and phone number. David A. Nice
Builders' payment procedures supercede any and all payment conditions on subcontractors proposals/quotes.

10. RETAINAGE: Ten (10%) percent, or the retainage under the Prime Contract if greater than 10%, of each payment shall be
retained until the subcontractor's scope of work, including any and all administrative requirements, is 100% complete and all
punch has been completed and accepted by the general contractor and owner. Retainage will be promptly released when the
above requirements are met.
11. ACKNOWLEDGEMENT: By signing this agreement, the subcontractor acknowledges the above terms of the Short Form
Subcontract Agreement for Retail/Commercial Projects. Subcontractor also acknowledges by signing, that they have received
the subcontractor information package, which includes insurance requirements, safety standards, payment procedures, and a W-9
form. If you have worked with David A. Nice Builders in the past 12 months, you acknowledge that you have already returned
the required information. If this is the first time you are working with David A. Nice Builders, you will need to return the
required information with this Subcontract Agreement.

In order to fully execute this subcontract, you need to sign below and fax back all 3 pages to our office and mail the original.
Upon receipt of faxed copy, David A. Nice Builders' will execute the subcontract and fax a signed copy to your office. This
subcontract award is contingent upon receipt of a signed contract between the Owner and David A. Nice Builders Inc. In the
event the Contractor does not receive a contract from the owner, then this subcontract shall become null and void with no
obligation on the part of either party.
SOLE AGREEMENT: - This Agreement, including all terms and conditions hereof, is expressly agreed to and constitutes the entire
Agreement as of this date. No other Agreement or understandings, verbal or written, expressed or implied, are a part of this Agreement
unless specified herein.
