EXECUTIVE SUMMARY
I was literally floored by the news of Axiom's latest round of funding (press release
An impressive amount for any non-software business, let alone one that has traditionally
operated with lower-than-average overhead and personnel costs. Add to that the fact that
Axiom is a 10 year old legal services company with a history of consistent growth, and a few
thoughts come to mind on what their plans might be (all of them speculative):
Axiom is preparing to go public sometime later this year. I say this because Axiom's
impressive year-over-year growth would seemingly obviate the need for any additional
capital, so the timing and amount of this round of financing can easily lead to the conclusion
that this is a bridge loan of sorts. And, although there's nothing in the press release or other
media reports that directly states this, this type of financing is common among successful
private
companies
who
are
planning
on
an IPO
within
year
or
less.
Axiom is lining itself up as an acquisition target. This is the flip-side of IPO speculation,
whereby an influx of short-term cash is often deployed to finance an acquisition. Setting
aside the complexities of this strategy, the notion of Axiom being acquired by another
company is much more fascinating than a potential IPO. With annual revenues rumored to
exceed $150MM, Axiom is clearly worth at least half a billion dollars, which significantly
narrows the list of potential acquirers, particularly within the legal industry. Axiom is going
to build a number of domestic "managed services" centers in major US cities. From a purely
opportunistic perspective, this would seem to be the most likely scenario.
