NEW COURSE FOR

SPRING 2015
Bankruptcy and
Financial Restructuring
MBAF698/MBAJ698/ACCT61
98
This course is geared
toward providing an
introduction to the general
concepts and structures
typically employed for
restructuring large

October 27, 2014

corporations. Students will

learn about the types of
debt involved in corporate
distressed situations, and
will gain an understanding
for the options available to
a distressed company
through out-of-court
restructurings and chapter
11 bankruptcy. The second
half of the course will focus
on how different
constituencies interface
with, and may take
advantage of, restructuring
scenarios. Restructuring
presents different
challenges and potential
opportunities depending on
a party's role and
perspective. Management
and its advisors may have
one set of goals for a
restructuring, whereas
creditors or potential
investors may have
different motivations or
goals. Through this course,
students will learn about
the different interests and
strategies deployed by
parties in interest
throughout a typical
restructuring case. The
course will be aimed
towards a practical
understanding of
restructuring, and will
involve several guest
speakers including
attorneys, bankruptcy
judges, financial advisors,
and distressed debt
investors.

Prerequisite: MBAA 608

or equivalent
Instructor: Lance Miller,
who is Senior Associate,
Business Restructuring &
Reorganization Group, Jones
Day. He has extensive
practical experience and
numerous publications in
the field.

ACCOUNTING ETHICS
LECTURE: EDWARD D.
KLEINBARD
Date: Tuesday, November
18th
Time: 7:15 p.m.
Location: Hilton 100
The Center for Accounting
Ethics, Governance, and the
Public Interest welcomes
Edward D. Kleinbard as part
of the Distinguished
Speaker Series. The title of
his lecture is We Are
Better Than This: How
Government Should Spend
Our Money." His book by
the same title will be
released on October 1st.
Mr. Kleinbard is the Johnson
Professor of Law and
Business at the University
of Southern California's
Gould School of Law and a
Fellow at The Century
Foundation. Prior to these
appointments, Professor
Kleinbard served as Chief of
Staff of the U.S. Congress's

Joint Committee on
Taxation, the nonpartisan
tax resource to Congress.
Kleinbard's presentation will
take a multi-disciplinary
approach, drawing on
economics, finance, law,
political science and moral
philosophy. He uniquely
weaves economic research
and moral philosophy
together by emphasizing
our welfare, not just our
national income, and by
contrasting the actual
beliefs of Adam Smith, a
great moral philosopher,
with the cartoon version of
the man presented by
proponents of the most
extreme forms of private
market triumphalism.
