1. BETWEEN:
S.C MURFATLAR ROMANIA S.A whose registered office is at Strada Murfatlar nr 1,
905100, Murfatlar, Constanta, Romania, represented by Diru Valeriu, Sales Manager
(hereinafter reffered to as the Seller),
AND:
S.C Alleswein S.A whose registered office is at Potsdamer Str.1, 30916, Isernhagen,
Germany, represented by Joachim Christ, Sales Manager (hereinafter reffered to as the
Buyer).
Both Parties declare interest in the sale and purchase of goods under the present contract and
undertake to observe the following agreement:

3.1 It is agreed that any information relating to the goods and their use, such as weights,
dimensins, volume, colour, price, and other data contained in catalogues, leaflets, circulars,
newsletters, advertisments, price lists of the Seller, shall not take effect as terms of the
Contract unless exspressly reffered to in the Contract.

3.2 Unless otherwise agreed, the Buyer does not acquire any industrial or intellectual property
rights in which may have been available to him. The Seller also remains the exclusive owner
of any industrial or intellectual property rights relating to the goods.
4. PRICE
The Price of sold goods does not include the carriage expenses and is divided into three
categories, as it follows:

The total value of the sold goods, considering the conditions of the current contract, is 26.835
EURO (twenty six thousand eight hundred and thirty five Euros) with the mention that the
total value can be modified as desired by both parties as written above in Art. 2.
4.1 The price indicated under this clause (Price) includes any costs which are borne by the
Seller according to this contract.
5. PAYMENT
Payment of the purchase price shall be made without offset or other deduction and shall be
made in European currency (Euro). All bank or similar charges, including letter of credit bank
confirmation charges, shall be for Buyers account and expense, (except draft collection
charges). The payment is to be made during a 4 days term from the signing of the contract by
both parties and shall be the responsability of the Buyer to honor the payment.
6. DELIVERY TERMS
Delivery of goods shall be done according to Incoterms 2010 rules. The rule and delivery lace
agreed between Parties is the CIP (Carriage and Insurance Paid). This means that although the
seller pays for freight and insurance, the risk of damage or loss to the goods being transported
is transferred from the seller to the buyer as soon as the goods have been delivered to the
carrier. While the seller is responsible for insuring the shipment, this obligation only extends
to the minimum level of insurance coverage. If the buyer desires additional insurance, such
extra coverage will have to be arranged by the buyer. The sold goods are to be transported
from Constana, Romania to Isernhagen, Germany.
7. DATE OF SHIPPMENT
The shippment shall begin in maximum 4 days after the payment of the current contract.
8. FINAL STIPULATIONS
The contract becomes valid once it is signed by both Parties.
Other modification brought to the present contract is not available nor opposable unless both
Parties agree on signing an additional document in which they expressly mention the changes
which shall be made.

Plata aferent celor 1500 de uniti va fi efectuat de ctre cumprtor n valut (euro)
i, datorit sumei mari de plat, se va face prin acreditiv irevocabil i transferabil la o banc
din Romnia, datorit siguranei oferite. Acest tip de acreditiv constituie angajarea ferm a
bncii emitente, cu condiia ca documentele menionate s fie prezentate bncii nominate sau
bncii emitente, iar termenii i condiiile acreditivului s fie ndeplinite. Acest tip de acreditiv
nu poate fi modificat sau reziliat fr acordul vnztorului.
Clauza nr. 5 : Transportul
Livrarea mrfii va fi realizat conform Incoterms 2010, folosind clauza CIP ( Carriage
and Insurance Paid). Aceasta impune obligaia vnztorului de a efectua asigurarea pentru
acoperirea riscului de pierdere sau deteriorare a mrfii, nsa pierderile pe timpul transportului
le suport cumprtorul. De asemenea n obligaiile vnzatorului intr i vmuirea mrfii.
Am optat pentru aceast clauz ntruct este un compromis bun n cazul acestei prime
colaborri cu Alleswein i totodat vine in favoarea exportatorului, riscurile i costurile
acestuia fiind minime. Un alt motiv pentru alegerea fcut este i faptul c CIP este o metod
simpl si potrivit pentru transportul pe uscat, activitatea de export desfurndu-se ntre
Romnia i Germania.
