DEED OF ASSIGNMENT

AND SALE OF PERSONAL PROPERTIES

KNOW ALL MEN BY THESE PRESENTS:
This DEED OF ASSIGNMENT executed this 19 day of May 2015 in
Puerto Princesa City, Philippines, by and between:

DIANA AMOR DIAZ COLLO, Filipino, of legal

age, married to DENNIS COLLO and with
residence and postal address at Barangay San
Pedro, Puerto Princesa City and likewise the the
owner and proprietor of TRAVELERSPAL TOURS
AND TRAVEL AGENCY, a business duly
organized and existing under the laws of the
Republic of the Philippines, with principal
business address at Quicho Building, Barangay
San Pedro, Puerto Princesa City, Palawan, and
hereinafter referred to as ASSIGNOR;

JANET S. BADENAS and REMALYN A. LUCIS,

Filipino, both of legal age,single and are
residents of Puerto Princesa City, Palawan. They
are referred to herein as the ASSIGNEE

THE PARTIES HEREBY AGREE AS FOLLOWS:

WHEREAS, This DEED OF ASSIGNMENT is executed according to
AGREEMENT reached by the Assignor and the Assignee, where the
Assignor has agreed to assign the business owned by the Assignor for the
consideration and upon the terms subject to the conditions of this
agreement and the Assignee have agreed to give and receive warranties
and indemnities set out in and subject to the provisions of the said
Agreement.
WHEREAS, The Assignor is the registered proprietor and beneficial owner
of the following business:
1. That as earlier provided the Assignor is the owner and proprietor
TRAVELERSPAL TOURS AND TRAVEL AGENCY, a business duly

organized and existing under the laws of the Republic of the
Philippines, with principal business address at Quicho Building,
Barangay San Pedro, Puerto Princesa City, Palawan;
2. That the business name was duly registered with the
Department if Trade and Industry under Certificate No. 1529323
3. That the business carries a business permit for the year 2015
under business permit number 3379-2015 issued by the City
Government of Puerto Princesa;
3. That the business bears DOT ACCREDITED license: TO-R04B00000074-2012;

WHEREAS, As part of the AGREEMENT, all rights and benefits held by

the Assignor in the business became vested in the Assignee. This deed
witnesses pursuant to the AGREEMENT, HEREBY ASSIGNS and transfers
to the Assignee all right title and interest of the business together with the
goodwill attaching to the logo and the goodwill of the business in which
the latter have been used by the Assignors business and TO HOLD the
same unto the Assignee absolutely.
WHEREAS, THE ASSIGNEE offered to acquire the business interest and
the ASSIGNOR agreed to transfer her rights for an amount of ONE
HUNDRED EIGHTY THOUSAND, PHILIPPINE CURRENCY, (Php 180,
000.00) to be equally divided into equal installments of FIFTEEN
THOUSAND PESOS (P15,000.00) per month payable every 5th day of the
month until fully paid. The payment of the corresponding amount shall
commence on July 5, 2015 up to July 5, 2016.
WHEREAS, This agreement shall be effective on May 1, 2015 wherein all
rights and privileges are to be transferred to the assignee together will all
personal property necessary for the business. Furthermore, all standing
liabilities prior to the date mentioned shall be for the account of the
ASSIGNOR and those accruing after to the account of the ASSIGNEE.
NOW, THEREFORE, for and in consideration of the foregoing premises
and the sum of ONE HUNDRED EIGHTY THOUSAND, PHILIPPINE
CURRENCY, (Php 180, 000.00) which the ASSIGNOR hereby
acknowledged to receive from the ASSIGNEE under the terms stated
above, the ASSIGNOR hereby assigns, transfers and conveys unto the
ASSIGNEE, all his rights, title and interest to the aforementioned rights
and personal properties and other appurtenant interest in the business.
The ASSIGNEE by these presents hereby accepts the assignment and
agrees to be bound by the terms and conditions herein;
