ThebiddershouldhaveatotalsumofturnoverofRs.30Crore(Minimum)inthelastthreefinancialyearsandthe
turnoverofthelastyearshouldbeatleastRs.10crores.ThecopiesofAuditedAnnualAccountsforlastthreeyears

(a) The bidder must have one office inGujarat. Please attach thecopyof any two ofthe following:Property tax

certificates are required for items like Server, Desktop PC, Ethernet Switches, UTP cable, Jack/Patch Panels,

IfbidderisConsultants/firm,andanyofitsaffiliateshiredtoprovideconsultingservicesforthepreparationor
implementationofaprojectunderthistender,thenbidderwillbedisqualifiedforprovidinggoodsorworksor
servicesrelatedtotheinitialassignmentforthesameproject.

4. TheBiddermayquoteonlyoneoption(i.e.onlyoneproductcanbequoted)againsteachitem.Biddersarerequired
tomentionmake&Modeloftheproduct(DonotwriteOEMagainstitemsexcepttheitemsaskedtobeintegrated
withServers/Computersasbiddersareexpectedtogivemake&modeloftheproduct).
5. Thebidderwillhavetosupply,install,maintainandprovideoperationaltrainingofsuppliedhardware,Operating
SoftwareandperipheralsandcarryoutnecessaryintegrationatofficeslocatedallacrossGujaratState.
6. IncasethequotedItemisnotavailableinthemarket,thebidderwillhavetosupplyHigherVersion/replacementof
thatIteminthequotedcostinthesametimedurationwithpriorapprovalofGIL.NoEndofLifeproductshouldbe
quotedtominimizesuchinstancestillthebidvalidity(Make&Modelquotedbythebiddershouldbeavailabletillthe
bidvalidity,dulysupportedforspares/OEMsupportforwarrantyperiod).
7. TheBiddershallbearallthecostsassociatedwiththepreparationandsubmissionofitsbid,andGILwillinnocase
willberesponsibleorliableforthesecosts,regardlessofconductoroutcomeofbiddingprocess.
8. The bidder has to upload the compliance letter on its letter head duly signed by the authorized signature & other
supporting documents as asked for in the bid in scanned format. Failing to submit the same or non
compliance/deviation from any bid termsand conditions, eligibility criteriaor technical specificationsmay result in
rejectionofthebid.
9. The Bidder has to examine all instructions, forms, terms, conditions and specifications in the bidding documents.
Failure to furnish all information required by the bidding documents or submission of a bid not substantially
responsivetothebidingdocumentsineveryrespectwillbeattheBiddersriskandmayresultinrejectionofitsbid.
10. AmendmentofBiddingDocuments(Corrigendum)

At any time prior to the deadline for submission of bids, GIL may, for any reason, whether its own
initiative or in response to the clarification request by a prospective bidder, modify the bidding
documents.

per prescribed format given at Annexure A ) and must be submitted along with the covering
letter.

13. IncaseofnonreceiptofBidProcessingfees&EMDasmentionedabovewithinprescribedtimethebidwillberejected
byGILasnonresponsive.
14. Unsuccessful/DisqualifiedbiddersE.M.D.willbereturnedaspromptlyaspossiblebutnotlaterthan15daysafterthe
expiration of the period of bid validity OR upon the successful Bidder signing the Contract, and furnishing the
PerformanceBankGuarantee@5%ofthetotalordervalueasprescribedbyGIL,whicheverisearlier.
15. In exceptional circumstances, GIL may solicit the Bidders consent to an extension of the period of validity. The
requestandtheresponsestheretoshallbemadeinwriting.ABiddermayrefusetherequestwithoutforfeitingits
E.M.D.ABiddergrantingtherequestwillnotbepermittedtomodifyitsbid.
16. TheSuccessfulbidderhastosubmitcopyofeachpurchaseorder,acceptanceofpurchaseorder&copyofPBG,
offerofthematerialforinspectionatGILoffice.
17. TheSuccessfulbidderhastosubmitPerformanceBankGuarantee@5%oftotalordervaluewithin15daysfromthe
dateofissueofPurchaseorder(forwarrantyperiod+extra3months)fromAllNationalizedBankincludingthepublic
sectorbankorPrivateSectorBanksorCommercialBanksorCoOperativeBanks(operatinginIndiahavingbranchat
Ahmedabad/ Gandhinagar) as per the G.R. no. EMD/10/2013/655/DMO dated 31.03.2014 issued by Finance
Department or further instruction issued by Finance department time to time. (The draft of Performance Bank
Guaranteeisattachedherewith).
18. SuccessfulbidderswillhavetosignthecontractuponreceivingthePurchaseorderwiththepurchaser(s)within15
workingdaysfromthedateofPurchaseorder.(ThedraftoftheContractformisattachedherewith)

19. The successful Bidders E.M.D. will be returned upon the Bidder signing the Contract, and
furnishing the Performance Bank Guarantee @ 5% of the total order value, offer of inspection of the ordered
materialandaftercompletionofbidvaliditywhicheverislater.
20. TheE.M.D.maybeforfeited:
(a)ifaBidderwithdrawsitsbidduringtheperiodofbidvalidity
(b)IncaseofasuccessfulBidder,iftheBidderfails:
(i)TosigntheContractasmentionedaboveor
(ii)Tofurnishperformancebankguaranteeasmentionedaboveor
(iii)Ifthebidderisfoundtobeinvolvedinfraudulentpractices.
(iv)Ifthebidderfailstosubmitthecopyofpurchaseorder&acceptancethereof.
21. TerminationforDefault
21.1
ThePurchasermay,withoutprejudicetoanyotherremedyforbreachofcontract,bywrittennoticeof
default sent to the Bidder (after providing notice/cure period of 30 days), terminate the Contract in
wholeorpart
a) ifthebidderfailstodeliveranyoralloftheGoodswithin45workingdaysfromthedateofpurchase
order,orwithinanyextensionthereofgrantedbythePurchaseror
b) iftheBidderfailstoperformanyobligation(s)undertheContract/Purchaseorder.
c) If the Bidder, in the judgment of the Purchaser has engaged in corrupt or fraudulent practices in
competingfororinexecutingtheContract.
21.2
Forthepurposeofthisclause:
Corruptpracticemeanstheoffering,giving,receivingorsolicitingofanythingofvalueofinfluencethe
actionofapublicofficialintheprocurementprocessorincontractexecution.
fraudulentpractice:amisrepresentationoffactsinordertoinfluenceaprocurementprocessorthe
executionofacontracttothedetrimentofthepurchaser,andincludescollusivepracticeamongBidders
(priortoorafterbidsubmission)designedtoestablishbidpricesatartificialnoncompetitivelevelsand
todeprivethepurchaserofthebenefitsoffreeandopencompetition;
IntheeventthePurchaserterminatestheContractinwholeorinpart,pursuanttoClause21.1above,
the Purchaser may procure, upon such terms and in such manner, as it deems appropriate, Goods or
Servicessimilartothoseundelivered,andtheBiddershallbeliabletothePurchaserforanyexcesscosts
forsuchsimilarGoodsorServices.However,theBiddershallcontinuetheperformanceoftheContract
totheextentnotterminated.
22. Priceshallbeinclusiveofallfreight,forwarding,transitinsuranceandinstallationcharges.
23. PricesshallbeinclusiveofExciseDuties.Thepricesshallstrictlybesubmittedinthegivenformat.Quotedpricesshall
be withoutVAT. The tax(VAT) components as applicable shall be mentioned separately in the respective columns.
SuccessfulVendorwillhavetosupply/providegoodswithanInvoicefromaplacelocatedwithinStateofGujarat.
24. LateBidsThebidderwillnotbeabletosubmitthebidafterfinalsubmissiondateandtime.
25. ModificationandWithdrawalofBids
25.1

Nobidswillbeallowedtobemodifiedsubsequenttothefinalsubmissionofbids.
Nobidwillallowedtobewithdrawnintheintervalbetweenthedeadlineforsubmissionofbidsandthe
expiryofthebidvalidity.Withdrawalofabidduringthisintervalwillresultintheforfeitureofbidders
E.M.D.
26. BidswillbeopenedwiththebuyersprivatedigitalkeyinthepresenceofBiddersrepresentatives,whochooseto
attend. The Bidders representatives who are present shall sign a register/attendance sheet evidencing their
attendance.Therepresentativewillbeheldresponsibleforallcommitmentsmadeonbehalfofthebidderandthat
will be considered valid for all further dealings related to this tender process. In the absence of the bidder(s), the
tendercommitteemaychoosetoopenthebidsaspertheprescribedschedule.

27. The Bidders names, Bid modifications or withdrawals, discounts and the presence or absence of
relevant E.M.D. and such other details as GIL/GOG officer(s) at their discretion, may consider appropriate, will be
announcedattheopening.
28. Evaluation of the bids: After the closing time of submission, GIL/GOG committee will verify the submission of Bid
ProcessingFees&EMDasperbidtermsandconditions.Theeligibilitycriteriaevaluationwillbecarriedoutofthe
responsivebids.Thetechnicalbidsofthebidderswhoarecomplyingwithalltheeligibilitycriteriawillbeopenedand
evaluatednext.Thefinancialbidofthetechnicallyqualifiedbidderswillbeopened.Successfulbidderwillbedecided
basedontheitemwiselowestquotedrateswithouttaxasmentionedinthefinancialbidsection.Allothertechnically
qualifiedbidders,whosefinancialquotearewithinthepricebandof10%oflowestitemwisequotedrateswillbe
invited to match the lowest negotiated rates and if they match the lowest negotiated rates then they will be
empanelled&theirrateswillalsobecirculated.Undercircumstances,wherenotmorethanonetechnicallyqualified
biddersarewithinthepricebandof10%,GIL/GOGmayinviteothertechnicallyqualifiedbidderstomatchthelowest
negotiatedratesforwiderempanelmentoftechnicallyqualifiedproducts.
29. Inspectionprocess:
29.1
Qualityofgoodsandservices:
The equipment/product must confirm to the specifications given and of desired quality. The
biddershallguaranteethatitemdeliveredtothepurchaserarebrandnewandnotrefurbished
one.
Consistencyinqualityshallbemaintainedfortheentirelotofproductsoffered.Alltherequired
quantity of items in schedule of requirement shall be of the same brand and model no. The
bidder shall not substitute any internal components or subsystems of the product by similar
itemsofdifferentmanufacturers.
Alltheequipmentsshallbesuppliedwiththerelevantinterfacecablesandnecessarystandard
accessories.
Thevendorshallberesponsibleforthequalityofsupply.
SuccessfulbidderhastopastnonremovablestickeronallkindofServers,allkindofDesktops,
monitors,allkindofPrinters,allkindofScanners,allkindofNetworkingEquipmentsincluding
Switches,allkindofUPS,VoltageStabilizerandOtherItems(ExternalUSBHDD,ExternalOptical
Drive,Speakers)etc.withdetailsofTenderno.,biddersname,address,contactdetail,service
centre/helplinenumberandwarrantyexpirydate.
29.2
Factory/Warehouseinspection:
The factory testing will be done in the factory/warehouse of the vendor. All the necessary
inspection/testing facilities would be provided by selected bidder as per the requirement of
inspection/testing team constituted by GIL wherein all the necessary expenditure related to
inspectionshallbebornebythebidder.
TheminimumlotsizeforinspectionshallbedecidedbyGIL.Atthetimeofinspection,bidderis
required to produce OEMs confirmation on OEMs Letter head with Sr. nos. of Equipment,
Software and Batteries supplied for back to back warranty support as per tender terms &
conditions.
Thebiddershallmaketheequipmentreadyfortheinspectionwithin30daysfromthedateof
placingtheorderbytheindenters.
Foreverysuchbatch,thebiddershallcommunicateinwritingtoGILaboutthereadinessofthe
equipmentfortheinspection.
Themethodofinspectionshallbeonsamplingbasisanditsintensitywillbemin.10%.However
GILreservestherighttomakechangeinmethodologyandintensityoftheinspection.
Onthesatisfactionaftertests,thebatchshallbeclearedfordispatch.Anydeviationfoundin
the specification of the produced goods or delivered goods after inspection from the tender
specificationswillleadtothecancellationoftheorder,forfeitureofEMD/PBGandprohibition
in the participation in the future purchase of Government of Gujarat. GIL/GoG will not be
responsible for any time delay which may arise due to any deviation from the bid technical
specification found at the time of inspection and the bidder has to deliver and install the
orderedgoodswithinprescribedtimelimit.

The indenters right to inspect, test and, where necessary, reject the Goods
aftertheGoodsarrivalatCustomerSiteshallinnowaybelimitedorwaivedbyreasonofthe
Goodshavingpreviouslybeeninspected,testedandpassedbytheinspectionteamofGILprior
totheGoodsshipment.
30. LaboratoryTesting:
ForallkindofDesktopsi.e.PC1,PC2,PC3&PC4:GIL/EQDCwillselectminimum1samplefortestingpurposefor
eachmake&modelofPC1,PC2,PC3&PC4quotedbybidder
(Note: During the validity of Rate Contract, ,if bidder will offer OR request GIL to accept higher model for
PC1,PC2,PC3&PC4insteadofquotedmodel,duetotechnicalreasons,i.e.EOLofquotedmodel,thenGILwill
alsotakesampleofnewofferedhighermodelofPC)
ForallkindofUPS,i.e.600VALineInteractiveUPS,1KVA,2KVA,5KVA,10KVAOnlineUPS:GIL/EQDCwill
selectminimum1samplefortestingpurposeforeachmake&modelof600VALineInteractiveUPS,1KVA,2
KVA,5KVA,10KVAOnlineUPSquotedbybidder.
(Note:DuringthevalidityofRateContract,,ifbidderwillofferORrequestGILtoaccepthighermodelfor600VA
LineInteractiveUPS,1KVA,2KVA,5KVA,10KVAOnlineUPSinsteadofquotedmodel,duetotechnicalreasons,
i.e.EOLofquotedmodel,thenGILwillalsotakesampleofnewofferedhighermodelofUPS)
Allthechargestocarryoutlaboratorytestingshallbebornebythebidder.Selectionofthesampleshallbedoneby
theinspectionteamasperthestandardnormsandprocedure.
31. Delivery&installation:Within45workingdaysfromthedateofconfirmedpurchaseorder.
32. If the successful bidder of the immediately preceding tender(s) for the Purchase of Computer Hardware & LAN
equipments as floated by GIL has failed to deliver the pending orders within the prescribed time limit, then such
bidderwilldeemedtobeineligibletoparticipateinthistender.Theperiodofsuchdeemedineligibilitywillbeforasix
monthsfromthedateofexpiryof45workingdaysfordeliveryandinstallationforsuchprecedingtender(s)inviewof
hispoorperformance.
33. Bidsshallbevalidupto31.12.2015.Abidvalidforashorterperiodshallberejectedasnonresponsive.Ifrequired,
GILmayextendthebidvalidityforfurtherperiodfromthedateofexpiryofbidvalidityinconsultationwiththe
successfulbidder.
34. PenaltyClause
34.1
Ifthebidderfailstodeliverandinstalltherequisitehardwareandsoftwarewithin45workingdaysof
the issue of the confirmed purchase order, then a sum equivalent to one percent (1 %) of the total
contractvalueshallbedeductedfromthepaymentforeachcalendarweekofdelayorpartthereof.
34.2
Theamountofpenalty(liquidateddamages)shallbesubjecttoamaximumlimitof10%ofthetotal
contractvalue.
34.3
Delayinexcessof10weekswillbesufficienttocauseforterminationofthecontract.Inthatcasethe
PerformanceBankGuaranteeofthebidderwillbeforfeited.
34.4
Incase,theselectedbidderdoesnotsupplytheordereditemsforanyreason,thebidderwillbeliableto
pay the difference amount to the purchaser, over and above the performance guarantee, which
indenterdepartmenthastopaytothenextorotherselectedbidderforpurposeofthesaiditems.
35. Warranty
35.1
Warranty:
Comprehensive onsite warranty for 5 years from the date of installation of Servers & its options,
Desktops&itsoptions,alltypesofScanners,Networkingitems&UPS.
Comprehensiveonsitewarrantyfor3yearsfromthedateofinstallationofalltypesofPrinters
Comprehensive onsite warranty for 1 year from the date of installation of External Optical Drive,
8/16/32GBUSBPenDrive,Web/DigitalCamera,500GB/1TB/2TBUSBHDD.

Thebiddershallguaranteea95%uptimeofcomputersystems/peripherals.
35.3
If any computer systems/s gives continuous trouble, say more than 3 times in one month during the
warrantyperiod,thebiddershallreplacethesystemswithnewsystemwithoutanyadditionalcostto
thepurchaser.

Maintenance service: Free maintenance services shall be provided by the Bidder during the period of
warranty.

Duringwarrantyperiod,ifthecomplaintisnotresolvedwithin48hrsthepenaltyofRs.500perdayfor
Server or NOS and within 72 hrs for nodes and terminals, the penalty of Rs. 300 per day and for
Peripherals or networking components the penalty of Rs. 200 per day will be levied. However, if the
complaintsnotresolvedwithin7daysthenfrom8thdayto14thday,penaltywouldbelevied@150%
andfrom15thdayonwardspenalty@200%oftheaboverateswouldbelevied.Theamountofpenalty
willberecoveredfromthePerformancebankguaranteeduringwarrantyperiod.
Itisexpectedtheaveragedowntimeoftheitem(system)willbelessthanhalfthemaximumdowntime.
Incaseanitemisnotusablebeyondthestipulatedmaximumdowntimethebidderwillberequiredto
arrange for an immediate replacement of the same till its is repaired. Failure to arrange for the
immediaterepair/replacementwillbeliableforpenaltyofRS.500perdayforserverandRS.300perday
fornodesandterminalsandRs.200perdayforPeripheralsornetworkingcomponents.Theamountof
penaltywillberecoveredfromthePerformancebankguaranteeduringwarrantyperiod.

TheBidder/SystemIntegratorwillberequiredtocoordinatewithsoftwarevendorand/ordoliasioning
with other service provider to achieve the endtoend connectivity. This also includes Server OS
configurationwithrespecttoLAN/WANtechnologiesimplementation.
36. Payment:PaymentforGoodsandServicesshallbemadebytheIndentingDepartmentinIndianRupeesasfollows:

90%paymentaftersuccessfulinspectionanddeliveryoftheorderedgoods.Theinspectionwillbe

37. GIL reserves the right to change any bid condition of any item even after inviting the bids, with/without prior
notification.
38. GILsRighttoacceptanyBidandtorejectanyorallBidsGILreservetherighttoacceptorrejectanybid,andto
annulthebiddingprocessandrejectallbidsatanytimepriortoawardingtheContracts,withouttherebyincurring
anyliabilitytotheaffectedBidderorbiddersoranyobligationtoinformtheaffectedBidderorbiddersofthegrounds
forsuchdecision.
39. Asthisisaratecontract,thequantitymentionedinthebidisunit.Duringtheperiodofratecontract,anyGovt.office
can not place the purchase order of any equipment (finalized under this Rate Contract) for more than 1000 no.s.
Underthecircumstances,ifanyGovt.office,wanttoprocuremorethan1000no.sofequipment,thentheyneedto
sendindentformatGIL,GILreservesrighttoeitherfloatclosebidinquiryamongempanelledvendorsunderthisRate
ContractORfloatseparatetenderinquiry.
Duringtheperiodofratecontract,theempanelledvendorwillhavetoacceptpurchaseordersduringthevalidityof
ratecontractperiod.AsperbidfloatedbyGILinpast,normallyfromtypicalbid510servers,30005000desktops,
20003000printers,1050DMPprintersand10002000UPSarebeingprocured(thisisforestimationpurposeonly).
Thequantityisonlyindicativeforreferencepurpose&itdoesnotgiveguaranteefororder.

41. Limitation of Vendors Liability: Notwithstanding anything contained in the Contract, Vendors liability
will be only for actual direct damages and shall be capped and limited to
doublethechargesortheamountspaidordueandpayabletoVendorfortheServicesthatarethesubjectofthe
claim.
42. FALLCLAUSE:
ThepriceschargedforthematerialsuppliedundertheRatecontractbythebiddershallinnoeventexceedthelowest
price at which the bidder sells the material or offer to sell material of identical description to any
person(s)/organization(s)includingthePurchaseroranyDepartmentoftheCentralGovernmentoranyDepartment
ofaStateGovernmentoranystatutoryundertakingoftheCentraloraStateGovernment,asthecasemaybe,during
theperiodtillperformanceofallSupplyOrdersplacedduringthecurrencyofRateContractiscompleted.
If at any time during the said period, the Bidder reduces the Sale price, sells or offers to sell such material to any
person(s)/organization(s)includingthePurchaseroranyStatutoryundertakingoftheCentraloraStateGovernment,
as the case may be, at a price lower than the price chargeable under this Contract, he shall forthwith notify such
reductionorSaleorofferofSaletoGIL/IndentingDept.andthepricepayableundertheContractforthematerial
suppliedafterthedateofcomingintoforceofsuchreductionorsaleorofferofsalestandcorrespondinglyreduced.
Theabovestipulationwill,however,notapplyto:

Sale of goods at lower price on or after the date of completion of sale/placement of order of goods by the
authorityconcerned,undertheexistingorpreviousRateContractsasalsounderanypreviouscontractsentered
intowiththeCentralortheStateGovernmentDepartmentsincludingnewundertakings(excludingjointsector
companiesandorprivateparties)andbodies
43. ForceMajeureShallmeanandbelimitedtothefollowing:
a)
War/hostilities
b)
RiotorCivilcommotion
c)
Earthquake,flood,tempest,lighteningorothernaturalphysicaldisaster.
d)
RestrictionsimposedbytheGovernmentorotherstatutorybodieswhichpreventsordelaysthe
executionoftheorderbytheBIDDER.
TheBIDDERshalladviseGILbyaregisteredletterdulycertifiedbythelocalstatutoryauthorities,thebeginning
and end of the above causes of delay within seven (7) days of the occurrence and cessation of such Force
MajeureConditions.Intheeventofdelaylastingovertwomonths,ifarisingoutofcausesofForceMajeure,GIL
reservestherighttocanceltheorder.
CompletionperiodmaybeextendedtocircumstancesrelatingtoForceMajeurebytheGIL.Biddershallnotclaim
anyfurtherextensionforcompletionofwork.GIL/GoGshallnotbeliabletopayextracostsunderanyconditions.
TheBIDDERshallcategoricallyspecifytheextentofForceMajeureconditionsprevalentintheirworksatthetime
ofsubmittingtheirbidandwhetherthesamehavebeentakenintoconsiderationornotintheirquotations.In
theeventofanyForceMajeurecause,theBIDDERshallnotbeliablefordelaysinperformingtheirobligations
underthisorderandthedeliverydatescanbeextendedtotheBIDDERwithoutbeingsubjecttopricereduction
fordelayeddelivered,asstatedelsewhere.
It will be prerogative of GIL/GoG to take the decision on force major conditions and GIL/GoG decision will be
bindingtothebidder.
44. TheClarificationsmustbesubmittedinwritingatGILatleast10daysbeforethesubmissiondate.Thereafterthe
clarificationsreceivedfromthebidderswillnotbeentertained.

THECONDITIONSofthisobligationare:
1. TheE.M.D.maybeforfeited:
a. ifaBidderwithdrawsitsbidduringtheperiodofbidvalidity
b. Doesnotacceptthecorrectionoferrorsmadeinthetenderdocument;
c. IncaseofasuccessfulBidder,iftheBidderfails:
(i)TosigntheContractasmentionedabovewithinthetimelimitstipulatedbypurchaseror
(ii)Tofurnishperformancebankguaranteeasmentionedaboveor
(iii)Ifthebidderisfoundtobeinvolvedinfraudulentpractices.
(iv)Ifthebidderfailstosubmitthecopyofpurchaseorder&acceptancethereof.
WeundertaketopaytotheGIL/Purchaseruptotheaboveamountuponreceiptofitsfirstwrittendemand,without
GIL/Purchaserhavingtosubstantiateitsdemand,providedthatinitsdemandGIL/Purchaserwillspecifythatthe
amountclaimedbyitisduetoitowingtotheoccurrenceofanyoftheabovementionedconditions,specifyingthe
occurredconditionorconditions.
ThisguaranteewillremainvaliduptothevalidityofRateContract+90days.TheBankundertakesnottorevoke
thisguaranteeduringitscurrency withoutpreviousconsentoftheOWNER/PURCHASERandfurtheragreesthat
the guarantee herein contained shall continue to be enforceable till the OWNER/PURCHASER discharges this
guarantee
TheBankshallnotbereleasedofitsobligationsunderthesepresentsbyanyexercisebytheOWNER/PURCHAER
ofitsliabilitywithreferencetothemattersaforesaidoranyofthemorbyreasonoranyotheractsofomissionor
commissiononthepartoftheOWNER/PURCHASERoranyotherindulgenceshownbytheOWNER/PURCHASER
orbyanyothermatterorthings.

liabilitywithreferencetothemattersaforesaidoranyofthemorbyreasonoranyotheractsofomissionorcommission
onthepartoftheOWNER/PURCHASERoranyotherindulgenceshownbytheOWNER/PURCHASERorbyanyothermatter

TheBankalsoagreethattheOWNER/PUCHASERatitsoptionshallbeentitledtoenforcethisGuaranteeagainsttheBank
