VISION AND APPLICABILITY

This Code of Ethics and Professional Conduct describes the expectations that we have of ourselves. It
articulates the ideals to which we aspire as well as the behaviors that are mandatory in our professional and
volunteer roles.
The purpose of this Code is to instill confidence and to help us become a better practitioner. We do this by
establishing a profession-wide understanding of appropriate behavior.
We believe that the credibility and reputation of a profession is shaped by the collective conduct of his
practitioners.
We believe that we can advance our profession, both individually and collectively, by embracing a Code of
Ethics and Professional Conduct. We also believe that this Code will assist us in making wise decisions,
particularly when faced with difficult situations where we may be asked to compromise our integrity or our
values.
Our hope that this Code of Ethics and Professional Conduct will serve as a catalyst for others to study,
deliberate, and write about ethics and values. Further, we hope that this Code will ultimately be used to
build upon and evolve our profession.

Our Company
EDS USA LLC is a specialized project development and consulting firm that focuses on the
development and financing of renewable energy projects in emerging markets, with a particular
focus on Africa.
EDS management team has completed more than 5000 MWs of energy projects in all parts of the
globe, including more than 1000 MWs of clean and renewable energy projects. Our current
projects include developing and providing technical advice and assistance on more than 50 MWs of
solar PV projects in Cameroon and Senegal, with an additional pipeline of projects in other parts of
Sub-Saharan Africa.
In addition to developing and financing our own projects, EDS provides specialized technical and
financial advisory services to governmental entities, parastatal companies and private sector
companies with respect to the development and financing of renewable energy projects throughout
Africa.
Our consulting services typically include:
Technical review and analysis of a project, which includes undertaking technical audits,
Demand studies and project feasibility studies;
Economic review and analysis of the project to determine the economic viability and
sustainability of the project;
Financial review and analysis of the project, including financial structuring of the project and
determining the availability of debt and equity financing for the project and assisting in their
sourcing;
Regulatory review and analysis of the project, working in conjunction with the projects legal
advisor;
Environmental review and analysis of the project (working in conjunction with a reputable
local environmental consultant) in order to determine the projects environmental impact
and the projects environmental compliance with applicable legal and policy requirements;
Developing a tailored project risk management plan, which includes: project risk
identification, qualitative risk analysis, quantitative risk analysis, risk response planning, and
risk mitigation (during the project life cycle); and

Developing a project management plan and implementation strategy.

Company Management
Sanjoy K. Bose Director and General Counsel
Sanjoy has more than 20 years of hands-on experience in project development and finance and has
worked on more than 40 major energy and infrastructure projects in all parts of the globe. As lead
counsel, Sanjoy was responsible for structuring, drafting and negotiating all the key project and financing
agreements, including PPAs/ offtake agreements, concession and implementation agreements, EPC contracts,
procurement and vendor supply agreements, project management agreements, fuel supply/feedstock agreements,
O&M agreements, site acquisition/lease agreements, shareholders agreements, sponsor support agreements and
loan and security agreements.
Over the course of his career, Sanjoy has worked on almost every major type of energy and infrastructure project
(including hydro power projects, solar power projects, thermal power projects, cross-border transmission facilities,
oil and gas projects, ports, toll-roads, aircraft and ship financing transactions and railroad projects). During the
past 7 years, Sanjoy has focused on the development and financing of renewable energy projects in Africa, Europe,
the United States and Asia.
Sanjoy has extensive experience working with investors, commercial banks and international financial institutions
in developing risk mitigation strategies to minimize project-specific risks, such as credit risks, technology and
market risks, construction and completion risks, operations and performance risks and legal, political and
regulatory risks related to energy and infrastructure projects.
Sanjoy is the Managing Partner of Heenan Paris LLP in Washington, DC, which is an independent law firm that
specializes in energy, infrastructure and natural resources projects in Africa.

Sanjoy speaks English, French and Hindi .

Cyril Perrotey Executive Director
Cyril has more than 15 years of hands-on project management experience in a wide variety of industrial
and public sectors and for projects located in all parts of the world.
As a PMP certified member (ID 1700297) of the Project Management Institute, he is an expert in project risk
identification and developing risk mitigation strategies.
Over the past 6 years, Cyril has successfully developed and managed more than 100 MWs of renewable energy
projects from the inception stage to commissioning and operation with several major international companies. In
parallel, he has been also advisor for several public administrations such as French Senate, French Army (MRAI
and Arme de Terre), local French Administrations and cities for 4 years.
He is an active member of PMI (Project Management Institute) and the chapters of Milwaukee and Canadian West
Coast and France.
He is also involved in the Project Risk Community of Practice Management, the Utility Industry Community of
Practice, the Global Sustainability Community of Practice and the Ethics in Project Management community of
Practice.

Sid Sengupta Technical Director
Sid has over 20 years of experience in Solar Photovoltaic (PV) Energy in Africa, Asia, the Middle East
and Europe. Sids extensive solar industry experience includes utility scale grid connected PV projects
and off-grid rural electrification projects in Africa and Asia, grid connected PV projects in Europe and industrial
off-grid PV projects in the Middle East.
Sid has a strong track record of developing solar solutions for various off grid and grid connected applications. He
has hands-on experience of developing and implementing solar PV solutions in remote areas for rural
electrification and commercial purposes in developing and lesser developed countries. Sid is located in India
operating EDS USA LLC India office.
