Ladies/Gentlemen:
We, the undersigned, offer to provide the consulting services for Regular Design
Services for the Proposed Cebu Arena in accordance with your Request for Proposal (RFP)
dated February 4, 2014 and our Proposal. We are hereby submitting our Proposal, which
includes this Technical Proposal, and a Financial Proposal sealed under a separate envelope.
If negotiations are held during the period of validity of the Proposal, i.e., before
February 4, 2014 we undertake to negotiate on the basis of the proposed staff. Our Proposal
is binding upon us and subject to the modifications resulting from Contract negotiations.
In accordance with ITC Clause Error: Reference source not found and GCC Clause
Error: Reference source not found we acknowledge and accept the Entities right to inspect
and audit all records relating to our Proposal irrespective of whether we enter into a contract
with the Entity as a result of this proposal.
We understand you are not bound to accept any Proposal you receive.

WHEREAS, M and N Architects who are established and reputable providers of consultancy
services in the field of Architecture do hereby solemnly swear that
None of our authorized officers, employed staff, sub-contractors, Consultants or any other
party forming or having any direct or indirect relationship with M and N Architects are
related to the head of the PROCURING ENTITY by consanguinity or affinity up to the third
civil degree or and to the same degree, any of the PROCURING ENTITYs officers or
employees having direct access to information that may substantially affect the result of the
bidding, such as, but not limited to, the members of the Bids and Awards Committee (BAC),
the members of the Technical Working Group, the BAC Secretariat, the members of any
Project Management Office initiating the procurement, and the designers of the project.
We understand and accept that any false statement in this respect shall render M and N
Architects and its authorized officers liable for prosecution to the full extent of the law.

TPF 2. Form of Bid Security (Bank Guarantee)

Applicable to GOP funded procurement alone
WHEREAS, M and N Architects (hereinafter called Consultant) has submitted its
proposal dated February 4, 2014 for the supply of the Proposed Cebu Arena (hereinafter called
the Proposal).
KNOW ALL MEN BY THESE PRESENTS:
That WE Bank of the People Sovereignty of Spain, having our registered office at 712
Rosa Street, Madrid, Spain (hereinafter called the Bank), are bound unto Archt. Neil Andrew
U. Menjares (hereinafter called the Entity) in the sum of Php 50,000,000.00 for which
payment well and truly to be made to the said Entity, the Bank binds itself, its successors, and
assigns by these presents. Sealed with the Common Seal of the said Bank this 4th day of
February 2014.
THE CONDITIONS of this obligation are:
1.

If the Consultant withdraws its Proposal during the period of Proposal Validity specified by
the Consultant on the Technical or Financial Proposal Submission Form.

2.

If the Consultants fails to provide those experts named in their Proposal pursuant to ITC
Sub-Clause Error: Reference source not found.

3.

If the Consultant, having been notified of the acceptance of its Proposal by the
PROCURING ENTITY during the period of Proposal Validity.
(a)

fails or refuses to execute attend negotiations, if required; or

(b)

fails or refuses to furnish the performance security, in accordance with GCC Clause
Error: Reference source not found.

WE undertake to pay to the Entity up to the above amount upon receipt of its first written
demand, without the Entity having to substantiate its demand, provided that in its demand the
Entity shall note that the amount claimed by it is due to it, owing to the occurrence of any of the
three conditions, specifying the occurred condition or conditions.
This guarantee shall remain in force up to and including thirty (30) days after the period of
Proposal Validity, and any demand in respect thereof should reach the Bank not later than the
above date.
