WITHNESSETH:

WHEREAS

FIRST PARTY has an existing Mining and Hauling ContractAgreement
with
MARK VENTURES DEVELOPMENT CORPORATION,
located at Cantilan, Surigao
Del Sur and to fulfill the provisionoftheContract,
FIRST PARTYdesires to lease
DUMP
TRUCKS,BACKHOES
and
OTHEROPERATINGEQUIPMENT
fromthe
SECONDPARTY.

WHEREAS,
the
SECONDPARTY
providesfacilities,managesandowns
UNITSOFDUMP
TRUCKS with minimum of 17 cubic meter dump box and
BACKHOES and
OTHER
OPERATINGEQUIPMENT
andwillingtoleasethesameto
FIRSTPARTY.

NOW THEREFORE,
for and inconsideration oftheabovepremises,

have agreed to enter into a
VEHICLE LEASE AGREEMENT of NICKEL ORE
at Cantilan,

All of the above-mentioned rates are inclusiveof fuel, salaries, withholding taxes

SECONDPARTY shall submitBillingevery 15

SECONDPARTY and the
FIRST PARTY shall agreeonmethodshowto verify
the accuracy and truthfulness of the cubic meters deliver and hours used of the
equipments.

FUEL

The
SECONDPARTYmayavailofthefuelsupplyofthe
FIRSTPARTYandthecost
of which shall be automatically deducted in full from the Billingsubmitted and duethe
SECOND PARTY
. The
FIRST PARTY shall absorb the additional cost of dieselfuelover
andaboverangesfromP35.00pesosperliter.

RELATIONSHIP

The
FIRSTPARTY is not inany wayresponsible to theoperators, drivers, helpers,
and all persons working with the
SECOND PARTY and the
SECOND PARTY frees and
releases the
FIRST PARTY
. Its incorporators, directors, officers, and
successors-in-interest fromany harm liability, suits,actions,arisingfrom suitsrelativeto
the services rendered, compensation, contracts, and non-payment of social benefits
andallsociallegislations.
PRIORITY

The
SECONDPARTY must give priorityto the membersof theindigenous people
inhiringitsemployeeswheneverappropriateandavailable.

DILIGENCE

The
SECOND PARTY
all its employees must observe and exercise the
extraordinary diligenceofa good father of thefamily topreventharmtoallpersonsand
damagetotheequipmentofthe
FIRSTPARTY
andthirdpersons.

COMPLIANCE

All personsemployedbythe
SECONDPARTYmustatalltimesadheretotherules
andregulationsimposedandsetforthbythe
FIRSTPARTY
.

PRIORNOTICE

The
SECOND PARTY shall servewritten notice to the
FIRST PARTYin case it will
pulloutanydumptruckatleast(30)dayspriortothepulloutofthedumptruck.

Thiscontractmaybeamendedorterminatedduetothefollowingreasons;

a) Cessationofbusinessorbankruptcy
b) Civilwarorhostilities
c) Forcemajeureorcircumstancesbeyondthecontrolofeitherorbothoftheparties
d) Mutualagreement
e) Forcauseand/orconsistentpoorperformance

In case of poor performance, the

FIRST PARTY shall issue a written warning tothe
SECOND PARTY after an assessment that the performance and the
SECOND PARTY
parwiththestandardofthe
FIRSTPARTY
.

In the event that the

SECOND PARTY fails to make improvement, the
FIRST PARTY
shall issue a written
FINAL WARNINGandif despite the
FINAL WARNINGthe
SECOND
PARTY
failstoimprove,the
FIRSTPARTY
shallhavetheoptiontoterminatetheContract.
