KNOW ALL MEN BY THESE PRESENTS:
The undersigned incorporators, all of legal age and majority of whom are residents of the
Philippines, have this day voluntarily agreed to form a non stock and non profit association under
the laws of the Republic of the Philippines.
THAT WE HEREBY CERTIFY:
FIRST: The name of the said association shall be:
ELJER WOOD PRODUCTS INC.
SECOND: A. That the purpose or purposes for which such association is incorporated are:
1. To engage in the business of buying, manufacturing/processing and selling of lumber such as
mahogany.
2. To sell processed mahogany for local and export.
3. To sell waste of production such as charcoal,boxes and firewood.
B. That the corporation has all the express powers of a corporation as provided for under section 36 of
the Corporation Code of the Philippines.
THIRD: That the place where the principal office of the association is to be established is at:
Pagahan,Initao,Misamis Oriental
FOURTH: That the term for which the association is to exist is fifty (50) years from and after the date
of issuance of the certificate of incorporation.
FIFTH: That the names, nationalities, and residences of the incorporators of the association are as

100,000) pesos in lawful money of the Philippines, divided into 1,000 shares with a par value of P 100
pesos per share.

NINTH: That no transfer of stock or interest which would reduce the ownership of Filipino Citizens to
less than the required percentage of capital stock as provided by existing laws shall be allowed or
permitted to be recorded in the proper books of the corporation and this restriction shall be indicated in
all the stock certificates issued by the corporation.
TENTH: That _____Nelacita Carrillo___ has been elected by the subcribers as Treasurer of the
association to act as such until his/her successor is duly elected and qualified in accordance with the
by-laws; and that as such Treasurer, he / she has been authorized to receive for and in the name and for
the benefit of the corporation, all subcriptions paid in by the subcribers.
ELEVENTH: That the incorporators undertake to change the name of the corporation immediately
upon receipt of notice or directive from the Securities and Exchange Commission that another
corporation, partnership or person has acquired a prior right to the use of that name has been declared
misleading,deceptive, confusingly similar to registered name, or contrary to public morals, good
customs or public policy.
