TERMS AND CONDITIONS

1.THESE TERMS CONTROL AGREEMENT. Buyer's purchase order will confirm acceptance of Fluke's offer to deliver goods and or services according to the quoted price.
Any of the terms or provisions of the Buyer's order which are inconsistent with or in addition to the terms and conditions contained herein shall not be binding on either party unless
expressly accepted in writing by Fluke's authorized representative. Acceptance by Buyer of the goods and or services delivered hereunder shall constitute acceptance of these terms
and conditions. Fluke's failure to object to any provision contained in communication from

2.DELIVERY AND RISK OF LOSS. Delivery shall be FOB point of origin, and title and risk of loss shall pass to Buyer when the products are delivered to the Carrier unless otherwise
agreed to in writing by Fluke. Upon request by Buyer, Fluke shall prepay freight and insurance and invoice Buyer for such costs. Insurance coverage for international shipments may
be provided upon request for a fee.

3.PAYMENT. Fluke payment terms, conditioned on approved credit, are NET 30 days from date of invoice unless otherwise stated in writing by Fluke. Fluke specifically reserves the
right to modify the payment terms provided herein if, in Fluke's opinion, the payment record or financial condition of Buyer so warrants. Late payments shall be subject to a charge of
1% interest per month on the unpaid balance.

4.TAXES. The prices stated are exclusive of any tax or duty now or hereafter imposed upon the production, storage, sale, transportation or use of the products described herein.

5.CANCELLATION. It is understood that orders placed pursuant to this agreement may not be cancelled or rescheduled without Fluke's written consent and shall be subject to
cancellation charges determined by Fluke All international orders shall be contingent upon approval of export licenses required by the United States Government.

6.EXCUSABLE DELAYS. Time of delivery is based upon a corresponding promise of delivery by Fluke's suppliers, and Fluke shall not be liable in case of delays or failure to deliver
on the part of Fluke's suppliers. Fluke shall not be liable for non delivery or delay in performance of this order when such delay is directly or indirectly caused by or in any manner
arises from fires, floods, accidents, riots, war, governmental interference or embargoes, strikes or shortage of labour, or other difficulties (whether or not similar in nature to any of those
specified) beyond its control. Delivery on this order shall be deemed to be suspended so long as any such causes delay performance. Fluke agrees to make, and Buyer to accept,
deliveries whenever such causes have been remedied.

7.SOFTWARE. Title to the ordered software shall always be in Fluke or its suppliers. Fluke grants a perpetual, nonexclusive license to Buyer to use such software on a single unit of
product. The license may be terminated if Buyer discloses the software to others without Fluke's consent. Back-up copies of the software may be made and Buyer may sublicense the
software along with the transfer of said single unit of product.

8.WARRANTY AND LIMITATION OF LIABILITY. Fluke warrants that its products will be free from defects in material and workmanship under normal use and service. The warranty
period is controlled by the warranty document furnished with each product, beginning on the date of shipment. This warranty extends only to the original purchaser and does not
apply to fuses, batteries, or to any instrument which in Fluke's opinion has been misused, altered, abused or subjected to abnormal conditions of operation or handling. Fluke warrants
that software will operate on appropriate. Fluke instruments substantially in accordance with its functional specifications for 90 days. Fluke further warrants that the software has been
recorded on non-defective media. Fluke does not warrant that it will be error free or operate without interruption. Fluke's obligation under this warranty is limited to repair or
replacement or refund of the purchase price of a product which is returned to an authorized. Fluke Service Center within the warranty period and which is determined, upon
examination by Fluke, to be defective.

To obtain warranty service, contact your nearest Fluke Service Center or send the product, with a description of the difficulty, Postage and insurance prepaid, to the nearest
Fluke Service Center Fluke assumes no risk for damage in transit. At its option, Fluke will repair or replace the defective product free of charge or refund the purchase price. If Fluke
determines that the failure was caused by misuse, alteration, accident or abnormal condition of operation or handling, Fluke will provide an estimate of repair costs before
commencing the work. Fluke will then repair the product, bill the purchaser and return the product transportation prepaid.

THIS WARANTY IS PURCHASER'S SOLE AND EXCLUSIVE REMEDY AND IS IN LIEU OF ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED
TO ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE

9.DISCLAIMER. FLUKE SHALL NOT BE LIABLE FOR ANY SPECIAL, INDIRECT, INCIDENTAL OR CONSEQUENTIAL DAMAGES OR LOSSES, INCLUDING LOSS OF DATA,
WHETHER ARISING FROM BREACH OF WARRANTY OR BASED ON CONTRACT, TORT, RELIANCE, OR ANY OTHER THEORY.

10. GENERAL. This agreement is not assignable without prior approval of Fluke. If any of the terms or provisions of this agreement shall be declared in violation of law, the remaining
terms and provisions shall remain in full force and effect. This agreement shall be governed by the laws of the Republic of Singapore.
