Website Good Pello General License Agreement

This License is the agreement with the end users (You) using Good Pello Website (Good Pello).
Prior to using this product, please carefully read the following Terms and Conditions. Your use of this
product shall be deemed as your agreement to the user License and Warranty.

COPYRIGHT AND OWNERSHIP

The copyright and ownership of all digitized visual elements (texts, pictures, illustrations, figures, graphs,
formats, templates and etc.) (Content) included in products and content provided and sold by Good Pello
belong to Good Pello and content license owners and content providers. Illegal reproduction, download
and use of all content for other purposes not approved by this License are banned. Such violations shall be
punished according to the relational statute.
IMAGE COPYRIGHT AND OWNERSHIP
Image source copyright for photo images provided in templates is owned by 123RF. Good Pello shall
not be liable for any legal disputes arose due to reuse and reprocessing of photo images beyond the
range of use.
TYPES OF LICENSE
There are two ways to obtain the license of Good Pello content: general license and extended license.
Single-item purchase and fixed plan purchase of Good Pellos content fall into general license agreement.
Even if you have purchased content through single-item purchase or fixed plan, you need to obtain
extended license if you wish to be granted with rights beyond the range of use regulated by the general
license.

ITEMS OF LICENSE
A. Content to which the general license is applied are subject to the followings:

Duplication of the content provided by Good Pello is permitted only for data backup.

All content can only be used for a single purpose and for a single client.

In the event of online deployment, the file shall be converted into PDF format so as to
prevent any modification.

Content are allowed to be reproduced as printouts.

When using for lecture program, you may distribute the content only in non-editable
PDF format and printouts.

You may share the content only for single lecture purposes.

B. Corporate use of content to which general license is applied are subject to the followings:

Content are allowed to be used only for projects contracted in the name of the
corporation that the buyer belongs to or in the name of the buyer (or corporate buyer).

Content are allowed to be distributed only for the purpose of single internal
collaboration.

PARTICULARS OF PROHIBITION
The followings are strictly prohibited for the use of all content provided by Good Pello. Good Pello
shall not be responsible for any disputes related to this or disputes arising with the third party due to
the use of content.
A.

All content provided by Good Pello are limited to be used only in a file format and a printout
format of the same file. Sources and images used in content cannot be extracted for use.

B.

Images and other sources in the purchased content cannot be extracted and used in other
presentation templates.

C.

Images and other sources in the purchased content cannot be extracted and used in design
works for anything other than presentation.

D.

Sharing of the content on multiple computers, including network computers, without prior
approval form Good Pello is strictly forbidden.

E.

No part of the content can be sold, re-sold, distributed, leased, rented, duplicated, or
transferred with payment to a third party.

F.

No part of the purchased content can be used as logos, symbols, trademarks, service marks
or for similar purposes.

G.

Content provided by Good Pello is allowed to be used for the purpose of presentation only
and not allowed to use for the purposes relevant to each of the followings which are not
specified in this License Regulations:

Exposing on TV commercials, newspapers, or media companies

Using purchased contents for online video lecture program

LICENSE FOR EDITING

A.

You are allowed to edit the content Youd purchased within the range of use in accordance
with this clause.

B.

Registration and sales of intellectual property rights of the secondary creative works based
on the content are prohibited.

PERIOD OF CONTENT USE

A.

Content purchased through single-item purchase or fixed plan can be used for one time only.

B.

Content are subject to permanent use on the premise of a single use purpose for a single
client.

DUPLICATION, AMENDMENT, ILLEGAL USE OR RETURN

Copyright owner of the content may claim compensation for damages for any use beyond the range
of use specified above or illegal use.
A. Unlawful reproduction or use of the reproduced content shall be considered as intended
copyright infringement in pursuant to the copyright law and relevant regulations. Once
recognized for such act, you shall be charged a penalty of 300 times the normal purchase
price of the relevant content.
B. All the content provided for preview purposes shall not be used for profit-making purposes
unless approved by Good Pello.
C. Content you purchased from Good Pello shall not be returned due to the nature of the
digitized products. However, Good Pello shall ensure re-download of the content after
internal review when errors of irrecoverable damages were found in the contents.
D. You shall not request Good Pello to provide re-download or exchange (return) for any
issues or problems caused by your fault or mistakes, such as deletion of contents due to
computer errors, after the re-download period.

PORTRAIT RIGHTS
Good Pello may not hold portrait rights of all photo images included in the content on sale. For the
relevant rights, you shall acquire an additional permission individually prior to the use. The price for
content use does not include the cost required for such permission, and you may have to pay
additional costs for portrait rights of some images. Good Pello shall not be responsible for any
disputes arose with the third-party regarding this right.

OBSERVANCE OF CONSTRAINTS FOR CONTENT USE

You are obligated to observe constraints intended to protect copyright of the content provided by

Good Pello. Please make sure to check the constraints prior to use since all Good Pellos content have
constraints relevant to the content specified.
LIMITATIONS OF WARRANTY
A.

Good Pello does not guarantee completeness or perfection of the message or features of the
content.

B.

The output of the content may vary depending on special environment, user experience and
abilities.

C.

In case of any direct or indirect losses incurred to You due to defect of the content itself,
Good Pellos monetary compensation shall not exceed the amount of the payment made for
the content purchased. However, any copyright related issues shall require additional
consultation.

D.

The basic warranty period for content is one (1) year. However, if theres particular warranty
period, this shall apply.

INDEMNITY
A.

Good Pello as well as Good Pellos executive officials, employees, partners and agents shall
not be held responsible for any consequences, accidents and losses occurred due to the use
of content provided by Good Pello.

B.

You hereby agree that You will not shift the responsibility on to Good Pello and protect Good
Pello against any damages from all objections, compensations and all corresponding
expenses including attorneys fees and etc., which can possibly incur in connection with your
breach of the License, abuse of content and combined use of content.

DISPUTE SETTLEEMENT AND JURISDICTION

A.

Any undecided or unclear items in this Agreement shall be settled by both parties through
consultation, and both parties shall mutually agree to resolve any disputes arising in good
faith.

B.

Any disputes arising between You and Good Pello shall be settled by the courts of the district
in which Good Pellos headquarter is located (Seoul Southern District Court, Republic of
Korea).

CONSENT PRINCIPLES
You hereby acknowledge that You have read and understood the regulations on the License, and You
may request legal consultation prior to your consent. You hereby agree that the License substitutes all
communication between You and Good Pello regardless of written or verbal.

MISCELLANEOUS
For any matters(items) acknowledged as necessary in addition to the regulations stated in the License,
Both parties may amend or enter into additional license agreement under mutual consent.
Appendix
(Effective date) This Agreement shall come into effect starting April 16, 2014.
(Revision date) This revised Agreement shall come into effect starting October 15, 2015.
