TERMS AND CONDITIONS OF SALE

ARTICLE I - GENERAL
These Terms and Conditions of Sale constitute the contractual and inseparable base of all sales made by STANDARD
INDUSTRIE, and form, with all sales contracts entered into,
an indivisible whole.
As this document is a framework contract within which all
future sales contracts to be entered into will be inserted,
every order automatically implies the full and complete acceptance by the buyer, without reservation, of these Terms
and Conditions of Sale, which renounce any possible Terms
and Conditions of Purchase.
Any renunciation by STANDARD INDUSTRIE of one or
several clauses of these Terms and Conditions of Sale will
have no effect on the validity of any of the other clauses.
The fact that STANDARD INDUSTRIE does not insist
on the application on a particular occasion of any one of
these Terms and Conditions of Sale may not in any way be
interpreted as an acceptance that they will not so insist at

buyer, the need for packaging and the type of packaging is
at the discretion of STANDARD INDUSTRIE. The cost of
the packaging is always borne by the buyer and is not taken
back by STANDARD INDUSTRIE. If the buyer wishes to
decide on his own packaging or to choose a company to
be responsible for the packaging, STANDARD INDUSTRIE
can not be held responsible for any damage due to faulty or
unsuitable packaging.

Delivery times are given as an indication only. Any delay will
not give rise to the payment of penalty charges, or any other

ARTICLE VI - INTELLECTUAL PROPERTY RIGHTS
The trade marks under which our products are sold are the
exclusive property of our company. Their use in any form
whatsoever by our customers, is dependent on the express
authorisation of STANDARD INDUSTRIE. STANDARD
INDUSTRIE retains the whole of the intellectual property
rights to all studies, drawings and documents relating to the
equipment sold. They can neither be used, nor copied, nor
reproduced, nor transmitted, nor communicated or given to
third parties without the written authorisation of STANDARD

By express agreement, STANDARD INDUSTRIEs
responsibility will in all cases be limited to the value of the
equipment invoiced.
With the exception of any damages liable to result in a
claim against any insurance policies which may have been
taken out by STANDARD INDUSTRIE, the right of redress
of the buyer will be limited, all causes put together, to the
lesser of the two following sums: the price of the order, excl
tax, or an amount limited to a maximum of thirty thousand
euros ; the buyer waives all other rights to recourse against
STANDARD INDUSTRIE for all other sums.
The relinquishment to recourse mentioned in the paragraphs above applies to agents of the buyer as well as to
any sub-buyer, co-contractor, or sub-contractor, the buyer
being obliged to inform them as necessary.
STANDARD INDUSTRIE can, under no circumstances, be
held responsible for the incorrect use of the products sold,
nor for the consequences of their being used for any other
purpose than that for which they are normally supplied. It is
the responsibility of the user to put in place all necessary

ARTICLE XVII - REPAIRS
Any equipment to be repaired should be forwarded or
despatched to the workshops of STANDARD INDUSTRIE
or their representative, at the costs, risks and hazards of the
customer. The return to the customer, after repair, is carried
out under the same conditions. If the repair is carried out
where the equipment is in use, living and travel expenses
will be invoiced in addition to those of the parts and labour
supplied.
ARTICLE XVIII - USE OF THE NAME AND THE
IMAGES OF THE CUSTOMERS SITE FOR REFERENCE
The customer authorizes, for commercial and reference
purposes, the use of its name and all images taken on its
site for all media prepared by the STANDARD INDUSTRIE
group. In the absence of express refusal by the customer
within a month, that silence will constitute acceptance.
ARTICLE XIX - LANGUAGE
By express agreement, the language of this contract is the
French language, notwithstanding any translation into a
foreign language.
ARTICLE XX - APPLICABLE LAW
These Terms and Conditions of Sale constitute a framework
contract. All sales or contractor services will be exclusively
governed by French law.
ARTICLE XXI - JURISDICTION
Any litigation resulting from the interpretation or execution
of these Terms and Conditions of Sale notwithstanding
any possible conditions of purchase, supply and logistics,
and, more generally, any document issued by the buyer
including contrary clauses, will be subject exclusively to the
Tribunal de commerce de Lille Mtropole (France), notwithstanding a multiplicity of defendants, summary judgments,
or warranty appeals, whatever the conditions of sale and
method of payment agreed.
