RULE I

DEFINITION OF TERMS. In order to have uniform interpretations, the

following terms shall be defined, thus:

a. Annual General Assembly Meeting (or AGAM) refers to the

yearly gathering of the full membership of the Federation as
mandated under the law rules, and By-Laws, at the date specified in
the latter;
b. Audit Committee refers to the committee directly elected by the
General Assembly mandated to audit the performance and monitor
the adequacy and effectiveness of the Federations management
and control systems;
c. Authority refers to the Cooperative Development Authority
(CDA);
d. Board of Directors refers to the collegial body responsible for
the strategic planning, direction-setting and policy-formulating
activities of the Federation;
e. Code refers to Republic Act No. 9520, otherwise known as the
Philippine Cooperative Code of 2008;
f. Electric Cooperative refers to the Member-Electric Cooperative
(M-EC) of the Federation;
g. Election refers to the process of choosing the Members of the
Board of Directors, Audit Committee and the Election Committee by
secret balloting;
h. Election Committee refers to the committee elected by the
General Assembly mandated to prepare, conduct, supervise and
control all elections;
i. Elective Positions refers to the Members of the Board of
Directors, Audit Committee, Election Committee and such other
committees that may be created by the General Assembly;
j. Federation refers to the Philippine Federation of Electric
Cooperatives (PHILFECO);
k. General Assembly refers to the full membership of the
Federation duly assembled for purposes of exercising all the rights
and performing all the obligations pertaining to the Federation,
based on the law, rules and By-Laws;
l. Implementing Rules and Regulations (or IRR) refers to the
rules and regulations promulgated pursuant to the Code or RA
9520.
m. Member Entitled to Vote refers to a Member-Electric
Cooperative that possesses all the qualifications and none of the
disqualifications to cast a vote as provided under the Federations
By-Laws;
n. Member in Good Standing refers to a Member-Electric
Cooperative that has no outstanding obligations with the
Federation;
o. Regular Member refers to an electric cooperative that has
complied with all the membership requirements and entitled to all

the rights and privileges of Membership including, the right to vote

and be voted upon;
p. Screening Committee - refers to a small unit created from among
responsible Management Staff and supervised by the Election
Committee, and tasked to vet on the qualifications and
disqualifications of candidates for elective positions; and
q. Special General Assembly Meeting (or SGAM) refers to a
gathering of the full membership of the Federation that may be
convened by the Board of Directors or the Member-ECs due to
exigencies, at a date and place to be determined by the Board of
Directors and/or the General Assembly
