The best way to lubricate your gaskets before the installation of the Profit couplings, is by using our lubricant. It is a
pipe jointing compound based on an organic soap lubricant. It has been specially formulated to enable the easy and
speedy fixing of sealing joints.
The Profit lubricant has the following benefits:

1. Posizionare il riduttore dello sprinkler nel supporto riduttore e girare le viti di fissaggio il pi possibile
indietro.
2. Appoggiare la barra di supporto sul riduttore dello sprinkler e spingerla nel supporto del riduttore.
3. Spingere i morsetti di fissaggio della barra su entrambi i lati della barra

di supporto, per il montaggio sul pannello del soffitto. Regolare la posizione
dei morsetti sulla larghezza dei pannelli del soffitto e stringere le viti di
fissaggio con un cacciavite o con una chiave a tubo 10.
4. Fissare la barra di supporto preassemblata sul pannello del soffitto usando i morsetti di fissaggio della
barra. Regolare la posizione della barra di supporto fino a posizionare correttamente il riduttore dello
sprinkler. Stringere bene le viti di fissaggio dei morsetti, con un cacciavite o una chiave a tubo 10.
5. Rimuovere la protezione in PVC da entrambi i lati del tubo flessibile per poter montare il nipplo di
collegamento e riduttore dello sprinkler. Dopo aver levato la protezione, sar visibile la guarnizione in
gomma che fornir la tenuta necessaria sul tubo flessibile.
6. Su un lato il nipplo di collegamento ha una filettatura 1 BSPT per poterlo collegare allo sprinkler a T o
al raccordo filettato a vite. Laltro lato del nipplo di collegamento andr montato sul tubo flessibile.
7. Fornire la tenuta necessaria nella filettatura 1 BSPT del nipplo di collegamento (usando canapa o
grasso misto a canapa).
8. Avvitare il nipplo di collegamento nello sprinkler a T o nel raccordo filettato a vite con una chiave per
tubi, fino a stringerlo fermamente.
9. Controllare la direzione del flusso segnata sul tubo flessibile. Il riduttore dello sprinkler deve essere
montato in direzione della freccia, e il nipplo di collegamento sullaltro lato del tubo flessibile.
10. Avvitare il dado sul tubo flessibile sul nipplo di collegamento e stringerlo a mano.
11. Piegare il tubo flessibile (raggio di curvatura minimo 175 mm) e collegare laltra estremit del tubo flessibile al
riduttore dello sprinkler.
12. Regolare laltezza del riduttore dello sprinkler nel supporto del riduttore a seconda del modello di sprinkler
scelto, quindi e stringere bene le viti di fissaggio sul morsetto del riduttore, con un cacciavite o una chiave a
tubo.
13. I dadi di collegamento su entrambi i lati del tubo flessibile possono ora essere stretti a fondo, con una
chiave regolabile.
14. Garantire allo spinkler la tenuta necessaria, usando per esempio Teflon, Teflon liquido o altri materiali sigillanti
adeguati. Stringere lo sprinkler con la chiave per sprinkler appropriata (relativa al fornitore dello sprinkler) nel
riduttore dello sprinkler.

1. Position the sprinkler reducer in the reducer bracket and turn the fixing screws back as far as possible.
2. Place the support bar next to the sprinkler reducer and push it into the reducer bracket.
3. Push the bar fixing clamps over both sides of the support bar for mounting onto
the ceiling panel. Adjust the position of the clamps to the width of
the ceiling panels and tighten the fixing screws with a screwdriver or
a socket wrench 10.
4. Fasten the pre-assembled support bar on the ceiling panel using the bar fixing clamps. Adjust the
position of the support bar until the sprinkler reducer is correctly positioned. Tighten the fixing screws
on the clamps firmly using a screwdriver or a socket wrench 10.
5. Remove the PVC protection from both sides of the flexible hose so that the connection nipple and
the sprinkler reducer can be attached. Once this protection is removed you can see the rubber gasket
which shall provide the necessary seal on the flexible hose.
6. On one side, the connection nipple has a 1 BSPT thread to be connected to a sprinkler tee or to a
threaded screw fitting. The other side of the connection nipple is for attaching the flexible hose.
7. Provide the necessary seal on the 1 BSPT thread of the connection nipple (using flax or flax grease).
8. Screw the connection nipple into the sprinkler tee or threaded screw fitting with a pipe wrench until it
is firmly tightened.
9. Check the flow direction that is marked on the flexible hose. The sprinkler reducer must be assembled
in the direction of the arrow, and the connection nipple on the other side of the flexible hose.
10. Screw the nut of the flexible hose onto the connection nipple and tighten it finger-tight.
11. Bend the flexible hose (minimum bending radius 175mm) and connect the other end of the flexible hose to the
sprinkler reducer.
12. Adjust the height of the sprinkler reducer in the reducer bracket according to the selected sprinkler model and
turn the fixing screws on the reducer bracket tight with a screwdriver or a socket wrench.
13. The connection nuts on both sides of the flexible hose can now be tightened firmly using an
adjustable wrench.
14. Give the sprinkler the necessary seal using, for example, Teflon, liquid Teflon or another suitable sealing material.
Tighten the sprinkler with the appropriate sprinkler wrench (depending on the sprinkler supplier) into the
sprinkler reducer.

Osservare le procedure di installazione seguenti durante il montaggio dei componenti di tubazione nei cantieri:
1. Assicurarsi che gli alloggiamenti dei raccordi siano posizionati nelle guide del tubo e siano sovrapposti alla guarnizione lubrificata.
2. Inserire i bulloni e stringere i dadi a mano.
3. Stringere i dadi alternativamente e con la stessa forza, fino a serrarli completamente, mantenendo lapertura del
bullone spaziata uniformemente.
Nota:
il serraggio irregolare dei bulloni potrebbe danneggiare la guarnizione.
il lubrificante va applicato al momento del montaggio del giunto.
nelle installazioni di tubazioni sottoposte a pressione superiori, o in posizioni o ambienti critici,
si consiglia di usare sempre la chiave dinamometrica della casa.
Please observe the following practice installation procedures when using torque wrenches during installation of
piping components on construction sites:
Make sure that the coupling housings are located in the pipe grooves and are over the lubricated gasket.
Insert bolts and run nuts finger tight.
Securely tighten nuts alternately and equally until fully tightened, keeping the gap at the bolt pad evenly spaced.
Note:
Uneven tightening of bolts may damage the gasket.
Lubricant should be applied at time of joint assembly.
On piping installations operating at higher working pressures or within critical locations or environments,
the use of a proprietary torque wrench is always recommended.

Specifications of the pipe

Rolling or cutting groove is allowed for the pipe corresponding to the fittings and couplings. The outer diameter
must be suitable for the intended service. Make sure the size of the groove is within the scope of the standard
tolerance. Groove sizes are stated on the next page.

Installazione di raccordi
1. Controllare lestremit del tubo, dopo la scanalatura, per verificare che non ci siano ammaccature, fori
o perdite di rivestimento. Ripristinate tutto prima, per evitare perdite.
2. Svitare il raccordo preassemblato, con un avvitatore.
3. Applicare un lubrificante neutro sul

labbro di tenuta della guarnizione.
Lubrificare anche la parte interna
dellalloggiamento
4. Far scorre la guarnizione oltre la fine del tubo e verificare che copra completamente lestremit.
5. Avvicinare le estremit dei due tubi e spingere la guarnizione oltre la fine del tubo.
Verificare che la guarnizione si trovi nel mezzo e che copra entrambe le estremit dei tubi.
6. Il diametro esterno dellalloggiamento e il diametro della guarnizione devono corrispondere alle

specifiche fornita da Profit. Fare riferimento alla pagina con le specifiche delle guarnizioni (pag. 46)
7. Appoggiare un alloggiamento sulla guarnizione. Dopo averlo posto sulla guarnizione, controllare che
lalloggiamento si sia inserito nella scanalatura.
8. Inserire un bullone nellalloggiamento. Verificare che la testa del bullone sia inserita perfettamente
nellalloggiamento.
9. Poggiare il secondo alloggiamento sul bullone e avvitare a mano il dado sul bullone. Poi inserire il
secondo bullone e stringerlo a mano.
10. Stringere alternativamente entrambi i bulloni con un avvitatore o con una chiave a tubo, fino a
chiudere completamente il raccordo. Per stringere i bulloni alla coppia specificata si potrebbe usare
una chiave dinamometrica. Lapplicazione di una coppia superiore non migliora la tenuta e potrebbe
danneggiare il raccordo.
NOTA: per la corretta tenuta si devono rispettare i valori di coppia standard. Una coppia troppo grande non fa
migliorare le propriet di tenuta. Al contrario, dannegger i bulloni e lalloggiamento e provoca anche disinnesti.
Un coppia troppo piccola causer delle perdite. I disinnesti e le perdite potrebbero causare lesioni o danni. (Vedere
pagina 45)

Installation of couplings
1. Check the end of the pipe, after the groove, to make sure that there are no bumps, holes or loose
coating particles. Remove these first, in order to prevent leaks.
2. Unscrew the pre-assembled coupling using an impact wrench.
3. Apply a neutral lubricant onto the

sealing lips of the gasket. Also apply
lubricant to the interior side of the
housings
4. Slide the gasket over the end of the pipe and make sure that it covers the end completely.
5. Bring the two pipe ends together and push the gasket over the end of the pipe.
Make sure that the gasket is in the middle and that it covers both pipe ends.
6. The outer diameter of the housing and the groove diameter must match the specifications provided
by Profit; please review the page with groove specifications (see page 46).
7. Place one housing around the gasket. Once it is placed over the gasket, you shall see that the housing
fits in the groove.
8. Stick a bolt through the housing. Make sure that the head of the bolt perfectly fits in the housing.
9. Place the second housing over the bolt and turn the nut finger-tight on the bolt. Then place the
second bolt and tighten it finger-tight.
10. Tighten both bolts alternately using an impact wrench with a suitable socket wrench until the coupling
is completely closed. You can optionally tighten the bolts to the specified torque using a torque
wrench. Applying a higher torque will not improve the sealing and can damage the coupling.
NOTE: For proper sealing, torque standards must be respected. A torque too big cannot improve the sealing property
of the coupling, on the contrary, it will damage the bolts and housing, even cause disconnections. A torque too small
will lead to leakage. Both disconnections and leakage may cause injuries or loss. (See page 45)

Avvitare a mano il primo dado e poi il secondo.
8. Stringere alternativamente entrambi i bulloni con un avvitatore (con la punta
adatta) fino a fissarli saldamente. Per stringere i bulloni alla coppia specificata
utilizzare una chiave dinamometrica. Lapplicazione di una coppia superiore
non migliora la tenuta e potrebbe danneggiare il pezzo. Verificare che la staffa
meccanica a T installata sia in piano.

Installation of mechanical tees

1. Check the appropriate hole- cut dimension and select the correct hole saw (see datasheet on our
website). Make sure that the welded seam of the pipe is located at the bottom.
2. After drilling the hole, clean off the burrs from the drilled hole,
both inside and outside the borehole.
3. Remove the irregularities and the remains with a flexible magnet.
4. Unscrew the nuts out of the preassembled mechanical tee.
5. Lubricate the gasket with a neutral lubricant.
6. Position the upper housing over the drilled hole.
7. Place the bottom part of the housing around the pipe.

Screw the first nut hand tight, and then the second.
8. Tighten both nuts alternately with an impact wrench (with the appropriate cap)
until they are firmly attached. You can then tighten the bolts to the specified
torque using a torque wrench. (Applying a higher torque will not improve the
sealing and may damage the piece). Check that the installed mechanical tee is
level.

1. Controllare le dimensioni appropriate del foro e scegliere la sega a tazza pi adatta (data sheet sul
nostro sito web). Accertarsi che il cordone della saldatura del tubo sia posto sul fondo.
2. Dopo la foratura, ripulire le sbavature,

sia dentro che fuori il foro.
3. Asportare le irregolarit e i residui con un magnete flessibile.
4. Svitare i dadi del bullone a U dello sprinkler a T preassemblato.

Stringere uno dei dadi fino alla fine della filettatura.
5. Lubrificare la guarnizione con del lubrificante neutro.
6. Posizionare il bullone a U intorno a tubo.
7. Appoggiare la parte in fusione dello sprinkler a T con il recesso

dellapertura intorno al bullone a U. Verificare che il corpo in fusione sia
posizionato sopra il foro del tubo, in modo da sigillarlo. Avvitare a mano il
secondo dado sul bullone a U.
8. Stringere alternativamente entrambi i bulloni con un avvitatore (con la punta adatta) fino a fissarli
saldamente. Per stringere il bullone a U alla coppia specificata si potrebbe usare anche una chiave
dinamometrica. Lapplicazione di una coppia superiore non migliora la tenuta e potrebbe danneggiare
il pezzo. Verificare che lo sprinkler a T installato sia in piano.

Installation of sprinkler tees

1. Check the appropriate hole- cut dimension and select the correct hole saw (see datasheet on our
website). Make sure that the welded seam of the pipe is located at the bottom.
2. After drilling the hole, clean off the burrs from the drilled hole,
both inside and outside the borehole.
3. Remove the irregularities and the remains with a flexible magnet.
4. Unscrew the nuts out of the U-bolt of the preassembled sprinkler tee.
Tighten one of the nuts until the end of the thread.
5. Lubricate the gasket with a neutral lubricant.
6. Position the U-bolt around the pipe.
7. Place the casting part of the sprinkler tee with the open recess around the
U-bolt. Make sure that the casting body is positioned over the pipe hole,
so that it seals on the pipe hole. Screw the second nut hand tight on the
U-bolt.
8. Tighten both nuts alternately with an impact wrench (with the appropriate cap) until they are firmly
attached. You can then tighten the U-bolt to the specified torque using a torque wrench. (Applying
a higher torque will not improve the sealing and may damage the piece). Check that the installed
sprinkler tee is level.

REGOLE GENERALI
1. Le condizioni generali di vendita si applicano a tutti i contratti di vendita conclusi
tra PROFIT (il venditore) e il cliente. Le condizioni generali di vendita insieme con i
termini e le condizioni speciali, costituiscono il quadro contrattuale tra PROFIT e cliente.
Le condizioni generali hanno priorit su qualsiasi altre condizioni di acquisto del cliente,
che vengono escluse. Deviazioni da queste condizioni generali potranno essere fatte solo
con il consenso scritto di entrambe le parti. Nessun altro accordo scritto o orale effettuato
tra le parti precedentemente a questo accordo potr trovare applicazione.
2. Ogni vendita sottoposta alla nostra conferma scritta dellordine. In caso contrario,
il contratto di vendita non sar ritenuto valido. Nel caso di errori commessi dal cliente
durante la compilazione (creazione) dellordine o quando i numeri prodotto, i prezzi o le
condizioni di vendita siano state modificati da PROFIT, la conferma dellordine includer
le necessarie variazioni, risultanti da tali errori o modifiche. Il cliente deve verificare la
conferma dellordine emessa da PROFIT. Al ricevimento della conferma dellordine, il
cliente pu annullare lordine entro un periodo di 48 ore, a condizione che la conferma
dellordine non sia identica allordine inizialmente sottoposto dal cliente. Non sar
accettata nessunaltra richiesta di modifica o cancellazione dellordine. La conferma
dellordine definisce i diritti e doveri reciproci relativi, tra laltro, alla consegna. La
consegna strettamente limitata ai beni descritti nella conferma dellordine. Qualsiasi
variazione deve essere confermata per iscritto. Il cliente accetta tutti i costi derivanti da
qualsiasi modifica o cancellazione richiesta dopo la conclusione del contratto.
3. PROFIT non costretta ad accettare ordini od onorare contratti gi conclusi, in tutti
i casi di forza maggiore, arresto di produzione, riduzione della produzione, sciopero,
danno allimpianto di produzione, mancata o tardiva consegna da parte dei nostri
fornitori, misure adottate dal governo e altre simili circostanze impreviste, nonch
tutte le conseguenze di tali eventi e situazioni. La non accettazione degli ordini o le
inadempienze nel soddisfare i contratti esistenti a seguito di queste circostanze, non
autorizzano il cliente (i) a cancellare alcun ordine o (ii) rifiutare di accettare o di pagare i
beni e/o i servizi, o (iii) ad alcuna forma di risarcimento finanziario o commerciale.
4. I prezzi e tutti i dettagli relativi ai tempi di consegna, nonch tutte le altre informazioni
contenute nei nostri cataloghi, prospetti, quotazioni e relative documentazioni di vendita
sono solo a titolo informativo e non sono vincolanti per PROFIT. PROFIT si riserva il diritto
di modificarli in qualsiasi momento e senza preavviso, ad eccezione della documentazione
tecnica che costituisce parte del contratto di vendita. Tutte le merci fornite possono
essere modificate da PROFIT, a condizione che possano svolgere le funzioni concordate
con il cliente.
5. Se non diversamente concordato in forma scritta con il cliente, tutte le specifiche, i
piani, i progetti e in generale tutti i documenti tecnici forniti al cliente in qualsiasi forma
restano propriet di PROFIT e non possono essere riprodotti o divulgati a parti terze.
Qualora la vendita non venga conclusa, su richiesta di PROFIT i dati suddetti dovranno
essere restituiti immediatamente.
II. PREZZI
1. I prezzi sono espressi in Euro, tasse escluse. PROFIT ha lobbligo di onorare solo i
prezzi pi aggiornati. Il listino a disposizione dei clienti si basa su termini di pagamento
massimo di 30 giorni dalla data fattura.
2. I prezzi sono stabiliti in base ai prezzi applicabili in vigore al momento della conclusione
del contratto. Qualora costi imprevedibili incorressero dopo la conclusione del contratto,
PROFIT si riserva il diritto di modificare i prezzi nellambito delle alterate circostanze e
senza guadagni aggiuntivi.
3. I prezzi sono IVA esclusa e sono validi per consegna franco fabbrica o franco
magazzino. Limballaggio, il trasporto, qualsiasi assicurazione, tasse e dazi doganali non
sono compresi e sono a carico del cliente
III. CONSEGNE E TRASPORTO
1. La spedizione e il trasporto delle merci vengono eseguiti a rischio del cliente; per
il disbrigo, il rischio si trasferisce al cliente al momento della consegna delle merci
al trasportatore, al vettore o altre persone impiegate. Ci vale anche nel caso che la
consegna in porto franco sia stata concordata per i singoli casi. Se la spedizione fosse
ritardata per circostanze di cui responsabile il cliente, il rischio si trasferisce al cliente
dal giorno dellapprontamento alla spedizione. Nel caso in cui PROFIT scelga il metodo
di spedizione, di trasporto o di corriere, PROFIT sar responsabile solo per grave colpa
relativa alla scelta.
2. PROFIT pu usare la conferma dellordine per informare il cliente dei tempi di
esecuzione per la consegna delle merci ordinate. PROFIT far tutto il possibile per
garantire questi tempi di esecuzione. Nondimeno, le informazioni sui tempi di esecuzione
sono indicative e in nessun caso PROFIT potr essere ritenuta responsabile di eventuali
ritardi della consegna.
3. Il mancato rispetto del tempo di consegna indicato non d diritto al cliente di (i)
cancellare alcun ordine o (ii) rifiutare di accettare o di pagare i beni e/o i servizi, o (iii)
alcuna forma di risarcimento finanziario o commerciale.
4. Il cliente non pu rifiutare alcun prodotto ordinato ad eccezione che (i) il prodotto
consegnato non sia conforme alla conferma dellordine o (ii) che il prodotto consegnato
presenti un difetto significativo. Nel caso in cui il cliente rifiuti di accettare un ordine, i
prodotti devono essere immagazzinati a spese e a rischio del cliente.
5. Se non diversamente concordato per iscritto con il cliente, le merci consegnate non
saranno pi riprese indietro. Nel caso in cui il PROFIT ne decida il ritiro, avr il diritto di
fatturare un importo proporzionale al valore e alla condizione delle merci al momento
della riconsegna nei propri magazzini, pi altri eventuali costi diretti e indiretti sostenuti.
Se il cliente restituisce le merci unilateralmente, PROFIT si riserva il diritto di rispedire di
nuovo queste merci nelle condizioni in cui si trovano, a spese e rischio del cliente.
IV. TERMINI DI PAGAMENTO
1. Salvo diverso accordo, il cliente accetta i termini di pagamento indicati nella fattura.
Salvo espresso accordo scritto, tutte le fatture sono pagabili al netto, al pi tardi entro
30 giorni dalla data fattura.
2. Lo sconto per pagamento anticipato pu essere concesso in base al piano sconti
per pagamento anticipato elencato nella fattura. In nessun caso il cliente potr imporre
le proprie condizioni di pagamento o di sconti. Il cliente non pu rivendicare alcuna
obiezione non riconosciuta da PROFIT per ottenere dilazioni di pagamento, oppure
risoluzione totale o parziale delle fatture in scadenza.

3. Il mancato pagamento alla data di scadenza comporta automaticamente e senza avviso

di mora un interesse pari al 12% su base annua. Tutte le spese sostenute da PROFIT per
la riscossione delle fatture non pagate saranno a carico del cliente. In aggiunta, tutte le
fatture in scadenza non pagate tempestivamente verranno incrementate del 10% a titolo
di risarcimento del danno subito da PROFIT. PROFIT si riserva il diritto di pretendere un
indennizzo maggiore.
4. Nel caso che la posizione finanziaria del cliente evolva in una maniera decisamente
negativa o se PROFIT fosse informata di circostanze che riducano il merito creditizio
del cliente in modo sostanziale, PROFIT ha il diritto di riscuotere immediatamente
tutti i suoi saldi a credito, soggetti a tutti i diritti e nonostante tutti gli accordi esistenti,
indipendentemente da qualsiasi data di scadenza. Inoltre PROFIT avr il diritto di
annullare tutti gli ordini in sospeso.
5. Eventuali reclami riguardanti le fatture devono pervenire al PROFIT entro 8 giorni
dalla data fattura, in forma di lettera raccomandata dettagliata e motivata. Dopo questo
periodo, le fatture si ritengono accettate. I reclami non possono sospendere il pagamento
da parte del cliente.
V. RISERVA DI PROPRIET - TRASFERIMENTO DEL RISCHIO
1. In deroga allarticolo 1583 del Codice Civile Belga, tutti i beni restano di esclusiva
propriet di PROFIT fino a quando la fattura o altri crediti da conti correnti non siano
stati completamente saldati. Il cliente si obbliga a rendere queste condizioni generali
applicabili alle sue parti contraenti, che pertanto si impegnano a non far valere diritti o
obblighi nei confronti di PROFIT diversi da quelli previsti da queste condizioni.
2. Il cliente si occuper della merce per quanto riguarda la consegna. Da quel momento
in poi, sar responsabile di qualsiasi danno o perdita. Il rischio si trasferisce al cliente dal
momento della consegna, indipendentemente dalla propriet.
3. Se il cliente non rispetta un obbligo contrattuale di qualsiasi natura, come ad esempio
il mancato pagamento delle fatture in scadenza, PROFIT avr il diritto di reclamare la
merce.
VI. RESPONSABILIT DEL PRODOTTO GARANZIE
1. PROFIT assicura che i prodotti venduti possiedono le caratteristiche specificate, per
iscritto o con parametri tecnici verificabili. Il cliente lunico responsabile delladeguatezza
dei prodotti venduti da PROFIT, in rapporto alla sua richiesta (responsabilit del
sistema). Per quanto PROFIT offra piena consulenza tecnica, la sua responsabilit sar
limitata ai prodotti offerti e ai loro specifici parametri tecnici verificabili, o alle specifiche
caratteristiche (responsabilit dei componenti).
2. Il cliente lunico responsabile della sicurezza dei prodotti venduti per le specifiche
applicazioni della clientela.
3. In tutte le consegne il cliente dovr controllare la loro completezza ed gli eventuali
danni allimballo, al momento del trasferimento o della ricezione. I reclami devono essere
inviati immediatamente a PROFIT per iscritto.
4. Se i prodotti venduti sono consegnati in lotti che facilitano il controllo statistico della
qualit di ricezione in base ai principi abituali applicabili, tale controllo deve essere
effettuato al momento della ricezione. Salvo patto contrario, a queste ispezioni si
applicano le condizioni di controllo e i criteri sulla documentazione standard relativa.
Il lotto accettato dopo essere stata sottoposto a questo controllo si considera priva di
difetti. PROFIT eseguir la sostituzione del lotto respinto al momento di questo controllo,
dopo il suo completo rientro in PROFIT. PROFIT si riserva il diritto, in accordo con il
cliente, di sostituire le parti difettose del lotto respinto con altre parti prive di difetti.
5. Il cliente esamina subito la merce e segnaler immediatamente per iscritto a PROFIT
i difetti visibili. Eventuali difetti occulti andranno segnalati per iscritto immediatamente
alla scoperta.
6. I reclami da parte del cliente decadono 12 mesi dopo la data di consegna Questa
disposizione non si applica nei casi in cui la legge obbliga a periodi pi lunghi e nei casi
di dolo.
7. PROFIT sar responsabile per colpe gravi. PROFIT sar responsabile per colpa lieve
solo se si tratta di violazione di obblighi contrattuali sostanziali derivanti dalla natura del
contratto o se la violazione minaccia ladempimento dei fini contrattuali. In questo caso,
ogni risarcimento economico sar limitato ai soli danni diretti. Inoltre, in caso di colpa
lieve, le richieste di risarcimento da parte del cliente per qualsiasi motivo legale sono
escluse. I risarcimenti economici per danni indiretti sono esclusi.
8. a) La garanzia limitata alla sostituzione o alla riparazione (come deciso dal PROFIT),
a titolo gratuito da parte dei nostri servizi, della merce riconosciuta difettosa. Tali
sostituzioni o riparazioni non prolungano il periodo di garanzia.
b) I costi di trasporto per i pezzi di ricambio saranno a carico del cliente.
9. Ogni altro reclamo o richiesta di risarcimento o indennizzo diverso da quelli di cui al
presente articolo viene escluso, indipendentemente da motivi legali o altro fondamento
su cui si possano basare.
10. Tutte le riparazioni rese in seguito al normale deterioramento del prodotto o in
conseguenza di danni o incidenti causati da negligenza, mancanza di controllo o di
manutenzione, uso improprio o montaggio errato non sono coperti dalla nostra garanzia.
11. Nel caso in cui PROFIT si ritenga contrattualmente responsabile per violazione dei
suoi obblighi, il risarcimento dovuto a causa di ci non potr essere superiore al valore
della merce (IVA esclusa) che ha provocato i danni.
VII. VARIE
1. Il diritto belga si applica esclusivamente alle eventuali controversie che dovessero
insorgere in relazione alle presenti condizioni generali di vendita e sar di competenza
esclusiva dei tribunali di Gand. Lapplicazione della Convenzione sulla vendita
internazionale di merci in data 11 aprile 1980 espressamente esclusa.
2. Linvalidit, per qualunque motivo, di una delle disposizioni di queste condizioni
generali non pregiudica la validit delle restanti clausole.
3. PROFIT si riserva il diritto di considerare il contratto annullato a spese del cliente in
caso di fallimento, insolvenza (procedure di) o cessazione di attivit del cliente.
4. Se viene stipulato un solo contratto tra PROFIT e diversi clienti, essi sono responsabili
in modo congiunto e indivisibile nei confronti di PROFIT.

I. GENERAL
1. These general terms and conditions of sale apply to all contracts of sale concluded
between PROFIT (the seller) and the customer. The general terms and conditions of
sale together with the special terms and conditions, if any, constitute the contractual
framework between PROFIT and the customer. These general terms and conditions have
priority over any terms and conditions of purchase of the customer, which are excluded.
Deviations from these general terms and conditions can only be made with the written
consent of both parties. No other oral or written arrangements made between the parties
prior to this agreement will apply.
2. Any sale is subject to our written confirmation of the order, otherwise the sale contract
will be deemed invalid. In the event that the customer makes an error while creating
the order or product numbers, prices or sales conditions are modified by PROFIT, the
order confirmation shall include the modifications required as a result of such errors or
modifications. The customer must verify the order confirmation issued by PROFIT. Upon
receipt of the order confirmation, the customer may cancel the order within a period
of 48 hours, provided that the order confirmation is not identical to the order initially
placed by the customer. No other request for modification or cancellation of an order will
be accepted. The order confirmation defines the mutual rights and obligations relating,
amongst other things, to delivery. Delivery is strictly limited to the goods described in
the order confirmation. Any variation must be confirmed in writing. The customer accepts
all costs resulting from any modification or cancellation requested after the conclusion
of the agreement.
3. PROFIT is not obliged to accept orders or fulfil agreements already concluded in all
cases of force majeure, production shutdown, reduction in production, strike, damage
to the production plant, non- or late delivery by our suppliers, measures taken by the
government and other, similar unforeseen circumstances, as well as all consequences
of such events and situations. Non-acceptance of orders or defaults in fulfilling existing
agreements as a result of these circumstances do not entitle the customer (i) to cancel
any order or (ii) refuse to accept or pay for the goods and/or service, or (iii) to any form of
financial or commercial compensation.
4. The prices and all details relating to delivery periods as well as all other information
included in our catalogues, prospectuses, rates and related sales documentation are for
information purposes only and are not binding upon PROFIT. PROFIT reserves the right to
modify them at any time and without prior notification, except for technical files forming
part of a sales contract. All goods delivered may be modified by PROFIT provided they
can perform the functions as agreed with the customer.
5. Except when agreed otherwise in writing with the customer, all specifications, plans,
blueprints and in general all technical documents which are provided to the customer in
any form whatsoever, remain PROFIT property and may not be reproduced or disclosed
to third parties. If a sale is not concluded, the aforementioned data should be returned
immediately upon PROFITs request.
II. PRICES
1. Our prices are denominated in Euros, excluding taxes. PROFIT is obliged to honour
only the most recent prices to date. The price list made available to clients is based on a
maximum payment term of 30 days from the date of invoice.
2. The prices are established on the basis of the current prices applicable at the time
that the agreement is concluded. If unforeseeable costs are incurred after conclusion
of contract, PROFIT reserves the right to adjust the prices within the framework of the
altered circumstances and without charging additional profit.
3. Our prices are exclusive of VAT and are established on the basis of ex-works or exwarehouse delivery. Packaging, transport, any insurance, taxes and customs duties are
not included and are borne by the customer.
III. DELIVERIES AND TRANSPORT
1. The shipping and transport of goods will be executed at the risk of the customer; for
dispatching, the risk shall transfer to the customer upon delivery of the goods to the
haulier, the carrier or other person employed. This shall also apply if carriage paid delivery
is agreed to in individual cases. If the dispatch is delayed due to circumstances for which
the customer is responsible, risk shall transfer to the customer on the day of readiness for
dispatch. In case PROFIT selects the method of dispatch, carriage or courier, PROFIT shall
only be liable for gross negligence in respect of the selection.
2. PROFIT can use the order confirmation to inform the customer of the lead time for
the delivery of the goods which have been ordered. PROFIT shall make every effort to
uphold these lead times; however, lead time information is provided as an indication only
and under no circumstances may PROFIT be held liable in the event of a late delivery.
3. Failure to meet the indicated delivery time does not entitle the customer (i) to cancel
any order or (ii) refuse to accept or pay for the goods and/or service, or (iii) to any form of
financial or commercial compensation.
4. The customer cannot refuse any product ordered except if (i) the product delivered fails
to conform with the order confirmation or (ii) a significant defect is found in the delivered
product. In the event that the customer refuses to accept an order, products shall be
stored at the customers expense and risk.
5. Except when agreed otherwise in writing with the customer, goods are not taken back
once delivered. Should PROFIT agree to take goods back, it will be entitled to invoice an
amount in proportion to the value and condition of the goods at the time of delivery in
its warehouse, plus any direct and indirect costs incurred. If the customer returns goods
unilaterally, we reserve the right to send these goods back again in the condition in which
they are, at the customers cost and risk.
IV. TERMS OF PAYMENT
1. Unless otherwise agreed upon, the customer will accept the terms of payment
indicated on the invoice. Unless expressly agreed otherwise in writing, all invoices are
payable net, at the latest 30 days from the invoice date.
2. An early payment discount may be granted according to the early payment discount
schedule listed on the invoice. Under no circumstances may the customer impose its
own payment terms or discounts. The customer may not assert any objection that is not

acknowledged by PROFIT to obtain a deferral of payment or the full or partial settlement

of due invoices.
3. Failure to pay on the due date will automatically and without formal notice bear an
interest equalling 12% annually. All costs incurred by PROFIT in respect of the collection
of unpaid invoices will be borne by the customer. In addition, all due invoices that are
not timely paid will be increased with 10% as a compensation for damages incurred by
PROFIT. PROFIT reserves the right to claim higher compensation.
4. Should the customers financial position evolve in a material negative way or if PROFIT
is informed of circumstances that reduce the customers creditworthiness in a material
way, PROFIT has the right to immediately collect all its credit balances, subject to all rights
and notwithstanding all existing agreements, irrespective of any due date. Moreover,
PROFIT will be entitled to cancel all outstanding orders.
5. Complaints concerning invoices must by received by PROFIT within 8 days of the
invoice date in the form of a detailed and motivated registered letter. After this period,
invoices are deemed to be accepted. Complaints can not suspend payment by the
customer.
V. RETENTION OF OWNERSHIP TRANSFER OF RISK
1. Notwithstanding article 1583 of the Belgian Civil Code, all goods remain PROFITS
exclusive property until the invoice or other receivables from current accounts have been
settled in full. The customer is obliged to make these general terms and conditions
enforceable upon its contracting parties who therefore undertake not to assert any
rights or obligations in respect of PROFIT other than those laid down in these terms and
conditions.
2. The customer will take care of the goods as of delivery. As from that point forward he
will be responsible for any damage or loss. The risk shall pass to the customer from the
moment of delivery, regardless of ownership.
3. If the customer fails to comply with any contractual obligation of any nature whatsoever,
such as non-payment of invoices due, PROFIT will be entitled to reclaim the goods.
VI. PRODUCT LIABILITY GUARANTEES
1. PROFIT shall ensure that the products sold have the features specified in writing or in
verifiable technical parameters. The customer is exclusively responsible for the suitability
of the products sold by PROFIT in relation to its application (system responsibility).
As far as PROFIT offers application advice, the responsibility shall be restricted to the
products offered and their specified verifiable technical parameters or specified features
(component responsibility).
2. Only the customer is responsible for the safety of the products sold in the customers
specific application.
3. The customer shall inspect every delivery as for its completeness and damage to
the packaging upon transfer or receipt. Complaints must be sent to PROFIT in writing
immediately.
4. If the products sold are delivered in lots which facilitate a statistical receiving
quality inspection according to the usual principles applicable, this inspection must
be performed upon receipt. Unless agreed otherwise, the inspection conditions and
criteria in the relevant standard documents shall apply to the inspection. A lot accepted
upon this inspection shall be considered as free from defects. PROFIT shall replace a lot
rejected upon this inspection upon its return to PROFIT in full. PROFIT reserves the right,
in consultation with the customer, to replace the defective parts of the rejected lot with
parts without defects.
5. The customer shall immediately examine the goods and report visible defects
immediately to PROFIT in writing. Hidden defects must be reported in writing immediately
upon discovery.
6. Complaints by the customer shall lapse 12 months from the date of delivery. This shall
not apply where the law obliges longer periods and in the case of malice.
7. PROFIT shall be liable for gross negligence. PROFIT shall be liable for slight negligence
only if this involves the breach of substantial contractual obligations arising from the
nature of the contract or if the breach threatens fulfilment of the purpose of the contract.
In this case, any financial compensation shall be limited to direct damage only. Moreover,
in the case of slight negligence, claims for compensation by the customer - for whatever
legal reason are excluded. Financial compensation for indirect damages are excluded.
8. a) The guarantee is limited to the replacement or repair (as decided by PROFIT), free
of charge, by our services, of goods we acknowledge to be defective. Such replacements
or repairs do not extend the guarantee period.
b) Transport costs for spare parts will be borne by the customer.
9. All other complaints or demands for compensation or indemnification, other than
those mentioned in this article, are excluded, irrespective of the legal or other grounds
on which they are based.
10. All repairs rendered further to normal wear and tear of the goods or as a result of
damage or accidents caused by neglect, lack of monitoring or maintenance, improper
use or incorrect assembly are not covered by our guarantee.
11. In the event that PROFIT is held contractually liable for breach of its obligations, the
compensation thereby due may not exceed the value of the goods (excl. VAT) giving rise
to the damages.
VII. MISCELLANEOUS
1. Belgian law applies exclusively to any disputes that may arise in relation to the present
general sales conditions and will be exclusively settled by the courts and tribunals of
Ghent. The application of the Convention on the International Sale of Goods of April 11,
1980 is expressly excluded.
2. The invalidity, for any reason whatsoever, of one of the provisions in these general
terms and conditions do not affect the validity of the remaining clauses.
3. PROFIT shall have the right to consider the agreement dissolved at the customers
expense in the event of bankruptcy, insolvency (procedures) or cessation of activities of
the customer.
4. If an agreement is concluded between PROFIT and several customers, they shall be
jointly and indivisible liable towards PROFIT.
