PAYMENT OF DEBTS AND TAXES
Prior to any distributions to primary and contingent legatees, as
set forth herein below, I direct my Executor to set aside sufficient
funds, and to pay all my just debts, including any mortgages, if any,
and to pay all expenses of my last illness and funeral along with such
estate, inheritance and/or other transfer taxes as are imposed and
made payable under the laws of the United States or any state upon
property in my estate.

Any outstanding mortgages, if any, shall be

payable in the sole discretion of my Executor.

PRIMARY LEGATEE
I hereby give, devise and bequeath all the rest and residue of my
estate, whether real, personal or mixed, wheresoever situated, of
which I may die seized and possessed or to which I may be entitled,
and property over which I possess or may possess a power of
appointment now or at my decease to the ____________, dated February
___, 2015 and the ____________, dated February ____, 2015, in equal
part, so long as both such trusts continue to exist in full force and
effect. In the event only one such trust exists at the time of my death,
it is my intention and desire that such surviving trust receive all the
rest and residue of my estate.

Article IV
POWERS AND COMPENSATION OF FIDUCIARIES
My Executor, including any successor Executor, shall have any
and all of those powers of fiduciaries set forth in Chapter 138 of the
Nevada Revised Statutes, as amended, and such Section of the Nevada
Revised Statutes is incorporated by reference in this my Last Will and
Testament.
Any individual fiduciary shall be entitled to receive reasonable
compensation for fiduciary services. Any corporate fiduciary shall be
entitled to receive the compensation provided for similar fiduciary
services on its published fee schedule in effect when services are
rendered.

Article V
GENERAL PROVISIONS
This Will shall be governed by the following General Provisions:
Section A.

I direct that, to the maximum extent practicable

under the terms of Nevada law, or the laws of any State having
jurisdiction over my person or property, judicial accounting and
proceedings be dispensed with and waived to the end that the legal
expenses of administering this Will be minimized.
Section B. In the event any clause, provision or provisions of this
Will prove to be or are adjudged invalid or void for any reasons, then
and in either of these two events, I direct that such invalid or void
clause, provisions or provisions shall not affect the whole of this
instrument, but the balance of the provisions hereto shall remain
operative and shall be carried out insofar as legally possible.
Section C.

Whenever reference is made in this Will to issue or

children, such reference shall be deemed to include both natural

born children and issue, as well as adopted children, as the context so
requires.

Section D.

Whenever reference is made in this Will to the

masculine or feminine gender, or to the singular or plural case, such

reference shall be construed, as the context so requires.

Section E. My Executor or my Trustee may distribute any interest

vesting in a beneficiary under age twenty-one (21) to a custodian
under the Nevada Uniform Transfers to Minors Act.
