ThoseservicesdescribedasbasicservicesinAIADocumentB101,STANDARDFORMOF
AGREEMENTBETWEENOWNERANDARCHITECT,2007Edition,withmodificationscontainedin
APPENDIXBofthisRequestforProposals.ThebasicservicesincludetheSchematicDesignPhase,
DesignDevelopmentPhase,ConstructionDocumentsPhase,BiddingPhase,ConstructionPhase
AdministrationoftheConstructionContractandotherservicesidentifiedasbasicservicesinthe
Contract,andincludenormalstructural,mechanical,plumbing,electrical,civil,site,environmental,
interiordesign,acoustical,andotherengineers,architects,surveyorsand/orconsultantsandother
relatedservicesnecessaryforcompletionofthework.TheArchitectshallprovideallspecialtyengineers,
architects,surveyorsandconsultantsfortheProject.

Ifrequiredfortheproject,theArchitectshallberequiredtodevelopazoningplanandland
developmentplan,includingbuildingandappurtenancelocations,buildingelevations,etcasrequiredby
PottstownBoroughforapprovalofanyrequiredpermits.Plansmustbedevelopedandapprovedin
accordancewiththeguidelinesofPottstownBorough.TheArchitectshallprepareandsubmitany
requiredusepermitstoPottstownBorough.ThisprocessmayinvolvepresentationstothePlanning
Commission,BoardofZoningAppeals(foranyrequiredzoningvariancerequests)andtheBoardof
Supervisors,andshallincludeanychangestotheplansandanyadditionalmeetingsand/or
presentationsrequiredbytheapplicablegoverningbodytoobtaintheirapproval.Priortosubmissionof
theplanstothe,BoardofZoningAppeals,PlanningCommissionandBoardofSupervisors,theArchitect
mayhavetomakechangesintheplansbasedupontherequirementsofvariousCollegeDepartments
and/oroutsideagenciesrequiredtoreviewplandocuments.IncludedintheArchitectsscopeof
servicesshallbeattendanceatallrequiredmeetings,presentationstoCollegestaff,Commissions,
Agencies,BoardsandAuthorities,includingaffectedFederalandStateregulatoryagenciesasrequired
bysaidgroupsordeemednecessarybytheCollegeforsuccessfulcompletionofthework.

INSURANCE

a.
TheArchitectshallberequiredtomaintaininforcesuchinsurance,inamountsacceptableto
theCollege,aswillprotectitselfandtheCollegefromclaimswhichmayariseoutoforresultfromthe
executionofthework,whethersuchexecutionbebyhimself,hisemployees,agents,subcontractorsor
byanyoneforwhoseactsanyofthemmaybeliable.Thiscoverageshouldinclude,ataminimum,

Worker'sCompensation&Employers'Liability,GeneralLiability(includingpremises/operations,
independentcontractors,productsandcompletedoperations,contractualliabilityandpersonalinjury
liability)andAutomobileLiability.TheArchitectandeachofitssubconsultantsshallfurnishErrorsand
Omissionsinsurancewithcoverageofnotlessthan$1,000,000.00.Allinsuranceshallbeprovidedby
companiesauthorizedtoconductbusinessintheCommonwealthofPennsylvania.Theinsurersmust
alsohaveapolicyholdersratingofAorbetter,andafinancialsizeofClassVIIorbetterinthelatest
evaluationbyA.M.BestCompany,unlesstheOwnergrantsspecificapprovalforanexception.The
ArchitectshallfurnishtheCollegewithanoriginalCertificateofInsuranceuponrequest.TheCertificate
shouldnametheCollegeasadditionalinsured.TheArchitectshallnotifytheCollegeatleast30days
priortopolicycancellation,nonrenewalorreductionofcoverage.Coverageshallbefrom
commencementofprojectuntilfinalcompletion,orsuchlongerperiodasotherwiseindicatedinthe
Contract

OTHERINFORMATION

a.
IncludeotherrelevantinformationtheProposerdeemsnecessarytoprovidetheservices
neededtosuccessfullycompletetheScopeofServicesorwhichtheProposerfeelsarerelevanttoits
selection.
b.
IdentifywhatmightbeexpectedfromtheCollegeoverandabovegeneralassistance,based
uponyourunderstandingofthework.

FORMOFCONTRACT

a.
TheCollegesproposedcontractdocumentisAIADocumentB101,STANDARDFORMOF
AGREEMENTBETWEENOWNERANDARCHITECT,2007Edition,withmodificationscontainedin
APPENDIXBofthisRequestforProposals.TheCollegesproposedcontractdocumentandthisRequest
forProposalscontaintermsandconditionstheCollegefavorsandintendstousefortheresultant
contract.IftheProposerhascontractuallanguageand/orcontractualdocumentsitwishestohave
considered,suchcontractuallanguage/documentsmustbesubmittedaspartoftheProposersproposal
response.AnyProposerreceivingacontractawardshallberequiredtoexecuteacontractinsubstantial
compliancewiththeCollegesstandardcontractandwillberequiredtofurnishallotherrequired
contactdocumentswithin15daysafterreceiptofnotificationthatthecontractisreadyforsignature;
otherwise,theCollegemayawardthecontracttoanotherProposer.

7.

RoyaltyandLicenseFeesandCopyright,TrademarkandPatentProtection

7.1
Insubmittingitsproposalresponse,theArchitectcertifiesthattherehasbeennoviolationof
copyrightsorpatentrightsinmanufacturing,producing,orsellingthecommoditiesorservicestobe
orderedasaresultofthisRequest.

7.2
UnlessspecifiedotherwiseintheContract,theArchitectshallpayallroyaltyandlicensefees
relatingtotheitemscoveredbythecontract.

7.3
Intheeventanythirdpartyshallclaimthatthemanufacture,useandsalesofthesegoodsand
servicesofferedherebyconstitutesaninfringementofanycopyright,trademark,orpatent,the
ArchitectshallindemnifyandholdharmlesstheCollegefromanycost,expense,damageorlossincurred
inanymannerbytheCollegeonaccountofsuchallegedinfringement.
ContractualClaims

ContractualclaimsbyArchitect,whetherformoneyorotherrelief,shallbesubmittedinwritingnolater
than60daysafterfinalpayment;however,writtennoticeoftheArchitect'sintentiontofilesuchclaim
shallhavebeengivenatthetimeoftheoccurrenceorbeginningoftheworkuponwhichtheclaimis
based.AnynoticeorclaimshallbedeliveredtotheVicePresidentofFinanceandAdministration,
MontgomeryCountyCommunityCollege,340DeKalbPike,BlueBell,PA19422andshallincludea
descriptionofthefactualbasisfortheclaimandastatementoftheamountsclaimedorotherrelief
requested.TheVicePresidentshallrenderadecisionontheclaimandshallnotifytheArchitectwithin
30daysofreceiptoftheclaim.TheArchitectmayappealthedecisionoftheVicePresidentofFinance
andAdministrationtothePhysicalPlantCommitteeoftheMontgomeryCountyCommunityCollege
BoardofTrusteesbyprovidingwrittennoticetotheVicePresident,within15daysofthedateofthe
decision.ThePhysicalPlantCommitteeshallrenderadecisionontheclaimwithin60daysofthedate
ofreceiptoftheappealnoticeandsuchdecisionshallbefinalunlesstheArchitectinstituteslitigation
within30daysbyfilingsuitwiththeCourtofCommonPleasofMontgomeryCounty,Pennsylvania.
InvoicesforallservicesorgoodsprovidedbytheArchitectshallbedeliveredtotheCollegenolaterthan
30daysfollowingtheconclusionoftheworkordeliveryofthegoods/services.TheArchitectexpressly
waivesanyrighttopenalties,interestandattorneysfeespursuanttothepromptpaymentprovisionsof
thePennsylvaniaCommonwealthProcurementCode,62Pa.C.S.3931etseq.TheArchitectexpressly
acknowledgesandagreesthattheprojectandsiteisusedforpurelypublicpurposesandneitherthe
Architectnoritssubconsultantshaveanyrighttofileanyclaimorlienagainsttheprojectorproperty
underPennsylvaniasMechanicsLienLaw.

19.

EthicsinPublicContracting


19.1 TheprovisionscontainedunderChapter45(AntibidRigging)ofTitle62ofthePennsylvania
ConsolidatedStatutesshallbeapplicabletoallcontractssolicitedorenteredintobytheCollege.

19.2 Theprovisionsofthisarticlesupplement,butdonotsupersede,otherprovisionsof
Pennsylvanialaw.

19.3

ReturncompletedNonCollusionAffidavitattachedasAppendixCwithProposal.

Indemnification

Tothefullextentpermittedbylaw,theArchitectshallindemnifyandholdharmlesstheCollegeandits
officials,agentsandemployeesfromandagainstallclaims,damages,lossesandexpenses,direct,
indirectorconsequential(includingbutnotlimitedtofeesandchargesofengineers,architects,
attorneysandotherprofessionalsandcourtcosts)arisingoutoforresultingfromthiscontract,provided
thatanysuchclaim,damage,lossorexpenseiscausedinwholeorinpartbyanynegligentacts,errors
oromissions,recklessnessorintentionallywrongfulconductoftheArchitect,anysubconsultant,any
personsororganizationdirectlyorindirectlyemployedbyanyofthemtoperformorfurnishanyofthe
work,oranyoneforwhoseactsanyofthemmaybeliable.Thisindemnityprovisionshallbeinaddition
to,andwithoutlimitationof,anyindemnityprovision(s)setforthintheContract.
