BYLAWS

OF

2ND DISTRICT OF QUEZON MINISTERIAL ASSOCIATION

ARTICLE I

MISSION STATEMENT
We are an organization of Christian churches committed in strengthening relationship,
reinforcing prayer and developing skills among District 2 Churches and Ministers, in
transforming D2 communities for Christ.

VISION STATEMENT
We envision united Ministers and Churches of District 2 motivated by passion for a
transformed people and nation for the Glory of God.

STATEMENT OF FAITH

1. We believe in one God, eternally existing in three persons Father, Son,


and Holy Spirit having the same nature and attributes (Deut. 6:4; Matt.
28:19; 2 Cor. 13:14).
2. We believe that the Bible is the inspired word of God, the absolute, final
and definitive authority for faith and life (2 Tim. 3:16,17; Matt.5: 18; 2 Pet.
1:20-21; John 16:12,13).
3. We believe that the Lord Jesus Christ, the eternal Son of God, became man
without ceasing to be God. He is fully human and fully divine. He was
crucified, died, buried and resurrected and is now exalted at the right
hand of the Father (Jn.1: 1,2,4; Lk 1:35; Rom.3: 24-25; I Pet.1: 3-5; Acts
1:9-10; Heb. 7:25; 9:24; Rom. 8:34; I Jn.2: 12).
4. We believe that the Holy Spirit is God, the third person of the Trinity,
though omnipotent in all eternity dwells in and empowers every believer
for service and Gods glory (Jn.14: 16,17; 16:7-15; I Cor. 6:19; Eph. 2:22).
5. We believe that man was created in the image and likeness of God, but
because of Adams sin the race fell, inherited a sinful nature and became
alienated from God and cannot remedy his lost condition without God
(Gen. 1:26-27; Eph. 2:1-3; Rom. 3:22,23; 5:12).
6. We believe that salvation is a gift, made available through the grace of
God by faith in the Lord Jesus Christ and not a product of good works (Jn1:
12; 5:24; Acts 4:12; Rom.4: 4-5; Gal.3: 10-14; Eph.2: 8-9).
7. We believe that the church, the body and bride of Christ, is a spiritual
organism made up of believers of Christ and His works (Eph.1: 22,23;
5:25-27; I Cor.12: 12-14; 2 Cor.11: 2). That our Lord Jesus Christ taught us
two ordinances, i.e. baptism and the Lords supper, in commemoration
and proclamation of His person and work (Matt.28: 19,20; Acts 2:41,46,47:
16:33; I Cor.11: 23-32).
8. We believe in the bodily resurrection of all people, the saved to eternal life
and the unsaved to judgment and eternal punishment (Matt.24: 24; Jn.
14:1-3; I Thes.1: 10; 4:13-17).
9. We believe in the second coming of the Lord Jesus Christ, the blessed
hope set before us, to establish His kingdom on earth (Matt.24: 27,30,44;
Titus 2:13).

10.We believe that it is the obligation of the saved to witness by life and
speech to the truths of the Bible and to proclaim the Gospel to all
mankind (Mk: 16:15; Acts 1:8; 2 Cor. 5:19-20; Eph.2: 10).

CONSTRUCTION
The Holy Bible shall form part of the by-laws. It shall be for all intents and purposes are above
the letter and spirit of the matters hereinafter stated. If in case there will be any conflict between
the word and spirit of the Holy Bible and the herein-stated matters; the former shall prevail
without question.

ARTICLE II
MEETINGS
Section 1. Annual Meetings The annual meetings of the members shall be held at the
chosen venue of the 2nd District officers, on the lst week of November of each year.
Section 2. Regular Meetings - The regular meeting of the Board/ Officers shall be of
the 4th Monday of each month.
Section 3. Special meetings Special meetings may be called as the need thereof
arises, by the Board/ Officers or upon petition of 2/3 of the general membership.
Section 4.

Quorum
1. Board Meeting/ Officers Meeting
A quorum for any meeting of officers/Board shall consist of fifty
percent (50%) plus one of a majority of officers/Board and such
quorum may decide any question at the meeting, except those
matters that concerns the Bylaws.
2. General assembly Meeting
A quorum for General assembly meeting of members shall consist
of fifty percent (50%) plus one of a majority of the members and
such quorum may decide at any question that concerns the
Bylaws.

Section 5. Order of Business The order of business at the annual meeting


of the members shall be as follows:

The order of business at any meeting may be changed by a vote of
majority of the members present.

ARTICLE III
BOARD / OFFICERS
Section 1. Board / Officers The corporate powers of the 2 nd District of
Quezon Ministerial Association shall be exercised, its businesses conducted
and its property controlled by the Board/Officers.

Section 2. Qualifications No member shall be eligible for election to the


BOARD/ OFFICERS unless he/she has the following qualifications:
a. He/she must be the Head Pastor within the 2 nd District of Quezon
b. He/she must be an active Chairman of the Ministerial association of
2nd District
c. Present District Chairman and Present District Elder

Section 3. Composition There shall compose of the Municipal Chairman of


Ministerial Association of Dolores, San Antonio, Tiaong, Candelaria & Sariaya
members of the BOARD/ Officers.
Section 4. General Duties and Responsibilities of the 2 nd District Officers:

a. They shall function for the affairs of the 2 nd District of Quezon


Ministerial Association by creating resolutions and legislating laws
that will help fulfill the mission and vision of the organization.
b. The BOARD/ Officers shall be responsible for the control,
maintenance and disposition of such properties and assets as
provided for by law and by the constitution and by-laws of the 2 nd
District of Quezon Ministerial Association.
c. Shall approve all appointive positions within the 2 nd District of
Quezon Ministerial Association.
d. Shall perform such duties and responsibilities as the need may arise
pertaining to the affairs of the 2nd District of Quezon Ministerial
Association.
Section 5. Officers of the BOARD/ Officers

The officers of the 2 nd District of Quezon Ministerial Association shall be a


District Elder, a District Chairman, a Secretary, a Treasurer, an Auditor, two Board
member and Advisers. They shall be elected by the Board/ Officers from among
themselves.
Section 6. Start and Term of Office of the BOARD/ Officers.

1. The District Elder, District Chairman, Secretary, Treasurer, Auditor, and two
Board member., shall hold office for two (2) years until their successors are
duly elected and qualified.
2. The Officers of 2nd District shall start to hold office two (2) months
after their election into office.
3. The Officers of 2nd District may be re elected
Section 8. Duties and Responsibilities of Officers
a. District Elder
1. The 2nd District of Quezon Ministerial Association finds its
headship under the Lord Jesus Christ. The District Elder shall
oversight over all the general management and business of the
organization as well as the supervision of the other offices. He
shall preside at all the meetings of the Board/ officers.
2. He is an ex-officio member all committees.
3. He shall lead all the community services of the 2 nd District of
Quezon Ministerial Association and shall arrange for all special
meetings and convention.
4. To review and approve the agenda of all meetings.
5. He shall present to the 2nd District of Quezon Ministerial
Association and the members an annual budget and from time
to time as may be necessary, supplemental budgets.
6. He shall submit to the 2nd District of Quezon Ministerial
Association as soon as possible after the close of each fiscal

year, and to the members of each annual meeting, complete


report of the activities and operations of the organization for the
fiscal year under his term.
7. He shall represent the 2nd District of Quezon Ministerial
Association to the Quezon Pastors Association
b. District Chairman
1. He shall see that all orders and resolutions of the BOARD/ Officers
are carried out into effect.
2. He shall execute in the name of 2 nd District of Quezon Ministerial
Association all deeds, bonds, mortgages, contracts and other
documents authorized by the Board/ Officers. any specific powers
other than those that may be conferred only upon the District Elder.

Elder during the absence or incapacity of the latter

Elder as confirmed by the BOARD/Officers.
6. He shall report to the Board/ Officers every regular meeting

c. Secretary

The secretary of the BOARD/Officers or his designee shall perform the


following duties and responsibilities:

To be responsible for keeping the vital records, documents and papers of


the organization, such as articles of incorporation and by-laws, minutes of
meetings, copies of resolutions, membership list and other important
corporate documents.
To provide for the preparation and tabling of the agenda of
meetings for the approval by the District Elder.
To ensure members of the BOARD/Officers and council of
ministers are notified of all meetings.
To ensure records of attendance are kept and to certify that
there is a quorum in all meetings of the organization and in
regular or special meetings of the BOARD/Officers and General
Members assembly.
To keep the minutes of meetings and submit the same for a vote
of acceptance by the BOARD/Officers.

d. Treasurer
1. To make himself/herself knowledgeable about the keeping of the
books of accounts of the 2nd District of Quezon Ministerial
Association, ensure performance of good stewardship over the
financial affairs of the organization and to comply with statutory
requirements.
2. To report periodically on the financial status and results of
operations of the organization.
3. To oversee compliance to all legal and tax-related requirements
of the state in coordination with the secretary of the 2nd District
of Quezon Ministerial Association.
4. To review and recommend to the line-up for authorization to sign
checks, letters of credit, promissory notes and such other
related financial instruments or documents.
5. To perform such duties and responsibilities related to the
financial affairs of the organization.
e. Auditor
The auditor shall review and audit regularly the finances of the
2nd District of Quezon Ministerial Association.
f. Board member

He shall perform such other duties and responsibilities as the District


Elder may determine and assign with the confirmation of the 2nd District of
Quezon Ministerial Association from time to time.

ARTICLE IV
GENERAL MEMBERSHIP

Section 1. Composition of General Membership


a. Regular members - Pastors of local Church from the towns of
Dolores, San Antonio, Tiaong, Candelaria & Sariaya who are Official
members of their respective Ministerial Association.
b. Voting members all Municipal Chairman and Vice Chairman who
are active in the Ministerial Association and have expressed in
writing their commitment to the 2 nd District Ministerial Association,
and who have conformed to all the qualifications and
documentation procedures hereunder.

c. Non-voting members ministers who expressed their commitment


as a partner to the organization.

Section 2. Qualifications and Obligations of Membership


a. Has evidence of the grace of God in his/her life and has followed the
Lord in water baptism (Jn.1:11-13Acts 11:23; I Cor.6:19-20;
Rom.13:13; Eph.4:17-32; 5:1-2,15; I Tim.2:9; I Pet. 1:8-12; I Jn.1:67).
b. Fully subscribes to the Declarations and Statement of Faith as
mentioned in Article I.
c. Senior Pastor of a local Church and an active member of the
Municipal Ministerial Association.
d. Express in writing to obey and comply with the by-laws, rules and
regulations that may be promulgated by the organization from time
to time.
Section 2. General Duties and Responsibilities
a. Shall attend the 2nd District of Quezon Ministerial Association
special, annual meetings/fellowships.
b. Shall support the Local Ministerial Association.
c. Shall support and implement all the programs and projects of the
organization.
d. Shall assist in all matters pertaining to the spiritual and temporal
life of the organization.
e. Shall support the organization through Ministerial dues, voluntary
contributions and other project that needs financial support.
f. Shall vote during the ratification of the 2 nd District of Quezon
Ministerial Association Bylaws .
Section 3. Rights of Members A member shall have the following rights:
a. To exercise the right to participate in the process of ratifying
resolutions pertaining to the Bylaws of the Association.
b. To avail of all the facilities of the Association on a limited basis to
be determined by the Officers.
c. To examine all the records or books of the Association during
business hours.
Section 4. Suspension, Expulsion, and Termination of Membership
Suspension, expulsion and termination of membership shall be in
accordance with the rules and regulations of the organization. The

proceedings shall have reference to Matthew 18:15-20, which must be


observed strictly.
Any member of the organization may file charges against a member by
filing a written complaint with the secretary of the organization. The 2 nd
District Officers shall call a special meeting to consider the charges. The
affirmative declaration of all the Officers shall be necessary to suspend
and/or expel a member of the organization.
The grounds for suspension, expulsion and termination are as follows:
a. Failure to function and perform his/her obligations as a member;
b. Violation of basic Biblical principles; and
c. Diversion from acceptable doctrinal beliefs and manifesting actions
and expressing statements contrary to the conviction of the
organization.
Section 5. Updating of Membership Roll
a. The membership committee shall review the membership roll of the
2nd District Officers annually and remove from the list of members
all names of those who went home with the Lord. If a name is
removed for a cause the person whose name is removed shall be
notified of the action of the membership committee. An appeal may
be made to the 2nd District Officers for reconsideration of the action
and reinstatement of the member. It is understood, however, that
no such action shall be taken unless persistent efforts have been
made to win such individual back to the standard of conduct of the
2nd District.
b. The membership committee shall recommend the names of those
people who have been qualified for membership and who have
passed the interview for acceptance of the 2 nd District Officers and
ratification of the body.
c. The membership committee shall add the names of those people
who have been received as members and whose names have been
recognized.

ARTICLE VI
ADVISORY COUNCIL
Section 1. Qualifications of Membership to the Advisory Council
a. He/she must be former District Elder and District Chairman and
must be active in the affairs of the organization.
b. He/she must maintain the qualifications and none of the
disqualification of a member and minister.

c. He/she may run for the office of the District Elder or


Chairman if available and willing .

Section 2. Duties and Responsibilities of the Advisory Council


a. May or may not attend the 2 nd District officers meeting, they can
share insights in aid of legislation and execution of resolutions for
the furtherance of the vision, mission and statement of faith of the
2nd District .
b. They are free to be consulted by any of the member minister of the
organization.

ARTICLE VII

FINANCES
Section 1. Funds the funds of the 2 nd District shall be derived from the
Membership dues of the churches, voluntary support, donations and other
fund raising projects.
Section 2. Disbursements withdrawal from the funds of the 2 nd District
whether by check or any other instrument shall be signed by the 2 nd District
Elder and countersigned by the 2nd District Chairman. If necessary, the 2nd
District Officers may designate other signatories.

ARTICLE IX
FISCAL YEAR
The fiscal year end of the 2nd District shall be November 30 of each
year.

ARTICLE X
LEGAL OFFICER
The legal officer shall be designated to supervise and fiscalize the
affairs conducted by the 2nd District and to determine whether the acts and
decisions arrived at are in consonance with existing laws and jurisprudence
and not contrary to the by-laws and Scriptures. All major documentation shall
be passed to him for review before the president signs and are released.

ARTICLE XII
CORPORATE SEAL
The corporate seal of the organization shall be in such form and design
as may be determined by the 2nd District Officers.

ARTICLE XIII
AMENDMENTS OF THE BY-LAWS
These by-laws, or any provision thereof, may be amended or repealed
by a majority vote of the members at any regular or special meeting duly
held for the purpose. However, to give space for application, amendments
can only be executed after two (2) years, starting from the date of issuance
of certificate of incorporation.
Adopted this 25th day of May 2015 in Sariaya Quezon, Philippines by the
affirmative vote of the undersigned members of the organization in a special
meeting duly held for the purpose.
