ARTICLE I
MISSION STATEMENT
We are an organization of Christian churches committed in strengthening relationship,
reinforcing prayer and developing skills among District 2 Churches and Ministers, in
transforming D2 communities for Christ.
VISION STATEMENT
We envision united Ministers and Churches of District 2 motivated by passion for a
transformed people and nation for the Glory of God.

STATEMENT OF FAITH
10.We believe that it is the obligation of the saved to witness by life and
speech to the truths of the Bible and to proclaim the Gospel to all
mankind (Mk: 16:15; Acts 1:8; 2 Cor. 5:19-20; Eph.2: 10).
CONSTRUCTION
The Holy Bible shall form part of the by-laws. It shall be for all intents and purposes are above
the letter and spirit of the matters hereinafter stated. If in case there will be any conflict between
the word and spirit of the Holy Bible and the herein-stated matters; the former shall prevail
without question.
ARTICLE II
MEETINGS
Section 1. Annual Meetings The annual meetings of the members shall be held at the
chosen venue of the 2nd District officers, on the lst week of November of each year.
Section 2. Regular Meetings - The regular meeting of the Board/ Officers shall be of
the 4th Monday of each month.
Section 3. Special meetings Special meetings may be called as the need thereof
arises, by the Board/ Officers or upon petition of 2/3 of the general membership.

Quorum
1. Board Meeting/ Officers Meeting
A quorum for any meeting of officers/Board shall consist of fifty
percent (50%) plus one of a majority of officers/Board and such
quorum may decide any question at the meeting, except those
matters that concerns the Bylaws.
2. General assembly Meeting
A quorum for General assembly meeting of members shall consist
of fifty percent (50%) plus one of a majority of the members and
such quorum may decide at any question that concerns the
Bylaws.
ARTICLE III
BOARD / OFFICERS
Section 1. Board / Officers The corporate powers of the 2 nd District of
Quezon Ministerial Association shall be exercised, its businesses conducted
and its property controlled by the Board/Officers.
1. The District Elder, District Chairman, Secretary, Treasurer, Auditor, and two
Board member., shall hold office for two (2) years until their successors are
duly elected and qualified.
2. The Officers of 2nd District shall start to hold office two (2) months
after their election into office.

Section 8. Duties and Responsibilities of Officers
a. District Elder
1. The 2nd District of Quezon Ministerial Association finds its
headship under the Lord Jesus Christ. The District Elder shall
oversight over all the general management and business of the
organization as well as the supervision of the other offices. He
shall preside at all the meetings of the Board/ officers.
2. He is an ex-officio member all committees.
3. He shall lead all the community services of the 2 nd District of
Quezon Ministerial Association and shall arrange for all special
meetings and convention.
4. To review and approve the agenda of all meetings.
5. He shall present to the 2nd District of Quezon Ministerial
Association and the members an annual budget and from time
to time as may be necessary, supplemental budgets.
6. He shall submit to the 2nd District of Quezon Ministerial
Association as soon as possible after the close of each fiscal

1. To make himself/herself knowledgeable about the keeping of the
books of accounts of the 2nd District of Quezon Ministerial
Association, ensure performance of good stewardship over the
financial affairs of the organization and to comply with statutory
requirements.
2. To report periodically on the financial status and results of
operations of the organization.
3. To oversee compliance to all legal and tax-related requirements
of the state in coordination with the secretary of the 2nd District
of Quezon Ministerial Association.
4. To review and recommend to the line-up for authorization to sign
checks, letters of credit, promissory notes and such other
related financial instruments or documents.
5. To perform such duties and responsibilities related to the
financial affairs of the organization.
e. Auditor
The auditor shall review and audit regularly the finances of the
2nd District of Quezon Ministerial Association.

ADVISORY COUNCIL
Section 1. Qualifications of Membership to the Advisory Council
a. He/she must be former District Elder and District Chairman and
must be active in the affairs of the organization.
b. He/she must maintain the qualifications and none of the
disqualification of a member and minister.

FINANCES
Section 1. Funds the funds of the 2 nd District shall be derived from the
Membership dues of the churches, voluntary support, donations and other
fund raising projects.
Section 2. Disbursements withdrawal from the funds of the 2 nd District
whether by check or any other instrument shall be signed by the 2 nd District
Elder and countersigned by the 2nd District Chairman. If necessary, the 2nd
District Officers may designate other signatories.
ARTICLE IX
FISCAL YEAR
The fiscal year end of the 2nd District shall be November 30 of each
year.

ARTICLE X
LEGAL OFFICER
The legal officer shall be designated to supervise and fiscalize the
affairs conducted by the 2nd District and to determine whether the acts and
decisions arrived at are in consonance with existing laws and jurisprudence
and not contrary to the by-laws and Scriptures. All major documentation shall
be passed to him for review before the president signs and are released.
ARTICLE XII
CORPORATE SEAL
The corporate seal of the organization shall be in such form and design
as may be determined by the 2nd District Officers.
ARTICLE XIII
AMENDMENTS OF THE BY-LAWS
These by-laws, or any provision thereof, may be amended or repealed
by a majority vote of the members at any regular or special meeting duly
held for the purpose. However, to give space for application, amendments
can only be executed after two (2) years, starting from the date of issuance
of certificate of incorporation.
Adopted this 25th day of May 2015 in Sariaya Quezon, Philippines by the
affirmative vote of the undersigned members of the organization in a special
meeting duly held for the purpose.
