MEMORANDUM OF AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This contract, executed by and between:
Michel J. Lhuillier, of legal age, Filipino, married to Amparito L.
Lhuillier and a resident of Maria Luisa Estate Park, Busay, Cebu City,
Philippines
- and Lorena F. Lucero, of legal age, Filipino, married to Leonito Lucero
and a resident of Lamac Corte, Carmen, Cebu, Philippines

WITNESSETH: that

WHEREAS, Michel J. Lhuillier recently purchased property in Toril,

Carmen, Province of Cebu, and became the true and absolute owner of the
same;

WHEREAS, portion of said property is presently being occupied by

Lorena F. Lucero, by way of tolerance by the previous owner;

WHEREAS, Michel J. Lhuillier desires to use the said property,

including the portion presently being occupied by Lorena F. Lucero;

NOW, THEREFORE, for and in consideration of the foregoing

premises and the stipulations and covenants hereinafter provided, the Parties
have agreed to the following:

I. That Lorena F. Lucero undertakes to vacate currently

occupied premises within a period of 1 month upon the

construction of her sari-sari store in a new site, which has

been agreed to by the parties to be situated outside the
property of Michel J. Lhuillier, or any of his other properties;
II. That Michel J. Lhuillier shall provide financial assistance to
Lorena F. Lucero to aid her in her transfer in the total amount
of TWENTY THOUSAND PESOS (20,000.00) Philippine Currency;
III. That in addition to the financial assistance, Michel J. Lhuillier
undertakes to provide transportation service to help Lorena F.
Lucero transfer her house materials from the old site to the
new site;
IV. That this Contract represents the entire agreement between the
parties and supersedes all previous oral or written
communications, representations or agreements between the
parties hereto, and with respect to the subject matter thereof;
V. This Contract may be amended only upon mutual agreement by
the parties in a separate document;
VI. This Agreement shall be valid and binding not only on the
parties represented herein but also on their heirs, agents,
representatives, successors and assigns;
IN WITNESS WHEREOF, the parties have hereunto affixed their

ACKNOWLEDGMENT

BEFORE ME, a Notary Public for and in the City of Mandaue,

personally appeared whom I have identified through competent evidence of
identity written below their names above and who represented to me that
their respective signatures on the foregoing instrument were voluntarily
affixed by them for the purposes stated in the instrument and who declared
that they have executed the foregoing instrument as their free and voluntary
act and deed.

This instrument consists of only three (3) pages, including this page in
which this acknowledgment is written, duly signed by the parties and their
instrumental witnesses on each and every page thereof.
