Status of Contractor
Contractor shall be and remain an independent corporation with respect to all service
performed hereunder and agrees to, and does hereby accept, full and exclusive liability for
the payment of any and all employer conmbu~ionsor taxes, as required by the laws of the
State of Rhode lsland and the U.S Government. The Contractor further agrees to
indemnify and save harmless the Department of Elderly Affairs from any contributions or
taxes or liability thereof.
Grant Termination
The Depamnent of Elderly axairs may terminate this grant, or any pon.ion of it, by
serving wrinen notice ofterminHtion on contractor. Tne notice shall state whether the
termination is for convenience of the Department of Elderly Affairs or for default of
. contractor. If the termination is for default, the notlce shall state the manner in w h ~ c h
contractor has failed to perform the requirements of the grant. Conmctor shall account
for any property in its possession paid f i r from funds received horn the Department of

next year. As you, we have announced the official theme, "America: A Community for All Ages," which has already giiiie
out to the network, and it is posted onour web site. People seem to really like it.
We have a contractor ready and waiting to take order for the products we will need to produce for this acknowledgement.
Based upon our meeting yesterday, this is what we agreed upon, with your approval or changes:
We know that the postergand all of the above actually get used! Outside the agency, the fact sheets do not, usually end

Thank you for your patience during this process of redevelopment of the PSA.
It was our understanding that the.target for the PSA is senior citizens and that the call to
action is for them to volunteer and get involved in their community. This is an

Transportation and INR. This is an ASSISTANCE message. We are saying -.
call us and get -
HELP. This speaks to an older, less healthy senior, someone who probably doesn't have the
energy to volunteer. A definite secondary target here would be the senior's caregivers,
friends and family members.
These two messages are not tonally or strategically compatible in a single spot. The -
energetic, aging boomer re.wnt retiree doesn't want to be lumped in with the older, more
vulnerable one. And the mo&'vulnerable, older senior won't relate to the call to action to get
out-there and volunteer. Furthermore, this is too much information to convey in a 60 and
especially in a 30 second spot. People are driving, they're distracted and they recall a

maximum of maybe three imgoifant points if they're even interested in the subject matter.
We need your direction on which way to go, or we need to do 2 different 'Spots,'orie 3ilcth the
empowerment message, targeted to young seniors, and one with the aid messages targeted to
older, frailer seniors and those who love them.

I f thechosen direction-is empowerment, gd'out and volunteer and use those ualuable.life
skills, then it would be nice to have a number they can call for some volunteer options.
Otherwise, people won't know where to start. (WAMU recently did a volunteer drive where
people called 1 -800-volunteer and were given options according to what they wanted to do.
We could set up a hotline where this kind of information is available to seniors - referrals to
local s. o..w kitchens, m-entoring programs, museum docent programs etc.)

This year's theme, "America: A Community for All Azes," was selected in recognition of
the national community in which we live, and in tribute to the elders of our families who
represent the strength of our nation. Older Americans provide us with love and guidance,
and they set the standards by which our families and our children's families live their
lives as responsible citizens of our great nation. In essence, older Americas are the
heartbeat of our comrhtqities, and they give us the energy and motivation to move
forward and contribute to our nation's strengh. success and prosperity.
2002 is an exciting year for our aging community. We are celebrating the 3 0 ~
anniversary of the'O'l'der Americans Act Nutrition Program, one of the most successful
community-based programs for seniors in Amenca. And we are also heralding the
convening of the 2ndWorld Assembly on Aging. held in April 2002 in Madrid, Spain. At
this important gathering of over 100 nations of the world, America's position as a
compassionate nation, which values its elders. was affirmed.

as a venue for such businesses, without competing with its own 8(a) program.

The United States P'&&I Service, in cooperation with the Smithsonian Institution,

works of art through stamps. In particular, they wanted to develop a marketing

Implementation
Colabours conceived and implemented an ambitious marketing campaign called
"Four Centyries of Art" to meet the dual objectives of USPS. We conceived and --

The Administration on Aging (AoA) is mandated by the Older Americans Act to be the focal point and
lead advocate agency for older persons and their concerns at the Federal level. In this role, AoA
informs other Federal agencies, organizations, groups, and the public about the valuable contributions
that older Americans make to our country and alerts them to the needs of vulnerable older people.
As part of that mandate, the Administration on Aging has the responsibility for promoting and
supporting Older Americans Month, a Presidentially-proclaimed month which honors the contributions
and highlights the needs and concerns of all older Americans. Older Americans Month is traditionally
celebrated during May, with activities involving Federal, State and local agencies, Members of

Congress, the vast members of the aging network, aging advocacy organizations, service providers,
senior citizens, caregivers, volunteers and others. It is a time when our Nation honors its elder
population, focuses on their successes, and works to improve the quality of their lives. The
Administration on Aging has the responsibility to provide guidance to its vast network on how they can
become part of the Older Americans Month celebration which is observed during the month of May of

The Administration on Aging (AoA) is mandated by the Older Americans Act to he the focal
point and lead advocacy agency for older persons and their concerns at the Federal level. In this
role, AoA informs other Federal agencies, organizations, groups and the public about the
valuable contributions that older Americans make to our country and alerts them to the needs of
vulnerable older people. AoA's vision for older people, embodied in the Older Americans Act,
- is based on the American value that dignity is inheknt to all individuals in our democratic
society, and-thc belief that older people should have the opportunity to fully participate in all
aspects of society &d community life, beable to maintain their health
remain in their own homes and communities for as long as possible.

AoA administers various grant programs that support an array of supportive services, as well as
state and local efforts to develop comprehensive and coordinated systems of care for older
people and their family caregivers. AoA carries out its advocacy and grant programs in
collaboration with a national network that includes 56 State Units on Aging; 655 Area Agencies
on Aging; 244 Tribal organizations; over 29,000 local community service organizations; 500,000
volunteers, and a wide variety of national organizations.

Background
The Administration on Aging has the responsibility for promoting and supporting Older
Americans Month, a Presidentially-proclaimed month which honors the
contributions and highlights the needs and concerns of all older Americans. Older Americans -
Month is traditionally celebn&d during May, with activities involving Federal, State and local
agencies, Members of Congress, the vast members of the aging network, aging advocacy
organizations, service providers, senior citizens, caregivers, volunteers and others. It is a time
when our Nation h o n o r ~ ~ ~ l d e r ~ o p u l a focuses

the quality of their lives. The Administration on Aging has the responsibility to provide
guidance to its vast network on how they can become part of the Older Americans Month
celebration which is observed during the month of May of each year.

to AoA identified partners. Translation services will be required in a minimum of Spanish
ffom the English copy for the materials.
Subtask 1.4 The Contractor sKa11-be responsible for preparing appropriate format for
printing and the website of all materials prepared for Older Americans Month. In
addition, contractor will he responsible for preparing and reproducing an interactive CD
of all the materials developed for Older Americans Month for inclusion in the kit.
Approximately 3000 kits will be printed. Both the cost ofprinting and mailing is
provided by AoA though the GPO printing contractor and is not a part of this contract.

New England Pension Assistance Project in the Greater Boston area as well as in Maine
and Connecticut. Following an introductory briefing meeting on March I lIh, BC
developed a media list of the significant local daily newspapers in the targeted areas (see
attached), identified the appropriate media contacts, reviewed all NEPAP materials and
conducted several conference calls with Jeanne Medeiros and Jack Pizer.
We then developed two story ideas. First, we pitched the human-interest angle that
would focus on an actual case of a lost and recovered pension and the importance of
monitoring pension plans. ' k r a g i n g news of the FleetrBank of America (BOA)
merger, BC developed a Media.Advisory and positioned Jeanne as-an expert resource for
a Q & A column on recovering a lost pension,--For the second pitch, BC refined the
media list to specifically target dailies and editors that featured Q & A columns. One, or

Recommendation -
We suggest that NEPA-P be aware of any calls or anything occurring in the news
related to Fleet acquiWTons or results from the acquisitions that would provide a
timely news hook for Ed to write the story. Then follow up with Ed connecting

A) Introduction
1. This contract is entered into between the Delaware Department of Health and Social Services (the
Dcpamnent);.&~ision~~efServices for Aging and Adults with Physical Disabilities (Division) and
Janet Hughes & Associates (the Contractor).
2. The Conwct shall commence on October 31, 2004 and terminate on March 31, 2005 unless
specifically extended by an amendmenf signed by all parties to the Contract. Time is of fie essence.
(Effective contract s t m date is subject to the provisions of Paragraph C 1 of this Agreement.)
1. Contractor recognizes that it is operating as an independent Contractor and that it is liable for any and
all losses, penalties, damages, expenses, attorney's fees, judgments, andlor settlements incurred by
reason of injury to or death of any and all persons, or injury to any and all property, of any nature,
arising out of the Contractork negligent performance under this Contract, and particularly~without
limiting the foregoing, caused by, resulting from, or arising out of any act of omission on the part of

2. The Contractor shall maintain such insurance as will promt against claims under Worker's
Compensation Act and from any other claims for damages for personal injury, including death, which
may arise from operations under this Contract The Contractor 1s an independent contractor and is not

During the term of this Conuact, the Contractor shall, at its own expense, cany Insurance with
minimum coverage limits as follows:

4. Not withstanding the information contained above, the Contractor shall indemnify
and hold harmless the State of Delaware, the Department and the Division from
contingent liability to others for damages because of bodily injury, includng death,
that may result from the Contractor's negligent performance under this Contract, and
any other liability for damages for which the Contractor is required to indemnify the -
State, the Dspqment and the Division under any provision of this Contract.

6. The Contractor shall provide a Certificate of Insurance as pmof that the Contraclpr has the required
insurance. The certificate shall identify the Depanment and t$e Division as the 'Certificate Holdd'
and shall be valid for the contract's period of performance as detailed in Paragraph A 2.
The Contractor acknowledges and accepts full responsibility for securing and .-
maintaining all licenses and permits, including the Delaware business license, as
applicable and'recluired by law, to engage in business and provide.. the g ~ d s--
andlor services to be acquired under the terms of this Contract. The Contractor
acknowledges and is aware that Delaware law provides for significant penalties
associated with the conduct of business without the appropriate license.

The Contractor agrees to comply with all State and Federal licensing standards and :all other
applicable standards as required to provide services under this Contract to assure the quali'ty of ser-
vices provided under this Contract. The Contractor shall immediately notify-*e Department in
writing of any change in the status of any accred~tations.licenses or certifications in any jurisdiction
in which they provide services or conduct business. If this change in status regards the fact that its
accreditation, licensure. or certificatlon is suspended, revoked; or otherwise impaired in any
jurisdiction, the Contractor understands that such action may be grounds for termination of the
Contracr.
9. Contractor agrees to comply with all the t e r n , requirements and provisions of the Civil Rights Act of
1964. the Rehabilitation Act of 1973 and any other federal. state. local or any other anti discriminatory
act, law, statute. regulation or policy along with all amendments and revision of these laws, in the

performance of this Contract and will Mt discriminate against any applicant or employee or service
recipient because of race. creed, religion, age. sex. color. national or ethnic origin. disability or any
other unlawful discriminatory basis or criteria.

cease work and' re@ain from purchasing contract related items unless otherwise instructed by the

be deemed to have assigned such action to the Department.
19. Contractor covenants that it presently has no interest and shall not acquire any interests, direct a -
indirect, that yould conflict in any manner or degree with the performance of this Contract.

22. Contractor agrees that no information obtained pursuant to this Contrac~may be released in any form

except as necessary for the proper discharge of the Contractor's obligatic~nsunder t'nis Contract.
23. Waiver of any default shall not be deemed to be a waiver of any subsequent default. Waiver.or breach
of any provision of this Contract shall not be deemed to be a waiver of any other or subsequent
breach and shall not be construed to be a modification of the terms of the Contract unless stated to be

such in writing. signed by authorized iepresenbtives of all parties and atached to the original
Contract.
24. If the amount of this contract listed in Paragraph C2 is over 5100.000. the Contractor, by their
signature in Scction E, is representing that the Firm and/or its Principals, along with its
subcontractors and assignees undel this agreement, are not currently subject to euher suspension
or debarment from Procurement and Non-Procurement activities by the Federal Government.

litigation shall be retained f o r one (1) year following the termination of such litiga~ion. The
Department shall have access to such books. records. dccuments, and other evidence for the purpose

cause an alterat~onin the price or time required by the Conlractor for any aspect of its performance
under the Contract. Pricing of changes shall be conslclenr with those prices or costs established within
this Contract. Such amendment shall not be effective until executed by all Panies pursuant to
Paragraph B 14.

This is an Indefinite Deliveryllnd-efinite Quantity Task Order contract that will be used to
provide services to client agencies-of the Program Support Center. The Contractor will be
reimbursed on a cost reimbursement basis as consideration for the satisfactory

performance of the work specified by each individual task order. Individual task orders shall
not exceed two (2) years in duration or exceed one million dollars in total costs. Task
orders may be fully funded or incrementally funded.
The Government guarantees thal each Contractor will be awarded one (1) task order during

The Program Support Center (PSC) is a fee for service organization that
performs various administrative, financial and logistical services for client
agencies of the Department of Health and Human Services as well as on behalf
of various other Federal agencies and the District of Columbia.
Individual task orders shall not exceed one million dollars or extend for a period

longer than two (2) ye8rs. All task oiclers will be awarded ori a-cost -

The following types of services are contemplated under this contract. The
Contracting Officer will determine whether or not a client agency's requirement is
appropriate for award under this contract. The Contracting Officer's
determination shall be final and not subject to protest by other paities.
a. Policv Assessments

These studies require analyses of major policy issues receiving active
consideration by key Government officials. The policy-oriented
information produced by these assessments contributes directly to internal
debate on budgetary, legislative and program modification decisions,
provides background analysis and support for major Administration
initiatives and, occasionally, produces the information base for
Congressionally-mandated reports.
b. Proqram Assessments --
These studies focus more narrowly on current programs in an effort to
define issues or problems. These studies may be distinctly more
management and impact oriented. The intended uses of program
assessments are similar to policy assessments and may in-clu-de- _ -
budgetary and legislative decisions as well as program modification or
redesign. Program assessments may identify "best practices" in a
number of program sites, produce preliminary data on efficiency and
effectiveness (impact) and recommend options for program change or
subsequent evaluation.

Program assessments typically involve analysis of existing data or may
involve limited data collection from fewer than ten individuals or programs
but may involve data collection on a more extensive basis. Telephone
contacts may be used to collect information from project sites or from
individuals knowledgeable about the program. Site visits may be used to
obtain information on program performance, to corroborate or correct
inforniation from other sources and to determine the feasib~lityof
proposed measures and comparisons.

before 8:00 a.m. and scheduled arrival is after 9:00 p.m.); (4) less

the fixed fee or the time required for Contract performance; or (iv) changes
any of the expressed terms, conditions, or specifications of the Contract.

task order without discussions. However, if negotiations are necessary,

orders that are to be competed, late proposals will be handled in

A Contractor that is included in the competition for award of a task order
may choose not to submit a proposal. In the event that the Contractor
chooses not to submit a proposal, the Contractor shall notify the
Contracting Officer in writing of it's decision not to submit an offer for the
given requirement. Failure to submit a proposal will not preclude the
Contractor From any future opportunities to compete for task orders.

pop-up panel (to augment the existing AoA exhibit) that help to communicate AoA
priorities and initiatives.

7.3 Initial needs assessment. Contractor will conduct a quick needs assessment among AoA
central office and field staff and partners to establish a baseline of current skills and
experience and to develop a "wish list" of training and TA topics. Based on the results of thls
needs assessment and additional input from AoA staff and partners, Contractor will design
agendas for the first several monthly Media Network teleconference calls. This needs
assessment can be conducted each year, or can be available continuously for members of the
-Medi~Ne%orkto register their ideas and suggestions. The Contractor will design. conduct,

7.4 Monthly teleconference calls. The Media Network will operate as prevrously described.
with monthly teleconferences. Over the course of the year, the Network will provide a rich
menu of training and technical assistance, as well as opportunities for peer-to-peer train~ng,
information sharing, feedback, and evaluation. Teleconferences hosting 50 or more telephone
lines will be prescheduled at regular times, each advanced by a notice, agenda, and
supporting materials delivered by the interactive list serv described below and parked at a
permanent supporting Web site. A special section of AoA's Web site can be designed to host
the agendas and supporting materials, or the Contractor can establish this repository,
available to register$> users, off-site. AoA will arrange for the monthly bridge line
teleconference service. -
7.5 Action adviseq kits-six action kits will be developed per year to serve the needs of and
be put to use by the Media Network. It is assumed that the Older Americans Month kit will-
serve as one of these. Topics and materials for the remaining 5 would emerge from the needs
assessment, the interactive list serv, and the operation of the Media Nehwok. Kit eonteztts
May include 3 fact sheets, 1 print PSA in 3 different sizes, 1 poster, 1 letterhead template,
and 1 other document. Contents will be translated into Spanish. One camera-ready hard-copy
and oneelectronic version of each kit will be delivered to AoA, and deposited at the
supporting Web site,,in advance of itsdiscussion during the relevant monthly Media Network

7.6 Editorial board training will be conducted via the Media Network.
7.7: Spokesperson training. The Contractor will design and deliver one half-day
. spokesperson training workshop annually for up to 100 trainees designated by AoA or
recruited by the Contractor. To keep costs as low as possible this training may be included as
an adjunct session to an already scheduled annual meeting that would att~aotthe most likely
participants. The training and supporting materials will be designed in a training-of-trainers
(TOT) mode, enabling first generation trainees to deliver the workshop to prepare their own
spokespersons in their own local media markets. Relying on TOT use of each participant's
home-quality video equipment will keep AoA's costs to a minimum, including only time for
preparation, delivery of the training, developing supporting TOT materials, and providing a
TOT manual for each trainee.
