Building Package Summary

Introduction

Ciel Properties Limited (CPL) is glad to present the Building Package (BP) with a view to provide you
(the Client) with peace of mind in respect of the development and construction of your residential property on
your plot of serviced land at Anahita Mauritius (the Project).
This document has been structured as follows:

- An introduction to CPL

- Key features of the BP so as to allow better understanding of the BP services offered by CPL

CPL is a well established property development company with a wealth of experience in the development of
luxury residences and villas, commercial, and leisure assets in Mauritius. Of particular note, CPL is the developer
of Anahita Mauritius (Anahita), a prime property of over 200 hectares stretching six kilometers along Mauritius
east coast shoreline, nestled between its largest lagoon and the Bambou mountain range. Development at
Anahita commenced in 2006 and to date the following has been completed on time and budget:

- Anahita Villas & Residences 110 out of the planned 325 private residences and villas

- Four Seasons Resort Mauritius at Anahita 91 guest suites plus facilities and amenities

- Four Seasons Private Residences Mauritius at Anahita 45 branded luxury villas

- Four Seasons Golf Course Mauritius at Anahita 18-hole, USGA-approved, Ernie Els signature

- La Place Belgath Village complete with dining, shopping and recreation facilities

- The Fairways Phase 1: 9 fully serviced plots of land

Building Package Objectives

The aim is to provide you with an optimal turnkey solution for the development and construction of your
residential property on your plot of serviced land at Anahita. The development management services offered
encompass the entire development process from inception to the handover of the property and covers the
following steps:

- Development brief

- Consultant selection

- Design (architectural, engineering and landscaping plans)

- Syndic and Developer approvals

- Local authority approvals (Building and Land Use Permit and any other relevant clearances required)

- Construction

- Interior design

- Decoration/ furnishing

- Landscaping

During the entire process, CPL will manage, administer and coordinate the development of your property on
your behalf, based on established reporting structures and approved communication channels.

Offer

The residential property can either be:


- One of our existing Anahita villa types A, B or C (Note: copyright/proprietary fees on the plans

apply)

- A bespoke residential property as per the brief to be provided by and developed with you, and in

line with the applicable Cahier des Charges and Architectural and Landscaping Guidelines with the

selected architect and design team

We are proposing a pre-selected team of preferred consultants for the development of your residential
property, which have a wealth of experience and well established practices in Mauritius and with whom we
have previously worked on previous Anahita phases. (Please refer to the summary factsheet of the proposed
team at Annexure 1).

Note: should you wish to work with an architect, interior designer or landscape architect of your choice, we
allow this flexibility for the preparation of the concept plans. From that point it is highly recommended that the
design development (in line with local regulations), Syndic, Developer and authorities approvals as well as site
supervision are done by the building package team of consultants.

Scope of Services

Our scope of work is to manage, administer and coordinate the development on your behalf, so that you may
benefit from our technical knowledge, experience and expertise. The BP services can be summarized as
follows:
Design: Pre-Construction (from the development brief to tender):
Our main tasks will consist of inter alia:

- Developing and finalizing the development brief (understand and set out your requirements

for the residential property)

- Formulating and implementing reporting structures and approval procedures with you as well as

with the consultants

- Advising and assisting you with the selection and appointment of the consultants, including the

negotiation of the consultants fees and other remuneration in your best interest

- Preparing a preliminary development program

- Preparing schedules of payment and negotiating contractual agreements in your best interest

- Monitoring the development by the consultants of the design concepts from initial schematic

- Managing the project account and effecting payments to the consultants on your behalf for works

from the Syndic and Anahita Estates Limited as well as the local authorities

- Managing any variations requests received from the Client and updating the development

meetings, reviewing drawings and budgetary estimates, etc.)

- Monitoring and facilitating the preparation and obtention of the required clearances and permits

- Preparing or reviewing of or advising on the development documents (such as preparing minutes of

Construction: Design Development


During the construction stage, CPL will ensure the project and construction management based on predefined administration and reporting structures:

- Issuing monthly progress reports and statement of accounts pertaining to the project accounts to

Post Construction
We will guarantee a smooth delivery of your residential property by:

- Ensuring that the consultants undertake the necessary inspections, testing and commissioning

- Undertaking a delivery inspection with you and handing over of keys, guarantees and

operations and maintenance manuals

- Checking that any claims and disputes with contractors have been finalized

- Ensuring that the final accounts have been prepared

- Post occupation care: assisting you with any latent defects notification to the contractor and

coordinating the relating remedial works

Legal Aspects

The suite of contracts to be entered into is the following:

The Development Management Agreement (DMA)


The DMA establishes CPL as a consultant to the Client and is signed upfront.
As from the commencement date, you will appoint CPL as the development manager to manage, administer
and coordinate the Project on your behalf.

The Works Agreements


The Works Agreement is an agreement for works and services entered into between the Client and the
consultants and contractors. These relate to the contracts that will be signed between you and the appointed
architect, interior designer, engineer, quantity surveyor, etc. as applicable, as well as the main contractor and
any other subcontractors and suppliers, etc.
CPL will assist you in the administration of these contracts and you will benefit from our existing templates
which are based on the Joint Building Contracts Committee (JBCC) and Professional Consultants Services
Agreement Committee (PROCSA) suites of contracts. These will ensure that your best interests are protected
during the course of the development.

Fees and Payments

Development Management Fees


A development management fee expressed as a percentage of the works cost will be quoted and shall be paid
by the Client upon issue of valid invoices according to an agreed cash flow.
These development fees will consist of a non-refundable mobilization fee payable upon signature of the DMA
and installments based on a pre-agreed schedule of payments.

Payment of consultants and contractors


All monies will be transferred by the Client as per an agreed schedule of payments into a project account which
will be managed by CPL. Payments from this account to the consultants and contractors will be made by CPL
against works performed, and against certificates issued by the appointed quantity surveyor and architect,
where applicable.

Clients Obligations

Your main responsibilities during the Projects lifetime will include inter alia:

- Appoint a representative (yourself or a person of your choice) who will be your authorized

representative for all purposes under the DMA. He/she will be our point of contact for all matters

and decisions pertaining to the development

- Cooperate with us during all phases to facilitate the performance of our services and provide us

with available documents, information, studies, data in a timely manner to enable us to comply with

our obligations

- Accurately and timeously specify your requirements and provide the necessary approvals,

- Appoint and contract with the consultants and contractors, in consultation with and upon our

confirmations, decisions and instructions as per our requests

on the Island.
Virginies style portrays an edgy harmony between colour, texture and design. She has the ability of creating an

living keeping a casual yet sophisticated touch.
Virginie Dalais has been involved in hotel projects as well as in high end residential properties both on the island and

Her most recent and contemporary work is as the lead interior design consultant at Anahita Mauritius (C Type and

expertise in Structural, Civil, Environmental and Infrastructure Engineering. At Anahita, Arup Sigma has been
involved since the inception of the project and is responsible for Civil, Structural and Infrastructure Engineering
under the very experienced Derick Steinhobel.
Their global experience enables their team to deliver fully coordinated and integrated engineering designs to
exacting international standards expected by the industry.
