Engagement Agreement - Workplace Investigation

Stephanie Atigh is very pleased to have the opportunity to provide legal services to the City of Carmelby-the-Sea. This letter will serve to record our Agreement of the terms and conditions of Stephanie
Atighs retention.
1.

Stephanie Atigh (hereinafter Atigh) agrees to conduct a workplace investigation


involving allegations involving the Public Works Department of the City of Carmel-by-the Sea
(hereinafter Client). Atigh will provide you with findings of fact as to each of the
allegations that have been raised. Unless we make a different agreement in writing, this
Agreement will govern all services Atigh will perform for Client.
2. On the matters covered by this Agreement, Atigh will provide legal services to the Client,
take reasonable steps to keep you informed of developments in such matters, and respond
to your reasonable inquiries. In providing these services, Atigh will act as a fact finder.
Atighs services will be protected by the attorney-client and work product privileges, unless
these privileges are waived by Client. Client agrees to cooperate with Atigh to keep her
informed of developments, to abide by this Agreement, and to pay Atighs bills in a timely
manner.
3. Client certifies that any report prepared by Atigh with respect to this investigation will be
used only for the purposes of determining whether the allegations are founded or
unfounded.
4. Fees for services provided to Client pursuant to this Agreement will not exceed Ten
Thousand Dollars ($10,000) and will be calculated and billed at Atighs regular public agency
hourly rate of $200.00 for investigative services and $350.00 per hour for testimony in a
court of law or in an administrative proceeding. Time will be billed in increments of six
minutes, that is, one-tenth of an hour. Statements for services will be sent directly to Client

and will contain a description of the services performed, the date they were performed, and
the time devoted to each service provided. The foregoing hourly rates apply to all time
spent on investigating the above-referenced claim, including but not limited to, interviews in
person or by telephone conference; preparing, analyzing, and reviewing correspondence;
analyzing and reviewing documents; preparing reports and memoranda.
Atigh will ordinarily incur various costs and expenses or will provide certain in-house
services while performing investigative services for Client. Client agrees to pay for these
items in addition to fees for investigative services. The costs and expenses and in-house
services may include, but will not necessarily be limited to, out of town travel expenses,
messenger and other delivery services, photocopying and other reproduction services,
transcription of taped interviews, and similar items. Internal and external costs will be
charged in order to reimburse Atigh for the cost of providing those services. Atigh will not
charge Client for word processing, overtime expenses associated with administrative
personnel, local telephone charges and similar items. Atigh will not add a handling charge
for costs and expenses incurred on Clients behalf. Atigh shall not be required to advance
payment for major external expenses, which Client shall pay directly. Without prior
approval, Atigh will not incur on Clients behalf any such major external expenses.
Upon conclusion of the investigation, Atigh will send Client a statement for fees and costs
incurred. Invoices will be paid directly to Atigh by Client, and such invoices must be paid
within thirty (30) days of receipt.
Client may discharge Atigh as its investigator at any time. Atigh may withdraw as the
investigator in the above-referenced matter for good cause. Good cause includes but is not
limited to the following: Clients breach of this Agreement; Clients failure to pay bills on
time; Clients refusal to cooperate with Atigh in this investigation; the development of an
irreconcilable conflict between Client and Atigh as to the conduct of this investigation.
Nothing in this Agreement and nothing in statements made to you will be construed as a
guarantee or a promise about the outcome of the investigation or any phase of this
investigation. Client acknowledges that the investigative fees and costs that may be
incurred pursuant to this Agreement are not capable of precise prediction, and that Atigh
has made no guarantees or promises with regard to the cost of services she will provide,
other than acknowledging that the fees under this agreement cannot exceed Ten Thousand
Dollars ($10,000).
This Agreement will take effect when this Agreement is signed on behalf of Client, but its
effect will be retroactive to the date Atigh first performed services in this investigation on
behalf of Client.

this Agreement to Atigh. Thank you.

Acceptance
I/We have read and understood the foregoing terms and conditions and agree to them as of the date
Atigh first provided services pursuant to this Agreement. I/We have the authority to enter into this
Agreement on behalf of the City of Carmel-by-the-Sea.
