OUR COMMERCIAL TERMS AND CONDITIONS

Ex-works Vadodara basis , subject to IEEMA Price Variation Clause with base date of
01.01.2016

Shall be extra as applicable at the rates prevailing at the time of dispatch.

Present rate of excise duty is 12.5%; central sales tax (CST) is 2% against
form 'C', otherwise 5% full CST without Form C. In case of supplies within
the state of Gujarat, VAT (not CST) will be applicable at the rate of 5%.

Excise duty and CST/VAT (as mentioned above) is also applicable on the
Type/ Special tests, if conducted.

In case of Excise duty exemption / PAC, etc., cenevat reversal will be

applicable extra and the same shall be confirmed only after receipt of valid
documents from your end.

In case of CST with form C, you shall make the payment with Full CST of
5%. Billing will be done considering CST of 2% with form C, and differential
amount of 3% will be paid to you on receipt of form C from your end.

Freight, transit insurance, octroi/ LBT, Entry tax, etc. shall be arranged, paid
& borne by purchaser.

Unloading at site, erection, testing at site and commissioning of the

transformer, etc. is not in our scope.

We shall provide supervision of erection / commissioning of transformer at

Rs. 7500 /- per man-day.
Routine tests as per IS 2026 shall be offered at no extra cost. Type test & special
test, if required, shall be carried out at extra cost.
The main body shall be dispatched bare whereas the other detachable accessories
shall be wooden crated, as per the practice followed by the entire transformer
manufacturer in India.
12 months from the date of Commissioning or 18 months from the date of dispatch,
whichever is earlier. The agreed guarantee period shall not be extended after
placement of order / expiry of the agreed guarantee period.
During warrantee period, our liability is limited to repair / replacement of defective
part (at our discretion) which is solely due to faulty design/material/workmanship.
30% interest free advance along with LOI/P.O. Balance 70% plus 100% taxes
against Performa invoice before dispatch, after successful inspection.
Payment shall be made by Payable at Par Cheque/DD payable at Baroda. In case
of DD, DD charges shall be to Purchasers account.
In case of delay in payments, interest shall be charged at the rate of 0.5% per
week.
12 weeks from the date of receipt of approved drawing with unconditional
manufacturing clearance or receipt of advance, whichever is later. Drawings shall be
approved within 7 days time. In case of delay in receipt of approved drawings
beyond 8 days, the agreed delivery shall not be valid.
Drawing approval shall mean only checking the drawing / data sheet with the details
accepted during order finalization. Drawing approval shall not mean changing
technical guaranteed particulars like rating, voltage ratio, impedance, losses, type of
tap changer and its range. Any change in these parameters after finalization of
order, will not be accepted.
10 days from the date of offer.
In case the order is cancelled for whatsoever reasons attributed to purchaser, then
20 % payment of basic order value will be recovered towards the losses suffered by
us.

Should storage of goods be necessary owing to dispatch destination being delayed

due to your instruction or lack thereof or non-availability of dispatch facility, due to
delay in receipt of payment/ PAC / CT3 / Excise duty exemption certificate / Road
permits / E-sugam, etc. the cost of such storage demurrage and incidental charges
at the rate of 1% of the value of the equipment ready for dispatch per week or part
thereof will be your accounts and the goods shall be stored entirely at your risk. The
storage charges will be applicable from the date of readiness of the transformer.
The supplier shall be under no liability if he is prevented from carrying out any of his
obligations due to: Act of foreign enemy like: War, invasion, hostilities (whether war
is declared or not) etc. Internal disturbances like: riots, civil commotion labour
disturbances, strikes, lockouts, mutiny, rebellion, revolution, insurrection etc:
Natural calamities like: fire, accidents, floods, earthquake etc.; Government
(central/state)/ statutory bodies orders like power restrictions, import restrictions
etc.
Other conditions and causes beyond the reasonable.
