Power Regulatory Authority for the grant of a GENERATION / TRANSMISSION / SPECIAL
PURPOSE TRANSMISSION / DISTRIBUTION LICENCE to the NOON SUGAR MILLS LTD.,
BHALWAL pursuant to section 47 of the Regulation of Generation, Transmission and Distribution of
Electric Power Act, 1997.
I certify that the documents-in-support attached with this application are prepared and submitted in
conformity with the provision of the National Electric Power Regulatory Authority Licensing
(Application and Modification Procedure) Regulations, 1999, and undertake to abide by the terms and
provision of the above-said regulations. I further undertake and confirm that the information provided
in the attached documents-in-support is true and correct to the best of my knowledge and belief.

I.

The name of the Company is "NOON SUGAR MILLS LIMITED"

II.

The registered office of the Company will be situated in the Province of Punjab.

The objects of the Company for which it is being established are [to do any or all of the following in

To set up Sugar, Board and Paper Mills[, Distilleries and Power Generation Plants.?

To carry on the business of manufacturing Sugar, Paper and Board and working a Distillery in all its
respective branches and to produce, purchase, boil, refine, prepare, import, export, sell and
generally deal in Sugar, Sugar-cane, Sugar-Candy, Jaggary, Sugar Beet, Mollases, Syrups, Alcohol,
Spirits and all Sugar products including confectionery, Glucose, Canned Fruit, Golden Syrup and
aerated waters and/or bye-products thereof such as betyl, alcohol, acetone, carbon dioxide,
hydrogen, potash, canewax, fertilisers and food products generally, and in connection therewith to
acquire, construct and operate factories for the manufacture of Sugar or any of its products or byeproducts and/or to acquire plant, machinery and equipment for any of the above purposes.

To carry on the business of manufacturing and fabrication of Board, and Paper and all its respective
branches with or without the help of the bye-products of the Sugar Mill [and to tarry on the business
of power generation, transmission, special purpose transmission, supply, sale and distribution and
to develop, design, own, operate, import, export, engineer, purchase or lease equipment and
properties with regard to the development, conversion, transformation, installation, commissioning
and operation of power plants and other energy power projects and to undertake supervision,
construction and erection of power generation plants, power houses, grid stations, sub-stations,
switching stations, transmission lines, buildings and all other civil and mechanical engineering
works and to obtain licenses and permission from competent authorities and do all such acts, deeds
and things, without limitation whatsoever as may be necessary or desirable in furtherance of the
objects of the Company.]3

To buy, sell, grow, plant, cultivate or otherwise acquire Sugar-Cane Sugar-Beet, Fruits, Vegetables
and Corns of any variety or varieties on the Company's own lands or on lands of others, on such

terms, and conditions as the Company may deem fit from time to time and advance moneys and
loans to growers, farmers, land-owners and contractors and provide them with seeds manure, tools
machinery and/or other facilities, on such terms and conditions as the Company may deem fit and to
consume all or any such grown, owned or acquired Sugar-Cane, Sugar-Beet, Fruit, Vegetable or
Corn, in Company's own undertaking or to dispose of, supply, export or sell all or any of these
commodities to any dealers, distributors, manufacturers, exporters and others on such terms and
conditions as the Company may deem proper.

To acquire or issue debentures, debenture-stock, bonds obligations, units of investment and


securities of all kinds, and to frame, constitute and secure the same, as may seem expedient, with
full power to make the same transferable by delivery or by instrument of transfer or otherwise and
either perpetual or terminable, and either redeemable or otherwise and to charge or secure the same
by trust, deed or otherwise on the undertaking of the Company or upon any specific property and
rights, present and future, of the Company or otherwise howsoever.

To facilitate and encourage the creation, issue or conversion of debentures, debenture-stock,


bonds, obligations, shares, stocks, units of investment and securities and to act as trustees in
connection with any such securities or units of investment and to take part in the conversion of
business and industrial concerns and undertakings into companies.

To employ experts to investigate and examine into the conditions, prospects value, character, and
circumstances, of any business concerns and undertakings, and generally of any assets, property
or rights.

To constitute any trusts with a view to the issue of units of investment, stocks or shares or any
other special stocks, units of investment, or securities based on or representing any shares, stocks
or other assets specifically, appropriated for the purpose of any such trust, and to settle and
regulate, and if thought fit, to undertake and execute any such trusts and to issue, dispose of, or
hold any such preferred, deferred or other ordinary or special stocks or securities or units of
investment.

liquidators of industries, undertakings, Institutions, companies, firms or individuals.

either existing or new, and developing or forming the same either through the instrumentality of
syndicates or otherwise,

15. To act as agents for Government or local authorities or for any other person or persons; and to
carry on agency, business of any description including the power to act as attorneys and to give
discharge and receipts.
16, To carry on business as agents, selling agents, buying agents, publicity agents, shippers agents,
carriers agents, managers, brokers, commission agents, insurance agents, indenters, indenting
agents, canvassers, advertisers, stockists and distributors, for any persons, firms and companies,
including, without prejudice to the said generality and in particular, for importers, exporters, buyers,
sellers, manufacturers, merchants, tradesmen, insurers, financiers, builders, propertyowners and
others and generally to undertake and carry out agencies and agency work of any kind
whatsoever and transact all manner of agency, booking, commission, canvassing, distributing and
advertising business but not to act as managing agents as restricted by law.
17. To acquire by purchase, lease, exchange, hire or otherwise any property immovable or movable, and
any rights or privileges which the Company may think necessary or convenient and to acquire or the
acquisition of which in the opinion of the Company is likely to facilitate the realization of any
securities held by the Company or to prevent or diminish any apprehended loss or liability.
18. To purchase, take on lease, or in exchange, hire or otherwise acquire any immovable or movable
property for whatever tenure, state or kind and any rights or privileges which the Company may
think necessary, convenient or profitable and in particular any land, buildings, easements,
machinery, plants, tools, implements and stock-in-trade and either to retain any property so
acquired for the purposes of the Company's business or to sell, dispose of or turn the same to
account as may seem expedient.
19. To acquire and hold and generally deal with any property and any right, title or interest in any
property movable or Immovable which may form part of the security for any loans or advances or
which may be connected with any such security.

of the Company or otherwise.

24. To acquire, construct, maintain and alter any building or works, necessary or convenient for the
purposes of the Company.
25. To sell, improve, manage, develop, lease, mortgage, dispose of, or turn to account, exchange, or
otherwise deal with all or any part of the property and rights of the Company.
26. To borrow or raise money or secure the payment of moneys and/or fulfillment of any obligations in
such manner as the Company may think fit and in particular by the issue of debentures, debenture-

stock, perpetual, terminable or otherwise, or by bond, mortgages, pledges, hypothecation, liens or

collaterally or further to secure any securities of the Company by trust deeds or other assurances
and to purchase, redeem and pay off any of such securities as aforesaid.
27. To receive or accept moneys for purpose of investment in shares or other specified objects with or
without allowance of interest andl or commission and/or any other consideration and with or without
security.
28. To give guarantees for the performance or discharge of any obligations, liabilities or duties or the
payment of moneys by any persons or companies and to give indemnities of all kinds.
29. To carry on any other business, whether mercantile, manufacturing or otherwise which may seem to
the Company capable of being conveniently carried on in connection with any business of the
Company or calculated directly or indirectly to enhance the value or render profitable any of the
Company's property or rights for the time being.
30. To acquire by subscription, purchase or otherwise, and to take and hold or sell or re-issue with or
without guarantee or otherwise deal with any shares, stock, debentures, debenture-stock, securities
or other interests in any other company or companies having objects wholly or in part similar to the
Company's objects or any of them or doing amongst other things any business capable or being
conducted so as directly or indirectly to benefit this Company or to subsidize or otherwise assist
any such other company or companies.
31. To obtain any provisional Order or Act or Notification of any Governments or Legislative Authorities
(including any provincial or local Legislature Governments) for enabling the Company, to carry any
of its objects into effect or for effecting any modification of the Company's constitution or for any
other purpose which may seem expedient and to oppose any proceedings or applications which
may seem calculated directly or indirectly to prejudice the Company's interests.
32. To acquire and undertake the whole or any part of the business, property and liabilities of any
person, firm or company, carrying on any business which the Company is authorised to carry on or
possessed of any rights or property which may seem suitable for any of the purposes of this
Company, on such terms and for such consideration whether in cash and/or kind and/or In the
shape of shares and/or debentures or debenture-stock and/or any rights of or in this Company as
may be thought fit.
33. To act as agents for the issue and placing of and to underwrite shares, debentures, debenture-stock,
units of investment and other securities or any obligations of any companies or proposed

35. To sell, lease, hire out, grant licenses, easements and other rights over, or in any other manner
deal with or dispose of the business, property or properties (including movable and immovable),
undertakings, assets, rights and effects of the Company, or any part thereof for such consideration
and upon such terms as the Company may think fit and in particular for shares, debentures,
debenture-stock, bonds or securities of any other company.
36. To promote or join in the promotion or procure the registration, incorporation or other recognition of
any company or companies for the purpose of acquiring all or any of the property rights and
liabilities of the Company or for any other purpose whatsoever which may seem directly or indirectly
calculated to benefit the Company, and to underwrite, shares and securities therein or thereof.
37. To invest and deal with the moneys of the Company not immediately required in such manner as
may from time to time be determined.

38. To draw, make, accept, endorse, discount, execute, and issue bills of exchange, promissory notes,
hundies, cheques, bonds, bills of lading, warrants, debentures and other negotiable or transferable
instruments, or securities and to open, operate on or close banking accounts and over-draft
accounts and other accounts of any kind or nature whatsoever.
39. To pay all charges and expenses incurred or sustained on or about the promotion and
establishment of the Company or which the Company shall consider to be preliminary, including
therein the costs, charges and expenses of and incidental to advertisement, commissions for
underwriting, brokerage, printing and stationery and the promotion and establishment of agencies
and local boards.
40. To establish and maintain local register, agencies, branches and places of business and procure the
Company to be registered or recognized and carry on business in any part or parts of the world.

41. To amalgamate with any other company or companies having objects altogether or in part similar to
those of this Company.
42. To remunerate any persons or firm or companies for services rendered or to be rendered in placing
or assisting to place or guaranteeing the placing of any shares in the Company's capital or
debentures, debenturestock or other securities of the Company, or in or about the formation or
promotion of the Company or the acquisition of any rights or property by the Company or the
conduct of its business.
43. To pay or satisfy any moneys or remuneration either in cash or in kind or by the issue or allotment
of shares, debentures or other securities of the Company or by the granting of options to take the
same or in any other manner allowed by law.
44. To sell, improve, manage, develop, exchange, enfranchise, lease, mortgage, dispose of, turn to
account, or otherwise deal with all or any part of the property, undertaking and rights of the
Company for the time being.
45. To distribute any of the property of the Company in specie or in kind among the members.

46. To do all or any of the above acts, matters, and things in any part or parts of the world whatsoever
either as principals, agents, trustees, contractors or otherwise and either by or through agents, subcontractors, trustees, or otherwise, and either alone or in conjunction with others.

47. To purchase, take on lease, or in exchange or otherwise acquire, erect, maintain, equip, construct,
repair, renovate, or adopt movable or immovable, property, including buildings, residential
bungalows, labour lines, quarters, offices, chawis, places of worship, schools, hospitals,
dispensaries, canteens, recreation rooms, clubs, warehouses, godowns, structures, erections, mills,
factories, foundries or places for manufacturing plants, machinery, spindles, looms, presses,
engines, tools, electric lights, accessories, implements, appliances, apparatus, articles and other
things found necessary or convenient for the purpose of the Company and for the welfare of the
employees and also to extend the business of the Company by purchasing, acquiring, getting
transferred, adding to, altering, enlarging, all or any of the buildings mills, factories, premises,
places being the property of or in possession of the Company and by expending from time to time
such sum or sums of money as may be necessary or expedient for improving, adding to, altering,
repairing and maintaining the buildings, structures, machinery, plant and property for the time being
of the Company and to sell or mortgage or let out on hire all or any portion of the same as may be
thought desirable.
48. Generally to carry on in any place or places any other trade or business, whether manufacturing or
otherwise, subsidiary or auxiliary to, or which may seem to the Company capable of being
conveniently carried on in connection with any of the Company's objects or calculated to enhance
the value of or render profitable any of the Company's property or rights and to establish and
maintain any agencies in any part of the world for the conduct of the business of the Company, or
for the sale of any materials or things for the time being at the disposal of the Company for sale, and
to advertise and adopt means of making known or promoting the use of all or any of the
manufactures, products or goods of the Company or any articles or goods traded or dealt in by the
Company in any way that may be thought advisable, including the posting of bills in relation thereto,
and the issue of circulars, books, pamphlets and price lists and the conducting of competitions,
exhibitions and the giving of prizes, rewards and donations.
49. To apply for purchase or by any other means, acquire, and protect, prolong and renew, any patents,
patent rights, brevets d'invention, licenses, protections and concessions which may appear likely to
be advantageous or, useful to the Company, and to use and turn to account, and to manufacture
under or grant licenses or privileges in respect of the same and to spend money in experimenting
upon and testing and in improving or seeking to improve any patents, inventions or right which the
Company may acquire or purpose to acquire.
50. To be interested in, promote, and undertake the formation and establishment of such institutions,
business, pools, combines, syndicates (industrial, trading or manufacturing) as may be considered
to be conducive to the profit and interest of the Company and to promote and/or subsidize
interests in any industry or undertaking and to carry on any other business (industrial, trading,
manufacturing or other) which may seem to the Company capable of being conveniently carried on
in connection with any of the objects of the Company or otherwise calculated directly or indirectly,
to render any of the Company's property or rights for the time being profitable.

51. To remunerate or make donations to (by cash or other assets, or by the allotment of shares, or by a
call or put option on shares, debentures, debenture-stock or securities of this or any other
company, or in any other manner) any person or persons for services rendered or to be rendered in
introducing any property or business to the Company, or in placing or assisting to place or
guaranteeing the subscription of any shares, debentures, debenture-stock, or other securities of the
Company, or for any other reason which the Company may think proper.
52. To apply, or join in applying to and obtain from any legislative authority, government, local,
municipal or other authority or body, for any acts of legislature laws, decrees, concessions, orders,
rights or privileges or authority that may seem conducive to the Company's objects, or any of them
or may seem expedient, and to oppose any proceedings or applications or legislation or grant or
withdrawal or any rights, privileges or concessions or any imposition or alteration or cancellation of
any taxes or duties or tariffs which may seem calculated directly or indirectly to prejudice the
Company's interest.
53. To borrow or raise or secure the payment of money, or otherwise in such manner as the Company
may think fit, and in particular, by the debentures or debenture-stock, perpetual or otherwise,
including debenture or debenture-stock convertible into shares, of this or any other company and in
security of any such money to be borrowed, raised or received, to mortgage, pledge or charge the
whole or any part of the property, assets or revenue of the Company, present or future, and to
purchase, redeem or pay off any such securities.
54. To lend or deposit moneys belonging to or entrusted to or at the disposal of the Company, to such
person or company and in particular to customers and others having dealings with the Company
with or without security, upon such terms as may be thought proper and to Invest or otherwise
employ such moneys in such manner as may be thought proper and from time to time to vary such
transactions in such manner as the Company may think fit.
55. To sell and in any other manner deal with or dispose of the undertaking or property of the Company
or any part thereof, for such consideration as the Company may think fit, and in particular for
shares, debentures and other securities of any other company having objects altogether or in part
similar to those of this Company.
56. To Improve, manage, work, develop, exchange, lease, mortgage, turn to account, abandon or
otherwise deal with all or any part of the property, rights and concessions of the Company.
57. To provide openings for the fullest possible employment of Pakistani nationals in the administrative
and technical departments of the Company and to accept Pakistani nationals as apprentices for
training and to establish, provide, maintain and conduct schools, training colleges, laboratories,
workshops and other institutions for the education, training and instruction of Pakistani nationals to
whom the Company may be able to take into service and who may desire to avail themselves of the
same and thereby to fit themselves for promotion to executive and technical posts in the services of
the Company.
58. To place, to reserve or to distribute as dividend or bonus among the members, or otherwise to apply
as the Company may from time to time think fit, any moneys received by way of premium on shares
or debentures issued at a premium by the Company, and any moneys received from unclaimed
dividends.

AUDITORS' REPORT TO THE MEMBERS ON REVIEW OF


CONDENSED INTERIM FINANCIAL INFORMATION
Introduction
We have reviewed the accompanying condensed interim balance sheet of Noon Sugar Mills Limited
(the Company) as at March 31, 2013 and the related condensed interim profit and loss account,
condensed interim cash flow statement and condensed interim statement of changes in equity
together with the notes forming part thereof for the Six-months period then ended (here-in-after
referred to as the "condensed interim financial information"). Management is responsible for the
preparation and presentation of this condensed interim financial information in accordance with
approved accounting standards as applicable in Pakistan for interim financial reporting. Our
responsibility is to express a conclusion on this condensed interim financial information based on our
review.
The figures of the condensed interim profit and loss account for the quarters ended March 31, 2013 and
2012 have not been reviewed, as we are required to review only the cumulative figures for the Sixmonths period ended March 31, 2013.

Scope of Review
We conducted our review in accordance with International Standard on Review Engagements 2410,
"Review of Interim Financial Information Performed by the Independent Auditor of the Entity". A
review of interim financial information consists of making inquiries, primarily of persons responsible for
financial and accounting matters, and applying analytical and other review procedures. A review is
substantially less in scope than an audit conducted in accordance with International Standards on
Auditing and consequently does not enable us to obtain assurance that we would become aware of all
significant matters that might be identified in an audit. Accordingly, we do not express an audit opinion.

Conclusion
Based on our review, nothing has come to our attention that causes us to believe that the accompanying
condensed interim financial information as of and for the Six-months period ended March 31, 2013 is
not prepared, in all material respects, in accordance with approved accounting standards as applicable
in Pakistan for interim financial reporting.
