Case Study – Novadios currently assists the in-house legal department
of a Fortune 500 company to manage their legal needs.
HospitalityCorp (fictional name) owns and manages a global
portfolio of hotels and resorts that has experienced tightening due to the
economic slowdown. New development projects brought about a
significant increase in legal volume, but the in-house legal department
was unable to bring aboard new personnel or increase its outside counsel
budget to meet the demand. They were in a bind, and HospitalityCorp
turned to Novadios for assistance.
Novadios helped HospitalityCorp identify specific areas that
required immediate legal triage and more macro-level implementations
to create sustained efficiencies over time. Two major initiatives were
executed as a result: (i) Novadios would provide immediate relief by
assuming the role of virtual in-house counsel to draft, negotiate and
execute specific vendor agreements on HospitalityCorp’s behalf; and (ii)
Novadios would carefully restructure the HospitalityCorp’s contracts
management system to increase the flow of accurate information
between the legal department and the business units thereby reducing
miscommunications and creating a more efficient contracts approval
process.
It’s been 12-months since HospitalityCorp engaged Novadios; and,
even though the company utilizes more senior attorney resources at
Novadios due to their unique substantive legal needs, HospitalityCorp’s
invoices from Novadios average $59 per hour. HospitalityCorp has now
expanded the role of Novadios as a result of the positive savings, utilizing
Novadios for more high-volume process-based projects such as document
review. We expect these projects will help drop HospitalityCorp’s
invoices below the $40 per hour mark.
Example 1 – Novadios conducts the legal diligence in a corporate acquisition.
iShop, Inc. owns and operates an online ecommerce site that distributes household
goods to its customers worldwide. iShop wishes to scale its customer base through the
acquisition of AllGear LLC, an online sporting goods distributor. iShop engages a domestic
law firm to perform a legal review of the assets of AllGear, and iShop is shocked to receive
its first monthly invoice from the firm totaling $62,000 for 200 hours of labor from two junior
associates ($250/hr.) and 20 hours from a partner ($600/hr.). The legal review is not even
close to completion, and iShop’s legal costs are already skyrocketing out of control. iShop
contacts Novadios for a solution, and Novadios proposes the utilization of a blend of
Argentine and U.S. labor to create savings while preserving quality.
Novadios commits two mid-level Argentine associates, one senior Argentine associate,
and one U.S. partner at a combined cost of $9,000 per month—representing a cost savings of
86%. iShop engages Novadios, and the Novadios attorneys present Company A with a
comprehensive and professional diligence report concerning AllGear’s assets. The project is
delivered on time, accurately and within budget, and iShop purchases AllGear with the
confidence and peace of mind gained from the Novadios experience.

Example 2 – Novadios operates alongside lead outside counsel in litigation support.

Pharma Company is a pharmaceutical manufacturer that produces and distributes a


leading antidepressant drug to its worldwide distribution base. The drug has a long history of
success, however, Pharma Company becomes the subject of a class action alleging that the
antidepressant has caused some detrimental side effects. U.S. Firm, a top-tier law firm,
represents Pharma Company in the litigation and receives a discovery request to disclose all
corporate emails written between 1999 and 2002 concerning the research and development
of the drug in question. It is a daunting task involving an initial privilege review of over
100,000 emails, and U.S. Firm estimates utilizing the services of its junior associates
($225/hr.) to conduct 1,000 hours of review, one mid-level associate ($350/hr.) to conduct
500 hours of review, and one partner ($650/hr.) to devote approximately 100 supervisory
hours, resulting in a total estimated cost of $465,000. Pharma Company is concerned, but it
feels like its hands are tied because it has a long-standing relationship with the partner of
U.S. Firm.
Fortunately, Novadios offers Pharma Company a perfect solution. Novadios provides
its mid-level attorneys ($45/hr) to work under the direct supervision of U.S. Firm’s partner,
thereby supplanting the need to engage U.S. Firm’s junior and mid-level associates. As a
result, the total project cost is reduced to $132,500, representing a cost savings of 72%. The
Novadios attorneys, fluent in written and spoken English, work closely with the U.S. Firm
partner to complete the review on time and at the estimated price. Pharma Company is
pleased with the level of efficiency and savings, and Novadios is retained by Pharma

Example 3 – Novadios digitizes volumes of data from physical contracts.

Alliance Insurance recently implements a new contracts database software system


that requires the analysis and digitization of massive amounts of data pulled form tens of
thousands of contracts in the company’s archives. Alliance already uses large Indian
outsourcing companies for its customer service call centers, but Alliance is reluctant to
send its sensitive legal data halfway around the world. Alliance needs a facility that is
closer to home but with similar cost savings to India, so Alliance seeks out alternatives and
turns to Novadios.

Example 4 – Novadios handles day-to-day legal matters as virtual in-house counsel.

MediaCo, based in New York, is weathering a tough market that requires it to


reduce its in-house legal force and severely limit its outside legal budget. However,
General Counsel of Media Company still requires the knowledge and support of a fully
functional in-house legal team. General Counsel is overburdened by the day-to-day legal
duties she must now personally handle, and is unable to focus effectively upon her broader
senior management responsibilities. Seeking a solution, General Counsel contacts
Novadios about its dedicated virtual in-house service, and Novadios designates full-time
legal staff to act as Media Company’s exclusive counsel. The dedicated desk of attorneys

Document Review

The contracts administration service offered by Novadios is

1) What does LPO mean?
“LPO” stands for “legal process outsourcing.” Typically, LPO providers
are volume-focused businesses that offer low cost legal services by

customer’s lower to mid-tier standardized or routine legal needs, such

SENIOR MANAGEMENT
ROBERT PIERCE, JR., ESQ. – VICE PRESIDENT, TRANSACTIONAL SERVICES GROUP
Robert Pierce, a member of the California Bar, is the Vice President of the Transactional Services
Group and is in residence in the Córdoba offices of Novadios. Bob undertakes key management and
supervisory roles within the practice group and the company as a whole. He has nearly two decades
of domestic and international legal experience, most recently as Director & Associate General
Counsel at Adobe Systems Incorporated where he managed a large team of lawyers and non-lawyer
intellectual property specialists supporting strategic technology transactions, commercial
agreements and business compliance activities. Bob has held in-house positions at various other
Silicon Valley companies and has worked in private practice both inside and outside the U.S. He
graduated in 1993 from Stanford Law School and holds his BA in Political Science and Business from
UCLA. Bob authors The Software Lawyer Weblog, and he is undertaking training to qualify as a
solicitor in the Law Society of England and Wales.

JOAQUÍN ACUÑA, ESQ. – PRESIDENT, NOVADIOS GLOBAL OPERATIONS


Joaquín Acuña is the President of Novadios Global Operations. Prior to founding Novadios, Joaquín
was deeply involved in Córdoba´s outsourcing success story since his return from the United States to
his native Córdoba in 2003, when he founded the law firm of Viramonte & Acuña – Abogados. In this
capacity, Joaquín has advised numerous outsourcing clients in operations setup and ongoing business
activities in the region. Joaquín represented Apex America from its operational set-up as a new
outsourcing enterprise in 2003 through to the company’s acquisition by Sykes Enterprises in 2006,
and he served as lead counsel representing Action Line Córdoba, the region’s largest call center, in
the company’s sale of its equity to a U.S. hedge fund in 2007. From 2001 to 2003, Joaquín worked as
an associate in the business department of the San Francisco office of Morrison & Foerster, LLP.
Joaquín holds an MBA from the Royal Holloway School of Management at the University of London
and graduated in 1996 with a JD from Universidad Nacional de Córdoba (Argentina). Joaquín is a
member of both the Buenos Aires and the Córdoba Bar Associations.

ASH ANDERSON, ESQ. – PRESIDENT, NOVADIOS USA


Ashley Anderson, a member of the California Bar, is the President of Novadios, LLC and manages the
U.S. headquarters. Prior to founding Novadios, Ash was the Chief Operations Officer and General
Counsel of Comedy.com, LLC, a media start-up based in Santa Monica, California. From 2004 to 2006,
Ash served as the Director of Legal Affairs at ABC Studios where he managed the production of the
studio’s primetime television assets, including Lost and Ugly Betty. Ash began his legal career as a
corporate lawyer in the private equity groups of Kirkland & Ellis, LLP and Morrison & Foerster, LLP in
San Francisco. Ash graduated in 2000 with a JD from Stanford Law School. He also holds a Masters in
law from Oxford University, and a BA from the University of North Carolina at Chapel Hill. He is
undertaking training to qualify as a solicitor in the Law Society of England and Wales.

MATIAS AVILA NORES, ESQ. – PRESIDENT, NOVADIOS ARGENTINA


Matias Avila Nores is the President of Novadios, S.A. and manages the Argentine operations facility.
Prior to founding Novadios, Matias opened his Córdoba law firm, Estudio Avila Nores, parlaying 12
years of experience working for the leading Buenos Aires law firms, Allende & Brea and the Mercosur
office of the Paris-based law firm Bureau Francis Lefebvre. During this time, Matias managed the
day-to-day work of associates in all stages of M&A transactions (including due diligence, acquisition
and ancillary document drafting and negotiations, and closings). His major clients included Citibank
N.A., AIG Capital Partners, and Eximbank N.A. Matias holds an LL.M. from Duke University School of
Law and a Masters in Business Law from the Universidad Austral (Buenos Aires). Matias graduated in
1996 with a JD from Universidad Nacional de Córdoba (Argentina). He is a member of both the
Buenos Aires and the Córdoba Bar Associations.

In 2003, Dante Pusiol co-founded Spinlock S.R.L., an Argentine research and development company
specializing in nuclear magnetic resonance technology, where he served as its General Counsel and
helped scale the company through the formation of U.S. subsidiaries and joint ventures. While at
Spinlock, Dante managed an international customer base that included Shell International Exploration &
Production, the University of New England, the US and South African branches of Pannar and the
Ukraine arm of Syngenta Seeds, and he managed and protected the company’s intellectual property
interests. Dante joined Novadios in August 2009, and has both supervised and worked on numerous
licensing, sourcing and other strategic matters across various industries including those of media,
gaming and telecommunications. Dante has a JD from the Universidad Católica de Córdoba, and he is
presently pursuing an LL.M in Intellectual Property Rights from Universidad Austral in Buenos Aires. In
2007, he studied at Leiden University in The Netherlands where he focused on international and E.U.
law, including IT and competition law. He is fluent in written and spoken English.
SEBASTIÁN HEREDIA, ESQ. – COUNSEL
Sebastián Heredia is an author and co-author of several publications relating to personal loan
securitizations, insider trading case law, anti-dumping procedures and accounting fraud. In 2008, he
worked as a consultant for Montamat & Asociados in Buenos Aires where he litigated anti-trust and anti-
dumping matters. He also served as a teaching assistant in Corporations Law at the Universidad
Nacional de Buenos Aires. Prior to this, Sebastián studied at the Universidad Pública de Navarra, Spain,
where he expanded his substantive focus, working on European Anti-Trust Law and International Trade
Law. Since joining Novadios in November 2009, Sebastián has had significant exposure to cutting-edge
matters, including digital media deals, gaming agreements, diverse software license agreements,
leasing, telecommunications and hospitality-related transactions. Sebastián has a JD from Universidad
Católica de Córdoba and is to graduate with an LL.M in Corporate Law from Universidad Austral in
Buenos Aires. He is fluent in written and spoken English.
CAROLINA MARKOWSKYJ, ESQ. – COUNSEL
After studying for three months in New York, Carolina Markowskyj returned to her hometown of
Córdoba, Argentina to obtain her law degree at one of the province’s most prestigious law schools.
While an associate at the local firm, Rodriguez Junyent, she represented the city’s municipality as one
of its litigators assisting with document review, discovery and deposition preparation. Prior to this
experience, Carolina worked with the criminal courts assisting a psychiatric profiler. Carolina joined
Novadios in February 2010, and is involved with telecom, e-commerce and hospitality-related deals.
Carolina holds a JD from Universidad Católica de Córdoba and is a qualified Notary Public. She is fluent
in written and spoken English.
HANNAH ST. VINCENT – LAW CLERK
Hannah St. Vincent, a native Australian, joined Novadios in July 2009, and she is resident in the
Córdoba offices where she provides expert project management and administrative support. Hannah
brings with her experience in both the legal services and journalism industries. She holds a BA in
Politics and Post Graduate Diploma in Journalism (PgDipJour) from Murdoch University, Western
Australia, and she is currently training to be a solicitor in the law courts of England and Wales through
the University of London’s External Programme. Hannah is proficient in written and spoken Spanish.
LINDSAY MOORE – LAW CLERK
Lindsay Moore, an Ohio native, has been resident in the Córdoba offices since March 2010. Lindsay
provides project management and editorial support, as well as administrative responsibilities for the
Novadios legal staff. Lindsay studied International Studies with a minor in Anthropology at Ohio
University, and she is presently taking further International Studies courses at the Universidad
Empresarial Siglo 21 in Córdoba. She is fluent in Spanish and is proficient in Italian and Swahili.
