INDIVIDUAL CONSENT FORM

Notwithstanding the services provided by me to Rockwell Collins (India)
Enterprises Private Limited (Rockwell), I understand that I will not be entitled to
receive any employee welfare, pension, or fringe benefits of any type from
Rockwell, Rockwell Collins, Inc. or any of the affiliated or unaffiliated entities of the
companies mentioned above, including without limitation, stock options, bonuses,
vacations, business cards, pharmacy or use of recreation facilities. I have not
been given the option of electing to participate in any of the programs from which
I am being excluded. I understand the significance of my exclusion from these
programs.
I irrevocably agree to my exclusions from these programs.

ANNEXURE E
INVENTIONS, PATENTS AND SECRECY AGREEMENT
INVENTIONS AND PATENTS AGREEMENT
In consideration of my engagement in connection with any agreement executed by
Rockwell Collins (India) Enterprises Private Limited (hereafter Customer) with my
employer, I hereby agree that any invention, discovery, or improvement that I
make, suggest, conceive, devise, or first actually reduce to practice in the
performance of services under any such agreement shall be promptly disclosed to
and become the absolute property of Customer. I will at any time, either during or
after the termination of said services, at the request of Customer and without
further consideration execute any patent application and assignment relating to
any such invention, discovery or improvement, and will execute any paper that
may be necessary or helpful in the prosecution of such patent application or which
relates to any litigation, controversy or contractual obligation of Customer
pertaining to such application, without expense to myself. I agree not to reveal to
any person information concerning Customers invention, improvements or
methods.
In the event my engagement is under a statement of work linked to a Government
contract being performed by the Customer, I agree to the terms if applicable of the
Patents and Data Rights clause set forth in such Government contracts as, for
example, FAR 52.227-7013 Rights in Technical - Noncommercial Items; FAR
52.227-7014 Rights in Noncommercial Computer Software and Noncommercial
Computer Software Documentation; similar and companion provisions including
any amendments or supersedes thereto.
SECRECY AGREEMENT
If during the period of my engagement in connection with said agreement, I have
access to any information, technical or otherwise, which is confidential or
proprietary to Customer, its customers, subcontractors, and any other individuals
or companies having any kind of association or relationship with Customer, I will
not, except as required by duties use or disclose or authorize anyone else to use or
disclose, any of such information, either during my engagement or thereafter for
so long as such information is not publicly or generally known.
Anything
possessed by me which discloses or embodies such information will be delivered to
Customer prior to completion of my services under said agreement.
I agree not to disclose information concerning the work-in-progress for Customer
to anyone not authorized to receive it. All documents or things coming into my
possession, custody or control by virtue of my engagement are the property of
Customer and will be delivered to Customer prior to the completion of my services.
I am aware that careless handling of classified information and/or the unauthorized
disclosure of such information or information relating to National Defense of the
United States is punishable under the Federal Espionage and National Security

Laws and Regulations, including but not limited to Title 18 USC Sections 793, 794,
795, 797, 798, 799, Sections 2151 through 2157, Executive orders 10104, 10865,
10909, 11652 and the National Security Act of 1947 and any amendments or
supersedes to the above.
