Dear Sirs,

Re: Tuli International – Our Proposal

First of all thank you for the opportunity to do business, and to Sooraj Dhawan for the
Introduction.

Riverhouse would be able to assist Tuli International in finding new UK retail partners to
work with for the purpose of introducing and promoting its product range in the UK
market.

We would like the opportunity to target around 20 Tier 1 and Tier 2 Retailers in order to
pitch your product range. I’m delighted therefore to put a proposal forward on these.

As I outlined, Riverhouse brings a number of areas of expertise that you should find
useful.

1. Retail– with almost 10 years of experience, Riverhouse has dealt with a great many
of the major retailers, from B&Q, Focus DIY, Sainsbury’s, Tesco, Blacks & Millets
and many more, all in the top 250 UK retailers.

2. Database – our database includes some 2,000+ contacts, all at a senior level in
retail, finance, insurance and in associated agencies. These are substantially in
Marketing, but also include Commercial and Finance Directors and Senior
Managers and Buyers. We also have a decent CRM system to keep track of activity.

3. Project Management – our office in Kidderminster is well used to managing these

sorts of projects in terms of planning, organising and managing resources to
ensure their successful completion.

The Project

I think this project should be tackled in 3 key stages.

1. Target Retailers – to draw up a target list of around 20 Tier 1 retailers in the UK,
based on those where we have personal contact with the Buyers.

a. We would target in the first instance High Street retailers such as Dunelm
Mill, Debenhams and House of Fraser with a proposition to introduce your
products for inclusion into their instore and online ranges.

b. We would also approach a number of retailers with a proposition to ‘white

label’ your products into their own brand eg Sainsbury’s, Tesco and Asda.

2. Proposal Management – to prepare a proposal for later presentation to each

retailer, tailoring its nature to each. Includes approach letters, and some minor and
PowerPoint work. Also to ensure that a CRM database of all required contacts is
built and maintained for future management reporting, and to check that our
contacts are up to date and still in position.

3. To arrange presentation opportunity meetings – to approach and arrange

meetings with potential contacts wherever possible, and to act on your behalf in
approaches to seek the best meeting opportunity possible. If necessary I will visit
the retailer for any preliminary meetings, but will seek to encourage them to invite
you over where possible.

Our Fee Proposal

I would propose that Riverhouse be retained to seek this business for Tuli International on
the basis of £950 per month for an initial period of between 3 and 6 months. This would
cover the efforts of both David Whitby and myself. We also propose a monthly
contribution of £150 to cover travel expenses so that as meetings are landed, we will
travel to the appointment. We normally invoice mid month for payment in 14 days, giving
payment for the month worked, before the next month is commenced.

Our fees are based on making sure that we cost less than employing people of your own,
yet because of our expertise, personal contacts, and database we will undoubtedly have
more success.

We also offer a 30 day cancellation period. Essentially, should you feel that we are not
doing ‘what it says on the tin’, then - just give us 30 days notice! This then gives you the
confidence that we have to deliver.

I do hope this makes sense, and we look forward to working with you.

Yours sincerely

Sheridan Chaffey (Associate Director)
