ABC COMPANY
Table of Contents
ABC Company is a global provider of xyz widgets that operates a diverse portfolio of businesses, each with
strong market positions and prospects for growth. The company is aligned around three segments, abc
widgets, xyz widgets, and 123 widgets –– and currently has over 16,000 employees in more than 100 offices
that span 27 countries. Approximately 8,400 of these employees are based in the U.S. (More information
about ABC Company can be found on its website www.abccompany.com).
Because the market is evolving at a rapid pace, ABC Company is interested in evaluating marketplace
options to find the optimal partner(s) to support its plans. As such, with this Request for Proposal, ABC
Company is seeking proposals for strategy and services to begin January 1, 2010 for the following US-based
social media programs:
The specific administration services sought by ABC Company are detailed in the following Scope of Services
documents that include:

y Social Bookmarking

y And other social media services
As detailed within this RFP, these Scope of Services documents should form the basis for your proposed
services and corresponding fees.
Finally, ABC Company has hired Sociable Business to assist with its vendor evaluation process by defining a
comprehensive Scope of Services, evaluating vendor proposals for providing these services, and ensuring
that ABC Company obtains a contractual arrangement with its selected vendor(s) that is at least as favorable
as the market standard.
1. RFP Instructions
1.1 RFP Timetable
ABC Company has established the following schedule for soliciting and evaluating vendor proposals:
January 11 – January 28 Vendors may submit questions about the RFP to Dennis McGuire aSocialble
Businessvia e-mail at dennis@socialblebusiness.com. Sociable Business will
distribute responses to all vendors via e-mail.
February 7 – February 15 ABC Company reviews proposal responses and selects vendor finalists.
February 28 – March 9 Site visits to finalist vendors (Please ensure you have time available
for a site visit during these weeks.)
March 12 – April 2 ABC Company conducts follow-up / due diligence discussions and negotiates
contract provisions with selected finalist vendor(s).
April 4 – April 20 ABC Company obtains senior management approval and finalizes contract with
vendor(s) of choice.
Please note that ABC Company reserves the right to amend this schedule at its sole discretion.
Proposals must be delivered to all recipients by 5:00 p.m. ET on February 4, 2010. Time is of the essence.
Proposals received after this time will not be considered, and will be returned unopened to the sender.
Proposals will be time stamped at the office of Sociable Business, Inc. Please provide original copies of

Important Note Regarding Electronic Copies: The electronic copy of your response to the
questionnaire portion of this RFP must be submitted in a Microsoft Word format that is devoid of any
graphics that are not core to your proposal response. For example, organizational charts or other pictorials
that directly respond to a question may be included; marketing graphics in the headers and footers of your
document should not be included. Any additional attachments to your proposal should be submitted in a
generally accepted electronic format, such as a Microsoft Office product or Adobe Acrobat.
Any questions regarding this RFP should be submitted in writing via e-mail to Dennis McGuire at Sociable
Business prior to January 28, 2010. To ensure a fair bidding process, responses to vendor questions will
be distributed to all vendors (without disclosing the source of the question).
* Please do not contact anyone at ABC Company about this RFP, and do not divulge the contents
of your proposal to any ABC Company personnel. Failure to comply with this requirement may
result in your organization’s disqualification from the RFP process.
2. Questionnaire
In responding to the questionnaire, please reproduce each question in order, followed by your
response. References to previously submitted information will not be considered.
y Please limit your responses to information that is pertinent to the evaluation of this proposal.
y Any additional information that you consider relevant to your particular proposal but that is
not specifically requested in the RFP should be included as a separate attachment. Any such
attachment should identify the applicable RFP section or subsection to which the attachment
applies. The attachment then shall be incorporated into and be made a part of the proposal.
y While we encourage suppliers to submit the most creative, cost effective proposal possible, the
inclusion of extraneous commercial and/or sales literature as a substitute for original
responses to questions included in the proposal is strongly discouraged
3. Fee Proposal
Please present your fee quotation in the format requested. As detailed further in Section 4.11 –
Fees - of this RFP, all vendor potential vendor fees must be clearly and fully disclosed.
4. Addenda to RFP
In the course of the RFP process, it may become necessary to create addenda to this RFP with
clarifications of instructions, additional questions for bidders, amendments to specifications,
additional specifications or other considerations. If necessary, these will be sent to all bidders as
soon as possible.
8. Completeness
Your proposal must be complete and comply with all aspects of these specifications. Please keep
in mind that excessive marketing may overshadow your qualifications and expertise.
9. Proposal Binding
All representations made in your proposal will be binding and it will be assumed that that your
organization has agreed to all requirements set forth in this RFP, unless specifically stated
otherwise in your response to the “Scope of Services” portion of this RFP. Amendments or
clarifications will affect only that portion of the proposal that has been amended or clarified.
Furthermore, the original proposal submitted by your organization, as well as any follow-up
information or correspondence transmitted during the proposal process, may be incorporated into
a contract, if any, executed between ABC Company and your organization.
Any and all information, data, models, plans or proposals, whether written, oral or otherwise
furnished by you to ABC Company hereunder, or in contemplation hereof, shall be considered
non-confidential and non-proprietary, unless it is explicitly designated that such information is
confidential, proprietary or both. Confidential and/or proprietary information is to be specifically
referenced in your response/proposal.
ABC Company is seeking reliable, financially stable companies that have the ability to meet or exceed ABC
Company’s stringent quality, service and cost requirements. ABC Company’s evaluation of proposals will be
based on all elements of each response, including the vendor’s ability to meet ABC Company’s requirements
as set forth in this RFP and develop ABC Company-specific and industry-wide solutions, as well as the
vendor’s demonstrated experience managing proposed solutions. Factors that ABC Company will consider
in its evaluation of vendors include:
• The breadth and depth of the vendors’ experience in providing services similar to those requested by
ABC Company;
• The reasonableness and stability of the vendor’s proposed fees, compared to the market;
• The vendor’s willingness to fairly and openly disclosed all administration fees;
• The level of integration (including technology) across all of the vendor’s proposed services;
• The quality and compatibility of the vendors’ proposed project team; and
In addition to the criteria above, ABC Company has identified the following contractual provisions as critical
“deal breakers” for every vendor contract they enter into:
• The vendor’s commitment to indemnify ABC Company and hold it harmless from any claims arising
from the vendor’s negligence or willful misconduct.
• The vendor’s willingness to accept liability for any mistakes, errors or omissions it makes in the
provision of services for ABC Company.
• The vendor’s willingness to agree to key contract provisions as part of the sales process.
If ABC Company decides to purchase some or all of the services outlined in this RFP, ABC Company
intends to further evaluate vendors through site visits to each finalist vendor’s facilities. These meetings will
be designed to provide a forum to further assess your capabilities and proposed services, tour your call
center, see a demo of your live systems, meet your proposed project team and other key resources who
would be assigned to ABC Company project, and discuss business relationship issues, such as performance
standards and contract provisions.
In addition, ABC Company may hold additional follow-up/due-diligence discussions with finalist vendor(s).
These discussions will include obtaining vendor agreement to a more detailed list of key contractual terms
from those included in this RFP. Once these follow-up sessions are completed, ABC Company will begin
contract negotiations with the selected vendor(s) and make a final vendor recommendation to senior
management. Accordingly, implementation planning is expected to begin on April 23, 2010.
ABC Company reserves the right to interview and approve key members of the vendor’s project team.
Vendors will not use data on ABC Company’s Social Media programs without written consent from ABC
Company. Any breach of this requirement could lead to termination of the contract and/or the exercise of
other appropriate remedies by ABC Company.
In addition, all RFP materials (including this document and the Scope of Services documents) are proprietary
to Sociable Business and (a) may not be used except for the express purpose of responding to this Request
for Proposal, and (b) may not be distributed to any 3rd party without prior written permission from Sociable
Business.
ABC Company expects its vendor to comply with the key financial and contractual provisions as outlined
and further specified in the “Performance Expectations” and “Select Contract Terms” sections of this RFP.
At no point in the bid process shall ABC Company be influenced on the basis of any gifts, entertainment,
or other gratuities provided by the bidder. ABC Company shall make its decisions solely on the basis of
which bidders offer ABC Company the best value for goods and services required. A sound procurement
practice and basic business integrity dictate that ABC Company’s purchase decisions can in no way be
connected to any other relationship. ABC Company believes that it will receive the greatest value if and
only if its decisions are made solely on the basis of criteria related to supplier performance, quality and
price.
The failure of any bidder to whom ABC Company may award the contract to execute properly and return to
ABC Company the contract, together with any required certificates of insurance and/or certifications, within
the time specified in the RFP and contract documents, may cause ABC Company to suffer damage. ABC
Company shall therefore be entitled to declare a breach of contract by such bidder and to award the contract
to another bidder in accordance with the provisions of the contract documents.
You may use ABC Company’s name in your response to this RFP and/or in materials prepared for a site
visit, should your organization be selected for one. However, other use of ABC Company’s name or logo is
strictly prohibited without ABC Company’s written consent.
Any media releases, public announcements or public disclosures regarding your participation in this RFP
process will require prior written approval of ABC Company.

Overview
This section is designed to solicit an accurate and reliable fee proposal, on which ABC Company can base
its decisions about its outsourcing vendor’s responsibilities. In preparing your fee proposal, please keep
the following information in mind:
• Services Required. Your fee proposal should include all of the services contained in the Scope of
Services document of this RFP, except for those services that are explicitly excluded in your response
to each Scope of Services document.
• Quality of Services Required. Your fee proposal should be consistent with the performance levels
you provided for your organization in the response to the “Quality and Performance Expectations”
section of this RFP. If you would normally have used performance assumptions that are significantly
different than those provided, or if achieving the desired standards will impact your fees, please note
such variances in your fee proposal.
(1) Pass-Through Expenses. If your organization passes through any expenses such as travel, postage,
fulfillment, etc., you must provide an estimate of these costs in the appropriate checklist. Please
use your experience with other clients to provide your best guess at a reasonable budget for these
types of charges.
(2) You may provide additional documentation as necessary to clarify your assumptions about a particular
activity but any and all fees that may potentially be applicable must be listed in the fee grids –
fees that are listed in supplementary documents will not be recognized.
