End User License Agreement

This License Agreement is a legal agreement between you, whether as an individual or an entity, (Licensee) and
PCTEL, Inc., a Delaware corporation (PCTEL). By either clicking the Accept button and then pressing Next, or
otherwise using the Software (as defined below), Licensee acknowledges that it has read the terms and conditions
contained herein, understands them and agrees to be bound by them. If you do not agree to these terms, PCTEL is
unwilling to license the Software to you and you should click on the Cancel button to discontinue the installation
process or otherwise cease using the Software.
1. License. PCTEL hereby grants to Licensee a limited, non-exclusive, non-transferable license to use the object
code version of the software provided hereunder and its accompanying documentation (Software) in accordance
with the terms set forth herein. The Software is provided solely for Licensees internal use in connection with its use
of the products of which the Software is a part. Licensees use of the Software is subject to certain third party license
provisions as set forth at http://www.pctel.com/legalinfo/thirdpartylicenses. Further, Licensee acknowledges that such
third parties disclaim and make no representation or warranty to Licensee and shall have no liability to Licensee with
respect to any such third party software.
Licensee shall not copy (except as provided below), modify, adapt, merge with other software, create derivatives
works of, reverse engineer, decompile, disassemble, translate, list, print or display the Software or otherwise attempt
to obtain the source code or other proprietary or confidential information from or of the Software, in whole or in part,
nor resell, lease, sublicense, lend or distribute the Software to any third party. Licensee may make one (1) copy of the
Software for backup or archival purposes. With regard to such backup or archival copy, Licensee agrees to reproduce
any PCTEL or third party copyright notice, and other proprietary legends appearing thereon or in any related
materials or documentation.
2. Pool License. If the Software has been licensed on a pool basis (as reflected in your Invoice), Licensee may install
an unlimited number of copies of the Software provided that at no time may the aggregate number of concurrent
users of such Software exceed the number of licenses purchased (as reflected in your Invoice).
3. Proprietary Rights. The Software, in whole and in part and all copies thereof, are and will remain the sole and
exclusive property of PCTEL or its licensors, including all intellectual property and other proprietary rights therein.
Licensee shall not have any right, title or interest to the Software except as provided in this license, and further,
Licensee shall secure and protect the Software consistent with maintenance of PCTELs and its licensors proprietary
rights therein. Licensee will not delete, obscure or alter the copyright, trademark, and other proprietary rights notices
of PCTEL or its licensors appearing on the Software or other materials or documentation as delivered to Licensee.
4. Term. Licensees right to use the Software commences with Licensees first use of the Software which constitutes
acceptance of the terms and conditions set forth herein. If Licensees license is subscription, pay-for-use or rental
based (as reflected in Licensees Invoice therefor), the License will continue until such time as the subscription, payfor-use or rental term terminates. If Licensees license is non-subscription based and is embedded in a PCTEL
product, the license will continue in perpetuity. Notwithstanding the foregoing, Licensees right to use the Software will
terminate immediately and without notice upon a breach of this License Agreement or upon Licensees failure to pay
any due and owing license fees. Within thirty (30) days following termination, Licensee will certify to PCTEL in writing
that the original of the Software and all copies, in whole or in part, in any form, and all related materials and
documentation have been destroyed.
5. Other Terms and Conditions. All other terms and conditions applicable to the Software are set forth in PCTELs
standard terms and conditions.
