Memorandum of Agreement

5th Regional Convention For Luzon

Association of Philippine Medical Colleges Student Network
and Name of Company
This Agreement is made and entered into by and between the Association of
Philippine Medical Colleges Student Network, herein referred to as APMC-SN
and the name of company herein referred to as SPONSOR. In consideration of the
premises and mutual promises set forth herein, the parties, intending to be legally
bound, hereby agree as follow:
1. Event. APMC-SN agrees to conduct the 5th Regional Convention for Luzon which will
be held on November 12-13, 2016.
2. Responsibilities of the Organization. APMC-SN will:
a. Provide a Memorandum of Agreement (MOA)
b. Abide by the sponsorship package the SPONSOR has agreed to enter into.

c. General Provision # 1: Secure all logistical permits for the SPONSORs entry to
Virgen Milagrosa University Foundation at least 2 days before the activity.
1. Obtain the needed information and details from the SPONSOR i.e. list of
names, vehicle plate numbers, etc.
2. Accomplish the reservation procedures with the Marketing Office of Virgen
Milagrosa University Foundation.
3. Provide the SPONSOR with the approved vehicle passes.
d. General Provision # 2:Assist the SPONSOR in the set-up and dismantling of
promotional materials.
1. Recruit at least five members to assist the SPONSOR
2. Orient the selected members about their tasks.
e. Coordinate with and inform SPONSOR with regard to any changes or
modifications to format, content, or presentation that APMC-SN may make with
respect to the event.
3. SPONSORs Responsibilities. In exchange for promotional tie-ins with the event,
the SPONSOR will:
a. Sign this Memorandum of Agreement (MOA)
b. Terms of Payment: Give APMC-SN, amount in words pesos through
cash/check/x-deal by date in exchange for the promotional benefits specified in
the sponsorship package.

c. Provide the APMC-SN with the needed information about the company at least
two weeks before the activity.
d. Provide the APMC-SN with the promotional materials, i.e. streamers, flyers, etc.
by date.
e. Provide the APMC-SN with <insert support in kind here> if any by date.
f. Consult with and channel their concerns or requests through APMC-SN.
g. Receive the benefits brought about by the option of being a sponsor.
4. Promotional Limitation
a. Except as expressly provided herein, neither the SPONSOR nor APMC-SN shall
have the right to use in any way the corporate or trade name, trademark(s),
service mark(s), logo(s), or other identification of the other party unrelated to the
5th APMC-SN Regional Convention for Luzon without their written consent.
b. SPONSOR hereby grants APMC-SN a royalty-free, non-exclusive license to use
and display the trademarks associated with products in all of APMC-SNs
marketing and promotional efforts. Such use shall be limited solely to the
duration of the partnership of the event and any advertising or promotional
activities relating thereto that may happen before or after the actual event as
part of the events promotional efforts.
The SPONSOR and APMC-SN
acknowledge that the provisions of this paragraph do not convey any right, title
or ownership interest in the trademark.
5. Term and Termination. This Agreement shall be effective from the date of the
signing of this Memorandum of Agreement through the end of the aforementioned
events.
6. Termination for Default. APMC-SN, by written notice, may terminate this
Agreement in whole or in part for failure of the SPONSOR to perform any of the
provisions herein. In such event, the SPONSOR shall be liable for damages,
including the excess cost of procuring similar supplies or services.
a. The SPONSOR will provide cash equivalent to the value of the
materials/equipment/services
originally
to
be
provided,
if
the
materials/equipment/services are not in good condition or adequate quality.
b. APMC-SN has the right to remove SPONSORs name, trademark, and logo from
any promotional materials as well as the SPONSORs merchandise and products
from the event in cases where SPONSOR fails to comply with its obligations
stipulated herein.
7. Force Majeure. Neither party shall be responsible for events beyond its reasonable
control, such as acts of God, weather delays, or other fortuitous events. If the event
is postponed due to inclement weather or other conditions beyond APMC-SNs
control, it may be rescheduled for another time. The SPONSOR shall then be

entitled to the advertising and sponsorship package originally agreed upon at no

additional charge to SPONSOR.
8. Entire Agreement. This Agreement contains the entire understanding between the
parties relating to the subject matter contained herein and supersedes any all prior
agreements, arrangement, communication, or representations, whether oral or
written. This Agreement may not be amended, altered, modified or changed except
through a written document signed by both parties.
