TERMS AND CONDITIONS OF AGENCY FOR DISTRIBUTOR

1. Spoter Is an initiative of WEBINOVATION .The Distributor shall be District wise. The basic qualification for registration as
DISTRIBUTOR shall be 10th Pass. Marketing Agencies/ Companies dealing in information technology products shall also be
allowed to register as DISTRIBUTOR. Acceptance / rejection of distributor application are sole responsibility of Spoter Only.
2. The DISTRIBUTORs shall not require giving any Security Deposit.
3. The DISTRIBUTORs minimum order quantity is 5 [Five] pieces for issue any kind of purchase order. The total amount
deducting Distributors commission, shall payment in advance. Orders will be dispatched within 48 hrs of Confirmation
4. The DISTRIBUTOR shall be eligible for renewal of agency at the end of each quarter of any financial year subject to
satisfactory fulfillment of other operative conditions.
5. The DISTRIBUTOR shall provide his permanent address and bank account number at the time of taking agency from
department.
6. The DISTRIBUTOR shall be required to bring customers for the various new services launched by the SPOTER. At present
the services enlisted for subscription through DISTRIBUTORs is VTS [Vehicle Tracking System]. Spoter shall reserve the right
to add or deleted from the above list of services.
7. The DISTRIBUTOR shall be given commission for each subscriber for each type of service brought by him to SPOTER for
service subscription. The rate of such commission shall be notified by SPOTER from time to time. The present rate of
Commission for the services proposed for subscription by DISTRIBUTOR is flat 15%.
8. The account of the DISTRIBUTOR shall be maintained at operational Headquarters and shall be settled quarterly. The
DISTRIBUTOR shall not in any way pledge the credit of SPOTER.
9. The identification of customers brought by the DISTRIBUTORs shall be carried out by DISTRIBUTORs SEAL, which shall
be imprinted on the registration form of the particular service supplied by the SPOTER.
10. All DISTRIBUTORs shall be required to bring minimum 20 new customers in every quarter or bring as many customers
in a month as per the target set by SPOTER from time to time.
11. In order to facilitate marketing activities of the DISTRIBUTOR, SPOTER will provide technical support in the form of
specification and other technical literature of the various services.
12. All disputes arising out of DISTRIBUTOR scheme shall be decided by arbitration through an Arbitrator to be appointed
by the SPOTER. Spoter also reserved all the rights to renew / cancelation / setup DISTRIBUTOR without prior notice or any
circumstances and is not liable to show causes.
13. The DISTRIBUTORs shall not secure subscribers/customers sales outside the permitted geographical area.
14. The DISTRIBUTOR shall not give any warranty in respect of any of the services without the authority in writing of
SPOTER. SPOTER shall have the right to refuse to subscribe or accept application for subscription recommended by
DISTRIBUTOR and the DISTRIBUTOR shall not be entitled to any commission or service charges in respect of any such
refused application for subscription or part thereof.
