VIDEO CONTRACT

This agreement confirms the terms of the understanding between ________

(hereinafter PRODUCER) and _________ (hereinafter "CREATIVE") with respect to
the music video production currently titled ________ (hereinafter the "VIDEO").
(1) OWNERSHIP: CREATOR retains all and exclusive rights and ownership of all intellectual
property of the Video, in perpetuity and across all territories. Creator is the sole and
exclusive owner of the video, any images and audio created as of result of making
the video and any copyrights and trademarks for the video. All treatments,
summaries, scripts, artistic drawings, videography, photographic files and film shall remain
the sole property of Creator. Creator must properly credit Producer for cultivation,
origination, creation and production of all treatments, summaries, scripts, artistic
drawings, videography and photographic files. The Video shall not be reproduced in
whole or in part without the creator's written consent and appropriate licensing.
Creator does grant to Producer the limited, non-exclusive right to use the approved
Video solely for the purpose of marketing and promoting Producer as a film/video producer/
Director.
(2) NAME AND LIKENESS: Creator and its successors, licensees and assigns will have
the exclusive and perpetual right, to use and license the use of Producer's name,
photograph, likeness and biographical data ("Name and Likeness") in billing and
credits, in publicizing Producer's services hereunder in connection with the Video,
which right may be exercised by Producer or any distributor, network, sponsor,
advertising agency or licensee of exhibition rights in the Video; in connection with
the publication or other exploitation of ancillary products derived from the Video;
and in connection with all publicity of any kind related to the Video.
(3) CREDITS: Creator must list Producer's name in the billing and credits in connection
with the Video. Such listing shall be made on a single card and shall read
"produced/directed by _________." Creator hereby grants Producer the nonexclusive permission to use mutually agreed upon photographs and/or video clips or
written testimonial for use in various publications and media for the publicity and
marketing of the Video.

(4) WAIVER, HOLD HARMLESS:

Producer hereby waives, releases and discharges Creator from any and all liability,
including but not limited to, liability arising from negligence or intentional! acts of
entities or persons related to the production of the Video. Creator shall not be liable in
the event of death, disability, personal injury, property damage, property theft, or
actions of any kind of any person working or volunteering in the production of the Video.
Producer warrants that it is fully indemnified against any liability or damage claims
related to the Video Shoot by any of the cast, crew or any third parties. Producer shall
not be liable in the event of death, disability, personal injury, property damage, property
theft, or actions of any kind of any person working or volunteering in the production of the
Video.

PAYMENT AND PERPETUITY:

IN CONSIDERATION OF THE MUTUAL PROMISES SET FORTH HERIN AND OTHER
GOOD VALUABLE CONSIDERATION, all payment and production invoices shall be handled
solely by Creator and PRODUCER.

(6) DELIVERY & FINALIZATION OF PRODUCTION:

(7) FULL AGREEMENT, NO WAIVER: This contract constitutes the full agreement
between the parties. This contract can only be modified in writing, with the consent
and signature of both parties. Failure to enforce one part of the contract does not
waive any of the other rights delineated in the contract.
