VIP Programs Dealer Introduction and Guidelines


Introduction
The VIP Program is an ongoing program designed to generate incremental dealer sales of new Subaru
vehicles by providing special pricing to entities affiliated with Subaru of America, Inc. (SOA) in a hagglefree purchase or lease environment.
While dealer participation is strictly voluntary, dealers who elect to participate are required to adhere to
Executive VIP/VIP Partners/VIP Program pricing parameters. Dealers can generally expect to complete a
sale on approximately 50% of all VIP dealer visit requests.
Eligibility

The VIP Program Department verifies the validity of all Executive VIP/VIP Partners/VIP Program
customers. Dealers should not finalize any VIP Program sale without proper VIP authorization.

The special pricing under Executive VIP/VIP Partners/VIP Program is non-transferable and
cannot be combined with any other SOA promotional offers, coupons (such as auto show or
internet coupons) or direct mail offers (except Subaru MasterCard points).

Any VIP authorization form will be issued only to the eligible participant and their spouse or
domestic partner residing in the same household (address verification required). Any Executive
VIP/VIP Partners/VIP Program offer is non-transferable and does not extend to the approved
customer's family members such as parents, siblings, children, etc

Dealership personnel: The Executive VIP/VIP Partners/VIP Program offers are not available to
dealership personnel or their family members. Please consult the Stellar Performers benefits
package information for vehicle discount offers.

Dealer Visit Authorization Form


Eligible Executive VIP/VIP Partners/VIP Program customers must have an approved dealer visit authorization
form PRIOR to their first dealership contact:

Friends and extended family members of SOA/SIA/SRD employees must contact the
SOA/SIA/SRD employee.
To request a VIP Partners Program dealer visit authorization form:
Marketing affiliate members must contact their membership services office. The VIP department
at SOA is unable to verify eligibility status of the marketing affiliate members.

Dealer Selection
VIP customers select the dealer of their choice, generally based upon customer proximity and convenient
servicing. Should the customer not have a dealer preference, SOA will select the closest participating
dealer based on the customer's zip code. Program procedures are designed to identify and introduce VIP
customers to their requested dealer PRIOR to their first dealership contact.
All sales must be conducted by an authorized and participating dealer within SOA regions or independent
distributorships at the Executive VIP/VIP Partners/VIP Program pricing as outlined herein and noted on
the customers dealer visit authorization. The Executive VIP/VIP Partners/VIP Program is available in all
states except Hawaii.
Model Availability

All new Subaru models are included in the Executive VIP/VIP Partners/VIP Program, subject to
availability and dealer discretion. At the dealer's election, the Subaru vehicle may be secured
from the dealer's new vehicle inventory, located and procured from a nearby dealer's inventory or
ordered from SOA.

From time-to-time, new models may be temporarily held from the Executive VIP/VIP Partners/VIP
Program, until dealer inventories are sufficient to accommodate VIP customers. During these
times, dealers are asked to place a sold order.

New Subaru vehicles are those never titled, not previously reported sold and generally have less
than 100 miles.

Dealer demos and used vehicles are excluded from the VIP/Executive Program.

Vehicle Limit

Executive VIP/VIP Partners/VIP Program customers are limited to purchase or lease two (2) new
vehicles within a 12-month period.

Leasing Guidelines

Executive Program and VIP Partners Program new vehicle leases must utilize dealer invoice
cost minus 2% as the capitalization cost of the vehicle.

vehicle.

The customer is responsible for the security deposit and first months payment in advance, unless
excluded under current incentive program.

The acquisition fee is to be included in the monthly payments, unless excluded under current
incentive program.

Currently, Subaru is providing a very attractive lease program with favorable interest rates and
residual values. These enhancements can be incorporated into any VIP Program lease pricing.

Executive VIP/VIP Partners/VIP Program lease residual and money factors are the same as the
current special lease program.
Dealer rate mark up is not permitted for Executive VIP/VIP Partners/VIP Program leases.

NOTE: A dealer is not required to use the current program. However, should the dealership elect not to
utilize the current Subaru lease program and process the lease through another financing source, the
monthly lease payment should be the same or less than the monthly lease payment for a similar model
under the special lease program. Normally, this occurs when the vehicle lease capitalization cost is either
dealer invoice cost minus 2% or dealer invoice less any SOA regional dealer or customer incentives.
Accessory Pricing

For accessories that are added to the vehicle at the factory, the price to the Executive
Program or VIP Partners customer would be dealer invoice cost minus 2%. The dealer will
determine the price of any accessories that are added after the vehicle has arrived at the
dealership, as the dealer will incur procurement and labor costs to obtain and install such
accessories.

would be dealer invoice.

Incentives/Dealer Cash

Any regional customer or dealer incentives available at the time the customer takes delivery is
deducted from the VIP customers discounted purchase price.

Rebates or incentives include any customer cash, dealer cash, finance cash, and/or lease cash
available at the time of purchase.

Cash build is excluded.

Subaru MasterCard points may be applied to any VIP transaction.

The special pricing under the Executive VIP/VIP Partners/VIP Program cannot be combined with
any other Subaru of America, Inc. promotional offers, including, but not limited to auto show
coupons, internet coupons or direct mail offers.

Trade-ins
The participating dealer determines the value of the trade. Since VIP customer is purchasing or
leasing a new vehicle at dealer cost or less, they should expect no more than a wholesale offer for
their trade. VIP customers with trades should consider the benefit of selling their trade privately.
Financing
Financing arrangements, if any, will be determined in the normal manner with the dealer and will be
subject to the standard credit approval practices at the dealership.
From time to time, SOA does offer low rate financing on select Subaru models. Executive VIP/VIP
Partners/VIP Program customers would be eligible to take advantage of any special low rate financing
offers in effect at the time of purchase should they be available.

Dealer Handling Payment


Executive VIP/VIP Partners/VIP Program sales are eligible to receive a $300 handling fee payment
To receive payment, the dealer must fax or mail the following documentation to the VIP Program:

Completed Executive VIP/VIP Partners/VIP Program Dealer Visit Authorization Form


Copy of the buyer's signed retail sales agreement or lease worksheet
Copy of the dealer invoice.

Upon receipt and verification of Executive VIP/VIP Partners/VIP Program pricing, SOA will credit the
dealer's parts statement $300
Dealers not respecting pricing guidelines will not be awarded the transaction handling fee and
may be excluded from participating in future Executive VIP/VIP Partners/VIP Program
transactions.
NOTE: The special Executive VIP/VIP Partners/VIP Program pricing does not apply to sales made prior
to receipt of the approved dealer visit authorization form. Additionally, it is not the intention or purpose of
the Executive VIP/VIP Partners/VIP Program to interfere with any pricing negotiations currently underway
between a dealership and a customer who has previously visited the dealer without the approved dealer
visit authorization form. In such situations, the Executive VIP/VIP Partners/VIP Program is inapplicable.
