Re: Notice for Compliance with SBMAs
Standard Sublease Agreement and Deed of
Assignment of Leasehold Rights
Dear Locators:
Please be informed that pursuant to the thrust of the National Government to expedite all
business processes, the SBMA Management shall adopt a standard Sublease Agreement
(SLA) and Deed of Assignment of Leasehold Rights (DALR) for all SBMA locators engaged
in said transactions.
For your immediate reference, kindly download the standard SLA and DALR at SBMAs
website (www.mysubicbay.com.ph).
While we understand that there are certain terms and conditions that you and your
sublessees / assignees may want to include in your SLA or DALR, please note that the
standard SLA includes Article X entitled Other Terms and Conditions Between the
Sublessor and the Sublessee, wherein specific terms and conditions with your sublessee
can be incorporated. On the other hand, with regard to the DALR, you may incorporate said
terms and conditions after Item 7 thereof.
Accordingly, in case of sublease transactions (for locators where subleasing is among its
authorized business activity) or assignment of leasehold rights, kindly get a copy of the
standard SLA and DALR with the SBMAs Business Group or download the same from the
SBMA website, then submit the accomplished form to the Business Group (5 copies), for
the Chairman and Administrators and/or Board of Directors subsequent approval together
with the other terms and conditions which you and your sublessees/assignees have agreed
upon.
The SBMA will implement the standard SLA and DALR on October 15, 2016. Should there
be any comments on the standard SLA and DALR, please address the same to the SBMA
Legal Department.

On October 15, 2016 and henceforth, the SBMA shall not accept for regular processing
requests for approval of subleases and assignment that do not use the standard SLA and
DALR.
