LETTER OF APPOINTEMENT

Dear Ande Koteswara Rao,

We are pleased to offer you employment with ASPLOGIC SOLUTIONS Pvt. Ltd. as
Associate Software Engineer and your services will be provided to clients designated by
ASPLOGIC SOLUTIONS Pvt. Ltd. (here after referred to as company)
1. Duties
a. You shall be using your best energies and abilities on a full-time basis to perform, at
locations designated by the company: including customer offices, the employment duties
assigned you from time to time. You also shall comply with all rules, regulations and
procedures of the Company. During your employment, you shall not directly or indirectly
usurp any corporate opportunities or otherwise engage in any conduct adverse to the best
interests of the Company. Also, you are instructed not to divulge any confidential
information of, or violate any agreement with, your prior employers or their clients.
b. Your duties may vary from time to time and you are liable to be transferred from one
department to another department either temporarily or permanently or at any of the
companies offices or its customers offices in India or abroad. In the events of transfer, the
terms and conditions applicable to your category of employees at the place of transfer unless
would govern you.
c. During your employment with the company you will not work for any other firm,
institution or person either whole time nor in any way be associated with any firm or firms or
as any persons advisor, director, partner, whether paid or not for your services.

d. Owing to the mission critical assignments undertaken by the company, you may be
required to work on weekdays / paid public holidays for the company, whenever called upon
to do so.
2. Compensation and Benefits
a. You would be paid an annual salary of Rs.1,00,800/- (one lakh eight hundred
rupees only) on a cost to the company (CTC) basis, on the commencement of your
employment. Any taxes as applicable, as per the law of the land will be deducted at source.
The company will review the salary on annual basis. Any change in salary will be notified in
writing. For details of your compensation and other policies please refer to annexure 1.
b. Any payments to which you may be entitled at any given point of the time which by nature, is
related to your place of Posting, shall stand withdrawn automatically upon your transfer to any
other place.
3. Termination of employment
a. Except in cases of termination by the Company due to your willful misconduct or nonperformance, the Company will provide you with thirty days advance notice of termination
of employment. You likewise will provide the Company with thirty days advance notice of
your resignation from employment. Should you terminate your employment with the
Company for whatsoever reason within six months of joining, you shall not be eligible for
any incentive / bonus; you also agree to reimburse the Company all the cost associated
with your recruitment, travel and all other initial expenses.
b. You shall be bound at the termination of this agreement, however terminated, to handover
or return to companys designated officer the entire records, documents and property of the
company in your possession including company leased / rented / owned assets.
4. Confidentiality
a. As part of your employment, you will acquire or develop confidential and proprietary
information concerning the Company and its dealings and method of dealings with its
customers (and their clients or end users) and employees and you also will develop
relationships of special trust and confidence with the companys customers (and theirclients or
end users) employees (collectively, Confidential Mater). You agree that such

confidential Matter is for the Companys exclusive benefit and that, both during your
employment and at all times thereafter, you will not directly or indirectly use or disclose
any Confidential Matter expect for the sole benefit and with the consent of the Company.
Upon the conclusion of your employment you will promptly return all documents and
information (including computer generated or stored matter) concerning the Company or its
customers and employees.
b. You also agree that details of your employment contract are strictly confidential between
you and the Company. You agree not to disclose these details (inclusive of but not limited to
salary, resignation, notice period, last day of work with us) to any third party whosoever.
Should you fail to comply, you agree to pay damages equivalent to two months of your
salary to Company.
5. Non-Competition and Non-Solicitation
a. During the period until one (1) year following the termination of your employment for
whatever reason (which time period shall be extended by the length of time during which you
are in violation of this paragraph), you shall not directly or indirectly solicit the business (or
otherwise deal in a manner adverse to the Company with) or provide any software
engineering, consulting or programming services to any customer or end-user of any
customer of the Company for which or for whose benefit you have provided services during
your employment, nor directly or indirectly solicit the services of (or otherwise deal in a
manner adverse to the Company with) any employee of the Company or induce such
employee to terminate his or her employment. You further agree that:
b. The Company shall be entitled to injunctive relief as well as damages for any violation by
you of paragraphs 5 or 6 of this Agreement (which shall survive the termination of this
Agreement and your employment); paragraphs 4, 5, and 6 are intended to be enforced in
accordance with their terms but that such terms shall be deemed modified as necessary so as
to render them valid and enforceable to the fullest extent permissible by
applicable law
6. Medical Fitness

a. Your employment is subject to you being found medically fit by a doctor of Companys
choice. Even though you may have been declared fit by the Doctor appointed by the
company on commencement of your employment, you shall at any time in future subject yourself
to medical examination as required by the company.

7. Commencement of employment
You shall report for work at the Companys office on 20th October, 2016. In case you fail to
join the company by the scheduled date, you would be breaching the contract with the
company, in which case you agree to pay a penalty equating to two months salary to the
Company.
8. Entire Agreement
This Agreement represents the entire agreement of the parties and it supersedes all prior
statements, discussions and understandings. During your employment with the company, you
shall be subject to all rules and regulations, as are made by the company from time to time.
9. General Conditions Of Work
You will be bound by the following:
a. You will not engage in any trade or profession or undertaken employment,
full or part time, while in the services of the company.
b. You will have no objection to working extra hours in the morning and or
the evening according to the requirements of the job.
c. You may be selected and sponsored by the company for
familiarization/training assignments in India or/ abroad . You will diligently
and beneficially take part in such assignments .The cost of such training ,
including the travelling fare and related expenses, will be borne by the
company subject to agreements to be drawn up and signed between the
Company and you . Such agreements will be specifying the minimum period

you will be required serve the Company after completing the training and
providing for payment of liquidated damages by you to the company
proportionate to the time period of service remaining to be rendered, in the
event you voluntarily terminate the contract of service or this appointment,
as the case may be, prior to the expiry of the agreed of service referred to
here in above.
d. You will carry out duties with diligence and loyalty at all times, keeping the
Companys interest paramount.
e. You shall not either any circumstances either directly or indirectly , receive
or accept for your own behalf any commission , rebate , discount or profit
from any person , company , or firm having business transaction with
ASPLOGIC SOLUTIONS PVT LTD.
f. During your employment you will be bound by the Companys Rules and
Regulations framed and enforced from time to time. The company reserves
the right to amend or alter the said Rules and Regulations in terms of your
employment.
g. Should you remain absent from work, without any reasonable explanation,
for more than seven (7) consecutive days, it will be presumed that you are
no longer interested in working for the Company and have abandoned.
h. Its services, there by terminating your contract of service. In such case,
you will not be entitled to any statutory compensation.
i. The company shall verify the facts stated by you in your resume submitted
during the interview process. If any of the facts stated therein are found to
be false, your services will be terminated immediately without any notice or
an compensation in lieu of the notice period.
j. This appointment letter is governed by and shall construe in accordance
with the laws of India, and both parties to this appointment letter shall
submit to the exclusive jurisdiction of the Indian Courts. This appointment
letter contains the entire understanding between the parties and supersedes
ASPLOGIC SOLUTION Pvt. Ltd.

all previous agreements and/or arrangements relating to employment with


ASPLOGIC SOLUTIONS PVT LTD. Any amendment or modifications to this
appointment letter shall be made in writing and signed both the parties.
k. The terms and condition of service are confidential and may not be
disclosed to or discussed with anyone.
l. You will be require to observe the rules and regulations applicable to all
employees of the company.
m. We are consciously endeavoring to build an atmosphere of trust,
openness, responsiveness, autonomy and growth among all members of the
ASPLOGIC SOLUTIONS Pvt Ltd family. As a new entrant, we would like you to
whole-heartedly contribute in this process.
n. You will keep us informed of any changes your residential address, your
family status or any other personal particulars relevant to your employment,
as and when the change may occur.

o. This letter constitutes the complete understanding between you and the
company regarding terms of employment with the company. This supersedes
any and all other agreements, either written or oral, between you and the
company regarding your employment. Any modification of this agreement
will be effective only if it is in writing signed by both the parties.
p. You are required to sign the attached employee confidentially information
agreement with the company, prior to joining the services of the Company.
10. MISCONDUCTS
If you commit any of the misconducts described below, the management will
take disciplinary action against you as per the Companys Policy.

* Absconding from work


* Insubordination
* Demonstrative\hostile behavior within office premises.
* Deliberate misinterpretation of rules
* Non adherence to work schedule
* Non adherence to work rules
* Sexual harassment
* Drug abuse\Alcohol
* Viewing and downloading prohibited sites
* Manipulation of data/system/data integrity
* Charging expenses from the Company which are not allowable
* Violence at work place

11. ACCEPTANCE
a. If you accept the above terms and conditions of service, please signify
your acceptance on the duplicate copy of the appointment letter provided to
you and report for duty as indicated above.
b. Should you fail to signify your acceptance within a fortnight from the date
of the appointment letter, this offer of employment will be deemed to have
been withdrawn and cancelled.
